WHEREAS, on March 6, 2018, and June 5, 2018, the City Council approved a pre-qualified engineer list (Ordinance 2018-331) and the professional services provider (the "Provider") mentioned in this ordinance is being selected as the most highly qualified on the basis of its demonstrated competence and qualifications to perform the proposed professional services; and WHEREAS, the fees under the proposed contract are fair, and reasonable, and are consistent with, and not higher than the recommended practices and fees published by the professional associations applicable to the Provider's profession, and such fees do not exceed the maximum provided by law; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. The City Manager is hereby authorized to enter into an agreement with O'Brien Engineering, Inc., to provide professional engineering services for the City of Denton, a copy of which is attached hereto and incorporated by reference herein. SECTION 2. The City Manager is authorized to expend funds as required by the attached contract. SECTION 3. The City Council of the City of Denton, hereby expressly delegates the authority to take any actions that may be required or permitted to be performed by the City of Denton under this ordinance to the City Manager of the City of Denton, or his designee. SECTION 4. The findings in the preamble of this ordinance are incorporated herein by reference. SECTION S. This ordinance shall become effective immediately upon its passage and approval. Payment shallbeconsidered full compensation foralllabor, materials, supplies, andequipment necessaryto completetheservicesdescribed inAttachmentA. B. Unless otherwiseterminated pursuanttoSection 6. D. herein, this AGREEMENT shall be foratermbeginning uponthe effectivedate, asdescribed below, andshallcontinue fora period which mayreasonablyberequiredforthe completion of thePROJECT, untiltheexpiration ofthefunds, orcompletionofthe PROJECT andacceptance bythe CITY, whichever occursfirst. Invoice andPayment 1) The Engineer shall providethe Citysufficientdocumentation, includingbutnot limited tomeeting therequirements set forthinthePROJECT schedule asset forthinAttachment Ato reasonably substantiate theinvoices. 2) TheENGINEER will issuemonthlyinvoices for allwork performed under this AGREEMENT. Invoicesfortheuncontested performanceoftheparticular servicesare dueandpayable within 30daysofreceipt byCity. 3) Uponcompletion of services enumerated inSection 1, thefinalpayment ofany balanceforthe uncontested performance oftheserviceswillbe duewithin30 daysof receiptofthefinalinvoice. 4) Intheevent ofadisputed orcontested billing, onlythatportion socontested will bewithheld from payment, andthe undisputedportionwillbepaid. The CITY willexercise reasonableness incontestinganybillor portion thereof. No interestwillaccrue onanycontested portionof thebillinguntilmutually resolved. 5) Ifthe CITY failstomakepaymentin fulltoENGINEER forbillings contested in goodfaithwithin60days oftheamountdue, theENGINEER may, aftergiving7 days' writtennotice toCITY, suspend services under thisAGREEMENTuntil paid infull. Intheevent ofsuspension ofservices, the ENGINEERshallhave no liabilitytoCITY fordelays ordamagescaused theCITYbecause ofsuch suspension ofservices. SECTION4 Obligations oftheEngineer Amendments toSection 4, ifany, areincludedinAttachment A. A. General TheENGINEER willserve astheCITY's professionalengineeringrepresentative under this AGREEMENT, providingprofessionalengineering consultation andadviceand furnishing customary servicesincidental thereto. Standard ofCare TheENGINEER shallperform itsservices: 1) with theprofessional skillandcare ordinarily providedby competent engineers practicinginthe sameor similar locality andunder thesame or similar circumstancesand professional license; and 2) as expeditiously as isprudent considering the ordinary professionalskilland careofa competent engineer. C. SubsurfaceInvestigations 1) TheENGINEER shall advise theCITYwithregardto thenecessityfor subcontract worksuch as specialsurveys, tests, test borings, orother subsurfaceinvestigations in connectionwithdesignand engineering worktobe performed hereunder. The ENGINEER shallalsoadvise the CITY concerning the resultsof same. Suchsurveys, tests, and investigations shall befurnished bytheCITY, unlessotherwise specifiedin AttachmentA. 2) Insoils, foundation, groundwater, and othersubsurfaceinvestigations, the actual characteristicsmay vary significantly betweensuccessive testpoints and sample intervalsand at locations other thanwhereobservations, exploration, and investigations havebeenmade. Because oftheinherent uncertaintiesin subsurfaceevaluations, changedorunanticipated underground conditions may occurthat couldaffect thetotalPROJECT cost and/orexecution. These conditionsand cost/execution effectsare not theresponsibility ofthe ENGINEER. D. PreparationofEngineering Drawings TheENGINEER willprovidetotheCITYtheoriginaldrawings ofallplans inink on reproducible mylarsheetsandelectronic filesin .pdfformat, orasotherwise approved by CITY, whichshallbecomethepropertyoftheCITY. CITYmay usesuchdrawings in any manner itdesires; provided, however, thattheENGINEER shallnotbe liablefor theuse of such drawingsforanyprojectotherthan thePROJECT describedherein. E. Engineer'sPersonnelatConstructionSite 1) Thepresence or dutiesofthe ENGINEER'spersonnel ata constructionsite, whether ason-siterepresentatives orotherwise, donotmake theENGINEER or its personnelinanyway responsible forthoseduties thatbelong totheCITY and/orthe CITY'sconstruction contractorsor otherentities, anddo notrelieve the construction contractorsorany otherentity oftheirobligations, duties, and responsibilities, including, butnot limitedto, allconstructionmethods, means, techniques, sequences, andprocedures necessary forcoordinating and CityofDenton, Texas StandardAgreementforEngineering RelatedDesignServices Revised Date: 9/6/18 Page 3 of17 DocuSignEnvelopeID: 08AC7E5F-7F33-460D-9200-D93269DD4DCA completing all portionsofthe constructionwork inaccordance with the AGREEMENTDocuments andany healthorsafety precautions requiredby such construction work. TheENGINEER anditspersonnel havenoauthority to exercise anycontrol overanyconstruction contractor orother entityor their employees inconnection withtheirwork oranyhealth orsafetyprecautions. 2) Excepttothe extent ofspecificsitevisitsexpressly detailedand setforthin Attachment A, theENGINEERoritspersonnel shallhave noobligation or responsibility tovisitthe construction siteto becomefamiliar withthe progress orqualityofthecompleted work onthePROJECT ortodetermine, ingeneral, if theworkonthePROJECTisbeingperformedinamanner indicating thatthe PROJECT, whencompleted, willbeinaccordance withthe AGREEMENT Documents, norshall anything in the AGREEMENT Documents orthis AGREEMENT betweenCITYand ENGINEER be construed as requiring ENGINEER tomakeexhaustive orcontinuous on-siteinspections todiscover latent defectsinthe workor otherwise check thequality or quantity ofthe work on thePROJECT. If theENGINEER makeson-siteobservation(s) ofa deviation fromtheAGREEMENT Documents, the ENGINEERshallinformthe CITY. 3) Whenprofessional certificationof performance orcharacteristicsof materials, systems orequipment isreasonablyrequired toperformtheservices set forth in theScope ofServices, theENGINEER shallbe entitledtorelyuponsuch certificationto establishmaterials, systemsor equipment andperformance criteria toberequiredin theAGREEMENTDocuments. F. OpinionsofProbableCost, FinancialConsiderations, andSchedules 1) TheENGINEER shallprovide opinionsof probable costsbasedonthecurrent availableinformation atthe time ofpreparation, inaccordance with Attachment A. 2) Inproviding opinions ofcost, financial analyses, economicfeasibility projections, andschedules forthePROJECT, theENGINEER hasnocontrolover costor priceof laborandmaterials; unknown or latent conditions of existingequipment orstructures thatmayaffectoperation or maintenance costs; competitive bidding procedures andmarketconditions; time orqualityofperformanceby thirdparties; quality, type, management, ordirection ofoperatingpersonnel; and othereconomic and operational factors thatmaymateriallyaffecttheultimate PROJECT costorschedule. Therefore, theENGINEER makesno warranty thattheCITY'sactual PROJECT costs, financial aspects, economicfeasibility, orschedules will notvary fromtheENGINEER'sopinions, analyses, projections, orestimates. ConstructionProgressPayments Recommendations bytheENGINEER totheCITY forperiodicconstruction progress paymentsto theconstruction contractor willbebasedon theENGINEER'sknowledge, information, and belieffrom selective sampling andobservation that theworkhas progressed tothepoint indicated. Suchrecommendations do notrepresent that continuous ordetailed examinations havebeenmadebytheENGINEER toascertain that theconstruction contractorhas completedthework inexact accordance withthe AGREEMENT Documents; thatthe finalworkwillbeacceptable inallrespects; thatthe ENGINEER hasmade anexamination toascertain howorforwhat purpose the construction contractor hasusedthemoneys paid; thattitletoanyofthe work, materials, orequipment has passedto theCITY freeandclear ofliens, claims, security interests, or encumbrances; orthatthere arenotothermatters atissue between theCITY andthe constructioncontractor that affectthe amount thatshould be paid. H. Record Drawings Record drawings, if required, willbeprepared, inpart, onthe basisofinformation compiled andfurnished byothers, andmaynotalwaysrepresenttheexact location, type ofvarious components, orexactmannerin which thePROJECT wasfinallyconstructed. The ENGINEER isnotresponsiblefor anyerrorsor omissionsintheinformation from others thatisincorporated intotherecord drawings. I. RighttoAudit 1) ENGINEERagrees thattheCITY shall, untiltheexpiration offive (5) yearsafter finalpaymentunderthis AGREEMENT, have accesstoand theright to examine and photocopy anydirectly pertinentbooks, documents, papers and recordsof theENGINEERinvolving transactionsrelating tothisAGREEMENT. ENGINEER agrees thatthe CITYshallhave accessduring normal working hours toallnecessary ENGINEER facilitiesandshallbe provided adequateand appropriate workspace inordertoconduct auditsincompliance withthe provisions ofthissection. TheCITYshallgiveENGINEER reasonableadvance notice ofintended audits. 2) ENGINEERfurther agrees toincludein allits subconsultant agreements hereunder aprovisiontotheeffect thatthe subconsultant agreesthatthe CITY shall, untilthe expirationof five (5) years afterfinalpaymentunder the subcontract, have accesstoand theright toexamineand photocopy any directly pertinent books, documents, papersandrecords ofsuchsubconsultant, involvingtransactionsto thesubcontract, andfurther, thatthe CITY shallhave access during normal workinghours toallsubconsultant facilities, and shallbe provided adequateand appropriateworkspace, in ordertoconduct audits in compliance withtheprovisionsof thissection togetherwithsubsection (3) hereof. CITYshallgive subconsultant reasonableadvancenoticeofintended audits. TheCITYagreestoreimburseENGINEER forthecost ofcopies atthe ratepublished intheTexas Administrative Code ineffectasof thetimecopyingisperformed. J. INSURANCE 1) a. CommercialGeneral Liability theENGINEER shallmaintain commercial general liability (CGL) and, ifnecessary, commercial umbrella insurancewitha limitofnotlessthan $1,000,000.00per each occurrencewith a $2,000,000.00 aggregate. IfsuchCommercial General Liabilityinsurancecontains ageneralaggregate limit, it shall apply separately tothisPROJECT orlocation. i. The CITYshall beincluded asan additionalinsured withall rights of defense undertheCGL, using ISOadditional insured endorsement ora substituteprovidingequivalent coverage, and under thecommercial umbrella, ifany. This insurance shallapply asprimary insurancewith respecttoany otherinsurance orself- insuranceprogramsafforded totheCITY. TheCommercial GeneralLiability insurance policyshall havenoexclusions or endorsements thatwouldalterornullify: premises/operations, products/completed operations, contractual, personal injury, or advertisinginjury, whicharenormally containedwithinthepolicy, unlesstheCITY specificallyapprovessuchexclusions inwriting. ii. ENGINEERwaives allrights against theCITYandits agents, officers, directors andemployees forrecovery of damagesto the extentthese damages arecovered bythecommercialgeneral liabilityorcommercial umbrella liabilityinsurance maintained in accordancewiththisAGREEMENT. b. Business Auto theENGINEER shallmaintain business autoliability and, ifnecessary, commercialumbrellaliability insurance witha limitof notlessthan $1,000,000eachaccident. Suchinsurance shallcover owned autos, when saidvehicle is usedinthecourseofthePROJECT. Ifthe engineer owns novehicles, coveragefor hired or non-ownedis acceptable. ENGINEERwaivesallrights againsttheCITY anditsagents, officers, directors andemployees forrecoveryofdamages tothe extentthesedamages arecoveredbythebusinessautoliabilityor commercial umbrella liabilityinsurance obtained by ENGINEER pursuant tothis AGREEMENT orunder any applicable auto physical damagecoverage. c. ENGINEER shallmaintainworkers compensation andemployersliabilityinsurance and, ifnecessary, commercial umbrella liability insurance witha limitofnotless than 100,000.00eachaccident forbodily injury by accident or $100,000.00 eachemployee forbodily injurybydisease, with $500,000.00policy limit. i. ENGINEERwaivesallrights againsttheCITY anditsagents, officers, directors andemployees forrecoveryofdamages tothe extentthese damages arecovered byworkerscompensationand umbrella insuranceobtainedby ENGINEER pursuanttothisAGREEMENT. d. Professional Liability ENGINEER shallmaintain professional liability, a claims-made policy, witha minimumof $1,000,000.00 perclaimand aggregate. Thepolicy shallcontainaretroactivedate priortothedateof the AGREEMENT orthe firstdate ofservices tobeperformed, whichever isearlier. Coverageshallbemaintained for aperiod of5years followingthe completionofthe AGREEMENT. An annualcertificate of insurance specifically referencing thisPROJECT shallbe submitted to theCITY foreachyearfollowingcompletionoftheAGREEMENT. 2) GENERAL INSURANCE REQUIREMENTS a. Certificates of insuranceevidencing thattheENGINEER hasobtainedall required insurance shallbeattached tothisAGREEMENTprior toits execution. b. Applicable policiesshallbeendorsed tonametheCITY anAdditional Insured thereon, subject toanydefense provided bythepolicy, as its interestsmayappear. ThetermCITYshall include itsemployees, officers, officials, agents, andvolunteers asrespectsthecontracted services. c. Certificate(s) ofinsuranceshalldocumentthat insurancecoverage specifiedinthis AGREEMENT areprovidedunderapplicable policies documentedthereon. Anyfailure onpartof theCITYto attachthe requiredinsurance documentation hereto shallnotconstitute a waiveroftheinsurance requirements. e. A minimum ofthirty (30) daysnoticeofcancellation ormaterialchangein coverage shallbeprovided tothe CITY. Aten (10) daysnoticeshallbe acceptablein theeventofnon-paymentof premium. Notice shallbesent to therespective DepartmentDirector (byname), Cityof Denton, 901 Texas Street, Denton, Texas 76209. f. Insurers forallpolicies must beauthorized todobusiness intheState of Texas andhaveaminimumrating ofA:Vor greater, inthe currentA.M. BestKey RatingGuide orhavereasonablyequivalentfinancialstrength and solvencytothesatisfactionofRiskManagement. g. Anydeductible or selfinsured retentioninexcessof $25,000.00that would changeoraltertherequirements hereinissubjectto approval by theCITYinwriting, ifcoverage isnotprovidedon afirst-dollarbasis. The CITY, atit solediscretion, mayconsent to alternativecoverage maintained throughinsurance pools orriskretention groups. Dedicated financialresources orletters of credit may alsobeacceptableto the CITY. h. Applicable policiesshalleachbeendorsed withawaiverofsubrogation infavoroftheCITYasrespects thePROJECT. i. TheCITYshallbeentitled, uponitsrequestandwithout incurring expense, to review theENGINEER'sinsurance policiesincluding endorsements theretoand, attheCITY'sdiscretion; theENGINEER may berequired toprovide proofofinsurance premium payments. j. Linesofcoverage, otherthan Professional Liability, underwritten ona claims-madebasis, shall containa retroactivedatecoincidentwithor priortothe dateofthe AGREEMENT. Thecertificate of insuranceshall stateboth theretroactive dateandthatthecoverageisclaims-made. k. Coverages, whether writtenonanoccurrence or claims-made basis, shall bemaintained withoutinterruption norrestrictive modification or changesfromdate ofcommencement ofthe PROJECTuntil final payment andtermination ofanycoverage requiredtobe maintained after final payments. l. TheCITY shallnotberesponsible forthedirectpaymentofany insurance premiums requiredbythis AGREEMENT. Subconsultants andsubcontractorsto/oftheENGINEER shallbe required by theENGINEERtomaintainthesame orreasonably equivalent insurance coverageas required fortheENGINEER. When sub consultants/subcontractors maintain insurance coverage, ENGINEER shallprovideCITYwithdocumentation thereofona certificate ofinsurance. K. Independent Consultant TheENGINEER agrees toperform allservices asanindependent consultant andnot asa subcontractor, agent, oremployee of theCITY. Thedoctrineofrespondeatsuperior shall notapply. L. Disclosure The ENGINEER acknowledges to theCITY that ithasmadefulldisclosure inwriting of anyexisting conflictsofinterest orpotential conflictsofinterest, includingpersonal financial interest, director indirect, inproperty abuttingtheproposed PROJECT andbusiness relationships withabuttingproperty cities. TheENGINEERfurtheracknowledges thatitwill makedisclosure inwriting ofanyconflictsofinterest thatdevelop subsequent tothe signing ofthis AGREEMENTandpriortofinalpayment underthe AGREEMENT. M. AsbestosorHazardousSubstances 1) If asbestosorhazardoussubstances inanyformareencountered orsuspected, the ENGINEER willstop itsownworkintheaffected portions ofthe PROJECT topermittesting andevaluation. 2) Ifasbestos orotherhazardous substances aresuspected, theCITYmay requesttheENGINEER toassistin obtainingtheservicesof aqualified subcontractorto managetheremediation activitiesof thePROJECT. N. PermittingAuthorities - Design Changes Ifpermitting authoritiesrequire designchanges soasto comply withpublished design criteria and/orcurrent engineering practicestandards whichthe ENGINEERshould have beenawareofatthetimethis AGREEMENT wasexecuted, theENGINEER shall revise plans andspecifications, asrequired, atitsown costand expense. However, ifdesign changes arerequired duetothe changes in thepermitting authorities' publisheddesign criteria and/orpractice standards criteria whicharepublishedafterthedateofthis AGREEMENT whichthe ENGINEER couldnothave beenreasonably aware of, the ENGINEER shallnotify theCITYofsuch changes andan adjustment incompensation will bemadethroughanamendment tothisAGREEMENT. Schedule ENGINEER shall managethe PROJECTinaccordance withtheschedule developed per Attachment A tothisAGREEMENT. P. EqualOpportunity 1) EqualEmployment Opportunity: agents shallengageinanydiscriminatory employment practice. Nopersonshall, on thegroundsofrace, sex, sexual orientation, age, disability, creed, color, genetic testing, ornational origin, berefusedthebenefitsof, orbeotherwise subjected todiscrimination under anyactivities resultingfromthis AGREEMENT. 2) Americans withDisabilitiesAct (ADA) Compliance: ENGINEER and agents shall not engage in anydiscriminatory employment practiceagainst individualswithdisabilities asdefined intheADA.
