C. IftheCityortheCity'srepresentativenotifiestheContractorthatanyworkerisincompetent, disorderly ordisobedient, hasknowinglyorrepeatedlyviolatedsafetyregulations, haspossessedanyfirearms, orhas possessedorwasundertheinfluenceofalcoholordrugsonthejob, theContractorshallimmediately removesuchworkerfromContractservices, andmaynotemploysuchworkeragainonContractservices withouttheCity'spriorwrittenconsent. INVOICES: A. TheContractorshallsubmitseparateinvoicesinduplicateoneachpurchaseorderorpurchase releaseaftereachdelivery. IfpartialshipmentsordeliveriesareauthorizedbytheCity, aseparateinvoice mustbesentforeachshipmentordeliverymade. B. ProperInvoicesmustincludeauniqueinvoicenumber, thepurchaseorderordeliveryorder thepointofcontactfortheDepartment. Invoicesshallbeitemizedandtransportationcharges, ifany, shallbelistedseparately. Acopyofthebillofladingandthefreightwaybill, whenapplicable, shallbe numberontheinvoicemustexactlymatchtheinforma invoice. C. Invoicesforlaborshallincludeacopyofalltime-sheetswithtradelaborrateanddeliverablesorder numberclearlyidentified. E. NoticeisherebygiventhatanyawardedfirmwhoisinarrearstotheCityofDentonfordelinquenttaxes, theCitymayoffsetindebtednessowedtheCitythroughpaymentwithholding. F. Paymentwillbemadebycheckunlessthepartiesmutuallyagreetopaymentbycreditcardorelectronic transferoffunds. TRAVELEXPENSES: Alltravel, lodgingandperdiemexpensesinconnectionwiththeContract shallbepaidbytheContractor, unlessotherwisestatedinthecontractterms. Duringthetermofthis contract, thecontractorshallbillandtheCityshallreimbursecontractorforallreasonableandapproved outofpocketexpenseswhichareincurredintheconnectionwiththeperformanceofdutieshereunder. Notwithstandingtheforegoing, expensesforthetimespentbythecontractorintravelingtoandfromCity facilitiesshallnotbereimbursed, unlessotherwisenegotiated. 15. FINALPAYMENTANDCLOSE-OUT: A. IfaDBE/MBE/WBEProgramPlanisagreedtoandtheContractorhasidentifiedSubcontractors, the ContractorisrequiredtosubmitaContractClose-OutMBE/WBEComplianceReporttothePurchasing Managernolaterthanthe15thcalendardayaftercompletionofallworkunderthecontract. Finalpayment, retainage, orbothmaybewithheldiftheContractorisnotincompliancewiththerequirementsasaccepted bytheCity. B. Themakingandacceptanceoffinalpaymentwillconstitute: i. awaiverofallclaimsbytheCityagainsttheContractor, exceptclaims (1) whichhavebeen previouslyassertedinwritingandnotyetsettled, (2) arisingfromdefectiveworkappearingafterfinal inspection, (3) arisingfromfailureoftheContractortocomplywiththeContractorthetermsofany w audit; andii. awaiverofallclaimsbytheContractoragainsttheCityotherthanthosepreviouslyasserted inwritingandnotyetsettled. 16. SPECIALTOOLS & TESTEQUIPMENT: IfthepricestatedontheOfferincludesthecostofany specialtoolingorspecialtestequipmentfabricatedorrequiredbytheContractorforthepurposeoffilling thisorder, suchspecialtoolingequipmentandanyprocesssheetsrelatedtheretoshallbecometheproperty oftheCityandshallbeidentifiedbytheContractorassuch. 17. RIGHTTOAUDIT: A. TheCityshallhavetherighttoauditandmakecopiesofthebooks, recordsandcomputationspertaining totheContract. Further, theContractorshallalsorequireallSubcontractors, materialsuppliers, andotherpayees toretainallbooks, records, documentsandotherevidencepertainingtotheContract, andtoallowtheCity similaraccesstothosedocuments. Allbooksandrecordswillbemadeavailablewithina50mileradius oftheCityofDenton. ThecostoftheauditwillbebornebytheCityunlesstheauditrevealsan overpaymentof1% orgreater. Ifanoverpaymentof1% orgreateroccurs, thereasonablecostoftheaudit, includinganytravelcosts, mustbebornebytheContractorwhichmustbepayablewithinfive (5) business daysofreceiptofaninvoice. B. FailuretocomplywiththeprovisionsofthissectionshallbeamaterialbreachoftheContractandshall electronicfiles, evenifsuchdraftsorelectronicfilesaresubsequentlyusedtogenerateorprepareafinal printeddocument. 18. SUBCONTRACTORS: A. IftheContractoridentifiedSubcontractorsinaDBE/MBE/WBEagreedtoPlan, theContractorshall complywithallrequirementsapprovedby theCity. TheContractorshallnotinitiallyemployany SubcontractoridentifiedinthePlan, unlessthesubstitutehasbeenacceptedbytheCityinwriting. No acceptancebytheCityofanySubcontractorshallconstituteawaiverofanyrightsorremediesoftheCity withrespecttodefectivedeliverablesprovidedbyaSubcontractor. IfaPlanhasbeenapproved, the ContractorisadditionallyrequiredtosubmitamonthlySubcontractAwardsandExpendituresReportto theProcurementManager, nolaterthanthetenthcalendardayofeachmonth. B. WorkperformedfortheContractorbyaSubcontractorshallbepursuanttoawrittencontractbetween theContractorandSubcontractor. Thetermsofthesubcontractmaynotconflictwiththetermsofthe Contract, andshallcontainprovisionsthat: i. requirethatalldeliverablestobeprovidedbytheSubcontractorbeprovidedinstrict accordancewiththeprovisions, specificationsandtermsoftheContract; ii. prohibittheSubcontractorfromfurthersubcontractinganyportionoftheContract withoutthepriorwrittenconsentoftheCityandtheContractor. TheCitymayrequire, as aconditiontosuchfurthersubcontracting, thattheSubcontractorpostapaymentbondin form, substanceandamountacceptabletotheCity; iii. requireSubcontractorstosubmitallinvoicesandapplicationsforpayments, including anyclaimsforadditionalpayments, damagesorotherwise, totheContractorinsufficient timetoenabletheContractortoincludesamewithitsinvoiceorapplicationforpayment totheCityinaccordancewiththetermsoftheContract; iv. requirethatallSubcontractorsobtainandmaintain, throughoutthetermoftheircontract, insuranceinthetypeandamountsspecifiedfortheContractor, withtheCitybeinganamedinsured asitsinterestshallappear; and v. requirethattheSubcontractorindemnifyandholdtheCityharmlesstothesameextent astheContractorisrequiredtoindemnifytheCity. C. TheContractorshallbefullyresponsibletotheCityforallactsandomissionsoftheSubcontractorsjust astheContractorisresponsiblefortheContractor'sownactsandomissions. TheContractorshallpayallclaims, costs, lossesand conformingdeliverables. Ifanysuchacceptanceoccurspriortofinalpayment, theCitymaydeductsuch amountsasarenecessarytocompensatetheCityforthediminishedvalueofthedefectiveornon- conformingdeliverables. STOPWORKNOTICE: TheCitymayissueanimmediateStopWorkNoticeintheeventthe ContractorisobservedperforminginamannerthatisinviolationofFederal, State, orlocalguidelines, or inamannerthatisdeterminedbytheCitytobeunsafetoeitherlifeorproperty. Uponnotification, the ContractorwillceaseallworkuntilnotifiedbytheCitythattheviolationorunsafeconditionhasbeen corrected. TheContractorshallbeliableforallcostsincurredbytheCityasaresultoftheissuanceofsuch StopWorkNotice. 26. TERMINATIONFORCAUSE: IntheeventofadefaultbytheContractor, theCityshallhavethe righttoterminatetheContractforcause, bywrittennoticeeffectiveten (10) calendardays, unlessotherwise specified, afterthedateofsuchnotice, unlesstheContractor, withinsuchten (10) dayperiod, curessuch not, infact, exist. TheCityshallpaytheContractor, tothe extentoffundsAppropriatedorotherwiselegallyavailableforsuchpurposes, forallgoodsdeliveredand servicesperformedandobligationsincurredpriortothedateofterminationinaccordancewiththeterms hereof. 29. FRAUD: FraudulentstatementsbytheContractoronanyOfferorinanyreportordeliverablerequired tobesubmittedbytheContractortotheCityshallbegroundsfortheterminationoftheContractforcause bytheCityandmayresultinlegalaction. 30. DELAYS: A. TheCitymaydelayscheduleddeliveryorotherduedatesbywrittennoticetotheContractoriftheCity deemsitisinitsbestinterest. IfsuchdelaycausesanincreaseinthecostoftheworkundertheContract, theCityandtheContractorshallnegotiateanequitableadjustmentforcostsincurredbytheContractorin theContractpriceandexecuteanamendmenttotheContract. TheContractormustassertitsrighttoan adjustmentwithinthirty (30) calendardaysfromthedateofreceiptofthenoticeofdelay. Failuretoagree onanyadjustedpriceshallbehandledundertheDisputeResolutionprocessspecifiedinparagraph49. However, nothinginthisprovisionshallexcusetheContractorfromdelayingthedeliveryasnotified. B. INTELLECTIONALPROPERTY. TheCityherebyagreesandacknowledgesthatUSDigital ownsallrights, title, andinterestinandtotheIntellectualProperty (asdefined below). TheCity trademarks, orotherproprietaryrightsnoticesaffixedtoorcontainedwithinoraccessedinconjunction withorthrough conveytotheCityanyrightsintheIntellectualPropertyotherthantheLicense, assetforthbelow. LICENSE: AtalltimesthattheCityisincompliancewiththetermsofthisContractandallother agreementsbetweentheparties, theCityshallhaveanon-exclusive, non-transferable, fullypaidlicenseto usetheSoftware, butonlyinconjunctionwiththeHardwareprovidedbyUSDDandonlyinconjunction with firestationalertingsystempursuanttothetermsofthisContract.. B. PUBLICATIONS: AllpublishedmaterialandwrittenreportssubmittedundertheContractmustbe originallydevelopedmaterialunlessotherwisespecificallyprovidedintheContract. For breachorviolationofthiswarranty, theCityshallhavetheright, inadditiontoanyotherremedyavailable, tocanceltheContractwithoutliabilityandtodeductfromanyamountsowedtotheContractor, orotherwise recover, thefullamountofsuchcommission, percentage, brokerageorcontingentfee. 43. GRATUITIES: TheCitymay, bywrittennoticetotheContractor, canceltheContractwithoutliability ifitisdeterminedbytheCitythatgratuitieswereofferedorgivenbytheContractororanyagentor representativeoftheContractortoanyofficeroremployeeoftheCityofDentonwithaviewtoward securingtheContractorsecuringfavorabletreatmentwithrespecttotheawardingoramendingorthe makingofanydeterminationswithrespecttotheperformingofsuchcontract. IntheeventtheContractis canceledbytheCitypursuanttothisprovision, theCityshallbeentitled, inadditiontoanyotherrightsand remedies, torecoverorwithholdtheamountofthecostincurredbytheContractorinprovidingsuch gratuities. 44. PROHIBITIONAGAINSTPERSONALINTERESTINCONTRACTS: Noofficer, employee, independentconsultant, orelectedofficialoftheCitywhoisinvolvedinthedevelopment, evaluation, or decision-makingprocessoftheperformanceofanysolicitationshallhaveafinancialinterest, director indirect, intheContractresultingfromthatsolicitation. Anywillfulviolationofthissectionshallconstitute improprietyinoffice, andanyofficeroremployeeguiltythereofshallbesubjecttodisciplinaryactionup toandincludingdismissal. Anyviolationofthisprovision, withtheknowledge, expressedorimplied, of theContractorshallrendertheContractvoidablebytheCity. TheContractorshallcompleteandsubmit 45. INDEPENDENTCONTRACTOR: TheContractshallnotbeconstruedascreatingan ofanindependentcontractor. TheContractoragreesandunderstandsthattheContractdoesnotgrantany rightsorprivilegesestablishedforemployeesoftheCityofDenton, Texasforthepurposesofincometax, employeebenefit. TheCityshallnothavesupervisionandcontroloftheContractororanyemployeeofthe Contractor, anditisexpresslyunderstoodthatContractorshallperformtheserviceshereunderaccordingtothe attachedspecificationsatthegeneraldirectionoftheCityManageroftheCityofDenton, Texas, orhisdesignee underthisagreement. Thecontractorisexpresslyfreetoadvertiseandperformservicesforotherpartieswhile performingservicesfortheCity. 46. ASSIGNMENT-DELEGATION: TheContractshallbebindinguponandensuretothebenefitofthe CityandtheContractorandtheirrespectivesuccessorsandassigns, providedhowever, thatnorightor interestintheContractshallbeassignedandnoobligationshallbedelegatedbytheContractorwithoutthe priorwrittenconsentoftheCity. AnyattemptedassignmentordelegationbytheContractorshallbevoid unlessmadeinconformitywiththisparagraph. TheContractisnotintendedtoconferrightsorbenefitson anyperson, firmorentitynotapartyhereto; itbeingtheintentionofthepartiesthattherearenothirdparty beneficiariestotheContract. 47. WAIVER: NoclaimorrightarisingoutofabreachoftheContractcanbedischargedinwholeorin partbyawaiverorrenunciationoftheclaimorrightunlessthewaiverorrenunciationissupportedby considerationandisinwritingsignedbytheaggrievedparty. INTERPRETATION: TheContractisintendedbythepartiesasafinal, completeandexclusive statementofthetermsoftheiragreement. Nocourseofpriordealingbetweenthepartiesorcourseof performanceorusageofthetradeshallberelevanttosupplementorexplainanytermusedintheContract. AlthoughtheContractmayhavebeensubstantiallydraftedbyoneparty, itistheintentofthepartiesthat allprovisionsbeconstruedinamannertobefairtobothparties, readingnoprovisionsmorestrictlyagainst onepartyortheother. IfadisputearisesoutoforrelatestotheContract, orthebreachthereof, thepartiesagreetonegotiate priortoprosecutingasuitfordamages. However, thissectiondoesnotprohibitthefilingofalawsuittotoll therunningofastatuteoflimitationsortoseekinjunctiverelief. Eitherpartymaymakeawrittenrequest forameetingbetweenrepresentativesofeachpartywithinfourteen (14) calendardaysafterreceiptofthe requestorsuchlaterperiodasagreedbytheparties. Eachpartyshallinclude, ataminimum, one (1) senior levelindividualwithdecision-makingauthorityregardingthedispute. Thepurposeofthisandany subsequentmeetingistoattemptingoodfaithtonegotiatearesolutionofthedispute. If, withinthirty (30) calendardaysaftersuchmeeting, thepartieshavenotsucceededinnegotiatingaresolutionofthedispute, theywillproceeddirectlytomediationasdescribedbelow. Thepartiesagreetoparticipatein mediationingoodfaithforuptothirty (30) calendardaysfromthedateofthefirstmediationsession.
