THIS FIRST AMENDMENT TO CONTRACT 6818 (“Amendment”) by and
between the City of Denton, Texas (“City”) and HR Green, Inc. (“Consultant”); to that
certain contract executed on October 23, 2018, in the original not-to-exceed amount of
$815,147 (the “Agreement”); for services related to Development Services Review;
WHEREAS, the City deems it necessary to further expand the services provided by
Consultant to the City pursuant to the terms of the Agreement, and to provide an additional
not-to-exceed amount $578,915 with this Amendment for an aggregate not-to-exceed of
$1,394,062.
FURTHERMORE, the City deems it necessary to further expand the goods/services
provided by Consultant to the City;
NOW THEREFORE, the City and Consultant (hereafter collectively referred to as the
“Parties”), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following Amendment, which
amends the following terms and conditions of the said Agreement, to wit:
1. The additional services described in Exhibit “A” of this Amendment, attached
hereto and incorporated herein for all purposes, for professional services related to
the Development Services Review, are hereby authorized to be performed by
Consultant. For and in consideration of the additional services to be performed by
Consultant, the Owner agrees to pay, based on the cost estimate detail attached as
Exhibit “B” to this Amendment, attached hereto and incorporated herein for all
purposes, a total fee, including reimbursement for non-labor expenses an amount
not to exceed $578,915. The term of the Agreement is extended until April 23,
2020.
2. This Amendment modifies the Agreement amount to provide an additional
$578,915 for the additional services with a revised aggregate not to exceed total of
$1,394,062.

The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.

Exhibit A
Scope of Work – Engineering Project Facilitator & Engineering Development Review Services
HR Green (COMPANY) will provide on-site engineering project facilitation services and off-site
civil plan review for the City of Denton, Texas (CLIENT). The objective of this assignment is to:
x Provide consistent engineering facilitation assistance to the City of Denton involving
private development projects originating from the private sector. The engineering
facilitation services will be conducted in Denton, Texas and will consist of up to 2 FTEs
for a duration of six months. COMPANY will track number of cases, case types, and
related metrics to track the performance of these services. This information will be
reported to CLIENT on a monthly basis. When COMPANY has reached 80% of the
budget allocated for this task, notice will be provided to CLIENT. CLIENT will then
determine how remaining budget should be committed.
Over the duration of this Agreement, COMPANY will perform the following functions:
Task 4 – Provide On-Site Engineering Project Facilitation Support: Assist with the Facilitation of
Projects involving Civil Engineering Challenges: Projects/proposed plans will be assigned to
COMPANY by the Deputy Director of Development Review.
x Project will be logged into and tracked by the CLIENT and distributed to associated
departments/agencies that associates the project with the submission date; confirm
payment of fee; and collect associated tracking information;
x Once logged into the system, the plans will be subject to a Submittal Intake Checklist. In the
absence of a check list being used by the CLIENT, COMPANY will utilize checklist criteria
developed during the initial assignment period. CLIENT acknowledges that incomplete plans
will not be accepted or subjected to engineering development review. Rather, COMPANY
will note elements that are incomplete and/or insufficient with the party submitting the
plans. These deficiencies will be identified on a report provided to the applicant.
x It is anticipated that the focus of these services will involve:
ROW/Roadway improvements
Water and Sanitary Sewer Plans
Stormwater detention, storm sewers
Hydrology and hydraulics
Access Management review and or coordination with TXDOT
SWPPP and WOMP reviews
x COMPANY will not assume responsibility for preparing and/or completing design(s);
rather, COMPANY’S role will be to facilitating technical issues in a manner consistent
with standard City policies and practices.
x COMPANY will work with CLIENT to prepare appropriate reporting and tracking systems
to manage caseloads.

Conditions and Services to be provided by City:
Task 4: Provide On-Site Engineering Project Facilitation Support:
x Provide office/work space for on-site representatives, including office related supplies.
x Provide access to files necessary to complete the work associated with this assignment.
x Provide appropriate identification as a CLIENT representative and access to appropriate
CLIENT buildings.
x Intake of all applications will be the responsibility of the City.
x COMPANY and CLIENT mutually agree to not recruit each other’s employees.
x COMPANY requests support from appointed and elected public officials in the
fulfillment of stated duties.
x CLIENT acknowledges that the resources on site in Denton, TX will commit to a maximum
of 1,768 combined hours (884 hours per person) of direct time dedicated to this project.
CLIENT will only be billed for time attributed to the project summarized in this Agreement.
The CLIENT will make reasonable accommodations for the COMPANY resources for
purposes of vacation, illness, and training to maintain credentials.
Task 5 – Conduct Off-Site Engineering Plan Reviews and Prepare Associated Reports- Extension:
x Provide access to files necessary to complete the work associated with this assignment.
x Intake of all applications will be the responsibility of the Capital Projects Department.
x COMPANY will be relegated to receive engineering plans from the CLIENT and provide a
report of findings, comments, and conditions for each application.
x CLIENT acknowledges that the number of FTEs dedicated to provide the services
summarized in this Agreement are fewer than the number recommended by COMPANY.
CLIENT also acknowledges that this decision may impact the response time dedicated to
engineering plan review.
x COMPANY and CLIENT mutually agree to not recruit each other’s employees.
x COMPANY requests support from appointed and elected public officials in the study,
modification, and implementation of changes and refinements to the development
review process, including changes to development code and standards as well as
established processes and procedures.
x Provide office space, telephone, copier and misc. office materials on an as needed basis.
x Conduct initial application sufficiency review for assurance that the application meets the
minimum requirements to conduct a review.
Items Not Covered Under this Agreement: COMPANY is not responsible for the following:
x Presenting information to any associated City entities (e.g., planning and zoning
commission, board of zoning adjustment, city council, etc.).
x Other than what is specified in this Agreement, COMPANY will not be responsible for
providing intake services for the City of Denton.
x COMPANYs role is to serve as the City’s representative in conferring with private
developers and/or their agents about engineering related issues associated with one or

more development proposals. COMPANY will not be responsible for value-engineering
and/or providing any design assistance to submitted plans.
x Project management or facilitation responsibilities beyond what is specified in this
Agreement.
x Processing, managing, tracking, or facilitating development related agreements or
contracts.
x COMPANY shall maintain its status as an independent contractor by providing
equipment associated with the needs of the project.
Project Schedule
Project Initiation: October 23, 2019
Project Deadline: Six (6) months from the time COMPANY receives notice to proceed. The
expectation is this Agreement will be supplemented with a longer-term amendment outlining
a schedule beyond six months.

you certain written notices or disclosures. Described below are the terms and conditions for
