FIRST AMENDMENT TO CONTRACT
BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND TEAGUE NALL AND PERKINS, INC. CONTRACT NO. 6590-043
THIS FIRST AMENDMENT TO CONTRACT 6590-043 (this “Amendment”) by
and between the City of Denton, Texas (“City”) and Teague Nall and Perkins, Inc.
(“Consultant”) to that certain Contract executed on October 17, 2018, in the original not-
to-exceed amount of $167,500 (the “Agreement”); for services related to the design of
West Hickory street drainage, paving and sidewalks project (the “Project”).
WHEREAS, Teague Nall and Perkins, Inc. has substantially completed the work
called for in the Agreement, and the City deems it necessary to further expand the services
provided by Teague Nall and Perkins, Inc. to the City, and to provide an additional not-to-
exceed amount $90,300 with this First Amendment for an aggregate not-to-exceed of
$257,800.
FURTHERMORE, the CITY deems it necessary to further expand the goods/services
provided by CONSULTANT to the CITY;
NOW THEREFORE, the CITY and Teague Nall and Perkins, Inc. (hereafter collectively
referred to as the “Parties”), in consideration of their mutual promises and covenants, as
well as for other good and valuable considerations, do hereby AGREE to the following
First Amendment, which amends the following terms and conditions of the said
Agreement, to wit:
1. The additional services described in Exhibit “A” of this First Amendment,
attached hereto and incorporated herein for all purposes, for professional
services related to the West Hickory street drainage, paving and sidewalks
project, are hereby authorized to be performed by Consultant. For and in
consideration of the additional services to be performed by Consultant, the
Owner agrees to pay, based on the cost estimate detail attached as Exhibit “A”,
a total fee, including reimbursement for non-labor expenses an amount not to
exceed $90,300.
2. This Amendment modifies the Agreement amount to provide an additional $90,300
for the additional services with a revised aggregate not-to-exceed total of $257,800.
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.
IN WITNESS WHEREOF, the CITY and the Consultant, have each executed this
Amendment, by and through their respective duly authorized representatives and officers

Amendment No. 1 to Professional Services Agreement
West Hickory Street Drainage, Paving and Sidewalks

This amendment is to add design of storm drain improvements for West Hickory, specifically from Denton Street to
Carroll Blvd., and at Frye Street, along with preparation of Temporary Construction Easements along the north side
of West Hickory Street from Welch to Carroll Blvd.
More particularly, the scope of the additional work will consist of the following:
Temporary Construction Easements
TNP will provide all office and field work necessary to prepare approximately 28 temporary construction
easement documents along the North line of Hickory Street, and approximately 24 temporary construction
easement documents along the South line of Hickory Street, extending from Welch Street to Carroll Street.
Sufficient property corners will be recovered to verify or establish existing lot lines necessary to develop the
proposed easement limits. Deliverables will include a PDF of Exhibit A (Legal Description) and Exhibit B (Easement
Sketch) and will be signed and sealed by a Texas Registered Professional Land Surveyor. The fee shown is based
on a cost of $900 per document, assuming 52 easement documents. The work will be invoiced on a per document
basis.
Survey to Establish South Right-of-Way Line
Provide all office and field work necessary to establish the South right-of-way line of West Hickory Street from
Welch to Carroll. Sufficient research will be performed to develop a working sketch of the plat, deed and ROW
information available of record. Property corners will be located on the ground and analyzed by a Registered
Professional Land Survey for final determination and placement of the South right-of-way line. Deliverables will
include a Base Map in AutoCAD Civil 3D format, depicting the deed/plat information used, as well as the final
location of said right-of-way line.
Storm Drain Design
Based on a combination of the street design for West Hickory and the preliminary findings of the storm drain study
for West Hickory (both a part of this original contract) it is clear that storm drain facilities need to be added to
West Hickory Street. To accomplish that design, the following tasks will be completed:
West Hickory from Denton Street to Carroll Blvd.
Storm drain will be designed to discharge into the existing system at West Hickory and Carroll Blvd. A junction
box will be constructed for the connection, and no storm drain in Carroll Blvd. will be replaced. This storm
drain will begin at Denton Street and extend to Carroll Blvd. (approx. 560’). It is assumed that the downstream
system in Carroll Blvd. will be upgraded in a future project. The design will include inlets and laterals on both
sides of West Hickory Street, along with necessary details. Accessible ramps at the Bernard Street intersection
with West Hickory will be designed for reconstruction to current City of Denton accessibility standards.
Frye Street Storm Drain
This task will consist of design of a storm drain line (approx. 125’) to capture flow from existing inlets along
the north side of West Hickory Street just west of Frye Street.

Field Survey Support
This task will include additional field survey work to locate the storm drain line along the north side of West Hickory,
just west of Frye Street as well as to tie inverts on the system at Carroll and Hickory. Support from City crews may
be necessary to locate this line (opening manhole lids, etc.).
Subsurface Utility Engineering (SUE)
This item will be completed on an as-needed basis. Level B SUE services will be as described in the original
agreement, and will be used where there is concern or uncertainty about the location of existing utilities
affecting the design of the storm drain improvements. In addition to Level B services, the estimated fee shown
includes up to five test holes to positively located utilities and establish actual elevations. Level A test holes will
be completed, if needed, as follows:
Quality Level A Utility Test Holes – TNP will excavate by air-vacuum or other minimally invasive methods
up to 5 Test Holes, at locations yet to be determined within the project limits in order to identify the
exact horizontal & vertical locations of crucial utilities. Also, if locating the end of casing is requested
the cost will be based on an hourly charge based on the fee schedule below. This work includes:
a. Providing all necessary personnel, equipment, supplies, management and supervision needed for
the test hole excavation, backfill and restoration.
b. Coordinating with City, property owner, and/or permitting authorities, as needed and obtaining
any required permits, permission or rights-of-entry with help from The City
c. Contacting the appropriate one-call system to request utilities to be marked on-the-ground prior to
beginning excavation of test holes.
d. Providing and utilizing appropriate traffic control devices, as necessary, in conformance with the
MUTCD, including any state or locally adopted supplements (if closures or additional traffic control
equipment are needed other than signs and cones additional direct expenses will be charged).
e. Preparing documentation for each test hole attempted. This documentation will include the horizontal
and vertical position of the targeted utility or structure, a general description of the target utility,
with condition, material and general orientation noted, a generalized description of the material
encountered in the test hole, and any other field observations noted during the excavation.
Deliverables - based on ASCE Standard 38-02 - signed and sealed by a Professional Engineer
registered in the State of Texas.
a. Level A – AutoCad DWG 2d file showing X, Y and Z w/ depth, a PDF of the same signed and
sealed, Utility Summary Sheet, Individual Sheets on Test Holes and ASCII point list.
Assumptions and Clarifications
x Storm drain plans for Denton Street to Carroll Blvd. will be packaged as part of the construction
plans for the West Hickory Street paving being prepared under the original agreement.
x Construction plans for the Frye Street storm drain will be provided to the City for their use, assuming
construction by City forces. No specs or bid documents will accompany those plans.

you certain written notices or disclosures. Described below are the terms and conditions for
