SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the City Manager to execute a design-build agreement with Thos. S. Byrne, Inc., for the design,
engineering, and renovation of the Development Services Building, located at 401 North Elm Street;
providing for the expenditure of funds therefor; and providing an effective date (RFQ 7228 – awarded to
Thos. S. Byrne, Inc., in the not-to-exceed amount of $206,150).
INFORMATION/BACKGROUND
The City of Denton’s Development Services Building (formerly known as the “Daybreak Building”) is
approximately 28,000 gross square feet and is currently unoccupied. The site address is 401 North Elm
Street, Denton, Texas. The City will be renovating this building to accommodate new offices primarily to
the Development Services, Engineering, Community Development staff, both of which will be relocated
from other locations to this building upon completion of the project. The goal is to have a minimum of
23,735 useable square feet, with 3,460 square feet as “future office or swing” space. The building will
receive a new roof and rooftop mechanical units as needed. Limited exterior wall modifications may include
updating the existing entry and the two main adjacent front building facades.
The design build project delivery method has the City enter into an agreement with a general contractor
who has an architect/engineering team as a “subcontractor” and manages both the design and construction
process. This allows for an expedited design and procurement process, and efficiencies in team performance
that shorten the schedule. The design build project delivery method is ideal for projects where the City
knows what project scope and quality of construction it wants in advance, and has a compressed schedule,
both of which apply to this project.
The City’s quality and scope interests are protected by third party oversight of the Design-Builder by a
Technical Representative (i.e. registered Architect) contracted directly to the City.
The City’s Technical Representative (Elements of Architecture or “EOA”) was selected using RFP
Solicitation # 7226, and their contract was approved by City Council on February 4, 2020. EOA
participated in the above Design-Builder selection process and will be working closely with City staff and
the Design-Builder throughout the project.
The negotiations with BCS resulted in the attached AIA A141 Owner Design-Builder Agreement, which
authorizes BCS to begin design, engineering and other preconstruction services. This Agreement also fixes
BCS’s home office overhead/profit and insurance markups on subcontractor trade subcontracts; as well as
their onsite construction overhead costs to those proposed by BCS in a competitive environment.

It is important to note this Agreement is only for preconstruction services and anticipates an Amendment
for the cost of the actual construction itself coming before City Council for their consideration and approval
later this year.
Request for Qualifications (RFQ) for design-builder for Development Service Building renovation was sent
to 849 prospective firms for these services. In addition, the RFQ was placed on the Materials Management
website for prospective respondents to download and advertised in the local newspaper. Eight (8) statement
of qualifications (SOQ) were received. The SOQs were evaluated based on published criteria including
qualifications of the firm, proven project success, and the firm’s stabillity. Based upon this evaluation, a
short-list of the three (3) most qualified received a Request for Proposal and an Interview Invitation. After
scoring the interviews and the proposals received, the Evaluation Committee recommended BCS as the
most qualified of the candidates, subject to successfully negotiating an agreement with terms acceptable to
the City.

PRIOR ACTION/REVIEW (Council, Boards, Commissions)
On September 17, 2019, the City purchased 401 North Elm Street.
On February 4, 2020, Council approved the contracts with Elements of Architecture, Inc. as the Independent
Representative (Ordinance 20-329).
RECOMMENDATION
Award a contract with Byrne Construction Services, for the design, engineering and renovation of the
Development Services Building, located at 401 North Elm Street for the City of Denton, in a not-to-
exceed amount of $206,150.
