PSA 6590-061 THE STATE OF TEXAS § COUNTY OF DENTON § THIS FIRST AMENDMENT TO CONTRACT 6590-061 (“Amendment”) by and between the City of Denton, Texas (“City”) and FREESE & NICHOLS, INC. (“Consultant”); to that certain contract executed on JULY 16, 2019, in the original not-to- exceed amount of $106,750 (the “Agreement”); for services related to PERFORM RISK AND RESILIENCY ASSESSMENT TO COMPLY WITH THE AMERICA WATER INFRASTRUCTURE ACT (AWIA) OF 2018; WHEREAS, the City deems it necessary to further expand the services provided by Consultant to the City pursuant to the terms of the Agreement, and to provide an additional not-to-exceed amount $76,000 with this Amendment for an aggregate not-to-exceed of $182,750. FURTHERMORE, the City deems it necessary to further expand the goods/services provided by Consultant to the City; NOW THEREFORE, the City and Consultant (hereafter collectively referred to as the “Parties”), in consideration of their mutual promises and covenants, as well as for other good and valuable considerations, do hereby AGREE to the following Amendment, which amends the following terms and conditions of the said Agreement, to wit: 1. The additional services described in Exhibit “A” of this Amendment, attached hereto and incorporated herein for all purposes, for professional services related to the AWIA PHASE 1, are hereby authorized to be performed by Consultant. For and in consideration of the additional services to be performed by Consultant, the Owner agrees to pay, based on the cost estimate detail attached as Exhibit “A” a total fee, including reimbursement for non-labor expenses an amount not to exceed $76,000. 2. This Amendment modifies the Agreement amount to provide an additional $76,000 for the additional services with a revised aggregate not to exceed total of $182,750. FNI is currently completing the Risk and Resilience Assessment (RRA) for the city which is the first part of the requirements of the AWIA. The City of Denton authorized the scope and fee for the RRA under Purchase Order No. 190413 on July 31,2019. FNI is providing the below scope and fee as an amendment request to Purchase Order No. 190413 to complete the Emergency Response Plan. FNI is America’s Water Infrastructure Act (AWIA) of 2018, Section 2013, requires that all community water systems serving populations greater than 3,300 persons prepare or revise the utility’s emergency response plan after completing an assessment of the risks to and resilience of its system. The AWIA requires the Emergency Response Plan to include: x Strategies and resources to improve the resilience of the system, including the physical security and cybersecurity of the system x Plans and procedures that can be implemented, and identification of equipment that can be utilized, in the event of a malevolent act or natural hazard that threatens the ability of the utility to deliver safe drinking water x Actions, procedures, and equipment which can obviate or significantly lessen the impact of a malevolent act or natural hazard on the public health and the safety and supply or drinking water provided to communities and individuals, including the development of alternative water source options, relocation of water intakes, and construction of flood protection barriers x Strategies that can be used to aid in the detection of malevolent acts or natural hazards that threaten the security or resilience of the system x Coordination with the Local Emergency Planning Committee (LEPC) x Record documentation of the Emergency Response Plan for five (5) years upon certification The detailed ERP will be conducted following the protocols detailed in the M19 (Emergency Planning for Water and Wastewater Utilities) guidance developed by the AWWA. The ERP will be finalized and then certified by the City of Denton to the Administrator of the Environmental Protection Agency (EPA) by September 30, 2020 to comply with the deadline requirements for systems serving a population of 100,000 or more. To comply with the requirements of the AWIA of 2018, Section 2013, and to improve the resilience of the city of Denton’s systems, the city has retained Freese and Nichols, Inc. (FNI) to provide engineering services in support of the preparation of this ERP. EXHIBIT A        2 SCOPE OF SERVICES The ERP includes three workshops with the City of Denton’s designated ERP team and one final briefing. An optional Council briefing is available as a Special Service. An ERP compliant with the requirements of AWIA of 2018 will be provided. Due to the sensitive nature of the content, the ERP report is recommended to be protected from public access within applicable law. The ERP will include documentation applicable to the water utility. Electronic document transfer for this project will be provided to the City of Denton through a secure file-sharing platform. Confidential documents will not be emailed. Hard copies of the ERP will be hand- delivered. Task 1 – Project Kickoff Meeting, Data Collection and Review FNI will conduct a kickoff meeting with the City of Denton staff to introduce the FNI project team, review the scope of services and project schedule, and identify communication approaches. The kickoff meeting will also include a discussion of the background/history related to emergency response planning for the city. During the kickoff meeting, FNI will meet with the City of Denton to determine the ERP team participants, needs and project schedule. The team members should be experts in one or more of the following areas or have a role in the execution of the ERP: x Utility management x Emergency management x Water treatment and operations x SCADA operations x Human resources management x Procurement x Other representatives include members of local police, fire and the local emergency planning committee The following items will be discussed during the meeting: x Project goals x Project schedule x Data collection for review by FNI x Communication and information flow for the project x Additional entities to coordinate with in the preparation of the ERP x Results of the Risk and Resilience Assessment The City of Denton will provide the following documents, if available, to FNI for review: x Existing emergency response plans for the utility or the overall organization x Emergency preparedness plans x Safety and security procedures x Hazard mitigation plans        3 x System recovery plans x System diagrams x Business continuity plans / Continuity of operations plans x Source water protection plans x Interlocal agreements with neighboring utilities x Local natural hazard mitigation plan(s) x Crisis communications plan x Other documents that may be related to the preparedness of the water system. Deliverable: FNI will provide meeting minutes within seven (7) days to summarize major discussion items, decisions, and action items. Task 2 – Review of Existing Plans and Preparation of Initial ERP Outline (and Initial Workshop) FNI will review the data collected for the city’s water system to identify gaps and necessary information for an up-to-date ERP. FNI will prepare an initial inventory of available information to review/update and gaps in information where development by the ERP team will be required. This scope and fee assume the ERP will utilize the City of Denton’s existing ERP format but will be updated to include information identified in the AWWA M19 guidance document. FNI will conduct an initial workshop (ERP Workshop 1) with the ERP team. In this workshop, FNI will provide an overview of the proposed ERP contents and approach and the current status of information to fulfill these needs. A schedule of up to four (4) future ERP workshops will be established. Additional personnel necessary for the proper preparation of the ERP will be identified for inclusion in one or more of the future workshops. Deliverable 1. ERP data gap analysis 2. FNI will provide meeting minutes within seven days of the meeting to summarize major discussion items, decisions, and action items. Task 3 –Emergency Response Plan Preparation Workshops Through a series of up to three (3) workshops, FNI will facilitate the ERP team to identify the components of the ERP. The critical components of an ERP include the following: 1. System overview 2. Incident management overview 3. Roles and responsibilities, based on NIMS and ICS 4. Internal and external contact information 5. General emergency response guidance 6. Communications plan 7. Record-keeping Hazard-specific plans addressing relevant threats identified in the Risk and Resilience Assessment will be developed through the workshops. FNI will provide initial content for the hazard-specific plans based on        4 City of Denton’s existing ERP and/or industry-standard guidance. Deliverable 1. FNI will provide meeting minutes within seven (7) days to summarize major discussion items, decisions, and action items. 2. Draft components of ERP content building on the output of each workshop Task 4 – Draft Emergency Response Plan FNI will compile the information collected and developed in the series of workshops to prepare a draft ERP. FNI will meet with the city to present a briefing on the draft ERP, provide implementation recommendations, and deliver the ERP for review and comment. Deliverable: 1. FNI will deliver the draft ERP to the City of Denton in electronic PDF format for review and comment. Upon request, five (5) hard copies of the draft ERP will be provided. 2. FNI will provide meeting minutes within seven days of the meeting to summarize major discussion items, decisions, and action items. Task 5 – Final ERP and Certification of Compliance Upon receipt of final comments on the draft ERP, FNI will finalize the ERP. FNI will assist the City of Denton to complete and submit the certification of the Emergency Response Plan through the online EPA portal. A copy of the certification will be maintained in the city’s ERP. Deliverable: 1. FNI will deliver one electronic PDF copy of the final ERP. Upon request, FNI will provide up to five (5) hard copies of the final ERP. SPECIAL SERVICES Task A – Council Briefing FNI will develop and provide to City Council a summary overview of the AWIA of 2018, Section 2013 Risk and Resilience Assessment requirements and general approach taken for utility compliance. If provided in a secure setting, such as an Executive Session, FNI will be prepared to provide detailed results and prioritized recommendations of the ERP, if requested. Task B – Training Exercises FNI will develop and provide overview training to personnel with identified roles and responsibilities in the ERP. The training will include a walk-through of the ERP, briefing on each role and responsibility, and available resources for implementation of the ERP.
