AN ORDINANCE OF THE CITY OF DENTON, TEXAS, A TEXAS HOME-RULE MUNICIPAL
CORPORATION, AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT
WITH HUITT-ZOLLARS, INC., FOR ENGINEERING RELATED PROFESSIONAL SERVICES
FOR THE MCKINNEY STREET WIDENIING PROJECT, AS SET FORTH 1N THE
AGREEMENT; PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFOR; AND
PROVIDING AN EFFECTIVE DATE (RFQ 6590-040 - AGREEMENT FOR ENGINEERING
RELATED PROFESSIONAL SERVICES AWARDED TO HUITT-ZOLLARS, INC., 1N THE
NOT-TO-EXCEED AMOUNT OF $1,641,200).
WHEREAS, on March 6, 2018, the City Council approved a pre-qualified engineer list
Ordinance 2018-331), and the professional services provider (the "Provider") mentioned in this
ordinance is being selected as the most highly qualified on the basis of its demonstrated competence
and qualifications to perform the proposed professional services; and
WHEREAS, the fees under the proposed contract are fair and reasonable and are consistent
with, and not higher than the recommended practices and fees published by the professional
associations applicable to the Provider's profession, and such fees do not exceed the maximum
provided by law; NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS;
SECTION„ml . The City Manager is hereby authorized to enter into an agreement with Huitt-
Zollars, Inc., to provide professional engineering services for the City of Denton, a copy ofwhich is
attached hereto and incorporated by reference herein.
SECTION 2. The City Manager is authorized to expend funds as required by the attached
contract.
SECTION 3. The City Council of the City of Denton hereby expressly delegates the
authority to take any actions that may be required or permitted to be performed by the City ofDenton
under the RFQ 6590-040 to the City Manager of the City of Denton, or his designee.
SECTION ,4. The findings in the preamble of this ordinance are incorporated herein by
reference,
SECTION 5. This ordinance shall become effective immediately upon its passage and
approval.

SECTION1
ScopeofServices
A. TheCITYherebyagreestoretaintheENGINEER, andtheENGINEERherebyagrees
toperform, professionalengineeringservicessetforthintheScopeofServices
attachedheretoasAttachmentA. Theseservicesshallbeperformedinconnection
withthePROJECT.
B. Additionalservices, ifany, willberequestedinwritingbytheCITY. CITYshallnotpay
foranyworkperformedbyENGINEER oritsconsultants, subcontractorsand/or
suppliersthathasnotbeenorderedinadvanceandinwriting. Itisspecificallyagreed
thatENGINEERshallnotbecompensatedforanyadditionalworkresultingfromoral
ordersofanyperson.
SECTION2
CompensationandTermofAgreement
A. TheENGINEERshallbecompensated forallservicesprovidedpursuanttothis
AGREEMENTinanamountnottoexceed $1,641,200.00 inthemannerandin
accordancewiththefeescheduleassetforthinAttachmentB. Paymentshallbe
consideredfullcompensationforalllabor, materials, supplies, andequipment
necessarytocompletetheservicesdescribedinAttachmentA.
B. UnlessotherwiseterminatedpursuanttoSection6. D. herein, thisAGREEMENTshall
beforatermbeginningupontheeffectivedate, asdescribedbelow, andshallcontinue
foraperiodwhichmayreasonablyberequiredforthecompletionofthePROJECT, until
theexpirationofthefunds, orcompletionofthePROJECTandacceptancebytheCITY,
whicheveroccursfirst. ENGINEERshallproceeddiligentlywiththePROJECT to
completionasdescribedinthePROJECTscheduleassetforthinAttachmentD.

SECTION3
TermsofPayment
PaymentstotheENGINEERwillbemadeasfollows:
A. InvoiceandPayment
1) TheEngineershallprovidetheCitysufficientdocumentation, includingbutnot
limitedtomeetingtherequirementssetforthinthePROJECTscheduleasset
forthinAttachmentDtoreasonablysubstantiatetheinvoices.
2) TheENGINEERwillissuemonthlyinvoicesforallworkperformedunderthis
AGREEMENT. Invoicesfortheuncontestedperformanceoftheparticular
servicesaredueandpayablewithin30daysofreceiptbyCity.
3) UponcompletionofservicesenumeratedinSection1, thefinalpaymentofany
balancefortheuncontestedperformanceoftheserviceswillbeduewithin30
daysofreceiptofthefinalinvoice.
4) Intheeventofadisputedorcontestedbilling, onlythatportionsocontestedwill
bewithheldfrompayment, andtheundisputedportionwillbepaid. TheCITYwill
exercisereasonablenessincontestinganybillorportionthereof. Nointerestwill
accrueonanycontestedportionofthebillinguntilmutuallyresolved.
5) IftheCITYfailstomakepaymentinfulltoENGINEERforbillingscontestedin
goodfaithwithin60daysoftheamountdue, theENGINEERmay, aftergiving7
days' writtennoticetoCITY, suspendservicesunderthisAGREEMENTuntilpaid
infull. Intheeventofsuspensionofservices, theENGINEERshallhaveno
liabilitytoCITYfordelaysordamagescausedtheCITYbecauseofsuch
suspensionofservices.
SECTION4
ObligationsoftheEngineer
AmendmentstoSection4, ifany, areincludedinAttachmentC.
A. General
TheENGINEERwillserveastheCITY'sprofessionalengineeringrepresentativeunderthis
AGREEMENT, providingprofessionalengineeringconsultationandadviceandfurnishing
customaryservicesincidentalthereto.

B. StandardofCare
TheENGINEERshallperformitsservices:
1) withtheprofessionalskillandcareordinarilyprovidedbycompetentengineers
practicinginthesameorsimilarlocalityandunderthesameorsimilar
circumstancesandprofessionallicense; and
2) asexpeditiouslyasisprudentconsideringtheordinaryprofessionalskillandcare
ofacompetentengineer.
C. SubsurfaceInvestigations
1) TheENGINEERshalladvisetheCITYwithregardtothenecessityfor
subcontractworksuchasspecialsurveys, tests, testborings, orothersubsurface
investigationsinconnectionwithdesignandengineeringworktobeperformed
hereunder. TheENGINEERshallalsoadvisetheCITYconcerningtheresultsof
same. Suchsurveys, tests, andinvestigations shallbefurnishedbytheCITY,
unlessotherwisespecifiedinAttachmentA.
2) Insoils, foundation, groundwater, andothersubsurfaceinvestigations, theactual
characteristicsmayvarysignificantlybetweensuccessivetestpointsandsample
intervalsandatlocationsotherthanwhereobservations, exploration, and
investigationshavebeenmade. Becauseoftheinherentuncertaintiesin
subsurfaceevaluations, changedorunanticipatedundergroundconditionsmay
occurthatcouldaffectthetotalPROJECTcostand/orexecution. These
conditionsandcost/executioneffectsarenottheresponsibilityoftheENGINEER.
D. PreparationofEngineeringDrawings
TheENGINEERwillprovidetotheCITYtheoriginaldrawingsofallplansininkon
reproduciblemylarsheetsandelectronicfilesin .pdfformat, orasotherwiseapprovedby
CITY, whichshallbecomethepropertyoftheCITY. CITYmayusesuchdrawingsinany
manneritdesires; provided, however, thattheENGINEERshallnotbeliablefortheuseof
suchdrawingsforanyprojectotherthanthePROJECTdescribedherein.
E. Engineer'sPersonnelatConstructionSite
1) ThepresenceordutiesoftheENGINEER'spersonnelataconstructionsite,
whetherason-siterepresentativesorotherwise, donotmaketheENGINEERor
itspersonnelinanywayresponsibleforthosedutiesthatbelongto theCITY
and/ortheCITY'sconstructioncontractorsorotherentities, anddonotrelievethe
constructioncontractorsoranyotherentityoftheirobligations, duties, and
responsibilities, including, butnotlimitedto, allconstructionmethods, means,
techniques, sequences, andprocedures necessaryforcoordinating and

completingallportionsoftheconstructionworkinaccordancewiththe
AGREEMENTDocumentsandanyhealthorsafetyprecautionsrequiredbysuch
constructionwork. TheENGINEERanditspersonnelhavenoauthorityto
exerciseanycontroloveranyconstructioncontractororotherentityortheir
employeesinconnectionwiththeirworkoranyhealthorsafetyprecautions.
2) Excepttotheextentofspecificsitevisitsexpresslydetailedandsetforthin
AttachmentA, theENGINEERoritspersonnelshallhavenoobligationor
responsibilitytovisittheconstructionsitetobecomefamiliarwiththeprogressor
qualityofthecompletedworkonthePROJECTortodetermine, ingeneral, ifthe
workonthePROJECTisbeingperformedinamannerindicatingthatthe
PROJECT, whencompleted, willbeinaccordancewiththeAGREEMENT
Documents, norshallanythingintheAGREEMENTDocumentsorthis
AGREEMENTbetweenCITYandENGINEERbeconstruedasrequiring
ENGINEERtomakeexhaustiveorcontinuouson-siteinspectionstodiscover
latentdefectsintheworkorotherwisecheckthequalityorquantityoftheworkon
thePROJECT. IftheENGINEERmakeson-siteobservation(s) ofadeviation
fromtheAGREEMENTDocuments, theENGINEERshallinformtheCITY.
3) Whenprofessionalcertificationofperformanceorcharacteristicsofmaterials,
systemsorequipmentisreasonablyrequiredtoperformtheservicessetforthin
theScopeofServices, theENGINEERshallbeentitledtorelyuponsuch
certificationtoestablishmaterials, systemsorequipmentandperformance
criteriatoberequiredintheAGREEMENTDocuments.
F. OpinionsofProbableCost, FinancialConsiderations, andSchedules
1) TheENGINEERshallprovideopinionsofprobablecostsbasedonthecurrent
availableinformationatthetimeofpreparation, inaccordancewithAttachmentA.
2) Inprovidingopinionsofcost, financialanalyses, economicfeasibilityprojections,
andschedulesforthePROJECT, theENGINEERhasnocontrolovercostor
priceoflaborandmaterials; unknownorlatentconditionsofexistingequipment
orstructuresthatmayaffectoperationormaintenancecosts; competitivebidding
proceduresandmarketconditions; timeorqualityofperformancebythirdparties;
quality, type, management, ordirectionofoperatingpersonnel; andother
economicandoperationalfactorsthatmaymateriallyaffecttheultimate
PROJECTcostorschedule. Therefore, theENGINEERmakesnowarrantythat
theCITY'sactualPROJECTcosts, financialaspects, economicfeasibility, or
scheduleswillnotvaryfromtheENGINEER'sopinions, analyses, projections, or
estimates.

G. ConstructionProgressPayments
RecommendationsbytheENGINEERtotheCITYforperiodicconstructionprogress
paymentstotheconstructioncontractorwillbebasedontheENGINEER'sknowledge,
information, andbelieffromselectivesamplingandobservationthattheworkhas
progressedtothepointindicated. Suchrecommendationsdonotrepresentthatcontinuous
ordetailedexaminationshavebeenmadebytheENGINEERtoascertainthatthe
constructioncontractorhascompletedtheworkinexactaccordancewiththeAGREEMENT
Documents; thatthefinalworkwillbeacceptableinallrespects; thattheENGINEERhas
madeanexaminationtoascertainhoworforwhatpurposetheconstructioncontractorhas
usedthemoneyspaid; thattitletoanyofthework, materials, orequipmenthaspassedto
theCITYfreeandclearofliens, claims, securityinterests, orencumbrances; orthatthere
arenotothermattersatissuebetweentheCITYandtheconstructioncontractorthataffect
theamountthatshouldbepaid.
H. RecordDrawings
Recorddrawings, ifrequired, willbeprepared, inpart, onthebasisofinformationcompiled
andfurnishedbyothers, andmaynotalwaysrepresenttheexactlocation, typeofvarious
components, orexactmannerinwhichthePROJECTwasfinallyconstructed. The
ENGINEERisnotresponsibleforanyerrorsoromissionsintheinformationfromothersthat
isincorporatedintotherecorddrawings.
I. RighttoAudit
1) ENGINEERagreesthattheCITYshall, untiltheexpirationoffive (5) yearsafter
finalpaymentunderthisAGREEMENT, haveaccesstoandtherighttoexamine
andphotocopyanydirectlypertinentbooks, documents, papersandrecordsof
theENGINEERinvolvingtransactionsrelatingtothisAGREEMENT. ENGINEER
agreesthattheCITYshallhaveaccessduringnormalworkinghourstoall
necessaryENGINEERfacilitiesandshallbeprovidedadequateandappropriate
workspaceinordertoconductauditsincompliancewiththeprovisionsofthis
section. TheCITYshallgiveENGINEERreasonableadvancenoticeofintended
audits.
2) ENGINEERfurtheragreestoincludeinallitssubconsultantagreements
hereunderaprovisiontotheeffectthatthesubconsultantagreesthattheCITY
shall, untiltheexpirationof five (5) yearsafterfinalpaymentunderthe
subcontract, haveaccesstoandtherighttoexamineandphotocopyanydirectly
pertinentbooks, documents, papersandrecordsofsuchsubconsultant, involving
transactionstothesubcontract, andfurther, thattheCITYshallhaveaccess
duringnormalworkinghourstoallsubconsultantfacilities, andshallbeprovided
adequateandappropriateworkspace, inordertoconductauditsincompliance
withtheprovisionsofthissectiontogetherwithsubsection (3) hereof. CITYshall
givesubconsultantreasonableadvancenoticeofintendedaudits.

3) ENGINEERandsubconsultantagreetophotocopysuchdocumentsasmaybe
requestedbytheCITY. TheCITYagreestoreimburseENGINEERforthecost
ofcopiesattheratepublishedintheTexasAdministrativeCodeineffectasof
thetimecopyingisperformed.
J. INSURANCE
1)
a. CommercialGeneralLiability theENGINEERshallmaintaincommercial
generalliability (CGL) and, ifnecessary, commercialumbrellainsurance
withalimitofnotlessthan $1,000,000.00pereachoccurrencewitha
2,000,000.00aggregate. IfsuchCommercialGeneralLiabilityinsurance
containsageneralaggregatelimit, itshallapplyseparatelytothis
PROJECTorlocation.
i. TheCITYshallbeincludedasanadditionalinsuredwithallrights
ofdefense undertheCGL, usingISOadditionalinsured
endorsementorasubstituteprovidingequivalentcoverage, and
underthecommercialumbrella, ifany. Thisinsuranceshallapply
asprimaryinsurancewithrespecttoanyotherinsuranceorself-
insuranceprogramsaffordedtotheCITY. TheCommercial
GeneralLiabilityinsurancepolicyshallhavenoexclusionsor
endorsementsthatwouldalterornullify: premises/operations,
products/completedoperations, contractual, personalinjury, or
advertisinginjury, whicharenormallycontainedwithinthepolicy,
unlesstheCITYspecificallyapprovessuchexclusionsinwriting.
ii. ENGINEERwaivesallrightsagainsttheCITYandits agents,
officers, directorsandemployeesforrecoveryofdamagestothe
extentthesedamagesarecoveredbythecommercialgeneral
liabilityorcommercialumbrellaliabilityinsurancemaintainedin
accordancewiththisAGREEMENT.
b. BusinessAuto theENGINEERshallmaintainbusinessautoliabilityand,
ifnecessary, commercialumbrellaliabilityinsurancewithalimitofnotless
than $1,000,000eachaccident. Suchinsuranceshallcoverliabilityarising
ownedautos, whensaid
vehicleisusedinthecourseofthePROJECT. Iftheengineerownsno
vehicles, coverageforhiredornon-ownedisacceptable.
i. ENGINEERwaivesallrightsagainsttheCITYanditsagents,
officers, directorsandemployeesforrecoveryofdamagestothe
extentthesedamagesarecoveredbythebusinessautoliabilityor

commercialumbrellaliabilityinsuranceobtainedby ENGINEER
pursuanttothisAGREEMENT orunderanyapplicableauto
physicaldamagecoverage.
c. ENGINEERshallmaintainworkers
compensationandemployersliabilityinsuranceand, ifnecessary,
commercialumbrellaliabilityinsurancewithalimitofnotlessthan
100,000.00eachaccidentforbodilyinjurybyaccidentor $100,000.00
eachemployeeforbodilyinjurybydisease, with $500,000.00policylimit.
i. ENGINEERwaivesallrightsagainsttheCITYanditsagents,
officers, directorsandemployeesforrecoveryofdamagestothe
extentthesedamagesarecoveredbyworkerscompensationand
umbrellainsuranceobtainedby
ENGINEERpursuanttothisAGREEMENT.
d. ProfessionalLiability ENGINEERshallmaintainprofessionalliability, a
claims-madepolicy, withaminimumof $1,000,000.00perclaimand
aggregate. Thepolicyshallcontainaretroactivedatepriortothedateof
theAGREEMENTorthefirstdateofservicestobeperformed, whichever
isearlier. Coverageshallbemaintainedforaperiodof5yearsfollowing
thecompletionoftheAGREEMENT. Anannualcertificateofinsurance
specificallyreferencingthisPROJECTshallbesubmittedtotheCITYfor
eachyearfollowingcompletionoftheAGREEMENT.
2) GENERALINSURANCEREQUIREMENTS
a. CertificatesofinsuranceevidencingthattheENGINEERhasobtainedall
requiredinsuranceshallbeattachedtothisAGREEMENTpriortoits
execution.
b. ApplicablepoliciesshallbeendorsedtonametheCITYanAdditional
Insured thereon, subjecttoanydefenseprovidedbythepolicy, asits
interestsmayappear. ThetermCITYshallincludeitsemployees, officers,
officials, agents, andvolunteersasrespectsthecontractedservices.
c. Certificate(s) ofinsuranceshalldocumentthatinsurancecoverage
specifiedinthisAGREEMENT areprovidedunderapplicablepolicies
documentedthereon.
d. AnyfailureonpartoftheCITYtoattachthe requiredinsurance
documentationheretoshallnotconstituteawaiveroftheinsurance
requirements.
e. Aminimumofthirty (30) daysnoticeofcancellationormaterialchangein

coverageshallbeprovidedtotheCITY. Aten (10) daysnoticeshallbe
acceptableintheeventofnon-paymentofpremium. Noticeshallbesent
totherespectiveDepartmentDirector (byname), CityofDenton, 901
TexasStreet, Denton, Texas76209.
f. InsurersforallpoliciesmustbeauthorizedtodobusinessintheStateof
TexasandhaveaminimumratingofA:Vorgreater, inthecurrentA.M.
BestKeyRatingGuideorhavereasonablyequivalentfinancialstrength
andsolvencytothesatisfactionofRiskManagement.
g. Anydeductibleorselfinsuredretentioninexcessof $25,000.00thatwould
changeoraltertherequirementshereinissubjecttoapprovalbytheCITY
inwriting, ifcoverageisnotprovidedonafirst-dollarbasis. TheCITY, atit
solediscretion, mayconsenttoalternativecoveragemaintainedthrough
insurancepoolsorriskretentiongroups. Dedicatedfinancialresources
orlettersofcreditmayalsobeacceptabletotheCITY.
h. Applicablepoliciesshalleachbeendorsedwithawaiverofsubrogationin
favoroftheCITYasrespectsthePROJECT.
i. TheCITYshallbeentitled, uponitsrequestandwithoutincurringexpense,
toreviewtheENGINEER'sinsurancepoliciesincludingendorsements
theretoand, attheCITY'sdiscretion; theENGINEERmayberequiredto
provideproofofinsurancepremiumpayments.
j. Linesofcoverage, otherthanProfessionalLiability, underwrittenona
claims-madebasis, shallcontainaretroactivedatecoincidentwithorprior
tothedateoftheAGREEMENT. Thecertificateofinsuranceshallstate
boththeretroactivedateandthatthecoverageisclaims-made.
k. Coverages, whetherwrittenonanoccurrenceorclaims-madebasis, shall
bemaintainedwithoutinterruptionnorrestrictivemodificationorchanges
fromdateofcommencementofthePROJECTuntilfinalpaymentand
terminationofanycoveragerequiredtobemaintainedafterfinal
payments.
l. TheCITYshallnotberesponsibleforthedirectpaymentofanyinsurance
premiumsrequiredbythisAGREEMENT.
m. Subconsultantsandsubcontractorsto/oftheENGINEERshallberequired
bytheENGINEERtomaintainthesameorreasonablyequivalent
insurancecoverageasrequiredfortheENGINEER. Whensub
consultants/subcontractorsmaintaininsurancecoverage, ENGINEER
shallprovideCITYwithdocumentationthereofonacertificateof
insurance.

K. IndependentConsultant
TheENGINEERagreestoperformallservicesasanindependentconsultantandnotasa
subcontractor, agent, oremployeeoftheCITY. Thedoctrineofrespondeatsuperiorshall
notapply.
L. Disclosure
TheENGINEERacknowledgestotheCITYthatithasmadefulldisclosureinwritingofany
existingconflictsofinterestorpotentialconflictsofinterest, includingpersonalfinancial
interest, directorindirect, inpropertyabuttingtheproposedPROJECTandbusiness
relationshipswithabuttingpropertycities. TheENGINEERfurtheracknowledges thatitwill

beenawareofatthetimethisAGREEMENTwasexecuted, theENGINEERshallrevise
plansandspecifications, asrequired, atitsowncostandexpense. However, ifdesign
changesarerequiredduetothechangesinthepermittingauthorities' publisheddesign
criteriaand/orpracticestandardscriteriawhicharepublishedafterthedateofthis
AGREEMENTwhichtheENGINEERcouldnothavebeenreasonablyawareof, the

K. Changes

accomplish this task, the Subconsultant will performsubtaskswhichinclude
adesktopreview, asitevisit, andreportpreparationasdescribedbelow.
a. DesktopReview
Prior to visiting the site, background research will be conducted and will
consist of locating andreviewing pertinent maps, aerial photographs,
historic topographic maps, soil surveys, plantspeciesdata, U.S. Fishand
WildlifeService (USFWS) NationalWetlandsInventory (NWI) maps, Federal
Emergency Management Agency (FEMA) Flood Insurance Rate Maps
FIRM), and otherrelated data necessary fora desktop review of site
conditions. ThisdesktopreviewwillassisttheSubconsultant in preliminarily
identifying suspect aquatic resources on the site. TheSubconsultantwill

apreliminary determination based on the Subconsultants opinions and
experiences of the areasthat could be potentially be categorized as
jurisdictional WOUS and those that may not bejurisdictional. Appropriate

maps, andproposed projectboundaries willbeprojectedandconvertedto
theappropriate Geographic Information System (GIS) format that is
required for the fieldwork, mapping, andreportpreparation.
b. SiteVisit
A site visit will beperformed to determine the existence and approximate
locations of suspectWOUS, including wetlands on the site following the
USACE1987ManualandtheapplicableUSACEregional supplement. The
Subconsultant will identify potential WOUS, includingtraditionalnavigable
waters, relativelypermanent waters, non-relativelypermanent waters, and
wetlands thatareabutting, adjacentto, orisolatedfromthesewaters. The
site visit will includecompletion of USACE wetland determination data
forms with plant identification, notation ofhydrologic indicators, and
excavationof shallowsoilprofiles, as appropriatewithineachdifferent
vegetative community spread throughout the Project. Potentially
jurisdictionalwaterbodieswillbeidentifiedbydelineatingordinaryhighwater
marks and then mapped using a GPS with sub- meter accuracy and the
procedures required by the USACE. Following the site visit, exhibits
showing the boundaries (polygons) and acreage and/or linear footage (if

drought), andorsubjectiveinterpretation ofdatamayprecludeassessment
in conformance withUSACErequirements andsignificantlyaffectfindings,
conclusionsandrecommendations.
2. ThreatenedandEndangeredSpeciesAssessment
GeneralCondition18ofthe2017NationwidePermitProgramstatesthat:
No activityisauthorized underandNWPwhichislikelytodirectly
orindirectly jeopardizethecontinued existence of a threatened or
endangered species or a species proposed for suchdesignation,
asidentifiedundertheFederal Endangered Species Act (ESA), or
whichwilldirectlyorindirectlydestroyoradverselymodifythecritical
habitatofsuchspecies.
To provide the information necessary to make a determination of effect,
and demonstratecompliance with General Condition 18, the Subconsultant
proposestoconductaDesktopReviewofESAlistedspeciesfortheprojectarea.
This will include a review of theU.S. Fish and WildlifeService (USFWS)
InformationforPlanning andConsultation (IPaC) reportfortheprojectarea, a
reviewoftheUSFWScriticalhabitatdatabase, areviewoftheTexasParksand
Wildlife (TPWD) Natural Diversity Database, and a review of potentially
suitable habitat utilizing the TPWDEcological Mapping System of Texas
EMST) landcover database and aerial imagery. Additionally, information
regarding landcover and dominant plant communities (collected duringthe
wetlanddelineation) willbereviewedduringtheassessmentofpotentiallysuitable
habitatanddeterminationofeffect.
Deliverable: A Threatened andEndangered SpeciesAssessment Report for
the site will beprepared includingphotographs, aerial imagery, Geographic
InformationSystem (GIS) mapping, anda description ofthefieldobservations
withconclusions andrecommendations. Thisreportwillalsoincludeinformation
regardingcompliancewiththeMigratoryBirdTreatyAct (MBTA) andBald and
Golden Eagle Protection Act (BGEPA). The Subconsultant will provide an
electroniccopyofthefinalreporttoHuitt-Zollars.
a. Task-SpecificLimitations
Readily available resources do not typically include comprehensive
records of documentedsightingsassuchinformationisgenerallynotmade
availabletothe public. No determinationcanwholly eliminate uncertainty
regarding project effects on listed species. The determinations, findings,
andconclusionsprovidedinthistaskshouldnotbeconsideredauthoritative.

3. CulturalResourcesServices
Cultural Resources comprise both historic structures and archeological
materials. Therefore, culturalresourcescanvaryagreatdealandmayinclude
suchdiverseitemsasburiedartifactsofprevious cultures and historic buildings
orobjects. InTexas, culturalresourcesareprotectedunderthefederalNational
HistoricPreservationAct (NHPA) of1966, asamendedandthestateAntiquities
Code ofTexas (ACT). TheTexasHistoricalCommission (THC) isresponsible
forenforcingculturalresourcecomplianceinTexas.
Under the Antiquities Code of Texas, projects that are undertaken by a
oliticalsubdivisionrequireTHCcoordinationiftheprojectaffectsacumulative
arealargerthanfiveacresordisturbsacumulativeareaofmorethan5,000cubic
yards, whichevermeasureistriggeredfirst, oriftheprojectisinsideadesignated
historicdistrictorrecordedarcheologicalsite. A "politicalsubdivision" isdefined
asalocalgovernmentalentitycreatedandoperatingunderthelawsofthisstate,
includingacity, county, school district, waterdistrict, orspecial districtcreated
under ArticleIII, Section 52(b)(1) or (2), orArticle XVI, Section 59, of the
Texas Constitution. Projectsundertaken by State agencies or public
universities are not limited by sizeand require THCcoordination prior to any
ground disturbances. The professional archeologist conducting thesurveyis
required to receivea permit beforeany archeological investigations may
proceed.
a. AntiquitiesCodeofTexasPermitApplicationandResearchDesign
Because theundertakingfalls under the ACT, qualified culturalresources
personnelwillprepareapermitapplicationandassociatedresearchdesign.
Theprojectsponsorwillneedtoreviewandsignthepermit. Oncesignatures
havebeencollected, theapplicationandresearchdesignwillbesubmittedto
THC forapproval. Upon approval, apermitnumber will beissued and the
archeologicalsurveycancommence.
b. IntensivePedestrianArcheologicalSurvey
Qualified culturalresources personnel will perform anintensive pedestrian
survey of theapproximately3.19-mileMcKinneyStreet wideningalignment
within the 165-foot-wide study area (approximately 67 acres) using the
MinimumSurveyStandards set forth bytheTHCandtheCouncilofTexas
Archeologists (CTA). An estimated 50 shovel test excavations will be
performed, asnecessary, oneachsideof theroad withinthestudy areato
meettheMinimumStandardsof16shoveltestsper mile. Giventhatpart of
the study area may have greater than 30 percentground visibility, the

be considered theArea of Potential Effect (APE). Shovel tests will be
excavatedin20-centimeter arbitrarylevels, andexcavated sedimentwill be
passed through ¼-inch hardware mesh. Shovel tests will berecorded
through field notes, photography, and hand-held geographic positioning
system (GPS) device. Cultural materials encountered through the course
of shovel test excavations will bedescribed and returned to their
approximate origin. Archeological sites encountered will berecorded with
theTexasArcheologicalResearchLaboratoryandbeassessedforeligibility
forinclusionintheNationalRegisterof HistoricPlacesor listingasaState
AntiquitiesLandmark, asappropriate. There is a -collectio policy for
this survey; therefore, diagnostic artifacts (ifencountered) willbe
documentedinthefieldandnotcollected. Recordswouldbecuratedbythe
CenterforArchaeologicalStudiesatTexasStateUniversityuponcompletion
oftheproject. Deepsoiltesting (usingbackhoe) oftheAPEisnotanticipated
andisnotincludedinthisscope.
c. Reporting, AgencyCoordination, andCuration
Deliverable: Afterfieldworkhasbeen completeda reportofthe resultswill
be prepared. Comprehensive reports typically address the applicable
regulatory framework, describe theassessment methodology, limitations
and findings, and provide site-specific conclusions andrecommendations,
asappropriate. Exhibitssuchasfigures, referencedresourcedocuments, data
andphotographs are included. Draftdocumentsarereviewedin-housefor
quality assurancepurposesandinitiallyprovidedtoHuitt-Zollarsinelectronic
format (.pdf) by emailfor reviewand/orapproval. Changes resulting from
Huitt-Zollars review will be incorporated, as appropriate, andthe updated
reportwould besimilarlydeliveredtoHuitt-Zollarsbyemail, along withone
papercopyfor Huitt-Zollars use if requested. The final draft report will be
submittedtotheTHCforagencyreviewandconcurrence. TheTHCwillhave
30calendardaystocompletetheirreview.
After project approval hasbeenreceivedfrom the THC, the permit will be
closed according topermit stipulations. Several reports arerequiredto be
senttorepositoriesandlibraries, GISfilesof the survey sent to THC, and
final reports and an online abstract are prepared for delivery. Finally,
curationofrecordsassociatedwiththeprojectwillbepreparedandsubmitted
to Centerfor Archaeological Studies at TexasStateUniversity, aqualified
repository.

Onceapermitnumberhasbeen issued to the PrincipalInvestigatorof the
archeological survey, the fieldworkwill be scheduled within 15 business
days. The preparation of report, depending onthefindings, will take
approximately four weeks to complete and deliver toHuitt-Zollars for
review andapproval. OnceHuitt-Zollarscommentshavebeenaddressed,
thedraftreportwillbesubmittedtoTHCforreviewandconcurrence. TheTHC
has30daysinwhichtoreviewandrespondtothearcheologicalreport.
e. Task-SpecificLimitations
The culturalresourceservicesdescribedaboveassumeapproximately five
days of fieldwork fortwo Subconsultant cultural resources staff. Should
weather or other unforeseen circumstancesaffect the schedule, The
Subconsultant will prepareaChange Orderrequest for additional workas
needed. This scope of work does not include archeological monitoring,
testing, or datarecoverylevelsofeffort, andshouldsucheffortsberequired
by regulatory agencies, a separateproposal would be prepared by The
Subconsultant at Huitt-Zollars request. This scope of workalsodoes not
anticipatecurationofartifacts, andshouldsuchservicesberequired, thenthe
costwouldbeincurredbyHuitt-Zollars. Nohistoricstudies, recordsresearch,
orarchivalworkarepartof this effort but may be required should historic
sitesbediscovered. Nowarranties, expressorimplied, areintendedormade.
4. NWP14ApplicationandUSACEConsultation
ThistaskispresentedinordertoassistHuitt-Zollarsinremainingincompliance
withSection404. If, after The Subconsultant and Huitt-Zollarsevaluateproject
design to implement practicableavoidance and minimization options, it is
determinedthatpre-constructionnotificationisunavoidable, TheSubconsultant
will prepare the appropriate documentation to obtain USACEauthorization for
impacts to WOUS associated with the proposed project. It is The
Subconsultants understanding that the proposed project would qualify as a
LinearTransportationProjectwhichcouldfallundertheterms andconditions
of Nationwide Permit (NWP) No. 14. Under NWP No. 14, the submittal of a
Pre-ConstructionNotification (PCN) isrequiredifanyofthefollowingcriteriaare

withcreditsavailable, servicing theproject areaand permitted responsible
mitigation is not anticipated. Should these conditions change duringthe
course of the project and it is determined that permittee responsible
mitigation is necessary, The Subconsultant will prepare a supplemental

5. PhaseIEnvironmentalSiteAssessment
TheESAwillbeperformedconsistentwiththeproceduresincludedinASTME

EnvironmentalSiteAssessment Process. The purpose ofthisESAistoassist
Huitt-Zollars indeveloping information to identify recognizedenvironmental
conditions (RECs) inconnection with thesiteas reflected by thescopeofthis

b. Onceeachutilityislocated, SUEEngineerwillrecordtheutilitytype, size,

c. EachtestholewillbeassignedauniqueIDnumberandwillbemarked
withrebar/cap. Testholenumberswillbepaintedinthefieldnexttoeach
completedtesthole. AsurveylathlabeledwiththetestholeIDnumberand
otherpertinentutilityinformationwillbeplacedateachtestholelocation.
d. IfrockorconcreteisencounteredduringtheexcavationandSUEEngineer
isnotabletoexcavatethroughournormaltestholeprocedures, theCity
willbeimmediatelynotifiedofthefieldcondition. Excavationinrockortoa
depthgreaterthan10feetisconsideredbeyondthescopeofthisproposal
andcanbeestimatedfortheCityonacasebycasebasis.
e. SUEEngineerwillvacuumdowntoobtaintherequiredinformation, and
thenreplacematerialremoved, mechanically-tampedin6-inchlifts.
Asphaltsurfaceswillberepairedwithasphaltcoldpatchandconcrete
coreswillbeepoxiedbackinplace, flushwithsurroundingsurface. If
restorationeffortsareneededbeyondwhatisdescribedaboveSUE
Engineershallbenotifiedinwritingpriortomobilizingtothefield.
f. Surveythefinalutilitytestholelocationsaccordingtotheprojectcontrol

TheCityintendstouseitsinspectionsstaffinthedailyobservationof
Zollarswill
provideengineering andobservationservicesduringtheconstruction
implementationphaseoftheproject. Thiseffortmayinclude, butisnotlimited
to, thefollowingitems:
1. Conductperiodicsitevisits (twiceamonth) toobservetheconstructionofthe
project. Observationsaretodeterminethattheworkmanship, qualityof
materials, andsystem(s) performanceareingeneralconformancewiththe
requirementsoftheplansandspecifications. Observationshallbeprovided
bypersonneltechnicallyqualifiedbyeducationandexperienceto
competentlyobservesuchwork.
2. ProvideawrittenreportonallsitevisitsandsubmittotheCitywithin7
calendardaysofsitevisit. Copiesshallbesubmittedinhardcopyand
electronicformat. Electronicformatmaybesubmittedasattachmentstoe-
mail.
3. Maintainprojectfiles, readilyaccessibletotheCity, forallconstruction
drawings, requestforinformationsubmittals, shopdrawings, andanyother
documents, correspondence, etc. generatedduringthetermoftheproject.
4. Reviewtechnicalsubmittals, shopdrawings, catalogdata, laboratory, shop
andmilltestreportsofmaterialsandequipmentforgeneralconformancewith
designconcepts.
5. Provideindependentcostestimatesandevaluationofanyproposedchanges
totheprojec
proposalorasrequestedbytheCityasaprojectenhancement/modification.
ThiswillincludeassistingtheCity, asrequested, withnegotiationsforany
proposedchangesasdeterminedbytheCitytoaddvaluetotheproject.
6. UponreceiptofnotificationbytheContractorthattheworkoraportionthereof
