SUBJECT
Consider approval authorizing the City Manager to execute a first amendment to the Professional
Services Agreement with HDR, Inc., for additional services as set forth in the agreement for the
additional tasks for the Traffic Study, and providing an effective date (File 6570-074- providing
for an additional first amendment expenditure amount not-to-exceed $23,074, with the total
contract amount not-to-exceed $93,074).
BID/FILE INFORMATION
The original contract included preparation of a Traffic Study for assessing the proposed roadway
network within the proposed Hunter/Cole development for the City of Denton. In order to
prepare the operational agreement between the City and Hunter/Cole development, additional
traffic analysis was required. The additional tasks are listed below;
x Traffic analysis for phased construction of roadways
x Develop construction cost estimates for roadway infrastructure
x Additional meetings and coordination
The additional tasks listed above will require additional budget of $23,074.

FIRST AMENDMENT TO CONTRACT
BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND HDR ENGINEERING, INC.

THIS FIRST AMENDMENT TO CONTRACT 6590-074 (“Amendment”) by and
between the City of Denton, Texas (“City”) and HDR Engineering, Inc. (“Consultant”); to
that certain contract executed on September 4, 2019, in the original not-to-exceed amount
of $70,000 (the “Agreement”); for services related to the Cole-Hunter Ranch Traffic Study
Project;
WHEREAS, the City deems it necessary to further expand the services provided by
Consultant to the City pursuant to the terms of the Agreement, and to provide an additional
not-to-exceed amount $23,074 with this Amendment for an aggregate not-to-exceed of
$93,074.
FURTHERMORE, the City deems it necessary to further expand the goods/services
provided by Consultant to the City;
NOW THEREFORE, the City and Consultant (hereafter collectively referred to as the
“Parties”), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following Amendment, which
amends the following terms and conditions of the said Agreement, to wit:
1. The additional services described in Exhibit “A” of this Amendment, attached
hereto and incorporated herein for all purposes, for professional services related to
the Cole-Hunter Ranch Traffic Study project, are hereby authorized to be
performed by Consultant. For and in consideration of the additional services to be
performed by Consultant, the Owner agrees to pay, based on the cost estimate detail
attached as Exhibit “A”, a total fee, including reimbursement for non-labor
expenses an amount not to exceed $23,074.
2. This Amendment modifies the Agreement amount to provide an additional $23,074
for the additional services with a revised aggregate not to exceed total of $93,074.
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.

Getting paper copies
