Exhibit 1 - Agenda Information Sheet 11-5-19City of Denton _____________________________________________________________________________________ AGENDA INFORMATION SHEET DEPARTMENT: Procurement & Compliance CFO: Antonio Puente, Jr. DATE: November 5, 2019 SUBJECT Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation, authorizing the City Manager to execute an Interlocal Cooperative Purchasing Agreement with Bibliotheca LLC, under Government Code, Chapter 791.001, to authorize City of Denton contracts for the purchase of cloudLibrary digital services; authorizing the expenditure of funds therefor; and declaring an effective date (File 7121 – award an Interlocal Cooperative Purchasing Agreement with Bibliotheca, LLC). INFORMATION /BACKGROUND On August 6, Council approved an ordinance to allow the City Manager to execute a contract with Bibliotheca, LLC, for the purchase of cloudLibrary digital services. Part of the sole source justification for that service was cloudLibrary’s cloudLink content sharing service. The Interlocal Agreement allowing Denton to participate in cloudLink was inadvertently left out of the contract approval process. CloudLibrary’s cloudLink service provides digital content sharing similar to interlibrary loan sharing, with content from other cloudLibrary libraries. CloudLibrary is the only digital service provider that provides a service that would expand patron access to downloadable materials significantly. CloudLink services would more than triple the number of unique titles in the Denton Public Library digital collection and offer over seven times more content than the Denton Public Library (DPL) digital collection. Denton Public Library patrons would be able to checkout and place holds on DPL owned materials. DPL patrons would also be able to browse and check out any available (checked-in) materials owned by other cloudLink library participants. DPL patrons would not have access to browse or place holds on items currently checked out. This ensures that patrons from the owning library have priority and first choice of items available from their own libraries, in addition to access to diverse and expanded content available from another cloudLink participant library collections. Section 791 of the Government Code requires that all Cooperative Agreements must be authorized by the governing body, regardless of the dollar amount. PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS) On August 6, 2019, Council approved the sole source agreement with Bibliotheca, LLC (Ordinance 19- 1817). City Hall 215 E. PRINCIPAL PLACE OF BUSINESS Bibliotheca, LLC Norcross, GA ESTIMATED SCHEDULE OF PROJECT This Agreement is effective upon approval by the City of Denton and will remain in effect until terminated by either party. FISCAL INFORMATION These services will be funded from Library Administration operating account 301000.7899.
