SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the approval of a fourth amendment to a Professional Services Agreement between the City of
Denton and Freese and Nichols, Inc., amending the contract approved by City Council on July 17, 2012, in
the not-to-exceed amount of $435,701, amended by Amendments 1-3 approved by Purchasing Staff, the
City Manager and City Council, said fourth amendment to provide engineering services relating to North-
South Water Main Phases II and III; providing for the expenditure of funds therefor; and providing an
effective date (File 4978 – providing for an additional fourth amendment expenditure amount not-to-exceed
$396,303.00 with the total contract amount not-to-exceed $1,052,571.60).
INFORMATION /BACKGROUND
The North-South Water Main Phases II and III project extends a 36-inch and 42-inch water transmission
main from Roselawn to Scripture (near McKenna Park) generally along Bonnie Brae and will be constructed
ahead of the roadway project. On July 17, 2012, City Council approved a contract with Freese and Nichols,
Inc. (FNI), in the amount of $435,701 for Engineering Services associated with the North-South Water Line
Phases II and III projects (Exhibit 2).
Since then, there have been three previous amendments to the contract:
Amendment No. 1: for additional design services and preparation of a Right of Way exhibit for the
water transmission main from the new Bonnie Brae Right of Way in the amount of $26,654,
approved by Purchasing staff on October 6, 2014.
Amendment No. 2: for additional design services to construct the waterline separately from the
roadway improvements in the amount of $53,800, approved by the City Manager on July 10, 2017.
Amendment No. 3: for additional design, survey, utility exploration, and construction administration
services as well as the cost of living increase in the amount of $140,113.60, approved by the City
Council on October 16, 2018.
Council awarded a construction contract in January 2019 for the installation of the Phase II portion of this
project, which extends from Roselawn to IH 35E. The pipe material that was selected was a poly coated
steel pipe. Being that this is the first poly coated steel pipe to be installed in the City, there is currently no
one on staff qualified to inspect the installation of this pipe. The decision was made to have the design
consultant provide a resident representative qualified to oversee this installation. Amendment 4 includes
these inspection services for Phase II and Phase III along with a small amount for additional design services.

PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS)
On July 17, 2012, City Council approved a contract with Freese and Nichols, Inc., in the not-to-exceed
amount of $435,701 (Ordinance 2012-147).
On October 16, 2018, City Council approved Amendment No. 3 with Freese and Nichols, Inc., in the not-
to-exceed amount of $140,113.60 (Ordinance 18-1667).
On April 22, 2019, this item will be presented to the Public Utilities Board for recommendation to the City
Council for consideration.
RECOMMENDATION
Award Amendment No. 4 with Freese and Nichols, for additional engineering services related to North-
South Water Main Phases II and III, in the amount of $396,303, for a total amended contract amount of
$1,052,571.60.
ESTIMATED SCHEDULE OF PROJECT
These services will begin upon approval.
FISCAL INFORMATION
These services will be funded from account 630282523.1360.40100. Purchase Order # 158877 will be
revised in the amount of $396,303 to include the fourth amendment upon approval.
