AN ORDINANCE OF THE CITY OF DENTON, A TEXAS HOME-RULE MUNICEPAL
CORPORATION, AUTHORIZING THE APPROVAL OF A SECOND AMENDMENT TO A
PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CiTY OF DENTON AND SGS
ENGINEERING, LLC, AMENDING THE CONTRACT APPROVED BY CITY COUNCL ON
JULY 19, 2011, IN THE NOT-TO-EXCEED AMOUNT OF $1,260,000, AMENDED BY
AMENDMENT 1 APPROVED BY CITY COUNCIL, SAID SECOND AMENDMENT TO
CONTINUE TO PROVIDE ADDITIONAL SERVICES FOR CIP PROJECTS WHERE
STRUCTURAL AND ELECTRICAL DESIGNS, TRANSMISSION LINE DESIGNS,
PROTECTION SYSTEM DESIGNS, AND OTHER ENGINEERING RELATED SUPPORT IS
REQUIRED; PROVDnqG FOR THE EXPENDITURE OF FUNDS THEREFOR; AND
PROVIDING AN EFFECTIVE DATE (FILE 4755 – PROVIDING FOR AN ADDITIONAL
SECOND AMENDMENT EXPENDITURE AMOUNT NOT-TO-EXCEED $3,500,000 WITH THE
TOTAL CONTRACT AMOUNT NOT-TO-EXCEED $11,435,000).
WHEREAS, on July 19, 2011, by Ordinance No. 2011-110, the City awarded a contract to
SGS Engineering. LLC in the amount of $1,260,000 for engineering and consulting services for
Capital improvement Projects for Denton Municipal Electric; and
WHEREAS, on August 6, 2013, by Ordinance No. 2013-191, the City awarded a First
Amendment to SGS Engineering. LLC in the amount of $6,675,000 for structural, electric design,
and other engineering related consulting services for Denton Municipal Electric Capital
Improvement Projects; and
WHEREAS, the additional fees under the proposed Second Amendment are fair and
reasonable and are consistent with and not higher than the recommended practices and fees
applicable to the provider’s profession and such fees do not exceed the maximum provided by law;
NOW, THEREFORE,
THE couNcn OF THE CITY OF DENTON HEREBY ORDAnvs:
SECTION 1. The Second Amendment, increasing the amount of the contract between the
City and SGS Engineering, LLC, which is on file in the office of the Purchasing Agent, in the
amount of Three Million Five Hundred Thousand Dollars and 00/100 ($3,500,000) , is hereby
approved and the expenditure of funds therefor is hereby authorized in accordance with said
amendment. The total contract amount increases to $11,435,000.
SECTION 2. This ordinance shall become effective immediately upon its passage and
approval.
