COUNTY OF DENTON §
THIS FIRST AMENDMENT TO CONTRACT 6590-033 (“Amendment”) by and
between the City of Denton, Texas (“City”) and Kimley-Horn and Associates, Inc.
(“Consultant”); to that certain contract executed on September 18, 2018, in the original
not-to-exceed amount of $239,850 (the “Agreement”); for services related to the ADA
Transition Plan Update, Phase II .
WHEREAS, the City deems it necessary to further expand the services provided by
Consultant to the City pursuant to the terms of the Agreement, and to provide an additional
not-to-exceed amount $338,000 with this Amendment for an aggregate not-to-exceed of
$577,850.
FURTHERMORE, the City deems it necessary to further expand the goods/services
provided by Consultant to the City;
NOW THEREFORE, the City and Consultant (hereafter collectively referred to as the
“Parties”), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following Amendment, which
amends the following terms and conditions of the said Agreement, to wit:
1. The additional services and schedule described in Attachment “A&C” of this
Amendment, attached hereto and incorporated herein for all purposes, for
professional services related to the ADA Transition Plan Update, Phase II, are
hereby authorized to be performed by Consultant. For and in consideration of the
additional services to be performed by Consultant, the Owner agrees to pay, based
on the cost estimate detail attached as Attachment “B”, a total fee, including
reimbursement for non-labor expenses an amount not to exceed $338,000.
2. This Amendment modifies the Agreement amount to provide an additional
$338,000 for the additional services with a revised aggregate not to exceed total of
$577,850.
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.

City of Denton ADA Transition Plan Update: Park and Building Facilities
PROJECT UNDERSTANDING
Kimley-Horn and Associates, Inc. (“ENGINEER”) will provide professional services based on our project
understanding as follows:
· The City of Denton (“CITY”) wants to develop their Americans with Disabilities Act (ADA)
Self-Evaluation and Transition Plan in multiple phases.
· This assignment will constitute Phase 2 of the ADA Self-Evaluation and Transition Plan and will
include an ADA compliance review of City buildings and associated parking lots including paths
of travel, parks and associated parking lots including paths of travel, park sidewalk and associated
curb ramps, paved and unpaved pedestrian trails, and pedestrian bridges. Possible solutions to
bring any non-compliant elements that are not considered to be a de minimis barrier and are not
“safe harbored” into compliance will be provided. The City’s ADA Transition Plan document
will be updated to include formal documentation of tasks and associated findings outlined in this
Scope of Services.
SCOPE OF PROFESSIONAL SERVICES
Task 1 – Project Management
1.1 The ENGINEER will maintain project records, budgets, and communications for the duration of the
project. It is understood the project will have a 9-month duration.
1.2 The ENGINEER will prepare monthly progress reports for the duration of the project.
Task 2 – Project Kick-off Meeting
2.1 The ENGINEER will meet with CITY staff representing major program areas and orient them to the
process that will be used to update the CITY’s ADA Transition Plan and introduce the proposed project
tasks and schedule. The ENGINEER will coordinate with CITY staff to identify and obtain all
necessary documents and materials to support the Self-Evaluation process. This will include a list of all
CITY sponsored programs and CITY leased and owned facilities to be included in the project. The
ENGINEER will produce meeting materials and handouts, conduct staff orientation, and prepare a
summary of action items resulting from the meeting (2-hour meeting).
Task 3 – Self-Evaluation
3.1 Facilities Review. The ENGINEER will establish field teams which will conduct evaluations based on
forms developed by the ENGINEER. The evaluation forms for facilities listed in Tasks 3.1.1.1 –
3.1.1.7 will be based on the 2010 ADA Standards for Accessible Design and applicable access-related

state and local standards. All field data will be compatible with the CITY’s existing Geographic
Information System (GIS).

3.1.1.4 Park Sidewalks – All park sidewalk connecting park amenities to parking
areas will be evaluated. All curb ramps, ramps, stairs, and other paths of
travel required to be ADA compliant along this sidewalk will be evaluated.
Paved and unpaved trails within parks are included in Tasks 3.1.1.6 and
3.1.1.7, respectively.

Facility Reports. The ENGINEER will create a separate report for each facility type. Each
facility report will identify compliance status of each facility and include the following:
· Listing of facilities that are in compliance with ADA requirements.
· Listing of facilities that are not in compliance with ADA requirements.
· Possible solutions to resolve non-compliance issues for each facility.
· Prioritized list of improvements using criteria developed by the ENGINEER.
· “Cost report" that assigns conceptual budget estimates to each possible solution. Because the
ENGINEER does not control the cost of labor, materials, equipment or services furnished by
others, methods of determining prices, or competitive bidding or market conditions, any
opinions rendered as to costs, including but not limited to opinions as to the costs of
construction and materials, shall be made on the basis of its experience and represent its
judgment as an experienced and qualified professional, familiar with the industry. The
ENGINEER cannot and does not guarantee that proposals, bids or actual costs will not vary
from its opinions of cost. If the CITY wishes greater assurance as to the amount of any cost,
it shall employ an independent cost estimator. ENGINEER's services required to bring costs
within any limitation established by the CITY will be paid for as Additional Services.
· Pay item descriptions, units, and unit prices will be based on the Means ADA Compliance
Pricing Guide. Changes to the pay item units after project commencement will be considered
Additional Services.
· Photolog summary for each facility.
· Catalog of all field data compatible with the CITY’s existing GIS databases.
· The compliance status and possible solutions for facilities listed in Tasks 3.1.1.1 – 3.1.1.7 will
be based on the 2010 ADA Standards for Accessible Design and applicable access-related state
and local standards
3.2 Lease Agreement Review. The ENGINEER will evaluate up to 5 City lease agreement
documents for consistency with current accessibility requirements and standards.
Task 4 – Transition Plan Update
The ENGINEER will coordinate with CITY staff to update the City’s Transition Plan as follows:

4.1 ADA/504 Coordinator. The ENGINEER will work with the CITY to define the role and
responsibilities of the ADA/504 Coordinator.
4.2 Prioritization Criteria. The ENGINEER will recommend criteria for prioritizing identified accessibility
improvements.
4.3 Exceptions and Exemptions. The ENGINEER will evaluate and provide possible solutions for
exceptions or exemptions that may apply under the terms of the ADA. This may include
exemptions related to structures of historic significance, alterations affecting the fundamental
nature of a program, service, or activity under financial and administrative burden, or structural
changes.
4.4 Budget. The ENGINEER will assist the CITY to develop a multi-year budget needed for
accessibility improvements. Possible funding sources to achieve compliance will be provided. It
will be the CITY’s responsibility to confirm the City’s eligibility for each funding source.
4.5 Draft Transition Plan Update. Based on the Self-Evaluation, the ENGINEER will prepare a draft
Transition Plan Update for the CITY. The plan will consist of:
· Executive summary which will describe the project purpose, process, and most significant
findings;
· Summary and detailed findings of Self-Evaluation; and
· A phased schedule with cost estimates for the removal of facility barriers that cannot be
resolved through relocation of services, the provision of auxiliary aids, or equivalent
facilitation.
The ENGINEER will provide electronic copies of the Draft Transition Plan in Microsoft Word
and Adobe PDF formats to the CITY.
4.6 Final Transition Plan Update. The ENGINEER will address one (1) round of comments from
CITY staff to prepare a Final ADA Self-Evaluation and Transition Plan Update for the CITY.
The ENGINEER will provide the following deliverables to the CITY:
· Electronic copies of the Final Transition Plan in Microsoft Word and Adobe PDF formats;
and
· Two (2) printed copies of the Final Transition Plan. Two (2) electronic copies of the
Appendices will be provided on flash drives. Printed copies of the Appendices will be
considered Additional Services.
Task 5 – Meetings
5.1 Progress Meetings. The ENGINEER will prepare for and attend up to two (2) in-person progress
meeting with CITY staff and the newly created ADA Liaison Committee. The ENGINEER will
produce meeting materials and handouts and prepare a summary of action items resulting from the
meeting (2-hour meeting).

5.2 Committee on Persons with Disabilities Meetings. The ENGINEER will prepare for and attend up to
two (2) in-person meetings with CITY staff and the City of Denton Committee on Persons with
Disabilities. The ENGINEER will produce meeting materials and handouts and prepare a summary of
action items resulting from the meetings (2-hour meetings).
5.3 Council Workshops. The ENGINEER will prepare for and attend up to one (1) in-person council
workshop. The ENGINEER will produce meeting materials and handouts and prepare a summary of
action items resulting from the meeting (2-hour meeting).
Services Not Included
Any other services, including but not limited to the following, are not included in this Agreement:
· Evaluation and reporting of facilities not listed in Task 3.1;
· Evaluation of areas used only by employees as work areas.
· Providing printed copies of Appendices.
Additional Services
Any services not specifically provided for in the above scope will be billed as additional services and
performed at our then current hourly rates.
Schedule: The ENGINEER will provide its services as expeditiously as practicable and work with the
CITY to develop a mutually agreeable schedule.
Deliverables: The ENGINEER will deliver the following materials to the CITY:
· Electronic copies of the Draft Transition Plan in Microsoft Word and Adobe PDF formats;
· Electronic copies of the Final Transition Plan in Microsoft Word and Adobe PDF formats;
· Two (2) printed copies of the Final Transition Plan. Two (2) electronic copies of the
Appendices will be provided on flash drives. Printed copies of the Appendices will be
considered Additional Services.
· Field work data in GIS format, compatible with the CITY’s GIS system.
Fee and Expenses
The ENGINEER will perform the services in Tasks 1 – 5 for the total lump sum fee of
$338,000.00. All permitting, application, and similar project fees will be paid directly by the
CITY.
Lump sum fees will be invoiced monthly based upon the overall percentage of services
performed. Payment will be due within 30 days of your receipt of the invoice and should include
the invoice number and the ENGINEER project number.

Compensation for Professional Services for:

Total compensation for the ENGINEER contemplated under the terms of this agreement shall be
lump sum total not-to-exceed $338,000 for all services including reimbursable expenses. The
CITY shall compensate the ENGINEER as follows:
The total compensation for Task 1 – Task 5 shall be on a lump sum basis and not to exceed
$338,000.

This questionnaire reflects changes made to the law by H.B. 23, 84th Leg., Regular Session.
This questionnaire is being filed in accordance with Chapter 176, Local Government Code, by a vendor who has a business relationship as

From time to time, City of Denton (we, us or Company) may be required by law to provide to
you certain written notices or disclosures. Described below are the terms and conditions for
providing to you such notices and disclosures electronically through your DocuSign, Inc.
(DocuSign) Express user account. Please read the information below carefully and thoroughly,
and if you can access this information electronically to your satisfaction and agree to these terms
and conditions, please confirm your agreement by clicking the 'I agree' button at the bottom of
this document.
Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available
electronically to you by us. For such copies, as long as you are an authorized user of the
DocuSign system you will have the ability to download and print any documents we send to you
through your DocuSign user account for a limited period of time (usually 30 days) after such
documents are first sent to you. After such time, if you wish for us to send you paper copies of
any such documents from our office to you, you will be charged a $0.00 per-page fee. You may
request delivery of such paper copies from us by following the procedure described below.
Withdrawing your consent
If you decide to receive notices and disclosures from us electronically, you may at any time
change your mind and tell us that thereafter you want to receive required notices and disclosures
only in paper format. How you must inform us of your decision to receive future notices and
disclosure in paper format and withdraw your consent to receive notices and disclosures
electronically is described below.
Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the
speed at which we can complete certain steps in transactions with you and delivering services to
you because we will need first to send the required notices or disclosures to you in paper format,
and then wait until we receive back from you your acknowledgment of your receipt of such
paper notices or disclosures. To indicate to us that you are changing your mind, you must
withdraw your consent using the DocuSign 'Withdraw Consent' form on the signing page of your
DocuSign account. This will indicate to us that you have withdrawn your consent to receive
required notices and disclosures electronically from us and you will no longer be able to use your
DocuSign Express user account to receive required notices and consents electronically from us
or to sign electronically documents from us.
All notices and disclosures will be sent to you electronically
Unless you tell us otherwise in accordance with the procedures described herein, we will provide
electronically to you through your DocuSign user account all required notices, disclosures,
authorizations, acknowledgements, and other documents that are required to be provided or
made available to you during the course of our relationship with you. To reduce the chance of
you inadvertently not receiving any notice or disclosure, we prefer to provide all of the required
notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through
the paper mail delivery system. If you do not agree with this process, please let us know as
described below. Please also see the paragraph immediately above that describes the
consequences of your electing not to receive delivery of the notices and disclosures
