FIRST AMENDMENT TO CONTRACT
BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND REINVESTMENT FUNDS, INC. 7155
THIS FIRST AMENDMENT TO CONTRACT 7155 (this “Amendment”) by and
between the City of Denton, Texas (“City”) and Reinvestment Fund, Inc. (“Contractor”) to
that certain contract executed on February 11, 2020, in the original not-to-exceed amount
of $99,959 (the “Agreement”); for services related to the Affordable Housing Assessment
WHEREAS, the City deems it necessary to further expand the services provided by
Contractor to the City pursuant to the terms of the Agreement, and to provide an additional
not-to-exceed amount $24,989.75 with this First Amendment for an aggregate not-to-
exceed amount of $124,948.75; and
WHEREAS, the City deems it necessary to further expand the goods/services
provided by Contractor to the City; and
WHEREAS, the original not-to-exceed amount may not be increased by more than
25.0% as provided in Texas Local Government Code Sec. 252.048; and
NOW THEREFORE, the City and Contractor (hereafter collectively referred to as the
“Parties”), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following First Amendment,
which amends the following terms and conditions of the said Agreement, to wit:
1. The additional services described in Exhibit “A” of this Amendment, attached
hereto and incorporated herein for all purposes, for professional services related to
affordable housing assessment , are hereby authorized to be performed by
Consultant. This Amendment modifies the Agreement amount to provide an
additional $24,989.75 for additional services and materials to be provided in
accordance with the terms of the Agreement with a revised aggregate not-to-exceed
total of $124,948.75.
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.

Amendment, by and through their respective duly authorized representatives and officers

City of Denton ‐ Community Development
SECTION 1. INTRODUCTION
The City of Denton is a rapidly‐growing community in the Dallas‐Fort Worth Metroplex. U.S.
Census Bureau estimates the City has a population of 138,541 in 2018 with a population density
of 1,402 persons per square mile. According to U.S. Census Bureau 2013 population estimates,
the City of Denton was ranked among the top 15 fastest growing cities in the nation. The City is
also home to two universities, University of North Texas (UNT) and Texas Woman’s University,
with a combined estimated population of 50,000 in the spring of 2018.
There are many households that are currently living cost‐burdened and struggling to maintain
housing. The availability of affordable housing is a concern that only continues to grow as the
City expands and develops. A total 47.76% of all households in Denton are low to moderate
income: 16.40% of all households have incomes between 0 and 30% of the HUD Area Median
Family Income (HAMFI); 13.56% of all households have incomes between 30% and 50% HAMFI;
and 17.79% of all households have incomes between 50% and 80% HAMFI. Based on the City’s
Consolidated Plan for Housing and Community Development, the greatest housing problem
facing Denton households is cost burden. Approximately, 6,845 households in Denton spend
more than 30% of their gross income on rent/mortgage and utilities, which is considered a
burden. Also, housing cost burden is particularly serious for the extremely low income segment
of the households (households earning between 0% and 30% HAMFI) because over 66% of these
households spend more than 50% of their gross income on housing.
While the City and its partners continue to look at ways to support affordable housing, there is a
need to first understand the current and projected housing needs in order to move to the next
steps of facilitating goal setting and policy making, enhancing collaborative cross‐sector
partnerships, and determining available tools to support affordable housing in context of the City
of Denton’s unique community profile.
SECTION 2. PURPOSE AND BACKGROUND
The City of Denton and potential community partners including the Denton Housing Authority
and the United Way of Denton County are interested in completing a comprehensive affordable
housing analysis to help city leaders, staff, and our partners gain valuable insight into the city’s
housing needs, existing assets, and future housing needs with the overall goal to facilitate a policy
discussion and strategic plan to support the acquisition, preservation, and creation of affordable
housing in Denton. Based on measurable data, this insight will lead to understanding how best
to invest existing resources, leverage new capital, and increase knowledge to:
1. Inform policy decision‐making.
2. Generate diversified funding and data‐driven financial investment.
3. Support innovation by identifying effective programmatic solutions.
4. Advocate for public support.

The City expects to break up this project into phases. The first phase of the comprehensive
affordable housing assessment will include information gathering and analysis necessary to
provide a community profile establishing housing needs by recognizing gaps in existing housing
inventory, providing analysis for future housing needs based on anticipated growth, and
identifying funding and capacity building for identified strategic housing goals.
Contingent on Phase I work product results and available funding, the next phase would develop
an Affordable Housing Strategy Toolkit incorporating a full community engagement process
mobilizing citizens, leadership, community advocates, and developers around recommended
policy, funding, programming, and advocacy strategies specific to Denton’s community profile. A
third phase could be engaged for technical assistance to assist the City to build out specific policy,
funding, programs and advocacy activities based on the Affordable Housing Strategy Toolkit,
including building prototypes for action.
SECTION 3. INITIAL PHASE
The City has identified a scope of work separated in phases. The City is interested in receiving
proposals that will meet the following:
1) Information Gathering – Gather existing data from various sources to develop a
comprehensive community profile of affordable housing inventory, needs, current
environment, and community investment.
a. Gather and analyze data to provide an inventory of existing affordable housing in the
city, including but not limited to:
i. Existing housing resources – where it is concentrated, what its characteristics
are (e.g. densities, age and condition) and the distance to services. This
includes all housing (public and private) and housing by type such as
affordable, workforce, and other housing provided by groups such as housing
authorities;
b. Gather and analyze data on housing opportunities where there is capacity for new
housing what kind of housing could be developed there (including levels of
affordability), what services are nearby;
c. Gather and analyze demand for housing including but not limited to:
i. Population characteristics – describe relevant household characteristics
including household income, composition, size and transportation needs in
relationship to current housing inventory;
ii. Analysis of jobs and wages – types of jobs and typical wages, as well as incomes
necessary to afford housing at different income levels;
iii. Future Land Use, Density and Growth patterns.
d. Gather and analyze information on applicable regulations and laws at the local, state,
and federal level.

i. Identifying key analysis questions and policy concerns to assist in scoping data
and analysis needs
e. Gather and analyze City, County, and Regional policies, funding and program impacts.
i. Identifying key stakeholder groups along with their roles and responsibilities
relating to housing issues;
ii. Identifying gaps among housing groups and planning needs;
f. Gather and analyze current planning around housing needs.
g. Gather data on the current environment and level of awareness, interest, and support
for affordable housing efforts among various stakeholders such as citizens, leadership,
community advocates, developers, and supportive housing program participants.
h. Conducting additional analysis using available data and new information as needed.
2) Data Analysis Report – Providing objective information and analysis. Develop a report
highlighting information gathered, providing an analysis of data and information, and
providing preliminary highlights or takeaways that could be further explored.
a. Summary of information gathered, methods, and sources.
b. Summary of affordable housing units currently available, existing gaps, and future
needs among all income levels (0% AMI, 30%, 50%, 60%, 80%, 100% and above).
c. Summary of current state, reginal and local policies and their impact on housing
issues.
d. Identify existing barriers that impede the development of affordable housing with
recommendations to address barriers.
e. Develop an analysis, to include, but not be limited to:
i. Inventory of existing housing resources
ii. Demand for housing – identifying the existing and future demand for housing
at various types of affordable housing and market rate housing and densities,
as well as the different housing markets in the City. Broken down by:
a) rental vs. homeownership
b) housing type
c) household size
d) income limits (i.e. 30% AMI, 50% AMI, 80% AMI, 120% AMI)
iii. Comparison of housing opportunities to housing needs – identify where there
are matches or mismatches between housing opportunities and needs;
iv. Complete an Inventory of Existing Funding Resources, Analysis of
opportunities for additional options for incentivizing housing options for all
income levels (0% AMI, 30%, 50%, 60%, 80%, 100% and above).
3) Resources & Strategies
a. Recommendations for a clear definition of “Affordable Housing” in Denton, TX.

b. Initial review and highlights of tools and solutions that could encourage or incentivize
affordable housing. What tool or tools will have the best Return on Investment (ROI)?
c. Recommendations for action steps to improve coordination among the various
stakeholders involved in housing.
SECTION 4. FUTURE PHASES
Additional Phases contingent on Phase I work product results and available funding:
4) Phase II ‐ Facilitating Policy Discussion of an Affordable Housing Strategy toolkit that
identifies:
a. Policies that incentivize housing and manages growth.
b. Methods to generate diversified funding for the acquisition, preservation or
construction of affordable housing units.
c. Investment priorities for a diverse set of housing programs for the acquisition,
preservation and/or construction of affordable housing.
d. Advocates for public support of agreed upon solutions.
i. Next level of community engagement mobilizing around potential and
recommended strategies.
5) Phase III ‐ Technical Assistance
a. Work with the City to build out specific policy, funding, programs and advocacy
activities including building out Prototypes for Action

part of the scope of services they will be working on. If you expect to
subcontract with another provider for some services, describe the
relevant qualifications and experience for each individual who will
be completing each specific scope of work element and also describe
how the collaborators will work together to ensure seamless project
management (Please limit this to 5 pages maximum).

6.0 Cost The City has not identified a specific budget limit at this time
however, costs must be firm for the contract term. All unspecified
costs shall be borne by the Respondent. Please provide proposed
pricing in two formats:
a) Flat fee/lump sum proposed cost including all direct and
indirect costs to complete the scope of work.
b) Please provide a proposed total cost break down (by subsection
of the scope of services) based on this information and indicate
hourly rates for all proposed staff needed to complete the
scope of services with the anticipated amount of hours each
proposed staff member will dedicate to complete the work. In
the consultant budget submitted with the proposal, please
indicate areas where the City can provide assistance to
minimize cost.
