FIRST AMENDMENT TO CONTRACT
BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND HALFF ASSOCIATES, INC.

THIS FIRST AMENDMENT TO CONTRACT 7418 (“Amendment”) by and
between the City of Denton, Texas (“City”) and Halff Associates, Inc. (“Consultant”); to
that certain contract executed on December 7, 2020, in the original not-to-exceed amount
of $186,651 (which included a 15% contingency amount of $24,377) (the “Agreement”);
for services related to the design of Recreation and Trails Masterplan.
WHEREAS, the City deems it necessary to further expand the services provided by
Consultant to the City pursuant to the terms of the Agreement, and to provide an additional
not-to-exceed amount $3,623 with this Amendment for an aggregate not-to-exceed amount
of $190,274; and
FURTHERMORE, the City deems it necessary to further expand the goods/services
provided by Consultant to the City;
NOW THEREFORE, the City and Consultant (hereafter collectively referred to as the
“Parties”), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following Amendment, which
amends the following terms and conditions of the said Agreement, to wit:
1. The additional services described in Exhibit “A” of this Amendment, attached
hereto and incorporated herein for all purposes, for professional services related to
the Recreation and Trail Masterplan, are hereby authorized to be performed by
Consultant. For and in consideration of the additional services to be performed by
Consultant, the City agrees to pay, based on the cost estimate detail attached as
Exhibit “A”, a total fee, including reimbursement for non-labor expenses an amount
not to exceed $28,000 of which $24,377 is contingency in the contract.
2. This Amendment modifies the Agreement amount to provide an additional $3,623
for the additional services with a revised aggregate not to exceed total of $190,274.
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.

As per our discussion, we understand that you would like Halff Associates to review the previously identified Performance Venue opportunities and make refinements, assess the potential for additional outdoor performance venues in the park system, prepare the associated estimates of probable cost, and incorporate this information into the Parks, Recreation, and Trails System Master Plan. Below is a summary of our Scope of Work: 1. Rayzor Ranch Property – Review temporary concrete pad and permanent stage location. Evaluate seating options, access, power and lighting. Evaluate side slope
seating/mounding for access and usability. a. PRODUCT: Provide written comments and develop up to two (2) concept recommendations for optimal temporary and/or permanent stage orientation, access, seating capacity and seating improvements. Develop and refine concept sketch and provide final concept plan along with cost estimate. (Fee $5,000)
2. Performance Venue Plan (PVP) – Review, evaluate and comment on the Denton Performance Venues Plan document. a. Cultural District Performance Venues i. “The Nook”, a small amphitheater in Quakertown Park ii. Senior Center Stage (develop a Name/Brand) at Quakertown Park iii. City Hall Sunken Garden Performance Area – Upgrades in the garden to support small performances. iv. Festival Stage – Review and evaluate Planning for Arts and Jazz and other similar festivals. v. City Hall West – Evaluate indoor performance space.
vi. Indoor – Outdoor space that could be used for the community market in the McKinney parking lot. vii. Fred Moore Park: Future enhancement to the existing performance pavilion viii. Industrial Park: Opportunity for small local public engagement, education and small performance events.

ix. Farmers Market: Review location options and evaluate highest and best use alternative to support the city’s vision, using previous concepts as
background. x. Plazas: Review location options and evaluate highest and best use alternative to support the city’s vision. xi. Micro-Amphitheater: Review concept proposed at Villages of Carmel. b. Develop two (2) preliminary concept alternatives for farmers market and plazas. Concept sketch shall consider available land, parking, access, circulation, size of venue and capacity. c. PRODUCT: Provide evaluation, written recommendation on improvements to be made, concept development for the farmers market & plaza and an updated

Concept Development: (Fee $18,000) We estimate approximately $28,000 will be needed to perform these additional services and the
recommendations will be incorporated into the overall parks, recreation, and trail system master plan (subject to Owner review). We request your signature below to confirm the scope and fee; however, as requested verbally, we are proceeding with the work as described above. If the scope and/or fee is not acceptable, please notify us immediately. If we do not receive notification of a change within three (3) working days we will conclude that the scope and fee outlined above is acceptable and we will bill you accordingly when the work is completed.
