AN ORDINANCE OF THE CITY OF DENTON, A TEXAS HOME-RULE MUNICIPAL
CORPORATION, AUTHORIZING THE APPROVAL OF THE SECOND AMENDMENT TO A
CONTRACT BETWEEN THE CITY OF DENTON AND GIVING HOPE, INC., AMENDING
THE CONTRACT APPROVED BY CITY COUNCIL ON DECEMBER 17, 2020 IN THE NOT-
TO-EXCEED AMOUNT OF $277,616.00, FOR THE EMERGENCY SOLUTIONS GRANT
CARES ACT (ESG-CV); SAID SECOND AMENDMENT TO EXTEND THE TERM OF THE
CONTRACT TO OCTOBER 3 1, 2021 ; AND PROVIDING AN EFFECTIVE DATE (RFQ 7525-
002 – EXTENDING A CONTRACT WITH GIVING HOPE, INC. TO OCTOBER 3 1, 202 1).
WHEREAS, on December 17, 2020, by Ordinance No. 20-2453, the City awarded a contract
to Giving Hope, Inc. in the amount of $277,616.00, for allocation of funding for the Emergency
Solutions Grant CARES Act (ESG-CV); and
WHEREAS, on May 4, 2021, by Ordinance No. 21-794, the City awarded a First
Amendment to Giving Hope, Inc. in the amount of $158,701.00, to reduce the allocation of funding
for the Emergency Solutions Grant CARES Act (ESG-CV); and
WHEREAS, the additional fees under the proposed Second Amendment are fair and
reasonable and are consistent with, and not higher than, the recommended practices and fees
applicable to the Provider’s profession, and such fees do not exceed the maximum provided by law;
NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The findings and recitations contained in the preamble of this ordinance are
incorporated herein by reference.
SECTION 2. The authority to receive additional Emergency Solutions Grant CARES Act
(ESG-CV) services from Giving Hope, Inc., authorized by Ordinance 20-2453, is hereby extended
under File 7525-002 until October 3 1, 2021 by the execution of the amendment attached hereto.
SECTION 3. The City Council delegates the authority to the City Manager, or their
designee, to take any actions that may be required or permitted to be performed by the City of
Denton under File 7525-002 to the City Manager of the City of Denton, Texas, or their designee.
SECTION 4: This ordinance shall become effective immediately upon its passage and
approval.

SECOND AMENDMENT TO CONTRACT
BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND GIVING HOPE (7525-002)
THIS SECOND AMENDMENT TO CONTRACT 7525-002 (this “Amendment”)
by and between the City of Denton, Texas (“City”) and Giving Hope, Inc. (“Contractor”)
to that certain contract executed December 17, 2020 in the not to exceed amount $277,616
(“the Original Agreement”); amended on May 4, 2021 to reduce the not to exceed amount
to $158,701 (the “First Amendment”); (collectively, the Original Agreement and the First
Amendment are the “Agreement”) for allocation of funding for the Emergency Solutions
Grant CARES Act (ESG-CV)
WHEREAS, Contractor has substantially completed the work called for in the
Agreement, and the City deems it necessary to further expand the services provided by
Contractor to the City, and to provide an additional 3 month term with this Amendment.
WHEREAS, the City deems it necessary to further expand the goods/services
provided by Contractor to the City; and
NOW THEREFORE, the City and Contractor (hereafter collectively referred to as the
“Parties”), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following Amendment, which
amends the following terms and conditions of the said Agreement, to wit:
1. This Amendment modifies the Agreement amount to provide an additional three
month term until October 31, 2021 to be provided in accordance with the terms
of the Agreement.
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.
