REMEDIES: A. TheOwnerinsuch contingencymayexerciseanyrights, claimsordemandswhichthePrimeContractormay haveagainstthirdpersonsinconnectionwiththisContractandforsuchpurposethePrime Contractordoesherebyassign, transferandsetoveruntotheOwnerallsuchrightsclaims anddemands. B. CumulativeRemedies EveryrightorremedyhereinconferreduponorreservedtotheOwnershallbecumulative, shallbeinadditiontoeveryrightandremedynoworhereafterexistingatlaworinequity orbystatute, andthepursuitofanyrightorremedyshallnotbeconstruedasan election. Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 CITYOFDENTONGENERALCONDITIONSFORCONSTRUCTION ARTICLE1GENERALPROVISIONS GENERALDEFINITIONS 1.1ThefollowingdefinitionsapplythroughouttheseGeneralConditionsandtotheother ContractDocuments: a) THECONTRACTDOCUMENTS TheContractDocumentsconsistoftheformalBuildingConstructionServicesAgreement betweentheOwnerandthePrimeContractor, theseGeneralConditionsandother supplementaryconditionsincludedbyspecialprovisionsoraddenda, drawings, specifications, addendaissuedpriortoexecutionoftheContract, otherdocumentslistedin theContract, andAmendmentsissuedafterexecutionoftheContract. Forpurposesofthese GeneralConditions, anAmendmentis: 1) awrittenSupplementalAgreementtotheContractsignedbyauthorizedrepresentatives ofbothparties; 2) aChangeOrder, includingChangeOrderssignedonlybytheOwnerasdescribedin Subparagraph7.1(b) andSubparagraph7.1(e); or 3) awrittenorderforaminorchangeintheWorkissuedbytheArchitect/Engineeras describedinParagraph7.3. TheContractDocuments Bidders, sampleforms, thePrimeContractor'sBidProposalandportionsofaddenda relatingtoanyofthesedocuments, andanyotherdocuments, exhibitsorattachments specificallyenumeratedintheBuildingConstructionServicesAgreement, butspecifically excludegeotechnicalandsubsurfacereportsthattheOwnermayhaveprovidedtothe PrimeContractor. b) THECONTRACT TheContractDocuments, asdefinedinParagraph1.1, areexpresslyincorporatedintoand madeapartoftheformalBuildingConstructionServicesAgreementbetweentheOwner andthePrimeContractorbyreferenceinthisParagraphandParagraph1.1 (which documentsaresometimesalsoreferredtocollectivelyintheseGeneralConditionsasthe betweentheOwnerandthePrimeContractorandsupersedeallpriornegotiations, representationsoragreements, eitherwrittenororal. Thetermsandconditionsofthe ContractDocumentsmaybechangedonlybyanAmendment. TheContractDocuments arecomplementary, andwhatisrequiredbyoneshallbeasbindingasifrequiredbyall; performancebythePrimeContractorshallberequiredonlytotheextentconsistentwith theContractDocumentsandreasonablyinferablefromthemasbeingnecessarytoproduce theintendedresults. d) OrganizationoftheSpecificationsintodivisions, sections, andarticles, andarrangement ofDrawingsshallnotcontrolthePrimeContractorindividingtheWorkamong Subcontractor(s) orinestablishingtheextentofWorktobeperformedbyanytrade. e) UnlessotherwisestatedintheContractDocuments, wordswhichhavewell-known technicalorconstructionindustrymeaningsareusedintheContractDocumentsin accordancewithsuchrecognizedmeanings. In theeventofaconflictontheDrawingsbetweenscaleanddimension, figureddimensions shallgovernoverscaledimensionsandlargescaledrawingsshallgovernoversmallscale drawings. Conflictbetweentwoormoredimensionsapplyingtoacommonpointshallbe referredtotheArchitect/Engineer/Engineerforfinaladjustment. Ifdiscrepanciesor conflictsoccurwithinorbetweentheDrawingsandSpecificationsregardingtheWork, or withinorbetweenotherContractDocuments, thePrimeContractorshallnotperformsuch WorkwithouthavingobtainedaclarificationfromtheArchitect/Engineerandresolution bytheOwner. TheOwner'sdecisionastotheappropriateresolutionofaconflictor discrepancyshallbefinal. ShouldtheDrawingsortheSpecificationsdisagreewithin themselvesorwitheachother; theBaseBidwillbebasedonthemostexpensive combinationofqualityandquantityofWorkindicated. g) DeviationsfromContractDocumentsshallbemadeonlyafterwrittenapprovalis obtainedfromArchitect/EngineerandOwner, asprovidedinArticle7. h) TheintentionoftheContractDocumentsistoincludeallmaterials, labor, tools, equipment, utilities, appliances, accessories, services, transportation, andsupervision requiredtocompletelyperformthefabrication, erectionandexecutionoftheWorkin itsfinalposition. i) ThemostrecentlyissuedDrawingorSpecificationtakesprecedenceoverprevious issuesofthesameDrawingorSpecification. Intheeventofaconflict, theorderof precedenceofinterpretationoftheContractDocumentsisasfollows: 1) Amendments (seeParagraph7.2fororderofprecedencebetweenAmendments); 2) theBuildingConstructionServicesAgreement; 3) addenda, withthoseaddendaoflaterdatehavingprecedenceoverthoseofanearlier date; 4) theSupplementaryGeneralConditionsandSpecialProvisions, ifany; 5) theGeneralConditionsforBuildingConstruction; 6) 0theSpecificationsandDrawings. ARTICLE2 - THEOWNER 2.1DEFINITIONOFOWNER TheOwneristheCityofDenton, aTexasmunicipalcorporation, andisidentifiedassuchin theBuildingConstructionServicesAgreement, andisreferredtothroughouttheContract authorizedrepresentatives. 2.2INFORMATIONANDSERVICESREQUIREDOFTHEOWNER a) TheOwnershallfurnishthemostrecentsurveydescribingthephysicalcharacteristics, legallimits, utilitylocations, andapermanentbenchmarkforthesiteoftheProject. The Ownershallalsofurnishanyenvironmentalsiteassessmentsthatmayhavebeengivento theOwnerorconductedforthepropertyuponwhichtheProjectistobeconstructed. THIS INFORMATIONISFURNISHEDTOTHEPRIMECONTRACTORONLYINORDER TOMAKEDISCLOSUREOFTHISMATERIALANDFORNOOTHERPURPOSE. BYFURNISHINGTHISMATERIAL, THEOWNERDOESNOTREPRESENT, WARRANT, ORGUARANTEEITSACCURACYEITHERINWHOLE, INPART, IMPLICITLYOREXPLICITLY, ORINANYOTHERWAY, ANDTHEOWNER SHALLHAVENOLIABILITYFORTHISMATERIAL. b) ExceptforpermitsandfeeswhichareprovidedforinSubparagraph3.7(a), theOwnershall secureandpayfornecessaryapprovals, easements, assessments, andchargesrequiredfor construction, use, oroccupancyofpermanentstructuresorforpermanentchangesin existingfacilities. c) reasonablepromptnesstoavoiddelayintheorderlyprogressoftheWork. Itisincumbent uponthePrimeContractortoidentify, establish, andmaintainacurrentscheduleoflatest datesforsubmittalandapproval, asrequiredinParagraph3.10, includingwhensuch informationorservicesmustbedelivered. IfOwnerdeliverstheinformationorservicesto thePrimeContractorasscheduledandPrimeContractorisnotpreparedtoacceptoracton Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 suchinformationorservices, thenPrimeContractorshallreimburseOwnerforallextra costsincurredofholding, storage, orretention, includingredeliveriesbytheOwnerto complywiththecurrentschedule. d) UnlessotherwiseprovidedintheContractDocuments, thePrimeContractorwillbe furnishedelectroniccopiesoftheDrawingsandSpecificationsforbidpurposesandone hardcopyapprovedbyBuildingInspectionsuponexecutionoftheContract. Prime Contractormayobtainadditionalcopiesbypayingthecostofadditionalprintingor reproduction. e) Theobligationsdescribedaboveareinadditiontootherdutiesandresponsibilitiesofthe OwnerenumeratedintheContractDocumentsandespeciallythoseinrespecttoArticle6 ConstructionbyOwnerorbySeparateContractors), Article9 (Paymentsand Completion), andArticle11 (InsuranceandBonds). f) TheOwnershallforwardallinstructionstothePrimeContractorthroughthe carryoutWorkasdescribedinParagraph2.4. g) performanceof theWorktoassisttheArchitect/Engineerintheperformanceofthe Prime workmenemployedontheWork, theiroccupationalclassification, thetimeeachis engagedintheWork, theequipmentusedintheperformanceoftheWork, andforpurpose ofverificationofPrime IfthePrimeContractorfailstocorrectanyportionoftheWorkwhichisnotinaccordancewith therequirementsoftheContractDocumentsasrequiredbyParagraph12.2orrefusesorfails tocarryoutalloranypartoftheWorkinaccordancewiththeContractDocuments, theOwner, bywrittenorder, mayorderthePrimeContractortostoptheWork, oranyportionoftheWork, untilthecausefortheorderhasbeeneliminated. TherightoftheOwnerhowever, tostopthe WorkshallnotcreateorimplyadutyonthepartoftheOwnertoexercisethisrightforthe benefitofthePrimeContractororanyotherpersonorentity. TherightsoftheOwnerunder Paragraph12.2. 2.4O IfthePrimeContractorfailsorrefusestocarryouttheWorkorperformanyoftheterms, covenants, orobligationsoftheContractDocuments, andfailsorrefusestocorrectanyfailure orrefusalwithdiligenceandpromptnesswithinfourteen (14) daysafterreceiptofwritten noticefromtheOwner, theOwnermaycorrectthePrime causesuchfailureorrefusaltobecorrected, withoutaffecting, superseding, orwaivingany othercontractual, legal, orequitableremediestheOwnerhas, includingbutnotlimitedtothe issueddeductingtheOwner'scostofcorrection, includingArchitect/Engineer'scompensation foradditionalservicesandexpensesmadenecessarybythefailureorrefusalofthePrime ContractorfrompaymentsthenorthereafterduetothePrimeContractor. Thecostofcorrection issubjecttoverification (butnotapproval) bytheArchitect/Engineer. ARTICLE3 - THECONTRACTOR 3.1DEFINITIONOFCONTRACTOR ThePrimeContractoristhepersonorbusinessentityidentifiedassuchintheBuilding ConstructionServicesAgreement, andisreferredtothroughouttheContractDocumentsasif Prime PrimeContractororthePrime 3.2REVIEWOFCONTRACTDOCUMENTSANDFIELDCONDITIONSBY CONTRACTOR a) ThePrimeContractorshallcarefullycheck, study, andcomparetheContractDocuments witheachotherandshallatoncereporttotheArchitect/Engineerinwritingany inconsistency, ambiguity, error, omission, conflict, ordiscrepancythePrimeContractor maydiscover. ThePrimeContractorshallalsoverifyalldimensions, fieldmeasurements, andfieldconditionsbefore layingouttheWork. ThePrimeContractorwillbeheld responsibleforanysubsequenterror, omission, conflict, ordiscrepancywhichmighthave beenavoidedbytheabove-describedcheck, study, comparison, andreporting. Intheevent thePrimeContractor continuestoworkonanitemwhereaninconsistency, ambiguity, error, omission, conflict, ordiscrepancyexistswithoutobtainingsuchclarificationor resolutionorcommencesanitemoftheWorkwithoutgivingwrittennoticeofanerror, omission, conflict, ordiscrepancythatmighthavebeenavoidedbythecheck, study, and comparisonrequiredabove, itshallbedeemedthatthePrimeContractorbidandintended toexecutethemorestringent, higherquality, orstateoftheartrequirement, oraccepted theconditionasisintheContractDocuments, withoutanyincreasetotheContractSum orContractTime. ThePrimeContractorshallalsoberesponsibletocorrectanyfailureof componentpartstocoordinateorfitproperlyintofinalpositionasaresultofPrime Contractor'sfailuretogivenoticeofandobtainaclarificationorresolutionofanyerror, omission, conflict, ordiscrepancy, withoutanyrighttoanyincreasetotheContractSum orContractTime. b) ThePrimeContractorshallperformtheWorkinaccordancewiththeContractDocuments andsubmittalsapprovedpursuanttoParagraph3.12. 3.3SUPERVISIONANDCONSTRUCTIONPROCEDURES a) ThePrimeContractorshallsuperviseanddirecttheWork, usingthePrime bestskillandattention. ThePrimeContractorshallbesolelyresponsibleforandhave controloverconstructionmeans, methods, techniques, sequences, andproceduresandfor coordinatingallportionsoftheWork, unlesstheContractDocumentssetforthspecific instructionsconcerningthesematters. Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 b) ThePrimeContractorshallberesponsibletotheOwnerfortheactsandomissionsofthe Prime -subcontractors, andtheirrespective agentsandemployees, andanyotherpersonsperformingportionsoftheWorkundera subcontractwiththePrimeContractor, orwithanySubcontractor, andallotherpersonsor entitiesforwhichthePrimeContractorislegallyresponsible. Alllaborshallbeperformed bymechanicsthataretrainedandskilledintheirrespectivetrades. Standardsofwork requiredthroughoutshallbeofaqualitythatwillbringonlyfirstclassresults. Mechanics whoseworkisunsatisfactory, orwhoareconsideredcareless, incompetent, unskilled, or otherwiseobjectionableshallbedismissedpromptlyfromtheWorkandimmediately replacedwithcompetent, skilledpersonnel. AnypartoftheWorkadverselyaffectedbythe actsoromissionsofincompetent, unskilled, careless, orobjectionablepersonnelshallbe immediatelycorrectedbythePrimeContractor. c) ThePrimeContractorshallnotberelievedofitsobligationtoperformtheWorkin accordancewiththeContractDocumentseitherbyactivitiesordutiesofthe inspections, orapprovalsrequiredorperformedbypersonsotherthanthePrime Contractor. d) ThePrimeContractorshallbe responsibleforinspectionofportionsofWorkalready performedunderthisContracttodeterminethatsuchportionsareinproperconditionto receivesubsequentWork. ThePrimeContractor'sresponsibilityunderthisparagraphwill notinanywayeliminatetheArchitect/Engineer'sresponsibilitytotheOwnerunderthe Architect/Engineer/OwnerAgreement. e) AnyPrimeContractor, Subcontractor, Sub-subcontractor, orseparatecontractorwho commencesWorkover, in, orunderanysurfacepreparedbytheOwnerorbyanyother contractor, subcontractor, sub-subcontractor oranyseparatecontractor, withoutthePrime ContractorhavinggivenwrittennoticetotheArchitect/Engineeroftheexistenceofany faultysurfaceorconditioninthesurfacethatpreventsachievingthequalityof workmanshipspecifiedbytheContractDocumentsandwithouthavingobtainedtheprior approvaloftheArchitect/EngineerandtheOwnertoproceedisdeemedtohaveaccepted thesurfaceorconditioninthesurfaceassatisfactoryatthecommencementofsuchWork. AnyunsatisfactoryWorksubsequentlyresultingfromsuchafaultysurfaceorconditionin thesurfacethatwasnotpre-approvedbytheArchitect/EngineerortheOwnerafternotice asprovidedabovemayberejectedandreplacementrequired, withoutanyincreasetothe ContractSumorContractTime. f) Allgrades, lines, levels, andbenchmarksshallbeestablishedandmaintainedonanongoing basisbythePrimeContractor. ThePrimeContractorissolelyresponsibleforanyerrors madeinestablishingormaintainingpropergrades, lines, levels, orbenchmarks. Contractor shallverifyallgrades, lines, levels, anddimensionsasindicatedonDrawings. Heshall reportanyerrors, omissions, conflicts, orinconsistenciestoArchitect/Engineerbefore commencinganyWorkaffectedbytheseconditions. Contractorshallestablishand safeguardbenchmarksinatleasttwowidelyseparatedplacesand, asWorkprogresses, establishbenchmarksateachlevelandlayoutpartitionsonroughfloorinexactlocations Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 asguidestoalltrades. TheContractorshall, fromthepermanentbenchmarkprovidedby theOwner, establishandmaintainadequatehorizontalandverticalcontrol. 3.4LABORANDMATERIALS a) ExceptasisotherwisespecificallyprovidedintheContractDocumentsasbeingthe responsibilityoftheOwner, thePrimeContractorshallprovideandpayforlabor, materials, equipment, tools, constructionequipmentandmachinery, water, heat, utilities, transportation, andotherfacilitiesandservicesnecessaryforproperexecutionand completionoftheWork, whethertemporaryorpermanentandwhetherornotincorporated ortobeincorporatedintheWork. b) ThePrimeContractorshallenforcestrictdisciplineandgoodorderamongthePrime Contraall otherpersonscarryingouttheContract. ThePrime Contractorshallnotpermitemploymentofunfitpersonsorpersonsnotskilledintasks assignedtothem. c) ThePrimeContractorshallgivepreference, whenqualifiedlaborisavailabletoperform theWorktowhichtheemploymentrelates, toalllaborhiredfortheProjectinthefollowing order: 1) residentsoftheCityofDenton, Texas; 2) residentsoftheCountyofDenton, Texas; 3.5WARRANTY a) GeneralWarranty. TheContractorwarrantstotheOwnerthatallWorkshallbe accomplishedinagoodandworkmanlikemannerandthatallmaterialsandequipment furnishedundertheContractwillbeofgoodquality, new (unlessotherwisespecified), and freefromfaultsordefects, andthattheWorkwillotherwiseconformtotheContract Documents. Worknotconformingtotheserequirements, includingsubstitutionsnot properlyapprovedandauthorized, willbeconsidereddefectiveornonconforming. The Contra modifications notexecutedbytheContractor, improperorinsufficientmaintenance, improperoperation, ornormalwearandtearundernormalusage. Ifrequiredbythe Architect/Engineer, theContractorshallfurnishsatisfactoryevidenceastothekindand qualityofmaterialsandequipment. Thecommencementdate, duration, andother conditionsrelatedtothescopeofthisgeneralwarrantyareestablishedinSubparagraphs 9.9 (a) and12.2(b) oftheseGeneralConditions. THEGENERALWARRANTY PROVIDEDINTHISSUBPARAGRAPHISINADDITIONTOANDDOESNOT LIMITORDISCLAIMANYOTHERWARRANTYORREMEDYREQUIREDOR PROVIDEDBYLAWORTHECONTRACTDOCUMENTSANDSUCHWARRANTY SHALLREQUIRETHECONTRACTORTOREPLACEDEFECTIVEMATERIALS ANDRE-EXECUTEDEFECTIVEWORKTHATISDISCLOSEDBYTHEOWNER TOTHECONTRACTORWITHINAPERIODOF TWO (2) YEARS AFTER SUBSTANTIALCOMPLETIONOFTHEENTIREWORK; OR, IFALATENT Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 DEFECT IS DISCOVEREDWITHINTWOYEARSOFSUBSTATIONAL COMPLETIONOFTHEENTIREWORK. b) SpecialWarranties. TheContractorshallassigntotheOwnerinwriting, asacondition precedenttofinalpayment, thetermsandconditionsofallspecialwarrantiesrequired undertheContractDocuments. 3.6TAXES TheOwnerqualifiesforexemptionfromstateandlocalsalesandusetaxes, pursuanttothe provisionsofSection151.309oftheTexasTaxCode, asamended. Therefore, theOwnershall notbeliablefor, orpaytheContractor'scostof, suchsalesandusetaxeswhichwould otherwisebepayableinconnectionwiththepurchaseoftangiblepersonalpropertyfurnished andincorporatedintotherealpropertybeingimprovedundertheContractDocumentsorthe purchaseofmaterials, suppliesandothertangiblepersonalproperty, otherthanmachineryor equipmentanditsaccessoriesandrepairandreplacementparts, necessaryandessentialfor performanceoftheContractwhichistobecompletelyconsumedatthejobsite. TheContractor shallissueanexemptioncertificateinlieuofthetaxonsuchpurchases. 3.7PERMITS, FEESANDNOTICES a) TheArchitect/EngineerwillapplyandarrangefortheissuanceoftheCityofDenton BuildingPermit. ThePrimeContractorandSubcontractorswillapplyandarrangeforthe issuanceofallotherrequiredpermits, andwillnotberequiredtopayafeeforanyCityof DentonpermitsrequiredfortheProject. TheOwnerwillpayallserviceextensioncharges, includingtapfees, assessedbytheWaterUtilitiesDepartment. b) ThePrimeContractorshallcomplywithandgivenoticesrequiredbylaws, ordinances, rules, regulations, andlawfulordersofgovernmentalentitiesoragenciesapplyingto performanceoftheWork. c) ExceptasprovidedinSubparagraph (d) below, itisnotthePrime responsibilitytoascertainthattheContractDocumentsareinaccordancewithapplicable laws, ordinances, constructioncodes, andrulesandregulations. However, ifthePrime ContractorobservesthatportionsoftheContractDocumentsareatvariancewith applicablelaws, ordinances, constructioncodes, rulesorregulations, thePrimeContractor shallpromptlynotifytheArchitect/EngineerandtheOwnerinwriting, andnecessary changesshallbeaccomplishedbyappropriateAmendment. d) IfthePrimeContractorperformsWorkknowingittobecontrarytolaws, ordinances, constructioncodes, orrulesandregulationswithoutnotifyingtheArchitect/Engineerand theOwner, thePrimeContractorshallassumefullresponsibilityfortheWorkandshall beartheattributablecostsofthecorrectionoftheWorkandanyotherWorkinplacethat maybeadverselyaffectedbythecorrectivework. 3.8ALLOWANCES Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 a) ThePrimeContractorshallincludeintheContractSumallallowancesstatedinthe ContractDocuments. Itemscoveredbyallowancesshallbesuppliedfortheamounts identifiedintheContractandbypersonsorentitiesastheOwnermaydirect, butthePrime ContractorshallnotberequiredtoemploypersonsorentitiesagainstwhichthePrime Contractormakesreasonableobjection. b) UnlessotherwiseprovidedintheContractDocuments: 1) materialsandequipmentunderanallowanceshallbeselectedpromptlybytheOwner toavoiddelayintheWork; 2) theamountofeachallowanceshallcoverthecosttothePrimeContractorofmaterials andequipmentdeliveredatthesitelessallexemptedtaxesandapplicabletrade discounts; 3) theamountofeachallowanceincludesthePrime scostsforunloadingand handlingatthesite, labor, installationcosts, overhead, profit, andotherexpenses contemplatedforstatedallowanceWork; 4) whenevercostsaremorethanorlessthanallowances, theContractSumshallbe adjustedaccordingly byChangeOrder. TheamountoftheChangeOrdershallreflect: i) thedifferencebetweenactualcostsandtheallowancesunderClause (b) (2); and 5) theOwnerretainstherighttoreviewandapproveSubcontractors selectedbythePrime Contractortoperformworkactivitiescoveredbyallowances. 3.9SUPERINTENDENT ThePrimeContractorshallemployacompetentsuperintendentandnecessaryassistantswho shallbeinattendanceattheProjectSiteduringperformanceoftheWork. Thesuperintendent shallrepresentthePrimeContractor, andcommunicationsgiventothesuperintendentshallbe asbindingasifgiventothePrimeContractor. Importantcommunicationsshallbeconfirmed inwriting. Othercommunicationsshallbesimilarlyconfirmedonwrittenrequestineachcase. TheOwnerreservestherighttorequestthatthePrimeContractorreplaceitssuperintendentat anytimeandthePrime 3.10 PRIME a) ThePrimeContractorshall, immediatelyafterawardoftheContractandbeforesubmittal ofthefirstApplicationforPayment, prepareandsubmittheconstructionscheduleforthe Architect/Engineer'sandOwner'sinformation, review, andapprovalinaccordancewith thefollowingprovisions: 1) UnlessotherwiseapprovedinwritingbytheOwner, theconstructionscheduleshallnot Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 exceedtheContractTimelimitscurrentlyineffectundertheContractDocumentsand shallprovideforexpeditiousandpracticableexecutionoftheWork. 2) Theconstruction scheduleshallincludeallshopdrawingandsubmittaldata requirements, indicatingforeach: i) thelatestdatetobesubmittedbythePrimeContractor; and ii) thelatestdateforapprovalbytheArchitect/Engineer. 3) Theconstructionscheduleshallbeintheformofacriticalpathmanagementschedule, requirescompletionpriortocommencementofthetasknextfollowing (the i) actualworktime, exclusiveofslacktime, foraccomplishment; ii) thelateststartdate; iii) thelatestfinishdate; iv) theamountoffloatassociatedwitheachtask; v) theamountoflabor, material, andequipmentassociatedwitheachtask; and vi) thepercentageofcompletionasofthedateofthecurrentschedule. 4) Theconstructionscheduleshallberevisedandupdatedmonthlytoreflecttheactual statusoftheWorkandshallbesubmittedwitheachApplicationforPayment. 5) Onorbeforethefirstdayofeachmonth, followingthedateofcommencementofthe Workasstatedinthenoticetoproceed, thePrimeContractorshallprepareandsubmit totheArchitect/EngineerandtheOwneranup-to-datestatusreportoftheprogressof thevariousconstructionphasesoftheWorkintheformofanupdatedconstruction schedule. Thisstatusreportshallconsistofatimescaledrawingindicatingactual progressofthevariousphasesoftheWorkandthepercentageofcompletionofthe entireWork. Theoriginalconstructionscheduleshallbeupdatedorchangedtoindicate anyadjustmentstotheContractTimegrantedbythe Owner. Theupdatedschedule mustbesubmittedwiththePrime such applicationwillbecertifiedwithoutasatisfactoryupdatetotheconstructionschedule. 6) Theconstructionschedulewillalsoberevisedtoshowtheeffectofchangeordersand othereventsonContractTime. NorequestforanincreaseinContractTimewillbe consideredunlessitisaccompanied byaschedulerevisiondemonstratingtheamount oftimerelatedtothecauseoftherequest. IftheCo thatthePrimeContractorhasfallenbehindthepacerequiredtocompletetheWork withintheContractTime, throughnofaultoftheOwner, thePrimeContractorshall preparearecoveryscheduledemonstratinghowitintendstobringitsprogressback Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 withintheContractTime. Thisrecoveryscheduleshallbeinaformacceptabletothe Owner. 7) CostsincurredbythePrimeContractorinpreparingandmaintainingtherequired constructionschedule, anyupdatedschedule, andanyrecoveryschedulerequiredby theOwnerwillnotbepaidasanadditionalorextracostandshallbeincludedinthe ContractSum. 8) TheContractSumisdeemedtobebaseduponaconstructionschedulerequiringthe fullContractTime. NOCLAIMFORADDITIONAL COMPENSATIONSHALLBE ALLOWEDASARESULTOFTHEPRIMECONTRACTORBASINGHISBIDON ANEARLYCOMPLETIONSCHEDULE, ORASARESULTOFDELAYSAND COSTSATTRIBUTABLETOCOMPLETIONLATERTHANTHEPLANNED EARLYCOMPLETIONDATE. b) ThePrimeContractorshallalsoprepareandkeepcurrent, forthe thePrime reasonabletimetoreviewsubmittals. c) ThePrimeContractorshallconformtothemostrecentschedulesapprovedasto formbytheArchitect/EngineerandtheOwner. Anysubsequentrevisionsmadeby thePrimeContractortoschedulesineffectshallconformtotheprovisionsof Subparagraph3.10(a) d) IftheWorkfallsbehindtheapprovedconstructionschedule, thePrimeContractor shalltakesuchstepsasmaybenecessarytoimprovehisprogress, andthe Architect/EngineerandtheOwnermayrequirehimtoincreasethenumberofshifts, overtimeoperations, daysofwork, ortheamountofconstructionplant, andto submitforapprovalrevisedschedulesintheformrequiredaboveinorderto demonstratethemannerinwhichtheagreedrateofprogresswillberegained, all withoutadditionalcosttotheOwner. 3.11DOCUMENTSANDSAMPLESATTHEPROJECTSITE TheContractorshallmaintainattheProjectsitefortheOwneronerecordcopyofthe Drawings, Specifications, addenda, andAmendmentsingoodorderandmarkedcurrentlyto recordchangesandselectionsmadeduringconstruction, andinadditionshallmaintainatthe ProjectsiteapprovedShopDrawings, ProductData, Samples, andsimilarrequiredsubmittals. TheseshallbeavailabletotheArchitect/Engineerandshallbedeliveredtothe Architect/EngineerforsubmittaltotheOwneruponcompletionoftheWork. 3.12SHOPDRAWINGS, PRODUCTDATAANDSAMPLES a) ShopDrawingsaredrawings, diagrams, schedules, andotherdataspeciallypreparedfor theWorkbytheContractororaSubcontractor, Sub-subcontractor, materialmen, manufacturer(s), supplier(s), ordistributor(s) toillustratesomeportionoftheWork. If requestedbythePrimeContractor, theprovisionsoftheOwner/Architect/Engineer AgreementwillbemadeavailabletothePrimeContractor. b) TheArchitect/Engineershallprovide, duringperformanceoftheWork, adequateand competentperiodicon-siteconstructionobservation, periodicallyvisitingtheProjectsite totheextentnecessarytopersonallyfamiliarizethemselveswiththeprogressandquality oftheWork, andtodetermineiftheWorkisproceedinginaccordancewiththeContract Documents. TheArchitect/Engineershallnot, however, berequiredtomakecontinuous on-siteinspectionstochecktheWork. Fieldreportsofeachvisitshallbepreparedbythe Architect/EngineerandsubmittedtotheOwner. TheArchitect/Engineershallemployall reasonablemeasurestosafeguardtheOwneragainstdefectsandnonconformities inthe Work. TheArchitect/Engineershallnotberesponsiblefortheconstructionmeans, methods, techniques, sequencesofprocedures, norforthesafetyprecautionsandprograms employedinconnectionwiththeWork. Communicationsbyandwiththe consultantsshallbethroughtheArchitect/Engineer. Communications byandwithSubcontractorsandmaterialsuppliersshallbethroughthePrimeContractor. CommunicationsbyandwithseparatecontractorswillbethroughtheOwner. ThePrime Contractorshallprovidewrittenconfirmationofcommunicationsmadedirectlywiththe OwnerandprovidecopiesofsuchconfirmationtotheArchitect/Engineer. e) Prime ApplicationsforPayment, theArchitect/Engineerwillreviewandcertifytheamountsdue thePrimeContractorandwillissueCertificatesforPaymentinsuchamounts. f) TheArchitect/EngineerandtheOwnerwilleachhaveauthoritytorejectWorkwhichdoes notconformtotheContractDocuments. WhenevertheArchitect/Engineerconsidersit necessaryoradvisableforimplementationoftheintentoftheContractDocuments, the Architect/Engineerwillhaveauthoritytorequireadditionalinspectionortestingofthe WorkinaccordancewithSubparagraphs3.17(b) and3.17(c), whetherornotsuchWorkis fabricated, installedorcompleted. Theduties, responsibilities, andlimitationsofauthorityofsuch ProjectrepresentativesshallbeassetforthinanexhibittobeincorporatedintotheContract Documents. k) TheArchitect/EngineerwillinterpretandmakerecommendationstotheOwnerconcerning performanceunderandrequirementsoftheContractDocumentsuponwrittenrequestof madewithreasonablepromptnessandwithinanytimelimitsagreedupon. IftheOwnerdeniesthePrime Contractor'sclaimforanextensionofContractTimeunderthisClause (i)(2), either inwholeorinpart, thePrimeContractorshallproceedtoprosecutetheWorkin suchamannerastoachieveSubstantialCompletiononorbeforethethenexisting ScheduledCompletionDate. 3) IfthePrimeContractorwouldhavebeenentitledtoatimeextensionforareason specificallyallowedundertheContractDocuments, foranamountoftimethat wouldhavejustifiedapprovalbytheOwnerifnotfortheneedandrightto accelerate, thePrimeContractormayinitiateaClaimforacceleration costs pursuanttoSubparagraph4.3(a). Apercentagemarkupforthe proratedcostofpremiumontheexistingperformanceandpaymentbondsand requiredinsurance; providedhowever, nottoexceedfive (5%) percent, willbe allowedontheclaimedaccelerationcosts. NOTHINGINTHECONTRACTDOCUMENTS IMMUNITYFROMLAWSUIT, WHICHIMMUNITYISEXPRESSLYRETAINEDTO THEEXTENTITISNOTCLEARLYANDUNAMBIGUOUSLYWAIVEDBY APPLICABLESTATELAW. ARTICLE5 - SUBCONTRACTORS 5.1DEFINITIONSOFSUBCONTRACTOR a) ASubcontractorispersonorentitywhohasadirectContractwiththePrimeContractorto performaportionoftheWorkattheProjectsiteortosupplymaterialsorequipmenttothe PrimeContractorbypurchaseorleaseforuseinperformanceoforincorporationintothe singularinnumberandmeansaSubcontractororanauthorizedrepresentativeofthe Subcontr subcontractorsofaseparatecontractor. b) ASub-subcontractorisapersonorentitywhohasadirectorindirectContract witha SubcontractortoperformaportionoftheWorkattheProjectsiteortosupplymaterialsor equipmenttotheSubcontractororanotherSub-subcontractorbypurchaseorleaseforuse su tothroughouttheContractDocumentsasifsingularinnumberandmeansaSub- subcontractororanauthorizedrepresentativeoftheSub-subcontractor. 5.2AWARDOFSUBCONTRACTSANDOTHERCONTRACTSFORPORTIONSOF THEWORK a) ImmediatelyaftertheawardoftheContractbytheOwner, andbeforetheBuilding ConstructionServicesAgreementissignedbythePrimeContractorandtheOwner, the PrimeContractorshallfurnishtotheArchitect/Engineerinwriting, foracceptancebythe OwnerandtheArchitect/Engineer, alistofthenames, addresses, telephonenumbers, M/WBEcertificationnumbers (whereapplicable), andtypeofworkoftheSubcontractors includingthosewhoaretofurnishmaterialsorequipmentfabricatedtoaspecialdesign), proposedfortheprincipalportionsoftheWork, includingfurnishingswhenmadeapart oftheContract. ThePrimeContractorshallimmediatelynotifytheOwnerinwritingof anychangesinthelistastheyoccur. TheArchitect/Engineerwillpromptlyreplytothe ContractorinwritingstatingwhetherornottheOwnerortheArchitect/Engineer, afterdue Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 investigation, hasreasonableobjectiontoanysuchproposedpersonorentity. Failureof theOwnerorArchitect/Engineertoreplypromptlyshallconstitutenoticeofnoreasonable objection. b) ThePrimeContractorshallnotContract withaproposedpersonorentitytowhomthe OwnerorArchitect/Engineerhasmadereasonableandtimelyobjection. c) Architect/Engineer'sandOwner'sapprovaloforobjectiontoanySubcontractororofa particularprocessormaterialwillnotrelievethePrimeContractorofhisresponsibilityfor performanceofWorkascalledforundertheContractDocuments, andshallnotprovidea basisforanyclaimforadditionaltimeormoneyonthepartofthePrimeContractor. Approvalshallnotbeconstruedtocreateany contractualrelationshipbetweenthe SubcontractorandeithertheOwnerorArchitect/Engineer. InnoeventshalltheContract SumbeincreasedasaresultoftherejectionofanySubcontractor. d) ThePrimeContractorshallnotchangeaSubcontractorpreviouslyselectediftheOwneror Architect/Engineermakesreasonableobjectiontosuchchange. 5.3SUBCONTRACTUAL RELATIONS a) Byappropriateagreement, writtenwherelegallyrequiredforvalidity, thePrimeContractor shallrequireeachSubcontractor, totheextentoftheWorktobeperformedbythe Subcontractor, tobeboundtothePrimeContractorbythetermsoftheContractDocuments includingbutnotlimitedtotheseGeneralConditions), andtoassumetowardthePrime ContractoralltheobligationsandresponsibilitieswhichthePrimeContractor, bythe ContractDocuments, assumestowardtheOwnerandtheArchitect/Engineer. Each subcontractagreementshallpreserveandprotecttherightsoftheOwnerandthe Architect/EngineerundertheContractDocuments (includingbutnotlimitedtothese GeneralConditions) withrespecttotheWorktobeperformedbytheSubcontractorsothat subcontractingwillnotprejudicetherightsoftheOwnerandtheArchitect/Engineer. Whereappropriate, thePrimeContractorshallrequireeachSubcontractortoenterinto similaragreementswithSub-subcontractors. ThePrimeContractorshallmakeavailableto eachproposedSubcontractor, priortotheexecutionofthesubcontractagreement, copies oftheContractDocumentstowhichtheSubcontractoristobebound. Subcontractorsshall similarlymakecopiesofapplicableportionsofsuchDocumentsavailabletotheir respectiveproposedSub-subcontractors. b) ThePrimeContractorissolelyresponsibleformakingpaymentsproperly tothePrime Prime ContractorshallcomplywiththefollowingadditionalrulesregardingSubcontractor payments: 1) ThePrimeContractor shallsubmit, beginningwiththeSecondApplicationand CertificateforPayment, aSubcontractorPaymentReport (the "Report") witheach ApplicationandCertificateforPayment. TheReportshallshowallpaymentsmadeto datebythePrimeContractor (plusexistingretainage) toeachSubcontractorinvolved intheProject. TheReportshallbemadeonaformapprovedandsuppliedbytheOwner. RECEIPTBYTHEOWNEROFTHEREPORTORAFFIDAVITSOFPAYMENT RECEIVEDSHALLBEACONDITIONPRECEDENTTOPAYMENTONANY APPLICATIONFORPAYMENT . 2) If, foranyreason, thePrimeContractoriswithholdingpaymenttoaSubcontractordue toadisputeorotherproblemwithperformance, thePrimeContractorshallnotethe amountwithheldandfurthernotethatthepaymentisindispute. TheOwnermay, inits solediscretion, requirethePrimeContractortodocumentandverifythedisputeor otherprobleminquestion. 3) TheOwnerreservestherightinitssolediscretion, towithholdpaymenttothePrime ContractorpursuanttoParagraph9.5(a) oftheGeneralConditions, shoulditappear fromtheReport, statementsofpaymentreceivedorotherinformationfurnishedtothe Ownerthat: i) theReporthasnotbeenproperlycompleted; ii) thePrimeContractorhasknowinglyprovidedfalseinformationregardingpayment ofanySubcontractor; or iii) thePrimeContractorhasotherwisefailedtomakepaymentsproperlytoany Subcontractor. 4) THEPRIMECONTRACTORSHALLNOTHAVEANYRIGHTTOMAKEA CLAIMFORADDITIONALTIMEORADDITIONALCOMPENSATIONASA RESULTOFTHEOWNER'SORARCHITECT/ENGINEER'SENFORCEMENTOF THISSUBPARAGRAPH5.3(b). NOPROVISIONOFTHISSUBPARAGRAPH OR ANYOFTHECONTRACTDOCUMENTSSHALLBECONSTRUEDTOCREATE ACONTRACTUALRELATIONSHIP, EXPRESSORIMPLIED, BETWEENANY SUBCONTRACTORANDEITHERTHEOWNERORTHE ARCHITECT/ENGINEERANDSHALLNOTBECONSTRUEDTOMAKEANY SUBCONTRACTOR ORANYOTHERPERSONORENTITY, ATHIRD-PARTY BENEFICIARYOFTHECONTRACTBETWEENTHEOWNERANDTHEPRIME CONTRACTOR. 5.4CONTINGENTASSIGNMENTOFSUBCONTRACTS IntheeventofaterminationofthisContractbytheOwnerunderArticle14, thePrime Contractorshall, ifrequestedinwritingbytheOwner, withinfifteen (15) daysafterthe datenoticeofterminationissent, deliverandassigntoOwner, oranypersonorentity actingontheOwner'sbehalf, anyorallsubcontractsmadebyPrimeContractorinthe performanceoftheWork, anddelivertotheOwnertrueandcorrectoriginalsandcopies ofthesubcontractdocuments. IntheeventassignmentisnotrequestedbytheOwner, Prime Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 ContractorshallterminateallsubcontractstotheextentthatOwnerhasnotdirected assignmentofsameandtotheextentthattheyrelatetotheperformanceofWorkterminated bythenoticeoftermination. ARTICLE6 - CONSTRUCTIONBYTHEOWNER/ SEPARATECONTRACTORS AWARDSEPARATE CONTRACTS a) TheOwnerreservestherighttoperformconstructionoroperationsrelatedtotheProject portionsoftheProjectorotherconstructionoroperationsontheProjectsiteunder ConditionsoftheContractidenticalorsubstantiallysimilartotheseGeneralConditions, includingthoseportionsrelatedtoinsuranceandwaiverofsubrogation. IfthePrime Contractorclaimsthatdelayoradditionalcostisinvolvedbecauseofsuchactionbythe Owner, thePrimeContractorshallmakeaclaimasprovidedelsewherein, andin accordancewiththeContractDocuments. b) WhenseparateContractsareawardedfordifferentportionsoftheProjectorother DocumentsineachcaseshallmeantheContractorwhoexecuteseachseparateBuilding ConstructionServicesAgreementwiththeOwner. c) ofeachseparatecontractorwiththeWorkofthePrimeContractor, whoshallcooperate withthem. ThePrimeContractorshallparticipatewithotherseparatecontractorsandthe Ownerinreviewingtheirconstructionscheduleswhendirectedtodoso. ThePrime Contractorshall, withtheapprovaloftheOwner, makeanyrevisionstotheconstruction scheduledeemednecessaryafterajointreviewandmutualagreement. Theconstruction schedulesshallthenconstitutetheschedulestobeusedbythePrimeContractor, separate contractors, andtheOwneruntilsubsequentlyrevisedbymutualagreementorbywritten ChangeOrder. IfthePrimeContractorbelievesitisentitledtoanadjustmentofthe ContractSumunderthecircumstances, thePrimeContractorshallsubmitawritten proposalforaChangeOrderpursuanttoArticle7oftheGeneralConditions. FailureofthePrimeContractortoso completedorpartiallycompletedconstructionisfitandpropertoreceivethePrime c) TheOwnershallnotbeliabletotheprimeContractorfordamagessufferedbythePrime Contractorduetothefaultornegligenceofaseparatecontractororthroughfailureofa separatecontractortocarryoutthedirectionsoftheOwnerortheArchitect/Engineer. ShouldanyinterferenceoccurbetweenthePrimeContractorandaseparatecontractor, the Architect/EngineerortheOwnermayfurnishthePrimeContractorwithwritten instructionsdesignatingpriorityofeffortorchangeinmethods, whereuponthePrime Contractorshallimmediatelycomplywithsuchdirection. Insuchevent, thePrime Contractorshallbe entitledtoanextensionoftheContractTimeonlyforunavoidable delaysverifiedbytheArchitect/Engineer; noincreaseintheContractSum, however, shall beduetothePrimeContractor. d) ThePrimeContractorshallpromptlyremedydamagewrongfullycausedbythePrime ContractortocompletedorpartiallycompletedconstructionortopropertyoftheOwneror separatecontractorsasprovidedinSubparagraph10.2(e). e) ShouldthePrimeContractorcausedamagetotheworkorpropertyofanyseparate contractorontheProject, thePrimeContractorshall, uponduenotice, settlewiththe separatecontractorbyagreement, iftheseparatecontractorwillsosettle. Iftheseparate contractorsuestheOwnerorsubmitsaclaimonaccountofanydamageallegedtohave beensosustained, theOwnershallnotifythePrimeContractorwhoshalldefendsuch proceedings, atthePrimeContractor'ssoleexpense, andifanyjudgmentorawardagainst PrimeContractorshallfullypay orsatisfyitandshallreimbursetheOwnerforanyand allattorney'sfeesandcostswhich theOwnerhasincurred. f) TheOwnerandeachseparatecontractorshallhavethesameresponsibilitiesforcutting andpatchingasaredescribedforthePrimeContractorinParagraph3.14. IfadisputearisesamongtheContractor, separatecontractorsandtheOwnerastothe responsibilityundertheirrespectivecontractsformaintainingtheProjectSiteandsurrounding areafreefromwastematerialsandrubbishasdescribedinParagraph3.15, theOwnermay cleanup, butisnotobligatedtodoso, andOwnershallallocatethecostamongthoseparties responsible, astheArchitect/Engineerrecommendstobejust. TheOwner, withoutinvalidatingthe Contractandwithoutrequiringnoticeofanykindtothesureties, mayorderchangestothe scopeofWorkundertheContractbyadditions, deletions, orotherrevisions, theContract SumandContractTimetobeadjustedconsistentwithotherapplicableprovisionsofthis Contract. WhenbothadditionsanddeletionsorcreditscoveringrelatedWorkorsubstitutions areinvolvedinanyonechange, theallowanceforoverheadandprofitshallbefiguredon thebasisofthenetincreaseordecreasewithrespecttothatchange. 7.2SUPPLEMENTALAGREEMENTS AwrittenSupplementalAgreementcanalsobeusedtoimplementchangesintheWorkinsteadof aChangeOrderform, includingbutnotlimitedtosituationsinvolvingpartialoccupancyofthe WorkunderParagraph9.8, achangemadetotheDrawingsortheSpecificationswithoutan increaseintheContractSum, orspecialcircumstanceswhereitisnecessaryormoreappropriate fortheOwnertouseaSupplementalAgreement. WrittenSupplementalAgreementsshallhavea statusequaltothatofChangeOrdersforpurposesofpriorityofContractDocumentsinterpretation, exceptthattotheextentofaconflict, laterSupplementalAgreementsintimecontroloverearlier SupplementalAgreements, andthelatestChangeOrderorSupplementalAgreementintime controlsoverearlierdatedChangeOrdersandSupplementalAgreements. Therulesof Subparagraphs7.1(b) through (f) shallalsoapplytothenegotiationandexecutionofSupplemental Agreements. 7.3MINORCHANGESINTHEWORK TheArchitect/Engineer, afternotifyingtheOwner, shallbeauthorizedtoorderminorchanges intheWorknotinvolvinganadjustmentintheContractSumoranextensionoftheContract TimeandnotinconsistentwiththeintentoftheContractDocuments. Minorchangesshallbe effectedbywrittenorder, andshallbebindingontheOwnerandtheContractor. The Contractorshallcarryoutsuchwrittenorderspromptly. Thesewrittenordersshallnotbe deemedtochangeorimpacttheContractSumortheContractTime. Contractorshallhaveno ClaimforanyminorchangeorderedtotheWorkunderthisParagraph7.3unlesstheContractor submitsitschangeproposal, priortocomplyingwiththeminorchangeorderedandinnoevent laterthanten (10) workingdaysfromthedatetheminorchangewasordered, totheOwnerfor approval. 7.4TIMEREQUIREDTOPROCESSAMENDMENTS a) itemizedbreakdownofcosts. The approvalprocessrequiresaminimumofforty-five (45) calendardaysaftersubmissionto theOwnerinfinalformwithallsupportingdata. ReceiptofasubmissionbyOwnerdoes notconstituteacceptanceorapprovalofaproposal, nordoesitconstituteawarrantythat theproposalwillbeauthorizedbyCityCouncilResolution, OrdinanceorAdministrative Action. THETIMEREQUIREDFORTHEAPPROVALPROCESSSHALLNOTBE CONSIDEREDADELAYANDNOEXTENSIONSTOTHECONTRACTTIMEOR INCREASEINTHECONTRACTSUMWILLBECONSIDEREDORGRANTEDAS ARESULTOFTHISPROCESS. Pendingtheapprovaldescribedabove, theContractor willproceedwiththeworkunderapendingAmendmentonlyifdirectedinwritingbythe Owner. ARTICLE8 - CONTRACTTIME 8.1DEFINITIONS a) Unlessotherwiseprovided, theContractTimeistheperiodoftime, includingauthorized adjustments, allottedintheContractDocumentsforSubstantialCompletionoftheWork. b) ThedateofcommencementoftheWorkisthedateestablishedintheNoticetoProceed fromtheOwner. PartialoccupancyanduseshallnotbedeemedasanacceptanceoftheWorktaken orused. e) ThePrimeContractorshallpromptlysuspendtheWorkwheneitherthePrimeContractor ortheOwnerisorderedtodosobyacourtorderfromacourthavinglawfuljurisdiction, andthePrimeContractorwillnotbeentitledtoadditionalcompensationbyvirtueofany delaysresultingfromthecourtorder. ThePrimeContractorwillalsonotbeliabletothe OwnerforadelaycausedinfactbytheWorkbeingsuspendedbyacourtorder. f) TheArchitect/Engineer, withtheconsentoftheOwner, shallhavetheauthoritytosuspend theWork, inwholeorinpart, forsuchperiodorperiodsastheArchitect/Engineerdeems necessaryduetounusualorsevereweatherconditionsasareconsideredunfavorablefor thesuitableprosecutionoftheWork, orduetofailureonthepartofthePrimeContractor tocorrectconditionsconsideredunsafeforworkmenorthegeneralpublic. Ifitshould becomenecessarytostoptheWorkforanindefiniteperiod, thePrimeContractorshall Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 storeallmaterialsinsuchamannerthattheywillnotobstructorimpedethepublic unnecessarilyorbecomedamagedinanyway, andshalltakeeveryprecautiontoprevent damageordeteriorationoftheWorkperformed. IncasesofsuspensionoftheWorkunder thisSubparagraph, thePrimeContractorshallalsoprovidesuitabledrainageaboutthe Workanderecttemporarystructureswherenecessary. ThePrimeContractorshallnot suspendtheWorkinwholeorinpartwithoutwrittenauthorityfromtheArchitect/Engineer ortheOwner, andshallresumetheWorkpromptlywhennotifiedbytheArchitect/Engineer ortheOwnertoresumeoperations. g) IntheeventofadelaythatistheresponsibilityofthePrimeContractororanyofthe Subcontractors, forwhichthePrimeContractorisnotentitledtoatimeextensionunder theprovisionsofthisContract, theOwnermaydirectthattheWorkbeacceleratedby meansofovertime, additionalcrewsoradditionalshifts, orresequencing. Thisacceleration shallbeatnocosttotheOwnerandwillcontinueuntiltheContractTimeisrestored. In theeventofadelayforwhichthePrimeContractorisentitledtoatimeextension, as determinedbytheArchitect/Engineer, Ownermaysimilarlydirectaccelerationandthe PrimeContractoragreestoperformsameonthebasisthatthePrimeContractorwillbe reimbursedonlytotheextentdescribedinSubparagraph4.3(i). THEPRIME CONTRACTOREXPRESSLYWAIVESANYOTHERCOMPENSATION RESULTINGFROMACCELERATION, SUCHASLOSSOFLABOR PRODUCTIVITYOREFFICIENCY. Thisschedule, whenapprovedbytheArchitect/EngineerandtheOwner, shallbe usedasabasisforthePrimeContractor'sApplicationforPayment. Thescheduleofvalues shallfollowthetradedivision oftheSpecifications. PrimeContractor'sApplicationfor PaymentshallbefiledonthecurrentversionofAIAFormG702 (ApplicationandCertificate forPayment), asapprovedbytheOwner. 9.3APPLICATIONSFORPAYMENT a) Atleastten (10) daysbeforethedateestablishedforeachprogresspayment, thePrime ContractorshallsubmittotheArchitect/EngineeranitemizedApplicationforPaymentfor Workcompletedinaccordancewiththescheduleofvalues. TheApplicationshallbe notarized, ifrequired, andsupportedbydatasubstantiatingthePrime Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 paymentastheOwnerorArchitect/Engineermayrequire, includingbutnotlimitedto copiesofrequisitionsfromSubcontractorsandmaterialsuppliers, andreflectingthe applicableretainageasrequiredintheContractDocuments. PrimeContractor's ApplicationforPaymentshallalsoprovideothersupportingdocumentationastheOwner ortheotherapplicableprovisionsoftheContractDocumentsmayrequire. b) ApplicationsforPaymentmaynotincluderequestsforpaymentofamountsthePrime ContractordoesnotintendtopaytoaSubcontractorbecauseofagoodfaithdispute, unless thePrimeContractorcomplieswithClause5.3(b) (2) oftheseGeneralConditionsandthe Prime Prime Contractorofthefundsdeemedtobeindispute. c) UnlessotherwiseprovidedintheContractDocuments, progresspaymentsshallinclude paymentformaterialsandequipmentdeliveredandsuitablystoredattheProjectsitefor subsequentincorporationintotheWorkwithinthirty (30) daysafterdeliverytotheProject site. Paymentforcostsincurredinstorageofmaterialsorequipmentawayfromthe ProjectsitewillNOTbemadebyOwnerunless: 1) theOwnerhasgivenpriorapprovalofsuchoff-sitestorageinwriting; 2) thematerialsorequipmentarestoredinabondedwarehouselocatedinDentonCounty andidentifiedwiththeProjectforwhichtheyarestored, asevidencedbywarehouse receiptsandappropriatedocumentsoftitle; and 3) thematerialsorequipmentstoredoff-sitewillbeincorporatedintotheWorkwithin thirty (30) daysafterdelivery. STORAGEINFACILITIESOFTHE MANUFACTURERORTHEPRIMECONTRACTORWILLNOTBE PERMITTEDORPAIDFOR, UNLESSTHEOWNERHASEXPRESSLYGIVEN PRIORAPPROVALOFSUCHSTORAGEINWRITING. d) ThePrimeContractorwarrantsthattitletoallWorkcoveredbyanApplicationforPayment willpasstotheOwnernolaterthanthetimeofpayment. ThePrimeContractorfurther warrantsthatuponsubmittalofanApplicationforPaymentallWorkforwhichCertificates forPaymenthavebeenpreviouslyissuedandpaymentsreceivedfromtheOwnershallbe freeandclearofliens, claims, securityinterestsorencumbrancesinfavorofthePrime Contractor, Subcontractors, materialsuppliers, orotherpersonsorentitiesmakingaclaim byreasonofhavingprovidedlabor, materials, andequipmentrelatingtotheWork. e) AllmaterialsorequipmentdeliveredtotheProjectsiteearlierthanthirty (30) dayspriorto anapprovedsch permissionoftheOwnertobestoredontheProjectsite. Ifanyunauthorizedearlydelivery occurs, PrimeContractorshall, atPrime responsibleSubcontractororSupplier, causesuchearlydeliverytoberemovedfromthe Projectsiteandstoredoff-siteuntilrequiredattheProjectsite. Allcostsoflabor, transportationandstoragewillbeincludedaspartoftheexpense. IfthePrimeContractor failsorrefusestoremoveunauthorizedearlydeliverymaterials, theOwnermaycausesuch Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 materialstoberemovedatthePrimeContractor'ssoleexpense, andamountsmaybe withheldfromthePrimeContractor'sApplicationforPaymenttoreimbursetheOwnerfor anycostsincurredinremovingunauthorizedearlydeliverymaterials. OWNERWILL NOTBERESPONSIBLEFORTHEPROTECTIONOFORRISKOFLOSSONANY EARLYDELIVERYMATERIALSOREQUIPMENT, NORWILLOWNERBE LIABLEFORANYPAYMENTFORTHEEARLYDELIVERYMATERIALSOR EQUIPMENT. Anymaterialsorequipmentclassifiedasearlydeliverywillnotbe approvedforpaymentasstoredmaterialspriortothirty (30) daysbeforetheincorporation ofthematerialsorequipmentintotheWork, unlessstorageandpaymentatanearlierdate isexpresslyapprovedinwritingbytheOwner. f) IftheContractSumisequaltoorlessthan $25,000, andifperformanceandpaymentbonds arenotfurnishedbytheContractor, thennopaymentappliedforwillbepayableunderthe ContractuntiltheWorkhasbeenfinallycompletedandaccepted. 9.4CERTIFICATESFORPAYMENT a) TheArchitect/Engineerwill, withinten (10) daysafterreceiptofthePrime ApplicationforPayment, eitherissuetotheOwneraCertificateforPayment, withacopy tothePrimeContractor, forsuchamountastheArchitect/Engineerdeterminesisproperly due, ornotifythePrimeContractorandOwnerinwriting reasonsforwithholdingcertificationinwholeorinpartasprovidedin: a) CityofDentonGeneralConditionsforBuildingConstruction. b) Subparagraph9.5(a). TheCertificateforPaymentshallbeissuedonthecurrentversionof AIAFormG702 (ApplicationandCertificateforPayment) asapprovedbytheOwner. c) TheissuanceofaCertificateforPaymentwillconstitutearepresentationbythe andthedatacomprisingtheApplicationforPayment, thattheWorkhasprogressedtothe andbelief, qualityoftheWorkisinaccordancewiththeContractDocuments. The foregoingrepresentationsaresubjecttoanevaluationoftheWorkforconformancewith theContractDocumentsuponSubstantialandFinalCompletion, toresultsofsubsequent testsandinspections, tominordeviationsfromtheContractDocumentscorrectableprior toFinalCompletionandtospecificqualificationsexpressedbytheArchitect/Engineer. TheissuanceofaCertificateforPaymentwillfurtherconstitutearepresentationthatthe Prime approval. TheissuanceofaCertificateforPaymentisnotarepresentationthatthe Architect/Engineerhas: 1) madeexhaustiveorcontinuouson-siteinspectionstocheckthequalityorquantityof theWork; 2) reviewedconstructionmeans, methods, techniques, sequencesorprocedures; 3) reviewedcopiesofrequisitionsreceivedfromSubcontractorsandmaterialsuppliers andotherdatarequestedbytheOwnertosubstantiatethePrime payment; or Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 4) madeexaminationtoascertainhoworforwhatpurposethePrimeContractorhasused moneypreviouslypaidonaccountoftheContractSum. d) WhenevertheApplicationforPaymentforWorkdonesincethelastpreviousApplication forPaymentexceedsonehundreddollars ($100.00) inamount, Ownerwillpaya percentageoftheApplication, lessapplicableretainage, tothePrimeContractorwithin certifiedbytheArchitect/Engineer. TheApplicationmayincludeacceptablenonperishable materialsdeliveredtotheWorkorstoredasprovidedforinParagraph9.3(c) andthe paymentwillbeallowedonthenetinvoicevalue, lesstaxesandapplicableretainage. e) TheCityisrequiredtowithholdfivepercent (5%) retainageforpublicworkscontractsin whichthetotalcontractpriceestimateatthetimeofexecutionismorethan $400,000; however, thisrequirementisappliedbytheCityforallpublicworkscontractsinexcessof 50,000. TheretainagewillbewithheldbytheOwnerfromeachprogresspaymentuntil finalcompletionoftheWorkbytheContractor, approvaloffinalcompletionbythe Architect/Engineer, andfinalacceptanceoftheWorkbytheOwner. Unlessotherwise requiredbystatelaw, theretainagepercentageasspecifiedaboveisbasedupontheoriginal Contract Sum, andwillnotbeaffectedintheeventtheoriginalContractSumis subsequentlyincreasedbyChangeOrder. f) Noprogresspaymentsshallbemadeoncontractswhereperformanceandpaymentbonds arenotrequiredorfurnished. Insuchinstances, paymentfortheWorkperformedwillbe madeuponfinalcompletionandacceptancebytheOwnerofallWork. 9.5DECISIONSTOWITHHOLDCERTIFICATION a) TheArchitect/EngineerortheOwnermaydecidenottocertifypaymentandmaywithhold aCertificateforPaymentinwholeorinpart, totheextentreasonablynecessarytoprotect totheOwnerrequiredbySubparagraph9.4(b) cannotbemade. IftheArchitect/Engineer ortheOwnerisunabletocertifypaymentintheamountoftheApplication, the Architect/EngineerortheOwnerwillnotifythePrimeContractorasprovidedin Subparagraph9.4(a). IfthePrimeContractorandArchitect/EngineerortheOwnercannot agreeonarevisedamount, theArchitect/EngineerwillpromptlyissueaCertificatefor PaymentfortheamountforwhichtheArchitect/Engineerisabletomaketherequired representationstotheOwner. TheArchitect/EngineerortheOwnermayalsodecidenotto certifypaymentor, becauseofsubsequentlydiscoveredevidenceorsubsequent observations, maynullifythewholeorapartofaCertificateforPaymentpreviouslyissued protecttheOwnerfromlossbecauseof: 1) defectiveornonconformingWorknotremedied; Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 2) third-partyclaimsfiledorreasonableevidenceindicatingprobablefilingofsuch claims; 3) failureofthePrimeContractortomakepaymentsproperlytoSubcontractorsorfor labor, materials, orequipment; 4) reasonableevidencethattheWorkcannotbecompletedfortheunpaidbalanceofthe ContractSum; 5) damagetotheOwneroranothercontractor; 6) reasonableevidencethattheWorkwillnotbecompletedwithintheContractTime, and thattheunpaidbalancewouldnotbeadequatetocoveractualordamagesforthe anticipateddelay; 7) persistentfailuretocarryouttheWorkinaccordancewiththeContractDocuments; or 8) mathematicalorothererrorsthatarediscoveredintheApplicationforPayment. b) Whenall oftheabovereasonsthatexistedforwithholdingcertificationareremovedor remedied, then, atthattime, certificationwillbemadeforamountspreviouslywithheld. c) TheOwnermay, atitsoption, offsetanyprogresspaymentorfinalpaymentunderthe ContractDocumentsagainstanydebt (includingtaxes) lawfullyduetotheOwnerfromthe PrimeContractor, regardlessofwhethertheamountduearisespursuanttothetermsofthe ContractDocumentsorotherwise, andregardlessofwhetherornotthedebtduetothe Ownerhasbeenreducedtojudgmentbyacourt. 9.6PROGRESSPAYMENTS a) AftertheArchitect/EngineerhasissuedaCertificateforPayment, theOwnershallmake paymentinthemannerandwithinthetimeprovidedintheContractDocuments, andshall sonotifytheArchitect/Engineer. TheOwnershallnotbeliableforinterestonanylateor delayedprogresspaymentorfinalpaymentcausedbyanyclaimordispute, any discrepancyinquantities, anyfailuretoprovidesupportingdocumentationorother informationrequiredwiththeApplicationforPaymentorasapreconditiontopayment undertheContractDocuments, orduetoanypaymenttheOwnerortheArchitect/Engineer hasarighttowithholdornotcertifyundertheContractDocuments. Notwithstandingthe foregoing, theOwnermayrefusetomakepaymentonanyCertificateforPayment including, withoutlimitation, thefinalCertificateforPayment) foranydefaultunderthe ContractDocuments, includingbutnotlimitedtothosedefaultssetforthinSubparagraph 9.5(a), Clauses (1) through (7). TheOwnershallnotbedeemedindefaultbyreasonof withholdingpaymentwhileanyPrimeContractordefaultremainsuncured. b) ThePrimeContractorshallpromptlypayeachSubcontractor, uponreceiptofpayment fromtheOwner, outoftheamountpaidtothePrimeContractoronaccountofeach Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 reflectingpercentagesactuallyretainedfrompaymentstothePrimeContractoronaccount ofsuchSubcontractorsportionoftheWork. ThePrimeContractorshall, byappropriate agreementwitheachSubcontractor, requireeachSubcontractortomakepaymentstoSub- subcontractorsinsimilarmanner. c) TheArchitect/Engineerwill, onrequest, furnishtoaSubcontractor, ifpracticable, informationregardingpercentagesofcompletionoramountsappliedforbythePrime ContractorandactiontakenthereonbytheArchitect/EngineerandtheOwneronaccount ofportionsoftheWorkdonebysuchSubcontractor. d) NeithertheOwnernortheArchitect/Engineershallhaveanobligationtopayortoseeto thepaymentofmoneytoaSubcontractorexceptasmayotherwiseberequiredbylaw. That obligationbelongstothePrimeContractoror, intheeventofthePrime topayaSubcontractor, totheSuretyonthePaymentBondasrequiredunderParagraph 11.3. e) Paymenttomaterialsuppliersshallbetreatedinamannersimilartothatprovidedin Subparagraphs9.6(b), (c), and (d). f) ACertificateforPayment, aprogresspayment, orpartialorentireuseoroccupancyofthe ProjectbytheOwnershallnotconstituteacceptanceofWorknotperformedinaccordance withtheContractDocuments. 9.7SUBSTANTIALCOMPLETION a) TheDateofSubstantialCompletionoftheWork, ordesignatedportionoftheWork, isthedate certifiedbytheArchitect/Engineerwhenconstructionissufficientlycompletedinaccordancewith theCityOfDentonGeneralConditionsForBuildingConstruction. a) theContractDocumentssuchthattheOwnermaybeneficiallyoccupyandusetheWork, ordesignatedportionsoftheWork, forthepurposesforwhichitisintendedandonlytrivial andinsignificantitemsremainwhichdonotaffecttheWorkasawhole. b) WhenthePrimeContractorconsidersthattheWork, ortheportionoftheWorkwhichthe Owneragreestoacceptseparately, isSubstantiallyComplete, thePrimeContractorshall prepareandsubmittotheArchitect/Engineeracomprehensivelistofremainingitemsto becompletedorcorrected. ThePrimeContractorshallproceedpromptlytocompleteand thepunchlistdoesnotaltertheresponsibilityofthePrimeContractortocompleteallWork inaccordancewiththeContractDocuments. Uponreceiptofthepunchlist, the Architect/EngineerwillmakeaninspectiontodeterminewhethertheWork, ordesignated disclosesanyitem, whetherornotincludedonthepunchlist, whichisnotinaccordance withtherequirementsoftheContractDocumentsandwhichrenderstheWorkinspected notSubstantiallyCompletetheContractorshall, beforeissuanceoftheCertificateof SubstantialCompletion, completeorcorrecttheitemuponnotificationbythe Architect/Engineer. ThePrimeContractorshallthensubmitarequestforanother Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 inspectionbytheArchitect/EngineertodetermineSubstantialCompletion. WhentheWork ordesignatedportionoftheWorkisSubstantiallyComplete, theArchitect/Engineerwill prepareaCertificateofSubstantialCompletionwhichshallestablishthedateofSubstantial Completion, shallestablishresponsibilitiesoftheOwnerandthePrimeContractorfor security, maintenance, heat, utilities, damagetotheWorkandinsurance, andshallfixthe timewithinwhichthePrimeContractorshallfinishallitemsonthepunchlist accompanyingtheCertificate. c) TheCertificateofSubstantialCompletionshallbesubmittedtotheOwnerandthePrime Contractorfortheirwrittenacceptanceofresponsibilitiesassignedtotheminthe Certificate. d) UponSubstantialCompletionoftheWorkordesignatedportionthereofandupon applicationbythePrimeContractorandcertificationbytheArchitect/Engineer, theOwner shallmakepayment, reflectingadjustmentinretainage, ifany, fortheWork, orportionof theWork, asprovidedintheContractDocuments. 9.8PARTIALOCCUPANCYORUSE a) TheOwnermayoccupyoruseanycompletedorpartiallycompletedportionoftheWork atanystagewhensuchportionisdesignatedbyseparateSupplementalAgreementwith thePrimeContractor, providedsuchoccupancyoruseisconsentedtobytheinsureras requiredunderSubparagraph11.2(e) andauthorizedbypublicauthoritieshaving jurisdictionovertheWork. Suchpartialoccupancyorusemaycommencewhetherornot theportionisSubstantiallyComplete, providedtheOwnerandPrimeContractorhave acceptedinwritingtheresponsibilitiesassignedtoeachofthemforpayments, retainageif any, security, maintenance, heat, utilities, damagetotheWorkandinsurance, andhave agreedinwritingconcerningtheperiodforcorrectionoftheWorkandcommencementof warrantiesrequiredbytheContractDocuments. WhenthePrimeContractorconsidersa portionSubstantiallyComplete, thePrimeContractorshallprepareandsubmitalisttothe Architect/EngineerasprovidedunderSubparagraph9.7(b). Consentofthe Prime Contractortopartialoccupancyoruseshallnotbeunreasonablywithheld. Thestageofthe progressoftheWorkshallbedeterminedbywrittenagreementbetweentheOwnerand PrimeContractoror, ifnoagreementisreached, bydecisionoftheArchitect/Engineer. b) Immediatelypriortosuchpartialoccupancyoruse, theOwner, PrimeContractor, and Architect/EngineershalljointlyinspecttheareatobeoccupiedorportionoftheWorkto beusedinordertodetermineandrecordtheconditionoftheWork. c) Unlessotherwiseagreedupon, partialoccupancyoruseofaportionorportionsoftheWork shallnotconstituteacceptanceofWorknotcomplyingwiththerequirementsofthe ContractDocuments. 9.9FINALCOMPLETIONANDFINALPAYMENT a) UponreceiptofwrittennoticethattheWorkisreadyforfinalinspectionandacceptance anduponreceiptofafinalApplicationforPayment, theArchitect/Engineer, accompanied Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 Architect/EngineerfindstheWorkacceptableundertheContractDocumentsandthe ContractDocumentsfullyperformed, theArchitect/Engineerwillpromptlyissueafinal info inspections, theWorkhasbeencompletedinaccordancewithtermsandconditionsofthe ContractDocumentsandthattheentirebalancefoundtobeduethePrimeContractorand forPaymentwillconstituteafurtherrepresentationthatconditionslistedinSubparagraph 9.9(b) asaconditionprecedenttothePrime itledtofinalpayment havebeenfulfilled. Ownerwillnormallymakefinalpaymentwithinthirty (30) daysafter Owner'sreceiptandapprovalofthefinalCertificateforPayment. Warrantiesrequiredby theContractDocumentsshallcommenceonthedateofSubstantialCompletionofthe Work, unlessotherwiseprovidedbyseparateagreementbetweentheOwnerandthePrime Contractor. b) Neitherfinalpaymentnoranyremainingretainedpercentageshallbecomedueuntilthe PrimeContractorsubmitstotheArchitect/Engineer: 1) anaffidavitthatpayrolls, billsformaterialsandequipment, andotherindebtedness responsibleorencumbered (lessamountswithheldbyOwner) havebeenpaidor otherwisesatisfied; 2) acertificateevidencingthatinsurancerequiredbytheContractDocumentstoremain inforceafterfinalpaymentiscurrentlyineffectandwillnotbecancelledorallowed toexpireuntilatleastthirty (30) dayspriorwritten noticehasbeengiventotheOwner; 3) awrittenstatementthatthePrimeContractorknowsofnosubstantialreasonthatthe insurancewillnotberenewabletocovertheperiodrequiredbytheContract Documents; 4) aconsentofsuretytofinalpayment; and 5) ifrequiredbytheOwner, otherdataestablishingpaymentorsatisfactionofobligations, suchasreceipts, releasesandwaiversofliens, claims, securityinterestsor encumbrancesarisingoutoftheContract, totheextentandinsuchformasmaybe designatedbytheOwner. c) AsapreconditiontofinalpaymentbytheOwnerunderthisContract, thePrime Contractor'saffidavitunderClause (b)(1) shallstatethatthePrimeContractorhaspaid eachofhissubcontractors, laborersormaterialmeninfullforalllaborandmaterials providedto Contractor fortheWorkperformedunderthisContract. IntheeventthePrime Contractorhasnotpaideachofhissubcontractors, laborersormaterialmeninfull, the PrimeContractorshallstateintheaffidavittheamountowedandthenameofeach subcontractor, laborerormaterialmentowhomsuchpaymentisowed. INANYEVENT, THEPRIMECONTRACTORSHALLBEREQUIREDTOEXECUTETHEOWNER'S STANDARDAFFIDAVITOFFINALPAYMENTANDRELEASEASA PRECONDITIONTORECEIPTOFFINALPAYMENT. Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 d) If, afterSubstantialCompletionoftheWork, finalcompletionoftheWorkismaterially delayedthroughnofaultofthePrimeContractororbyissuanceofChangeOrdersaffecting finalcompletionandtheArchitect/Engineerconfirmsthedelay, theOwnershall, upon applicationbythePrimeContractorandcertificationbytheArchitect/Engineer, and withoutterminatingtheContract, makepaymentofthebalancedueforthatportionofthe Workfullycompletedandaccepted. IftheremainingbalanceforWorknotfullycompleted orcorrectedislessthanretainagestipulatedintheContractDocuments, andifbondshave beenfurnished, thewrittenconsentofsuretytopaymentofthebalancedueforthatportion oftheWorkfullycompletedandacceptedshallbesubmittedbytheContractortothe Architect/Engineerpriortocertificationofpayment. Paymentshallbemadeunderterms andconditionsgoverningfinalpayment, exceptthatitshallnotconstituteawaiverof claims. e) TheacceptancebythePrimeContractorofthefinalpaymentshalloperateasand shallbeacompletereleaseoftheOwnerfromallclaimsorliabilitiesunderthe Contract, foranythingdoneorfurnishedorrelatingtotheWorkortheProject, or foranyactorneglectoftheOwnerrelatingtoorconnectedwiththeWorkorthe Project. ARTICLE10SAFETY, SECURITYANDUTILITYPROVISIONS; ENVIRONMENTAL COMPLIANCE 10.1SAFETYPRECAUTIONSANDPROGRAMS ThePrimeContractorshallberesponsibleforinitiating, maintainingandsupervisingallsafety precautionsandprogramsinconnectionwiththeperformanceoftheContract, andwill complywithallapplicableCity, County, StateandFederalhealthandsafetyregulations. 10.2SAFETYOFPERSONSANDPROPERTY a) ThePrimeContractorshalltakereasonableprecautionsforsafetyof, andshallprovide reasonableprotectiontopreventdamage, injuryorlossto: 1) employeesontheWorkandotherpersonswhomaybeaffectedthereby; 2) theWorkandmaterialsandequipmenttobeincorporatedtherein, whetherinstorage onoroffthesite, undercare, custodyorcontrolofthePrimeContractororthePrime subcontractors; and 3) otherproperty atthesiteoradjacentthereto, suchastrees, shrubs, lawns, walks, pavements, roadways, structuresandutilitiesnotdesignatedforremoval, relocationor replacementinthecourseofconstruction. b) ThePrimeContractorshallgivenoticesandcomplywithapplicablelaws, ordinances, rules, regulationsandlawfulordersofpublicauthoritiesbearingonsafetyofpersonsor propertyortheirprotectionfromdamage, injuryorloss. Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 c) ThePrimeContractorshallerectandmaintain, asrequiredbyexistingconditionsand performanceoftheContract, reasonablesafeguardsforsafetyandprotection, including postingdangersignsandotherwarningsagainsthazards, promulgatingsafetyregulations andnotifyingownersandusersofadjacentsitesandutilities. d) Whenuseorstorageofexplosivesorotherhazardousmaterialsorequipmentorunusual methodsarenecessaryforexecutionoftheWork, thePrimeContractorshallexercise utmostcareandcarryonsuchactivitiesundersupervisionofproperlyqualifiedpersonnel. e) USEOFEXPLOSIVES - CLAIMSANDTOTALINDEMNIFICATION. TheOwner shallhavetherighttopre-approvetheuseofanyexplosivesontheProject; thePrime Contractorshallnotassumeinitsbidthatpermissiontouseexplosiveswillbegranted. TheOwnershallNOTbeliableforanyclaimforadditionaltimeorcompensationasa resultoftheOwner'sdenialofpermissiontouseexplosives. Whereuseofexplosivesis permittedbytheOwner, thePrimeContractorEXPRESSLYAGREESTOBESOLELY RESPONSIBLEforthedeterminationastowhetherexplosivesshallactuallybeused, and foranyresultfromtheuse, handlingorstorageofexplosives, andshallINDEMNIFY, DEFENDANDHOLDCOMPLETELYHARMLESStheOwner, itsofficers, agentsand employees, andtheArchitect/Engineeragainstanyandallclaims, lawsuits, judgments, costsorexpensesforpersonalinjury (includingdeath), propertydamageorotherharmfor whichrecoveryofdamagesissought, sufferedbyanypersonorpersons, astheresultof theuse, handlingorstorageoftheexplosivesbythePrimeContractororanySubcontractor, REGARDLESSOFWHETHERSAIDUSE, HANDLINGORSTORAGEWAS NEGLIGENTORNOT, ANDREGARDLESSOFWHETHERTHEDAMAGEOR INJURYWASCONTRIBUTEDTOINANYWAYBYTHENEGLIGENCEOR FAULTOFTHEOWNER, ITSOFFICERS, AGENTS, EMPLOYEES, OR REPRESENTATIVES, ORTHEARCHITECT/ENGINEERANDITSOFFICERS, AGENTS, EMPLOYEES, ORREPRESENTATIVES. Intheeventofconflictwithany otherindemnityparagraphinthisContract, thisparagraphcontrols. Thisindemnity paragraphisintendedsolelyforthebenefitofthepartiestothisContractandisnotintended tocreateorgrantanyrights, contractualorotherwise, toorforanyotherpersonorentity. ThePrimeContractorshallfurnishtheOwnerandtheArchitect/Engineerwithevidenceof insurancesufficienttocoverpossibledamageorinjury, whichinsuranceshalleither includetheOwnerandtheArchitect/Engineerasadditionalinsuredsorbesufficiently broadincoverageastofullyprotecttheOwnerandtheArchitect/Engineer. Allexplosives shallbestoredinasafeandsecuremanner, underthecareofacompetentwatchmanatall times, andallstorageplacesshallbemarkedclearlyandconspicuously: "DANGEROUS- EXPLOSIVES." Theforegoing obligationsofthePrimeContractorareinadditiontothePrime underParagraph3.l9. Totheextentthatanysuchdamageorlossmaybecoveredby propertyinsuranceorotherinsurancerequiredbytheContractDocuments, theOwnerand thePrimeContractorshallexercisetheirbesteffortstomakeaclaimandobtainrecovery fromtheinsurerstoprovideforthecost, inwholeorinpart, oftherepairworkortoprovide forreimbursementforsuchdamageorloss. g) ThePrimeContractorshalldesignatearesponsiblememberofthePrime organizationatthesitewhosedutyshallbethepreventionofaccidents. AdditionalcompensationorextensionoftimeclaimedbythePrime ContractoronaccountofanemergencyshallbedeterminedasprovidedinParagraph4.3and Article7. 10.4PUBLICCONVENIENCEANDSAFETY a) ThePrimeContractorshallplacematerialsstoredabouttheWorkandshallconductthe Workatalltimesinamannerthatcausesnogreaterobstructiontothepublicthanis considerednecessarybytheOwner. Sidewalksorstreetsshallnotbeobstructed, except byspecialpermissionoftheOwner. Thematerialsexcavatedandtheconstruction materialsorplantusedintheperformanceoftheWorkshallbeplacedinamannerthat doesnotendangertheWorkorpreventfreeaccesstoallfirehydrants, watermainsand appurtenances, watervalves, gasvalves, manholesforthetelephone, telegraphsignalor electricconduits, wastewatermainsandappurtenances, andfirealarmorpolicecall boxesinthevicinity. b) TheOwnerreservestherighttoremedyanyneglectonthepartofthePrimeContractor inregardtopublicconvenienceandsafetywhichmaycometotheOwner'sattention, Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 aftertwenty-four (24) hoursnoticeinwritingtothePrimeContractor. Incaseofan emergency, theOwnershallhavetherighttoimmediatelyremedyanyneglectwithout notice. Ineithercase, thecostofanyworkdonebytheOwnertoremedythePrime PrimeContractor shallnotifytheCityTrafficControlDepartmentwhenanystreetistobeclosedor obstructed. Thenoticeshall, inthecaseofmajorthoroughfaresorstreetuponwhich transitlinesoperate, beforty-eight (48) hoursinadvance. TheOwnerreservestheright topostponeorprohibitanyclosureorobstructionofanystreetsorthoroughfarestothe extentnecessaryforthesafetyandbenefitofthetravelingpublic. ThePrimeContractor shall, whendirectedbytheArchitect/EngineerortheOwner, keepanystreetorstreetsin conditionforunobstructedusebyCitydepartments. WhenthePrimeContractoris requiredtoconstructtemporarybridgesormakeotherarrangementsforcrossingover ditchesoraroundstructures, thePrime includetheroadwayapproachesaswellasthecrossingstructures. 10.5BARRICADES, LIGHTSANDWATCHMEN IftheWorkiscarriedonoradjacenttoanystreet, alleyorpublicplace, thePrimeContractor shall, atthePrime rectandmaintainsufficient barricades, fences, lightsanddangersignals, shallprovidesufficientwatchmen, andshall takesuchotherprecautionarymeasuresasarenecessaryfortheprotectionofpersonsor propertyandoftheWork. Allbarricadesshallbepaintedinacolorthatwillbevisibleat night, shallindicateinboldlettersthereonthePrimeContractor'snameandshallbe shallmeanflares, flashers, orotherilluminateddevices. Asufficientnumberofbarricades withadequatemarkingsanddirectionaldevicesshallalsobeerectedtokeepvehiclesfrom beingdrivenonorintoanyWorkunderconstruction. ThePrimeContractorwillbeheld responsiblefor alldamagetotheWorkduetofailureofbarricades, signs, lightsand watchmentoprotecttheWork. Wheneverevidenceisfoundofsuchdamage, the Architect/Engineermayorderthedamagedportionimmediatelyremovedandreplacedby thePrimeContractoratPrimeContractor'scostandexpense. ThePrimeContractor's responsibilityformaintenanceofbarricades, signs, andlights, andforprovidingwatchmen, shallnotceaseuntiltheProjecthasbeenfinallyacceptedbytheOwner. 10.6PUBLICUTILITIESANDOTHERPROPERTIESTOBECHANGED IncaseitisnecessarytochangeormovethepropertyoftheOwnerorofany telecommunicationsorpublicutility, suchpropertyshallnotberemovedorinterferedwith untilorderedtodosobytheArchitect/Engineer. Therightisreservedtotheownerofany publicorprivateutilitiestoenterupontheProjectsiteforthepurposeofmakingsuch changesorrepairsoftheirpropertythatmaybecomenecessaryduringtheperformanceof theWork. TheOwnerreservestherightofentryupontheProjectsiteforanypurpose, includingrepairingorrelayingsewerandwaterlinesandappurtenances, repairingstructures, andformakingotherrepairs, changes, orextensionstoanyoftheOwner'sproperty. The Owner'sactionsshallconformtothePrimeContractor'scurrentandapprovedschedulefor theperformanceoftheWork, providedthatpropernotificationofschedulerequirementshas beengiventotheOwnerbythePrimeContractor. Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 10.7TEMPORARYSTORMSEWERANDDRAINCONNECTIONS Whenexistingstormsewersordrainshavetobetakenuporremoved, thePrimeContractor shallathisownexpenseprovideandmaintaintemporaryoutletsandconnectionsforall publicandprivatestormsewersanddrains. ThePrimeContractorshallalsotakecareofall stormsewageanddrainagewhichwillbereceivedfromthesestormdrainsandsewers; for thispurpose, thePrimeContractorshallprovideandmaintain, atthePrime expense, adequatepumpingfacilitiesandtemporaryoutletsordiversions. ThePrime Contractorshall, atthePrime otherstructuresnecessaryandshallbepreparedatalltimestodisposeofstormdrainageand sewagereceivedfromthesetemporaryconnectionsuntilsuchtimeasthepermanent connectionsarebuiltandinservice. Theexistingstormsewersandconnectionsshallbekept inserviceandmaintained undertheContract, exceptwherespecifiedororderedtobe abandonedbytheArchitect/Engineer. Allstormwaterandsewageshallbedisposedofina satisfactorymannersothatnonuisanceiscreatedandthattheWorkunderconstructionwill beadequatelyprotected. 10.8ARRANGEMENTANDCHARGEFORWATERFURNISHEDBYTHEOWNER; ELECTRICITYFORTHEPROJECT a) WhenthePrimeContractordesirestousetheOwner'swaterinconnectionwiththeWork, thePrimeContractorshallmakecompleteandsatisfactoryarrangementswiththeDenton WaterUtilitiesDepartmentandshallberesponsibleforthecostofthewaterthePrime Contractoruses. Wheremetersareused, thechargewillbeattheregularestablishedrate; wherenometersareused, thechargewillbeasprescribedbyCityordinance, orwhereno ordinanceapplies, paymentshallbebasedonestimatesmadebytheDentonWaterUtilities Department. b) ThePrimeContractorshallmakecompleteandsatisfactoryarrangementsforelectricity andmeteredelectricalconnectionswiththeOwnerorwithDentonMunicipalElectricin theeventthatseparatelymeteredelectricalconnectionsarerequiredfortheProject. The PrimeContractorshallpayforallelectricityusedintheperformanceoftheWorkthrough separatemeteredelectricalconnectionsobtainedbythePrimeContractorthroughtheCity ofDenton. 10.9USEOFFIREHYDRANTS ThePrimeContractor, Subcontractors, andanyotherpersonworkingontheProjectshallnot open, turnoff, interferewith, attachanypipeorhoseto, orconnectanythingwithanyfire hydrant, stopvalve, orstopcock, ortapanywatermainbelongingtotheOwner, unlessduly authorizedtodosobytheDentonWaterUtilitiesDepartmentinaccordancewiththeDenton CityCode. 10.10ENVIRONMENTAL COMPLIANCE Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 a) ThePrimeContractoranditsSubcontractorsaredeemedtohavemadethemselves familiarwithandatalltimesshallcomplywithallapplicablefederal, stateorlocal laws, rules, regulations, ordinances, andrulesofcommonlawnowineffect (including anyamendmentsnowineffect), relatingtotheenvironment, HazardousSubstancesor exposuretoHazardousSubstances, includingbutnotlimitedtotheComprehensive EnvironmentalResponse, CompensationandLiabilityActof1980, 42U.S.C.A. §§ 9601, etseq.; theHazardousMaterialsTransportationAct, 49U.S.C.A. §§ 1801, et seq.; theResourceConservationandRecoveryActof1976, 42U.S.C.A. §§ 6901, et seq.; theFederalWaterPollutionControlAct, 33U.S.C.A §§ 1201, etseq.; theToxic SubstancesControlAct, 15U.S.C.A. §§ 2601, etseq.; theCleanAirAct, 42U.S.C.A. 7401, etseq.; theSafeDrinkingWaterAct, 42U.S.C.A. §§ 3808, etseq., andany currentjudicialoradministrativeinterpretationoftheselaws, rules, regulations, ordinances, orrulesofcommonlaw, includingbutnotlimitedtoanyjudicialor administrativeorder, consentdecree, orjudgmentaffectingtheProject. b) IntheeventthePrimeContractorencountersonthesitematerialsreasonablybelieved tobeaHazardousSubstancethathavenotbeenrenderedharmless, andremovalof suchmaterialsisnotapartofthescopeofWorkrequiredundertheContract Documents, thePrimeContractorshallimmediatelystopWorkintheaffectedareaand reportinwritingthefactsofsuchencountertotheArchitect/EngineerandtheOwner. Workintheaffectedareashallnotthereafterberesumedexceptbywrittenorderofthe OwnerunlessanduntilthematerialisdeterminednottobeaHazardousSubstanceor theHazardousSubstanceisremediated. TheOwnermaychoosetoremediatethe HazardousSubstancewithaseparatecontractororthroughaChangeOrderwiththe PrimeContractor. IftheOwnerdeterminesthattheHazardousSubstanceexistsinthe affectedareaduetothefaultornegligenceofthePrimeContractororanyofits Subcontractors, thePrimeContractorshallberesponsibleforremediatingthecondition atthesoleexpenseofthePrimeContractorinaccordancewiththePrime APPROVEDSpillRemediationPlan. AnextensionoftheContractTimeforanydelay intheprogressschedulecausedasaresultofthediscoveryandremediationofa HazardousSubstancemaybegrantedbytheOwneronlyifallremainingWorkonthe Projectmustbesuspendedandthedelaycannotbemadeupelsewhereintheprogress schedule. AnyrequestforanextensionoftheContractTimerelatedtothediscovery andremediationofaHazardousSubstanceissubjecttotheprovisionsofParagraph4.3 andArticle8. c) ThePrimeContractorshallberesponsibleforidentification, abatement, cleanup, control, removal, remediation, anddisposalofanyHazardousSubstancebroughtinto oruponthesitebythePrimeContractororanySubcontractororSupplier. ThePrime Contractorshallobtainanyandallpermitsnecessaryforthelegalandproperhandling, transportation, anddisposaloftheHazardousSubstanceandshall, priortoundertaking anyabatement, cleanup, control, removal, remediation, anddisposal, notifytheOwner andtheArchitect/Engineersothattheymayobservetheactivities; provided, however, thatitshallbethePrime laws, rules, regulations, orordinancesgoverningtheactivities. Atleastseventy-two (72) hourspriortocommencing performanceofanyoftheWorkattheProjectsite, thePrimeContractorshallsubmit totheOwnerforreviewandapprovalaSpillPreventionandResponsePlan (SPRP) meetingtherequirementsoffederalandstatelaw, rules, andregulations. TheSPRP shallbespeciallydesignedforthePrimeContractor'splannedworkmethodsand procedures. TheSPRPshallbedesignedtocomplementallapplicablesafetystandards, firepreventionregulations, andpollutionpreventionpoliciesandprocedures. The SPRPshallincludeestimatesofthequantityandrateofflowshouldequipmentfail, anddetailcontainmentordiversionarystructurestopreventspillsfromleavingthesite ormigratingintoadjacentproperties ornavigablewaters. TheSPRPshallinclude methodsofrecoveryofspilledmaterialsandallapplicabletwenty-four (24) hour Managerorotherdesignatedrepresentative. ThePrimeContractorshallnotcommence anyfieldworkpriortoapprovalofsuchplanbytheOwner. Thefollowingadditional rulesshallapplywithrespecttospillscausedbythePrimeContractorora Subcontractor: 1) ThePrimeContractorshallimmediatelyreportanyspillorreleaseattheProject Managerorotherdesignatedrepresentative. Thereafter, withintwo (2) working daysaftertheoccurrenceofsuchevent, thePrimeContractorshallsubmitawritten reportdescribingsucheventinadegreeofdetailreasonablyacceptabletothe Owner. 2) ThePrimeContractorshallimmediatelyrespondinaccordancewiththeSPRPin theeventofaspill. 3) ThePrimeContractorshalldispose ofspilledmaterialsinaccordancewithEPA andTexasCommissiononEnvironmentalQuality (TCEQ) regulationsandany otherapplicablefederal, state, orlocallaws, rules, orregulations. Inconnection withsuchdisposals, thePrimeContractorshalluseonlythosetransportersand disposalfacilitiesthatareapprovedinadvanceinwritingbytheOwner. Acopyof alltransportmanifestsforthespilledmaterialsshallbeobtainedandretainedinthe Prime provideduponrequestof theArchitect/Engineer, theOwner, oranygovernmentalregulatoryagencywith jurisdictionoverthematter. ThePrimeContractor shallsubmittotheOwnerforreviewandapprovalallplanneddisposalsitesor proposedusesforthesurplusorwasteexcavationorothermaterialspriortoremoval ofanyexcavationorothermaterialfromtheProjectsite. Acopyofalltransport manifestsforsurplusorwasteexcavationorothermaterialsshallbeobtainedand retainedinthePrime requesttotheArchitect/Engineer, theOwner, oranygovernmentalregulatoryagency withjurisdictionoverthematter. g) ThePrimeContractorisresponsibleforobtainingallTXPDESStormWaterPermits fromTCEQforconstructionoftheProjectunderregulationscontainedin40CFRPart 122, asamended, pursuanttotheCleanWaterAct, 33U.S.C.A. §§1251etseq. These regulationsrequirethefilingofanoticeofintenttoobtainandabidebythegeneral stormwaterpermitforconstructionactivitiespromulgatedbyEPA, includingbutnot limitedtocleaning, grading, andexcavationthatdisturbtheapplicableamountoftotal landarea. Inaddition, thePrimeContractorshallcomplywithallregulationsofthe OwnerrelatingtostormwaterandstormwaterrunoffmanagementattheProjectsite pursuanttoChapter19, ArticleIX, DentonCityCode, asamended. h) ThePrimeContractorshallnotinstallanymaterialsintheperformanceoftheWork thatcontainasbestosorasbestos-relatedmaterialsuchashydratedmineralsilicate, includingchrysolite, amosite, crocidolite, tremolite, anthophyliteoractinolite, whether friableornon-friable. i) TheOwnerreservestherightinitssoleoptiontoexercisethefollowingremedies withoutwaivingtherighttopursuetheimpositionofanycivilorcriminalfinesor penaltiesthatmaybeimposedunderstate, federal, orlocallawsorordinances), atno additionalcosttotheOwnerandwithoutanextensionoftheContractTime, inthe eventthePrimeContractorfailsorrefusesafterseven (7) daysadvancewrittennotice fromtheOwnertocomplywiththeprovisionsofthisParagraph10.10, thetermsofthe SPRP, thetermsoftheCleanAirManagementPlan, anystormwaterpermitorother environmentalpermitissuedinconnectionwiththeWork, oranyapplicable environmentallaw, rule, regulation, orordinance: 1) suspendalloranyportionoftheWorkuntilthenoncomplianceiscorrected, oruntil adetailedplantoachievecompliancewithinareasonablypromptperiodoftimeis preparedbythePrimeContractorandapprovedbytheOwner; 2) ifthePrimeContractorfailstoproperlyaddressthenoncompliancewithinthetime stipulatedbytheOwner, performthenecessaryremediationorcorrectionworkand backchargethePrimeContractorforthecostoftheremediationorcorrection; or Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 3) terminatetheContractforcauseasprovidedinArticle13. Shouldaconflictarise betweenthesolicitationdocumentandtheresultingcontract, therequirementssetforthinthe actualcontractshallprevail. 11.4 POLICYENDORSEMENTS ANDSPECIALCONDITIONS PrimeContractorsshallrefertotherequirementslistedwithinthesolicitationdocumentand resultingcontractforallCityofDentoninsurancerequirements. Shouldaconflictarise betweenthesolicitationdocumentandtheresultingcontract, therequirementssetforthinthe actualcontractshallprevail. 11.5 PERFORMANCEANDPAYMENTBONDS a) SubjecttotheprovisionsofSubparagraph11.5(b), thePrimeContractorshall, withthe executionanddeliveryoftheConstructionServicesAgreement, furnishandfilewiththe OwnerintheamountsrequiredinthisParagraph, thesuretybondsdescribedinClauses a)(1) and (a)(2) below, whichsuretybondsshallbeinaccordancewiththeCharterofthe CityofDentonandtheprovisionsofChapter2253, TexasGovernmentCode, asamended; eachbondshallbesignedbythePrimeContractor, asPrincipal, andbyanestablished bondingcompany, assurety, meetingtherequirementsofSubparagraph11.5(c) and approvedbytheOwner. EachsuretyshalldesignateanagentresidentinDentonCounty, Texastowhomanyrequisitestatutorynoticesmaybedeliveredandonwhomserviceof processmaybehadinmattersarisingoutofthesuretyship. Contractorwillberequiredtofurnishoriginalperformanceandpaymentbondsfor100 percentofthetotalsubmissionpricebeforeworkistocommence. TheContractorshall assumeallcostsinincreasingthebondlimitsif changeordersareformallyapproved. TheOwnershallgivenoticeto thePrimeContractorpromptlyafterdiscoveryofadefectiveornonconformingcondition intheWork. Establishmentoftheone-yeartimeperiodasdescribedin Subparagraph12.2(b) relatesonlytothespecificobligationofthePrimeContractorto correcttheWork, andhasnorelationshiptothetimewithinwhichtheobligationto complywiththeContractDocumentsmaybesoughttobeenforced, nortothetime withinwhichproceedingsmaybecommencedtoestablishthePrime liabilitywithrespecttothePrime o correcttheWork. i) AnyWorkrepairedorreplacedpursuanttothisArticle12shallbesubjecttothe provisionsofArticle12tothesameextentasWorkoriginallyperformedorinstalled. 12.3ACCEPTANCEOFNONCONFORMINGWORK TheOwnermay, intheO therequirementsoftheContractDocumentsinsteadofrequiringitsremovalandcorrection, inwhichcasetheContractSumwillbereducedasappropriateandequitable. Theadjustment willbeaccomplishedwhetherornotfinalpaymenthasbeenmade. IntheeventofterminationforcauseinvolvingClause (b)(1) or (b)(2), theSurety shallassumethePrimeContractor'splaceinallrespects, andtheamountoffunds remainingunpaidundertheContractshallbepaidbytheOwnerforallWork performedbythesuretyorthereplacementcontractorinaccordancewiththeterms oftheContractDocuments, subjecttoanyrightsoftheOwnertodeductanycosts, damages, oractualdamagesthattheOwnermayhaveincurred, includingbutnot limitedtoadditionalfeesandexpensesoftheArchitect/Engineerandattorneysfees, asaresultofsuchtermination. c) ThebalanceoftheContractSumremainingatthetimeofthePrime andoftheterminationshallbecomedueandpayabletothesuretyastheWork progresses, subjecttoalloftheterms, covenants, andconditionsoftheContract Documents. Ifthesuretydoesnot, withinthetimespecifiedinSubparagraph13.3(b), exerciseitsobligationtoassumetheobligationsoftheContract, orthatportionofthe ContractwhichtheOwnerhasorderedthePrimeContractortodiscontinue, thenthe OwnershallhavethepowertocompletetheWorkbycontractorotherwise, asitmay deemnecessary. ThePrimeContractoragreesthattheOwnershallhavetherighttotake possessionoforuseanyorallofthematerials, plant, tools, equipment, supplies, and propertyofeverykindprovidedbythePrimeContractorforthepurposeoftheWork, andtoprocureothertools, equipment, labor, andmaterialsforthecompletionofthe Work, andtochargetotheaccountofthePrimeContractortheexpensesofcompletion andlabor, materials, tools, equipment, andincidentalexpenses. Theexpensesincurred bytheOwnertocompletetheWorkshallbedeductedbytheOwneroutofthebalance oftheContractSumremainingunpaidtoorunearnedbytheContractor. ThePrime ContractorandthesuretyshallbeliabletotheOwnerforanycostsincurredinexcess ofthebalanceoftheContractSumforthecompletionandcorrectionoftheWork, and foranyothercosts, damages, expenses (includingbutnotlimitedtoadditionalfeesof theArchitect/Engineerand termination. Incasesuchexpensesforcompletion shallexceedtheamountwhichwouldhavebeenpayableundertheContractifthesame hadbeencompletedbythePrimeContractor, thenthePrimeContractorandhisSureties shallpaytheamountoftheexcesstotheOwneronnoticefromtheOwnerforexcess due. WhenonlyaparticularpartoftheWorkisbeingcarriedonbytheOwnerby contractorotherwiseundertheprovisionsofthisSubparagraph, thePrimeContractor shallcontinuetheremainderoftheWorkinconformitywiththetermsoftheContract, andinsuchmannerasnottohinderorinterferewiththeperformanceofworkmen employedandprovidedbytheOwner. e) TheunconditionalrighttoterminatethisContractfortheconvenienceoftheOwner includingbutnotlimitedtonon-appropriationoffunding) isexpresslyretainedbythe Owner. Intheeventofterminationforconvenience, theOwnershalldeliveratleastten 10) daysadvancewrittennoticeofterminationforconveniencetothePrimeContractor. Noamountshalleverbedueto thePrimeContractorforlostoranticipatedprofits. 13.4TEMPORARYSUSPENSIONOFTHEWORK a) TheWorkoranyportionoftheWorkmaybetemporarilysuspendedbytheOwner immediatelyuponwrittennoticetothePrimeContractorforanyreason, includingbut notlimitedto: 1) thecausesdescribedinClauses13.1(a)(1) through (a)(10) above; 2) whereotherprovisionsintheContractDocumentsrequireorpermittemporary suspensionoftheWork; 3) situationswheretheWorkisthreatenedby, contributesto, orcausesanimmediate threattopublichealth, safety, orsecurity; or 4) otherunforeseenconditionsorcircumstances. ARTICLE14MISCELLANEOUSPROVISIONS 14.1GOVERNINGLAW; COMPLIANCE WITHLAWSANDREGULATIONS a) ThisContractshallbeinallthingsgovernedbythelawsoftheStateofTexaswithout regardtoconflictoflawsprinciples. b) TheContractorshall, duringtheperformanceoftheWork, complywithallapplicable Citycodesandordinances, asamended, andallapplicableStateandFederallaws, rules andregulations, asamended. 14.2SUCCESSORSANDASSIGNS TheOwnerandthePrimeContractorrespectivelybindthemselves, theirpartners, successors, assigns, andlegalrepresentativestothepromises, covenants, terms, conditions, and obligationscontainedintheContractDocuments. ThePrimeContractorshallnotassign, transfer, orconveyitsinterestorrightsintheContract, inpartorasawhole, withoutwritten consentoftheOwner. IfthePrimeContractorattemptstomakeanassignment, transfer, or lessremain legallyresponsibleforallobligationsundertheContractDocuments. TheOwnershallnot assignanyportionoftheContractSumdueortobecomedueunderthisContractwithoutthe Contract7029 DocuSignEnvelopeID: 8A986D7D-CE0E-4A85-A758-1F2A38824959 writtenconsentofthePrimeContractor, exceptwhereassignmentiscompelledorallowedby courtorder, thetermsoftheContractDocuments, orotheroperationoflaw. 14.3WRITTENNOTICE ExceptasotherwiseprovidedinArticle16, anynotice, payment, statement, ordemand requiredorpermittedtobegivenunderthisContractbyeitherpartytotheothermaybe effectedbypersonaldeliveryinwritingorbymail, postageprepaidtotheProjectManageror Superintendentofeitherparty, ortoanofficer, partner, orotherdesignatedrepresentative of eitherparty. Mailednoticesshallbeaddressedtothepartiesatanaddressdesignatedbyeach party, buteachpartymaychangeitsaddressbywrittennoticeinaccordancewiththissection. Mailednoticesshallbedeemedcommunicatedasofthree (3) daysaftermailing. 14.4RIGHTSANDREMEDIES; NOWAIVEROFRIGHTSBYOWNER a) ThedutiesandobligationsimposedonthePrimeContractorbytheContractDocuments andtherightsandremediesavailabletotheOwnerundertheContractDocumentsshallbein additionto, andnotalimitationof, anyduties, obligations, rights, andremediesotherwise imposedormadeavailablebylaw. b) NoactionorfailuretoactbytheOwnershallconstituteawaiverofarightaffordedthe OwnerundertheContractDocuments, norshallanyactionorfailuretoactbytheOwner constituteapprovaloforacquiescenceinabreachoftheContractbyPrimeContractor, except asmaybespecificallyagreedinwritingbyChangeOrderorSupplementalAgreement. 14.5INTEREST TheOwnershallnotbeliableforinterestonanyprogressorfinalpaymenttobemadeunder theContractDocuments, exceptasmaybeprovidedbytheapplicableprovisionsofthe PromptPaymentAct, Chapter2251, TexasGovernmentCode, asamended, subjectto Paragraph9.6(a) oftheseGeneralConditions. 14.6OFFICERSOREMPLOYEESOFTHEOWNERNOTTOHAVEFINANCIAL INTERESTINANYCONTRACTOFTHEOWNER NoofficeroremployeeoftheOwnershallhaveafinancialinterest, directorindirect, inany ContractwiththeOwner, orbefinanciallyinterested, directlyorindirectly, inthesaletothe Ownerofanyland, materials, suppliesorservices, exceptonbehalfoftheOwnerasanofficer oremployee. Anyviolationofthisarticleshallconstitutemalfeasanceinoffice, andany officeroremployeeofOwnerguiltythereofshalltherebyforfeithisofficeorposition. ThePrimeContractorshallexercise independentjudgmentinperformingtheWorkandissolelyresponsibleforsettingworking hours, schedulingorprioritizingtheWorkflowanddeterminingthemeansandmethodsof performingtheWork, subjectonlytotherequirementsoftheContractDocuments. Noterm orprovisionofthisContractshallbeconstruedasmakingthePrimeContractoranagent, servant, oremployeeoftheOwner, ormakingthePrimeContractororanyofthePrime insuranceandworker'scompensation, whichtheOwnerprovidestoitsemployees. 14.9NONDISCRIMINATION AsaconditionofthisContract, thePrimeContractorcovenantsthathewilltakeallnecessary actionstoinsurethat, inconnectionwithanyworkunderthisContract, thePrimeContractor anditsSubcontractorswillnotdiscriminateinthetreatmentoremploymentofanyindividual orgroupsofindividualsonthegroundsofrace, color, religion, nationalorigin, age, sex, sexualorientation, orhandicapunrelatedtojobperformance, eitherdirectly, indirectlyor throughcontractualorotherarrangements.
