BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND KIMLEY-HORN AND ASSOCIATES, INC.

THIS FIRST AMENDMENT TO CONTRACT 6590-105 (“Amendment”) by and
between the City of Denton, Texas (“City”) and Kimley-Horn and Associates, Inc.,
(“Engineer”); to that certain contract executed on March 16, 2021, in the original not-to-
exceed amount of $150,000 (the “Agreement”); for services related to the installation of
the Nette Shultz (formerly Wilson) Elementary School and Pecan Creek Elementary
School Safe Routes to Schools Sidewalk Improvements.
WHEREAS, the City deems it necessary to further expand the services provided by
Consultant to the City pursuant to the terms of the Agreement, and to provide an additional
not-to-exceed amount $36,500 with this Amendment for an aggregate not-to-exceed
amount of $186,500; and
FURTHERMORE, the City deems it necessary to further expand the goods/services
provided by Engineer to the City;
NOW THEREFORE, the City and Engineer (hereafter collectively referred to as the
“Parties”), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following Amendment, which
amends the following terms and conditions of the said Agreement, to wit:
1. The additional services described in Exhibit “A” of this Amendment, attached
hereto and incorporated herein for all purposes, for professional services related to
the installation of the Nette Shultz (formerly Wilson) Elementary School and Pecan
Creek Elementary School Safe Routes to Schools Sidewalk Improvements, are
hereby authorized to be performed by Engineer. For and in consideration of the
additional services to be performed by Engineer, the City agrees to pay, based on
the cost estimate detail attached as Exhibit “A” to this Amendment, a total fee,
including reimbursement for non-labor expenses an amount not to exceed $36,500.
2. This Amendment modifies the Agreement amount to provide an additional $36,500
for the additional services with a revised aggregate not to exceed total of $186,500.

The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.

Amendment electronically, by and through their respective duly authorized representatives

Amendment Scope of Services
Scope of Services
The CITY has requested that the ENGINEER perform additional services consisting of the
following:
Task 10 – Additional Design Management
ENGINEER will perform additional design management task for the new segment of
sidewalk. Following tasks are anticipated under additional design management tasks.
·ENGINEER will assist CITY in coordinating the new segment of sidewalk with
TxDOT and NCTCOG.
·ENGINEER will provide CITY updated cost projection for the new sidewalk in
preparation of TIP modifications.
·ENGINEER will attend up to two (2) coordination meetings with the CITY.
Task 11 – Additional Topographic Survey
ENGINEER will perform additional field surveys to collect horizontal and vertical
elevations and other information needed by ENGINEER in design and preparation of
additional sidewalk design along Glenwood Lane and sidewalk bridge design on Hanover
Lane. Additional survey will be collected at the following locations. Additional filed survey
will be collected as outlined on the original agreement.
·North side of Emerson Lane between Glenwood Lane and Western end of School
property.
·West side of Glenwood Lane between Emerson Lane and E Windsor Drive. Avenue.
·South side culvert on Hanover Drive opposite to Avondale Park.
These additional surveys collected will supplement the existing topographic survey
collected under previous scope.
Task 12 – Glenwood Lane and Emerson Lane Sidewalk Design
ENGINEER will perform additional sidewalk design for the additional segments on
Emerson Lane and Glenwood Lane as outlined below.
·ENGINEER will design the new segment of sidewalk on Glenwood Lane and
Emerson Lane to bring the design to 60% level to be included with the design of
other segments of sidewalk on this project.

·A retaining wall is anticipated along Glenwood Lane in order to install the sidewalk.
ENGINEER will determine the height of retaining wall necessary. It is anticipated
that the retaining wall height will be less that 5 ft and the design will be provided
per TxDOT standards details. Custom detail for retaining wall is not included on this
scope.
·ENGINEER will determine additional ROW or easement needed for the new
sections of sidewalk.
·Preparation of ROW and easement documents will be done by the CITY.
·ENGINEER will provide additional control points for the new sections of sidewalk
on the plans.
·ENGINEER will update environmental forms as necessary for the added segment of
sidewalk.
Task 13 – Hanover Drive Sidewalk Bridge Design
ENGINEER will prepare sidewalk bridge details to maintain existing drainage pattern on
the Hanover Drive Culvert. Currently, the surface runoff on top for this culvert discharge to
either end of this culvert to the creek. The sidewalk bridge detail is necessary to maintain
the existing drainage pattern while separating pedestrian from the street.

you certain written notices or disclosures. Described below are the terms and conditions for
providing to you such notices and disclosures electronically through your DocuSign, Inc.

and if you can access this information electronically to your satisfaction and agree to these terms

Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available
