SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the City Manager to execute a contract with Thomson Reuters West, for legal research database
services, which is the sole provider of this online service, in accordance with Texas Local Government
Code 252.022, which provides that procurement of commodities and services that are available from one
source are exempt from competitive bidding, and if over $50,000, shall be awarded by the governing body;
providing for the expenditure of funds therefor; and providing an effective date (File 7986 – awarded to
Thomson Reuters West, in the four (4) year not-to-exceed amount of $195,840.00).
INFORMATION/BACKGROUND
The City Attorney’s Office utilizes an online platform known as Westlaw (owned by Thomson Reuters
West) to assist in performing legal research. Westlaw offers several unique products that competitors lack,
such as practice manuals and zoning books, thus making this a sole-source procurement.
The City Attorney’s Office has a current contract with Thomson Reuters West for the Westlaw platform set
to expire in May of 2023; however, the cumulative spend will exceed $50,000 within the next 30 days due
to increased subscription costs and the number of attorneys licensed for use, as our office is becoming closer
to being fully staffed.

Section 252.022 of the Local Government Code provides that procurement of sole source commodities and
services are exempt from competitive bidding, if over $50,000, shall be awarded by the governing body.
RECOMMENDATION
Award a contract with Thomson Reuters West, for legal research database services, in a four (4) year not-
to-exceed amount of $195,840.

These services will be funded from Legal Books and Magazines account 111001.6330. Purchase Order
#197747 has been entered into the Purchasing software system and will be increased by $25,000. The
budgeted amount for this item is $195,840.
