SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the approval of a first amendment to a Professional Services Agreement between the City of
Denton and Freese and Nichols, Inc., amending the contract approved by the City Manager on January 18,
2021, in the not-to-exceed amount of $96,963.00, said first amendment to provide collaborative project
delivery consulting services for the Capital Improvement Projects division; providing for the expenditure
of funds therefor; and providing an effective date (File 7620 – providing for an additional first amendment
expenditure amount not-to-exceed $110,725.00 with the total contract amount not-to-exceed $207,688.00).
INFORMATION/BACKGROUND
In January 2021, Freese and Nichols was selected to provide training and consulting services to the City of
Denton for collaborative project delivery (CPD) methods. Through this process, Freese and Nichols has
provided several pieces of training to staff covering Construction Manager at Risk project delivery,
development of contract documents for preconstruction and construction phases, and coaching to the project
delivery team. Phases 1 & 2 of the original contract provided services related to the preconstruction process.
This first amendment includes the proposed phase 3 services that will allow for the continuation of
consulting and coaching through Freese and Nichols. Phase 3 services will focus on the following items
during the preconstruction and construction phases of the Construction Manager at Risk pilot projects:
• Develop and reinforce City of Denton specific CPD delivery best practices through direct coaching
on initial Construction Manager at Risk projects.
• Develop City of Denton specific best practices tools and templates for reference and use on future
projects.
• Provide a 4-hour staff training on City of Denton delivery best practices for Construction Manager
at Risk delivery.
PRIOR ACTION/REVIEW (Council, Boards, Commissions)
On January 18, 2021, City Manager approved a contract with Freese and Nichols, Inc., in the not-to-exceed
amount of $96,963.00.

RECOMMENDATION
Award Amendment No. 1 with Freese and Nichols, Inc., for collaborative project delivery consulting
services for the Capital Improvement Projects division, in a not-to-exceed amount of $110,725, for a total
amended contract amount of $207,688.

FISCAL INFORMATION
These services will be funded from 2019 Bond Fund account 350504473. Purchase Order #195576 has been
increased in the Purchasing software system in the amount of $110,725. The budgeted amount for this item
is $110,725.
