BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND HAZEN AND SAWYER, P.C.
[CONTRACT #5718]
THIS SECOND AMENDMENT TO CONTRACT (hereafter the “Second
Amendment”) to that certain Contract by and between the City of Denton, Texas and
Hazen and Sawyer, P.C. (hereafter the “Agreement”) in the original Professional Services
Agreement, which were heretofore executed on 06th of January, 2015, and was approved
by the Denton City Council and subsequently executed by the Denton City Manager or
his duly authorized designee; and said Agreements were heretofore entered into by and
between the City of Denton, Texas, a Texas Municipal Corporation with its offices at 215
East McKinney Street, Denton, Texas 76201 (hereafter the “CITY”); and the firm of
Hazen and Sawyer, P.C. (hereafter “Hazen and Sawyer”) with its offices at 8350 North
Central Expressway, Suite 775, Dallas, Texas 75206; and
The original Agreements provided for Hazen and Sawyers’ services related to the
Pecan Creek Water Reclamation Facility Process Modeling and Operations Tool
Development Project as is contained in Contract #5718 (Exhibit A, on file in the
Purchasing Office). The initial agreement for the Basic Services – (Exhibit A), was
approved on January 6, 2015, in the not-to-exceed amount of $136,017. The City and
Hazen and Sawyer further specified and agreed within Contract #5718, that additional
services may be necessary to complete the project, and identified those services within
Article 5(B) (c) – Additional Services.
A First Amendment was approved on December 3, 2015 for additional
Professional Services, totaling $21,508, bringing the not to exceed grand total to
$157,525. (Exhibit B)
NOW THEREFORE, the CITY and Hazen and Sawyer (hereafter collectively referred to
as the “Parties”), in consideration of their mutual promises and covenants, as well as for
other good and valuable considerations, do hereby AGREE to the following Second
Amendment, which amends the following terms and conditions of the said Agreements,
to wit:

The provisions of the said Agreements are hereby amended to add the additional
Agreements as follows, to wit:
Hazen and Sawyer shall provide to the CITY the Additional Professional Services
in addition to the initial project, as defined in the “Scope of Work for the Water
Reclamation Plant Iron Addition Optimization and Water Treatment Plant Solids
Assessment & Raw Sewage Pump Station No. 2 Hydraulic Improvements ”. The
individual tasks and deliverables are fully defined within the Scope of Work

(Exhibit C). The additional professional services to complete the Project, are
provided in “Exhibit C” of this Second Amended Agreement, and shall become a
part of the contractual requirements of Contract #5718. The total cost of these
additional professional services, which shall not exceed $124,650.
The total project costs shall not exceed $282,175.

The Parties hereto agree, that except as specifically provided for by this Second
Amendment, that all of the terms, covenants, conditions, agreements, rights,
responsibilities, and obligations of the Parties, set forth in both the Agreements and now
the Second Amendment shall be, and will remain in full force and effect.

Treatment Plant Solids Assessment
Dear Mr. Arora:
As requested, Hazen and Sawyer (Hazen) is submitting a proposal to assist in optimizing the Pecan Creek
Water Reclamation Plant (PCWRP) iron feed system, update the process model iron to phosphorus molar
ratio for more accurate prediction of iron usage and quantity the impacts of water treatment plant (WTP)
solids. The task will be hourly not to exceed and can include the following types of services:
Jar Testing for Various Feed Points Prior to Full Scale Startup
Hazen will assist in developing a procedure for jar testing various iron feed doses at each of the feed
points to determine the theoretical molar ratio for a target phosphorus removal. The results can be
compared to the actual iron usage to determine the relative efficiency of iron due to the physical
mixing and settling parameters. The City will perform all sampling, jar tests and provide data to
Hazen in Excel format.
Meetings:One, 1-hour conference call will be included to review the results.
Deliverables:One electronic copy in .PDF format of the jar testing procedure with sampling
requirements and data entry template in Excel format. One electronic copy in .PDF format
of the results.
Iron Addition Startup and Optimization Plan
Hazen will assist in developing a startup plan and systematic approach to feeding iron with key
process parameters to monitor. Hazen will develop a sampling plan to determine the utilization of
iron at the various feed points including upstream of the primary clarifiers, upstream of secondary
clarifiers, upstream of the filters and upstream of the belt filter press. The City will perform all
process testing and provide data to Hazen in Excel format.
Meetings:Hazen will review the plant process data monthly for three months and perform a one hour
operations conference call, once per month, to discuss the results and potential
adjustments to optimize.

PCWRP Process Model Update
Hazen will estimate the field molar ratio of iron to phosphorus for the PCWRP and update the process
model to better predict the iron usage. Hazen will provide guidance on sampling requirements if the
necessary data is not available or accounted for in the tasks above. The City will perform all
sampling, process testing and provide data to Hazen in Excel format. The City will update the iron to
phosphorus molar ratio in the model files delivered as part of the process model development project.
Hazen will also update the PCWRP process model to BioWin version 5.0 and populate the energy
assumptions to reflect Denton specific values such as cost of electricity.
Meetings:One, 1-hour meeting to review results in the model compared to actual plant data at the
PCWRP training room and provide an overview of BioWin version 5.0 functionality.
Deliverables:One electronic copy in .PDF format of the meeting materials. PCWRP BioWin model
files (same files as the PCWRP process modeling project) updated to version 5.0 with
Denton specific energy information included.
Iron Feed Estimation Tool
Hazen will provide an Excel based tool for operations staff to input concentrations at various points in
the plant and determine a target iron feed rate. The tool would use the sampling data to more
accurately predict the feed rates.
Meetings:Two, 1-hour meetings: one to determine tool layout and functionality, the second to review
the completed tool and provide training on how to use it.
Deliverables:One iron addition optimization tool in Excel format including guidelines for use in the
Excel file.
Water Treatment Plant (WTP) Solids Impacts on PCWRP
Hazen will leverage the process model to quantify impacts of WTP solids on the PCWRP. The
evaluation will include estimated increases in solids loading and reductions in treatment capacity due
to decreased volatile solids retention times and potential growth limitations. In order to maintain the
PCWRP’s rated treatment capacity a maximum solids loading rate will be determined and leveraged
to estimate a maximum discharge limit from the WTP.
Meetings:One, 1-hour meeting to present results from the evaluation.
Deliverables:One electronic copy in .PDF format of a technical memorandum summarizing the
results from the evaluation.

Dear Mr. Arora:
As requested, Hazen and Sawyer (Hazen) is submitting a proposal to design hydraulic improvements at
the Pecan Creek Water Reclamation Plant (PCWRP) Raw Sewage Pump Station No. 2 (RSPS2) to
address hydraulic challenges the City of Denton (City) has experienced.
Hazen will include the following features in the design:
Wet well structural improvements including isolation wall extension, baffle wall and new
passage hole through the isolation wall upstream of the baffle
New dry pit submersible pumps similar to the Flygt N-Style Impeller preliminarily evaluated
as part of the RSPS2 Hydraulic Investigation
Dry pit piping improvements including relocation of the pumps and concrete bases, demolition
of the existing pump bases, suction pipe extension, replacement of existing knife gate valves,
discharge pipe reconfiguration with check valve in the horizontal position, one new check
valve and one new plug valve
Electrical and instrumentation wiring and conduit will not be changed from the existing
Replacement of the existing I-Beam above the pumps for pump retrieval. Installation of a new
manual dolly and winch on the I-Beam
Replacement of an existing yard valve between RSPS2 and the grit removal facility.
Task 100: Preliminary Engineering Services
Task 101: Hydraulic Validation and Preliminary Engineering Technical
Memorandum
ENGINEER will build upon the RSPS2 Hydraulic Investigation and validate the design of the baffle wall
to a preliminary design level using computational fluid dynamics (CFD) and HazenPro hydraulic
calculation tool. A vertical baffle wall will be considered as part of the evaluation. The baffle wall invert
elevation will be confirmed in order to maintain adequate water surface elevation upstream of the pumps
for operation of the Raw Sewage Pump Station No. 1 without causing backups in the collection system.

ENGINEER will evaluate pump station capacity and potential alternate pump selections to achieve 46-
mgd firm capacity with both RSPS1 and 2 with appropriate standby capacity to meet State and Federal
requirements.
Scope Item Assumptions:
CFD and HazenPro hydraulic tools will be used to refine the baffle wall configuration. The
baffle wall configuration developed in the Hydraulic Investigation will be enhanced
The baffle wall invert elevation will be validated under various operating scenarios including
low flow, average and 2-hour peak to determine the resulting upstream water surface elevation
The City will simulate normal operating parameters and high flow conditions using the existing
InfoWorks model based on the baffle wall elevation and upstream water surface elevation to
determine impacts to the upstream collection system
The size of the new opening in the wet well isolation wall will be optimized for appropriate
velocities through the opening
The City will provide pump curves for all pumps at RSPS1 for pump selection evaluation
Disciplines involved in the preliminary engineering and design include structural, process
mechanical, electrical and instrumentation
Meetings:
One, 1-hour meetings with the City Engineer to coordinate the collection system model runs
One, 1-hour meeting with the City to review results from the hydraulic evaluation
One, 1-hour meeting to review the draft technical memorandum and receive the City’s review
comments
Deliverables:
Presentation with the results from the CFD, hydraulic analysis and pump selection
One electronic (.PDF format) copy and five hard copies of the draft technical memorandum

Task 200: Detailed Design and Bid Services
Subtask 201: 90-Percent Design
ENGINEER will perform the necessary design calculations, agency coordination, development of plans,
specification development, manufacturer coordination and cost estimation in accordance with applicable
Federal, State and local regulations in addition to the City’s design standards. The level of detail will
conform to industry standards for a 90% level design detailed below.

Prepare 90% technical specifications for all disciplines including bypass pumping specification
and confined space requirements. The specification will include the technical portion and any
start-up or training requirements only
Two bypass pumping options will be evaluated: pumping to RSPS No. 1 and pumping to the
grit removal / diversion structure. Dewatering requirements to replace the yard valve will be
included in the bypass pump supplier’s scope of work.
Front end specification are not required as part of this project and are not included in the scope
The Engineer will evaluate and select up to three pumps to fit the application and requirements.
The pump evaluation and selection will be the first priority including the pump specification
for purchase due to the lead time in procurement. The pumps will be factory tested prior to
delivery; witness testing is not required
Cost estimate and down time required to coat the interior of the pump station will be evaluated
including potential quick dry products compared to the Raven coating system
Concrete mixes will be evaluated and selected to provide quick cure due to limitation of down
time for improvements
Conduct an internal milestone quality control review
Perform a 90% internal constructability review
Perform a 90% internal interdisciplinary coordination workshop

All concrete testing will be performed by the City; the Engineer will specify the number of

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE
From time to time, City of Denton (we, us or Company) may be required by law to provide to
you certain written notices or disclosures. Described below are the terms and conditions for
providing to you such notices and disclosures electronically through your DocuSign, Inc.
(DocuSign) Express user account. Please read the information below carefully and thoroughly,
and if you can access this information electronically to your satisfaction and agree to these terms
and conditions, please confirm your agreement by clicking the 'I agree' button at the bottom of
this document.
Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available
electronically to you by us. For such copies, as long as you are an authorized user of the
DocuSign system you will have the ability to download and print any documents we send to you
through your DocuSign user account for a limited period of time (usually 30 days) after such
documents are first sent to you. After such time, if you wish for us to send you paper copies of
any such documents from our office to you, you will be charged a $0.00 per-page fee. You may
request delivery of such paper copies from us by following the procedure described below.
Withdrawing your consent
If you decide to receive notices and disclosures from us electronically, you may at any time
change your mind and tell us that thereafter you want to receive required notices and disclosures
only in paper format. How you must inform us of your decision to receive future notices and
disclosure in paper format and withdraw your consent to receive notices and disclosures
electronically is described below.
Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the
speed at which we can complete certain steps in transactions with you and delivering services to
you because we will need first to send the required notices or disclosures to you in paper format,
and then wait until we receive back from you your acknowledgment of your receipt of such
paper notices or disclosures. To indicate to us that you are changing your mind, you must
withdraw your consent using the DocuSign 'Withdraw Consent' form on the signing page of your
DocuSign account. This will indicate to us that you have withdrawn your consent to receive
required notices and disclosures electronically from us and you will no longer be able to use your
DocuSign Express user account to receive required notices and consents electronically from us
or to sign electronically documents from us.
All notices and disclosures will be sent to you electronically
Unless you tell us otherwise in accordance with the procedures described herein, we will provide
electronically to you through your DocuSign user account all required notices, disclosures,
authorizations, acknowledgements, and other documents that are required to be provided or
made available to you during the course of our relationship with you. To reduce the chance of
you inadvertently not receiving any notice or disclosure, we prefer to provide all of the required
notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through
the paper mail delivery system. If you do not agree with this process, please let us know as
described below. Please also see the paragraph immediately above that describes the
consequences of your electing not to receive delivery of the notices and disclosures
electronically from us.

How to contact City of Denton:
You may contact us to let us know of your changes as to how we may contact you electronically,
to request paper copies of certain information from us, and to withdraw your prior consent to
receive notices and disclosures electronically as follows:

To advise City of Denton of your new e-mail address
To let us know of a change in your e-mail address where we should send notices and disclosures
electronically to you, you must send an email message to us at kevin.gunn@cityofdenton.com
and in the body of such request you must state: your previous e-mail address, your new e-mail
address. We do not require any other information from you to change your email address..
In addition, you must notify DocuSign, Inc to arrange for your new email address to be reflected
in your DocuSign account by following the process for changing e-mail in DocuSign.
To request paper copies from City of Denton
To request delivery from us of paper copies of the notices and disclosures previously provided
by us to you electronically, you must send us an e-mail to kevin.gunn@cityofdenton.com and in
the body of such request you must state your e-mail address, full name, US Postal address, and
telephone number. We will bill you for any fees at that time, if any.
To withdraw your consent with City of Denton
To inform us that you no longer want to receive future notices and disclosures in electronic
format you may:
i. decline to sign a document from within your DocuSign account, and on the subsequent
page, select the check-box indicating you wish to withdraw your consent, or you may;
ii. send us an e-mail to kevin.gunn@cityofdenton.com and in the body of such request you
must state your e-mail, full name, IS Postal Address, telephone number, and account
number. We do not need any other information from you to withdraw consent.. The
consequences of your withdrawing consent for online documents will be that transactions
may take a longer time to process..

** These minimum requirements are subject to change. If these requirements change, we will
provide you with an email message at the email address we have on file for you at that time
providing you with the revised hardware and software requirements, at which time you will
have the right to withdraw your consent.
Acknowledging your access and consent to receive materials electronically
To confirm to us that you can access this information electronically, which will be similar to
other electronic notices and disclosures that we will provide to you, please verify that you
were able to read this electronic disclosure and that you also were able to print on paper or
electronically save this page for your future reference and access or that you were able to
e-mail this disclosure and consent to an address where you will be able to print on paper or
save it for your future reference and access. Further, if you consent to receiving notices and
disclosures exclusively in electronic format on the terms and conditions described above,
please let us know by clicking the 'I agree' button below.
