(the “Contract”) – Informal Change #1- Verint Integration SOW
Dear Mr. Sykes,
Thank you for being such a valued partner. By signing this Amendment below, COD and N. Harris
Computer Corporation agree that the Contract is hereby deemed amended to the updated Schedule of
Charges, as shown in Attachment A.
Except as amended by this Amendment, the Contract is not otherwise amended and all other terms
and conditions of the Contract remain in full force and effect, as amended hereby. This Amendment
may be executed in any number of counterparts, each of which shall be deemed an original and all of
which together shall constitute one and the same instrument. Signatures transmitted electronically
shall have the same effect as the delivery of original signatures.

Services Description: City of Denton (“Denton”) has engaged Verint to design and develop an
integration between the Verint CRM solution and NorthStar CIS. Denton is procuring NorthStar’s
services to perform consulting activities related to the knowledge transfer associated with the
NorthStar Enterprise API.
Scope of Work:
• NorthStar will provide Denton with up to 80 hours of consulting services to support Denton and
Verint with the following activities as directed:
o NorthStar will work with Denton and/or Verint to document the integration
requirements and map these requirements against the capabilities of the NorthStar
REST API;
Including:
o Identification of the REST API end points that support the integration
o Identification of the data not available within NorthStar
o Identification of the data available within NorthStar but not currently accessible
through the REST API
o NorthStar will work with Denton and Verint to identify potential risks or shortcomings
related to the integration.
o NorthStar will work to identify potential tools/functions (i.e. automation) which may be
required to achieve Denton’s stated objectives.
o NorthStar will configure the NorthStar server to run under HTTPS using a self-signed SSL
certificate. If Denton requires a certificate issued by a trusted authority they will need to
secure the certificate.
o NorthStar will provide technical support to access the API’s
• The allocation of consulting services hours identified above (80 hours) must be used within 5
months of the project kick off call.
• If additional effort is required to assist Denton and their third parties with the integration
design, Denton will be notified and asked for approval in advance of NorthStar completing the
incremental work. A change order may be created for up to an additional 50 hours of consulting
services, as agreed to in writing by both parties.
Assumptions:
• All project activities to be performed remotely, unless otherwise requested.

• Denton will provide the appropriate remote access to its network, facilities, and systems as may
be required to perform activities from one of NorthStar’s locations. NorthStar shall abide by all
rules and directions of Denton when accessing Denton’s network, facilities or systems.
• If a project delay is encountered due to external factors outside of NorthStar’s control, and User
Acceptance Testing needs to extend beyond the 5 day window for UAT testing NorthStar and
Denton will analyze the results of this external factor on the project timeline to determine if
there is a need for a change request to reflect a substantial change to the project plan, budget,
or timeline.
• Denton resources will be available as required for User Acceptance testing. It is expected that
the individuals identified will have experience in the day-to-day operations, as it pertains to the
NorthStar CIS, and will work closely with the NorthStar Consultant to resolve issues as required.
The main purpose for this interaction is to provide a quick and consistent response to
procedural issues so that the NorthStar Consultant is not required to contact a large number of
Users.
• Should Denton require any data refreshes of the NorthStar TEST system throughout testing they
will need to coordinate the refresh with NorthStar to ensure none of the configuration work is
overwritten in error. If a refresh occurs without NorthStar’s prior knowledge and set ups need to
be restored a change order will be issued for the additional effort to do so.
• NorthStar will not be supporting Verint or any other 3rd party software as a part of this SOW
• Team Support will be used to track issues through to remediation. Denton will log Team Support
tickets for any issues discovered.
Denton Responsibilities
Following are the key responsibilities of Denton under this SOW:
• Denton will ensure the NorthStar TEST instance is reachable and secure to Verint developers.
• Denton is currently running NorthStar 6.4.27M in the TEST and production environments.
Without knowing the data requirements, NorthStar cannot advise if NorthStar 6.4.27M has the
capabilities necessary for the project. NorthStar recommends that Denton upgrade to the latest
NorthStar 6.4 or NorthStar 6.6 release, prior to commencing this project.
• Denton’s TEST environment will need to be refreshed, prior to the commencement of this
project.

Please speak to your account manager regarding scheduling for this project. Should additional time be
required to complete this project at any time, you will be notified and asked for your approval in
advance of NorthStar completing the incremental work.
Acceptance Terms:
This engagement is deemed completed and accepted when the 80 consulting hours have been
consumed or a period of 5 months from the project kick off has elapsed.
Area’s Out of Scope:
• Additional consulting services or support outside of the 80 consulting hours.
• NorthStar will be providing consulting services as outlined in Scope of Work. Verint will be
responsible for the integration development.
Price:
This is a fixed price quote based on the scope described above. An additional amount equal of 5% of the
total fees billed have been included in the fee charged to cover technology, communication and
administrative costs. If there are material changes to the scope or our understanding of the scope, the
price is subject to change.
Any additional scope will be charged at NorthStar’s standard hourly rate at $230 or an after hours rate
of $345/hour.
Price excludes any applicable taxes.
Quote is valid for 60 days from date of delivery. After 60 days the quote will be considered expired and
would need to be reassessed and re-quoted if still required.
Payment Terms:
This quotation will require a 100% deposit on signing, before any work will begin.
Invoices are payable upon receipt.
Termination:
Unless NorthStar and/or Denton exercises its right to terminate this quote due to material breach or
default, NorthStar must provide, and Denton must purchase, services from NorthStar for the items
defined within this quote.

If Denton and/or NorthStar exercises its right to terminate this quote due to material breach or default,
or Denton and/or NorthStar terminates this quote without cause,
Denton’s obligation includes the following:
1. Provide notice of 10 calendar days for termination without cause;
2. Return the software to NorthStar and certify, under the hand of a duly authorized officer of
the Organization, that all copies of the Software or any part thereof, in any form, within the
possession or control of the Organization have been returned to NorthStar (if applicable).
3. Complete payment for services performed and expenses incurred prior to
termination including:
a. Any amounts previously invoiced but unpaid;
b. Fees for services performed through the termination date which has not been
invoiced; and
c. Any approved travel and living costs.
NorthStar’s obligation includes the following:
1. Provide notice of 10 calendar days for termination without cause.
Under no circumstances shall NorthStar be liable for any special, indirect, consequential, punitive or
incidental damages of any kind and shall not be liable for loss of profits, works stoppage, system failure
or malfunction, loss of data or any other damages or losses in connection with this statement of work,
even if NorthStar has been advised of the possibility of such damages. In any event, NorthStar shall not
be liable to pay any amount, in the aggregate, that is greater than the fees received by NorthStar under
this statement of work.

From time to time, City of Denton (we, us or Company) may be required by law to provide to
you certain written notices or disclosures. Described below are the terms and conditions for
providing to you such notices and disclosures electronically through your DocuSign, Inc.

Getting paper copies
