(“Consultant”); to that certain contract executed on May 18, 2022, in the original not-to-exceed amount of $145,000 (the “Agreement”); for services related to Pecan Creek Linear Trial. WHEREAS, the City deems it necessary to further expand the services provided by Consultant to the City pursuant to the terms of the Agreement, and to provide an additional not-to-exceed amount $8,300 with this Amendment for an aggregate not-to-exceed amount of $153,300; and FURTHERMORE, the City deems it necessary to further expand the goods/services provided by Consultant to the City; NOW THEREFORE, the City and Consultant (hereafter collectively referred to as the “Parties”), in consideration of their mutual promises and covenants, as well as for other good and valuable considerations, do hereby AGREE to the following Amendment, which amends the following terms and conditions of the said Agreement, to wit: 1. The additional services described in Exhibit “A” of this Amendment, attached hereto and incorporated herein for all purposes, for professional services related to the Pecan Creek Linear Trail, are hereby authorized to be performed by Consultant. For and in consideration of the additional services to be performed by Consultant, the City agrees to pay, based on the cost estimate detail attached as Exhibit “B” to this Amendment, attached hereto and incorporated herein for all purposes, a total fee, including reimbursement for non-labor expenses an amount not to exceed $8,300. 2. This Amendment modifies the Agreement amount to provide an additional $8,300 for the additional services with a revised aggregate not to exceed total of $153,300. The Parties hereto agree, that except as specifically provided for by this Amendment, that all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations of the Parties, set forth in the Agreement remain in full force and effect. Richardson, Texas 75081 (214) 346-6200 Fax (214) 739-0095 1 | Page EXHIBIT A SCOPE OF SERVICES Pecan Creek Trail Phase I 2023 Transportation Alternatives Set-Aside Program Application Preparation Assistance Denton, Texas The purpose of this project is to assist the City of Denton in the completion of Funding Application for the Texas Department of Transportation (TxDOT) Transportation Alternatives Set-Aside Program 2023 Call for Projects. The proposed Pecan Creek Trail Phase I corridor consists of approximately +/- 1 mile of concrete off-street trail from the existing DCTA Trail to the west side of Woodrow Ln., north of Pecan Creek, as shown in the Exhibit A, Segment 1. This information will be confirmed for the TxDOT program submittal that will be prepared by Halff Associates, Inc. (Halff) and submitted by the City of Denton. BASE SCOPE OF SERVICES Task 1 – Kick-Off Meetings  Halff will conduct one (01) Kickoff meeting with the City of Denton staff to clearly define the scope of the proposed trail application and parameters for grant application efforts to develop the Preliminary Application. The meeting will be held virtually through Microsoft Teams. Meeting minutes will be prepared.  Deliverable: Digital PDF of the meeting minutes. Task 2 – Preliminary Application  Prepare Preliminary Application with assistance from the City of Denton. The Preliminary Application will identify preliminary scoping information, estimated construction cost and identified potential project complexity (e.g., utilities, ROW, environmental implications).  Halff will submit the preliminary application to City Staff for review and comment. One (01) meeting will be held to discuss comments and outstanding items.  Halff will submit the preliminary application to TxDOT.  Deliverable: Online submittal of the preliminary application package. *Task 3 – Detailed Application  Halff will hold a second meeting with the City to prepare for the Detailed Application. The meeting will be held virtually through Microsoft Teams. Meeting minutes will be prepared.  Attend one (01) virtual meeting with TxDOT to review the Preliminary Application.  Prepare the Detailed Application with assistance from the City of Denton. The funding application will be developed to optimize the maximum potential number of points based on the scoring criteria established by TxDOT. Site photos will be prepared to better illustrate the existing corridor conditions. o Project Schedule. o City Council resolution certifying the local match and funding commitment. Halff will provide a template for this resolution to be coordinated by City staff. o Letters of support – Halff will prepare a template support letter to assist the City in gathering letters of support from the TxDOT district engineer, County, the ISD, and other interested parties. o Evidence of public involvement – Halff will gather documentation that provides evidence that the public has been engaged in the planning of this trail. o TxDOT GIS analysis – Halff will analyze TxDOT GIS data in the project area including for pedestrian/bike/vehicle crashes and population characteristics and identify appropriate countermeasures for identified crashes if necessary. o MPO Letter of Support – Halff will develop a letter for the MPO to sign if needed. o Determination of environmental complexity – Halff will determine what level of environmental documentation is needed to satisfy NEPA requirements. o Demonstration of ownership/ability to construct – Halff will gather documentation that provides evidence of ownership/lease/easement. o TMUTCD determination – Halff will determine if any new traffic control signals, including RRFBs, comply with TMUTCD requirements.  Halff will submit the first draft of the detailed application to City Staff for review and comment. One (01) meeting will be held to discuss comments and outstanding items.  Halff will deliver the final application with supporting documents to TxDOT in the manner requested through the application, which may include digital copies and hard copies. *Task 4 – Post Grant Submission Assistance Once the grant application has been submitted, Halff will assist the City with questions that may arise during the grant review process. *Tasks 3 & 4 will proceed upon TxDOT approval of the preliminary application. Timeline for Completion Halff agrees to complete and submit all work required by the City as defined in this contract set forth required to meet the TxDOT program Preliminary Application deadline of January 27, 2023 and the Detailed Application deadline of June 5, 2023. Compensation will be based upon a mutually agreed lump sum fee or an hourly rate as shown below. Items that are considered additional services include: 1. Construction document preparation. 2. Topographical survey. 3. Design of areas outside the limits of the project corridor. 4. Site grading and drainage. 5. Additions to the project scope or budget that causes additional work. 6. Additional meetings or workshops not identified in the project scope. 7. Public meetings. 8. Additional work not specifically included in the above Proposed Scope of Work. 9. Revisions to the plans requested by the Client after the plans are approved, unless necessitated by discrepancy in the plans. 10. Graphic products except as noted herein. 11. Quality control and material testing services during construction except for submittal reviews. 12. Traffic Engineering reports or studies. 13. Construction staking. Design of major existing utility relocations or modifications. 14. Negotiations/agreements with adjacent property Owners. 15. Plat or Final plat preparation. 16. As-built drawing preparation. 17. Contractor's pay requests or submittals. 18. Full Hydraulic and Hydrology Analysis. 19. Full Environmental services. 20. Payment for total services as described in Exhibit 'A' will be invoiced to the Client on a monthly basis, based upon a percentage of completed tasks.
