The price increases that I had sent over are not manufacture related. These are our testing prices that we charge per
item to provide the testing service. We had an increase in August 2020 on our testing prices for the first time in about 15
years so I do not see us doing another increase on the testing service for quite some time. When I originally did the
contract I did also provide manufacturer’s prices for BRAND NEW items if purchased through us which I noted with Jane
at that time that the NEW product prices typically increase annually based on whatever percentage the manufacture
sets. Back in November when we were originally supposed to pick up the truck good items for testing I was told that
DME was no longer going to use our services to test those items anymore only gloves and sleeves. I didn’t understand it
because we had to amend the original contract to get the truck goods added into it as they only asked for testing on
gloves and sleeves originally. After the amendment was made to add them in we tested the truck goods 1 time and
delivered them back, when they came due for testing again and I called to schedule the pickup is when I was told we
weren’t doing them anymore. I explained that I didn’t understand why you would go through the trouble to amend a
contract only to have them done 1 time but ultimately it was their decision and I hope whatever direction they were
going in worked out for them. Fast forward to April I received a phone call from Brad asking when we could pickup the
truck goods for testing, I made a comment about them going in a different direction and we weren’t doing it anymore he
said but now we are doing them and they needed to get them done ASAP so they brought them up here to us to test.
When I sent the invoices to Sal after completing the testing he got back to me and said there was an issue with the
pricing VS what was in the contract. I told him that because he came in blind on this whole deal not knowing that DME
had “quit” using us for the testing so I would honor the old pricing on the 2 invoices that we had done for him but it
would need to be updated to the new pricing moving forward for the remainder of the contract since they were the
ones who quit using our services.

As I was creating the amendment, I pulled up the contract and noticed that in it, we require the manufacturer’s
published pricing sheets as backup to the amendment or some sort of justification for the increase. Can you please
provide me with that?
