SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the approval of a third amendment to a Professional Services Agreement between the City of
Denton and Freese & Nichols, Inc., amending the contract approved by the City Council on September 22,
2020, in the not-to-exceed amount of $1,472,700.00; amended by Amendments 1 and 2 approved by City
Council; said third amendment to provide additional professional, construction, and bid phase services for
the Lake Ray Roberts Water Treatment Plant Capacity Uprate, Regulatory and Performance Upgrade
Project; providing for the expenditure of funds therefor; and providing an effective date (File 6590-093 –
providing for an additional third amendment expenditure amount not-to-exceed $95,060.00, with the total
contract amount not-to-exceed $3,701,547.00). The Public Utilities Board recommends approval (6 - 0).
INFORMATION/BACKGROUND
The Ray Roberts Water Treatment Plant (RRWTP) was constructed and placed into service in 2002, with
a capacity of 20 million gallons per day (MGD). Since the in-service date, the facility has received no major
maintenance or upgrades, and numerous components are reaching their design life and need replacement or
repair.
Water Utilities staff engaged Freese and Nichols in 2019 to prepare a Preliminary Design Report to evaluate
the condition of equipment, structures, and processes at the RRWTP and make recommendations for work
to be included in a Regulatory and Performance Upgrade project. As part of the original Professional Services
Agreement and Amendment No. 1, approximately 66 valves and Electric Motor Operators (EMO) are
designed to be replaced. In addition to these valves and EMOs, approximately 20 additional EMOs will be
replaced on valves that will remain in service. Each of these approximately 86 EMOs was designed using
the individual input/output communication method.
Staff recommends redesigning the EMO communication method from the designed individual input/output
to a fieldbus network communication protocol. This is a change from the currently planned combined digital
and analog signals to a simplified smart digital communication protocol. The existing valve control structure
is difficult to maintain and troubleshoot. The proposed fieldbus method alleviates the need for extensive
wiring and improves reliability and troubleshooting. Fieldbus protocols provide network diagnostics, which
enables information from all the devices in the network to be used in the reduction and prevention of critical
downtime. The upgrade will ensure that RRWTP will be able to maintain regulatory requirements and
service levels for our community.

This amendment provides design phase services for the EMO Communication system. The Lake Ray
Roberts Regulatory and Performance Upgrade Project is tentatively scheduled to be ready for bid in the
second quarter of 2023. Denton Water Utilities will then bring the construction contract for approval by
Council at that time.
PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS)
On September 22, 2020, City Council approved a contract with Freese and Nichols, Inc., in the not-to-exceed
amount of $1,472,700 (Ordinance 20-1828).
On December 14, 2021, City Council approved Amendment No. 1, with Freese and Nichols, Inc., in the amount
of $663,310, with a total not-to-exceed amount of $2,136,010 (Ordinance 21-2680).
On November 15, 2022, City Council approved Amendment No. 2, with Freese and Nichols., in the amount of
$1,470,477, with a total not-to-exceed amount of $3,606,487 (Ordinance 22-2265).
On April 10, 2023, the Public Utilities Board (PUB) recommended this item to the City Council for
consideration.
RECOMMENDATION
Award Amendment No. 3 with Freese & Nichols, Inc., to provide additional professional, construction, and
bid phase services for the Lake Ray Roberts Water Treatment Plant Capacity Uprate, Regulatory and
Performance Upgrade Project, in a not-to-exceed amount of $95,060, for a total amended contract amount
of $3,701,547.

This project will be started upon approval with a completion date of January 6, 2026.
FISCAL INFORMATION
These services will be funded from Water Department account 630409517. Purchase Order # 195063 will
be revised to include the third amendment amount of $95,060. The total amended amount of this contract
is $3,701,547.
