SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the approval of a first amendment to a contract between the City of Denton and Wilson Office
Interiors, LLC, amending the contract approved by the City Council on March 22, 2022, in the not-to-
exceed amount of $845,000.00; said first amendment to provide additional funding for office furniture
purchased for the City of Denton; providing for the expenditure of funds therefor; and providing an effective
date (File 7959 – providing for an additional first amendment expenditure amount not-to-exceed
$211,250.00, with the total contract amount not-to-exceed $1,056,250.00).

INFORMATION/BACKGROUND
The proposed amendment will allow for existing City facilities outfitted with Wilson furniture products to
continue purchasing replacements and additional pieces to match the current inventory. Wilson provides a
consultant who helps in the selection, measuring, and installation of furniture.
Pricing obtained through the Omnia Partners Cooperative Purchasing Network has been competitively bid
and meets the statutory requirements of Texas Local Government Code 271.102.
PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS)
On September 14, 2021, City Council approved the interlocal agreement with Omnia Partners (Ordinance
2021-1842).
On March 22, 2022, City Council approved a contract with Wilson Office Interiors, LLC, in the not-to-
exceed amount of $845,000 (Ordinance 22-527).
RECOMMENDATION
Award Amendment No. 1 with Wilson Office Interiors, LLC, for additional funding to purchase office
furniture for the City of Denton, in a not-to-exceed amount of $211,250, for a total amended contract amount
of $1,056,250.

ESTIMATED SCHEDULE OF PROJECT
Omnia Contracts R191811, R191802, and R191803 have a term of May 1, 2020, to April 30, 2023, with
the option to renew for two (2) additional one (1) year periods through April 30, 2025. Omnia contract
2019.001896 has a term of May 20, 2020, to April 30, 2024, with the option to renew for five (5) additional
years through April 30, 2029.
FISCAL INFORMATION
Products and services will be funded through the user department’s budget on an as-needed basis. The City
will only pay for services rendered and is not obligated to pay the full contract amount unless needed.
