FIRST AMENDMENT TO CONTRACT
BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND MARTINEZ ARCHITECTS, LP

COUNTY OF DENTON §
THIS FIRST AMENDMENT TO CONTRACT 7818-011 (“Amendment”) by and
between the City of Denton, Texas (“City”) and Martinez Architects, LP (“Architect”); to
that certain contract executed on April 16, 2024, in the original not-to-exceed amount of
$2,071,500 (the “Agreement”); for services related to Architectural Services for Fire
Station #5 & #6.
WHEREAS, the City deems it necessary to further expand the services provided by
Architect to the City pursuant to the terms of the Agreement, and to provide an additional
not-to-exceed amount of $15,326 with this Amendment for an aggregate not-to-exceed
amount of $2,086,826; and
FURTHERMORE, the City deems it necessary to further expand the goods/services
provided by Architect to the City;
NOW THEREFORE, the City and Architect (hereafter collectively referred to as the
“Parties”), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following Amendment, which
amends the following terms and conditions of the said Agreement, to wit:
1. The additional services described in Exhibit “A” of this Amendment, attached
hereto and incorporated herein for all purposes, for professional services related to
the design of Fire Station 5 & 6, are hereby authorized to be performed by Architect.
For and in consideration of the additional services to be performed by Architect,
the City agrees to pay, based on the cost estimate detail attached as Exhibit “A” a
total fee, including reimbursement for non-labor expenses an amount not to exceed
$15,326.
2. This Amendment modifies the Agreement amount to provide an additional $15,326
for the additional services with a revised aggregate not to exceed total of
$2,086,826.
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.

Dear Mr. Myers:
Braun Intertec Corporation is pleased to present this proposal to Martinez Architects to perform the
following scopes of services for the new Denton Fire Station #5 project in Denton, Texas.
Base Scope: Conduct a Peer Review and prepare a Peer Review Report of the proposed
ICC500 Storm Shelter Design in general accordance with the ICC500-2020.
Alternate Scope No. 1: Perform required Structural Observations during the construction of
the proposed Storm Shelter in general accordance with the ICC500-2020, Section 111.
Alternate Scope No. 2: Perform optional Inspections during the construction of the proposed
Storm Shelter in general accordance with the ICC500-2020, Section 110.1.2 for Special Cases.
We have included the alternate construction phase scopes of work (as described above) at the request of
Martinez Architects, for consideration.
Our Understanding of the Project
We understand this project will include the construction of a new Fire Station, which includes the design
and construction of a storm shelter. The storm shelter is assumed to be constructed primarily of
reinforced masonry. The roof system of the storm shelter is assumed to be designed as a concrete
composite slab supported reinforced masonry walls at the perimeter of the shelter. Because your
request for proposal is limited to the peer review and observations of the storm shelter, we have not
reviewed project documents related to the host structure or its associated site features.

Scope of Services
Base Scope – Construction Document Peer Review
Peer Review
Peer review related to the Storm Shelter Design to provide comments and feedback on areas that
may require additional information to demonstrate compliance with ICC 500-2020.
Attend video conference call with the design team to review findings of progress peer review.
Final Peer Review
Review final Construction Documents.
Submit a final signed report to be submitted with application for plan review.
Alternate No. 1 – Structural Observations
Onsite Structural Observations
Attend a pre-construction storm shelter meeting and review storm shelter construction
documents and structural design peer review.
Conduct visual observations of the structural system for general conformance to the
approved construction documents.
Report deficiencies to the owner and authority having jurisdiction.
At the conclusion of the work, submit to the authority having jurisdiction a written statement
that the site visits have been made and shall identify any reported deficiencies that, to the
best of the structural observer’s knowledge, have not been resolved.
Alternate No. 2 – Construction Inspections
Onsite Construction Observations
Attend a pre-construction storm shelter meeting and review storm shelter construction
documents and structural design peer review.
Conduct observations of post-installed anchors used for anchorage of the shelter
components part of the storm shelter enclosure.
Report deficiencies to the owner and authority having jurisdiction.
At the conclusion of the work, conduct a final inspection in general accordance with Section
110.1.2 of ICC500-2020.

Cost and Invoicing
We will furnish the services described in this proposal as unit costs for the services described, for
estimated fees as follows:
Base Scope – ICC500-2020 Peer Review and Report $7,663.00
Alternate No. 1 Scope – ICC500-2020 Structural Observations $6,372.50
Alternate No. 2 Scope – ICC500-2020 Construction Inspections $6,372.50
A tabulation showing unit costs associated with our proposed scope of services is attached.
Invoices for our services will be based on the actual number of hours provided for the project and the
units tested. Our work will extend over multiple invoicing periods. As such, for work that is performed
during the course of each invoicing period, we will submit partial progress invoices.

How to contact City of Denton:
You may contact us to let us know of your changes as to how we may contact you electronically,
to request paper copies of certain information from us, and to withdraw your prior consent to
receive notices and disclosures electronically as follows:

To advise City of Denton of your new e-mail address
To let us know of a change in your e-mail address where we should send notices and disclosures
electronically to you, you must send an email message to us at melissa.kraft@cityofdenton.com
and in the body of such request you must state: your previous e-mail address, your new e-mail
address. We do not require any other information from you to change your email address..
In addition, you must notify DocuSign, Inc to arrange for your new email address to be reflected
in your DocuSign account by following the process for changing e-mail in DocuSign.
To request paper copies from City of Denton
To request delivery from us of paper copies of the notices and disclosures previously provided
by us to you electronically, you must send us an e-mail to purchasing@cityofdenton.com and in
the body of such request you must state your e-mail address, full name, US Postal address, and
telephone number. We will bill you for any fees at that time, if any.
To withdraw your consent with City of Denton
To inform us that you no longer want to receive future notices and disclosures in electronic
format you may:
i. decline to sign a document from within your DocuSign account, and on the subsequent
page, select the check-box indicating you wish to withdraw your consent, or you may;
