PSA 7574-031 THE STATE OF TEXAS § COUNTY OF DENTON § THIS FIRST AMENDMENT TO CONTRACT 7574-031 (“Amendment”) by and between the City of Denton, Texas (“City”) and Kimley-Horn and Associates, Inc. (“Engineer”); to that certain contract executed on April 2, 2024, in the original not-to- exceed amount of $95,000 (the “Agreement”); for services related to the Water and Wastewater Modeling Services. WHEREAS, the City deems it necessary to further expand the services provided by Engineer to the City pursuant to the terms of the Agreement, and to provide an additional not-to-exceed amount $49,500 with this Amendment for an aggregate not-to-exceed amount of $144,500; and FURTHERMORE, the City deems it necessary to further expand the goods/services provided by Engineer to the City; NOW THEREFORE, the City and Engineer (hereafter collectively referred to as the “Parties”), in consideration of their mutual promises and covenants, as well as for other good and valuable considerations, do hereby AGREE to the following Amendment, which amends the following terms and conditions of the said Agreement, to wit: 1. The additional services described in Attachment “A” of this Amendment, attached hereto and incorporated herein for all purposes, for professional services related to the Water Modeling services, are hereby authorized to be performed by Engineer. For and in consideration of the additional services to be performed by Engineer, the City agrees to pay, based on the cost estimate detail attached as Attachment “A” to this Amendment a total fee, including reimbursement for non-labor expenses an amount not to exceed $49,500 2. This Amendment modifies the Agreement amount to provide an additional $49,500 for the additional services with a revised aggregate not to exceed total of $144,500. Services under this attachment include analysis related to water and wastewater modeling. Project Understanding ENGINEER is to provide on-call engineering services as an extension of the CITY’s staff for the purpose of continuing to provide development review assistance and model updates for the water or wastewater system. Scope of Services ENGINEER’s scope of services is as follows: ·Task 1 – Development Review - $35,000 ·Task 2 – Model Updates - $14,500 Task 1 – Development Review 1.ENGINEER will continue to review proposed construction plans for the purpose of determining the impact to the CITY’s existing water or wastewater system. ENGINEER will utilize the CITY’s existing water or wastewater model to perform this analysis. 2.ENGINEER will prepare a review letter documenting system capacity as it relates to the proposed development. 3.CITY will: a.Provide expected water or wastewater demand for the proposed development. b.Review and provide comments on submitted review letter. Task 2 – Model Updates 1.ENGINEER will continue to update the water or wastewater model with any updated data provided by the CITY. Docusign Envelope ID: 4C3F21ED-36A5-4CB8-AE72-C380C3E9022E ATTACHMENT ACOMPENSATION FORWATER & WASTEWATER MODELING SERVICES – PHASE 2 City of Denton, TexasAttachment APage 1 of 1 ATTACHMENT "A" Compensation for Engineering Design Related Services for: WATER & WASTEWATER MODELING SERVICES – PHASE 2 ENGINEER will perform the Services in Tasks 1 - 2 on a labor fee plus expense basis. Labor fee will be billed on an hourly basis according to our then-current rates. Direct reimbursable expenses such as express delivery services, fees, air travel, and other direct expenses will be billed at 1.15 times cost. A percentage of labor fee will be added to each invoice to cover certain other expenses such as telecommunications, in-house reproduction, postage, supplies, project related computer time, and local mileage. Administrative time related to the project will be billed hourly. All permitting, application, and similar project fees will be paid directly by the CITY. Should the CITY request ENGINEER to advance any such project fees on the CITY’s behalf, an invoice for such fees, with a fifteen percent (15%) markup, will be immediately issued to and paid by the CITY. Based on current information, ENGINEER estimates that labor fees will be approximately $49,500. Fee estimates in this Agreement are for general budgeting purposes only. Actual fees may be less or more than the estimates. Payment will be due within 25 days of your receipt of the invoice and should include the invoice number and ENGINEER project number.
