Exhibit 1 - Agenda Information Sheet - Amendment 1City of Denton _____________________________________________________________________________________ AGENDA INFORMATION SHEET DEPARTMENT: Procurement ACM: Cassey Ogden DATE: December 3, 2024 SUBJECT Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation, authorizing the approval of a first amendment to a contract between the City of Denton and Facility Solutions Group, Inc., amending the contract approved by City Council on January 4, 2022, in the not-to- exceed amount of $1,375,000.00, said first amendment to continue to provide security access controls for the Facilities Management Department; providing for the expenditure of funds therefor; and providing an effective date (File 7835 – providing for a first amendment expenditure amount not-to-exceed $343,750.00, with the total contract amount not-to-exceed $1,718,750.00). STRATEGIC ALIGNMENT This action supports the Key Focus Area: Enhance Infrastructure and Mobility. INFORMATION/BACKGROUND In January 2022, Facility Solutions Group, Inc. was awarded the contract for Security Access Controls to install, troubleshoot, and repair all security access equipment and devices at City facilities over a period of three years. Facilities Management previously identified failures in the security software that necessitated an expedited transition to prevent a complete system failure and preserve the security of staff and assets. During the process of replacing the software, it became evident that unplanned hardware upgrades were also required, which led to a depletion of contract funds. As the contract approaches its spending limit set by the City Council, Facilities Management is seeking additional funds in the not-to-exceed amount of $343,750 to continue the security access controls work. The $343,750 will be used to purchase hardware upgrades including replacement of existing identification card readers and connecting control panels, electric strikes, request to exit sensors, and door handles. Without the requested increase in contract spending, essential hardware upgrades and the full implementation of the new security software will remain incomplete leading to critical security vulnerabilities, increased risk of unauthorized access, and potential disruptions in facility operations. PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS) On January 4, 2022, City Council approved a contract with Facility Solutions Group, Inc., in the not-to- exceed amount of $1,375,000 (Ordinance 22-025). PRINCIPAL PLACE OF BUSINESS Facility Solutions Group, Inc. Dallas, TX ESTIMATED SCHEDULE OF PROJECT This contract expires on January 4, 2027. FISCAL INFORMATION These services will be funded from Operating Account 880200.6545. Requisitions will be entered on an as- needed basis. The total amended amount of this contract is $1,718,750.
