Exhibit 1 - Agenda Information Sheet - Formal Amendment 1City of Denton _____________________________________________________________________________________ AGENDA INFORMATION SHEET DEPARTMENT: Procurement ACM: Cassey Ogden DATE: December 17, 2024 SUBJECT Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation, authorizing the approval of a first amendment to contracts between the City of Denton and Chameleon Industries, Inc., Tanner Industries, Inc., Brenntag Southwest, Inc., Polydyne, Inc., Petra Chemical Company LLC, PVS Technologies, Inc., Chemtrade Chemicals US LLC, and Pencco, Inc., authorizing the approval of a second amendment to contracts between the City of Denton and PVS DX, Inc., amending the contracts approved by City Council on November 16, 2021, in the cumulative not-to-exceed amount of $13,242,875.00; amended by Amendment 1 approved by Purchasing; said first and second amendments to provide additional water and wastewater chemicals for the Water Production and Reclamation Department; providing for the expenditure of funds therefor; and providing an effective date. (IFB-BV 7743 – providing for an additional first and second amendment expenditure amount not-to-exceed $3,310,718.75, with the cumulative total contract amount not-to-exceed $16,553,593.75). The Public Utilities Board recommends approval (5 - 0). STRATEGIC ALIGNMENT This action supports Key Focus Area: Support Healthy and Safe Communities. INFORMATION/BACKGROUND This request is for additional funding for both the Water Production and Reclamation Department chemical contract due to the rising cost of chemicals as well as the overall higher water treatment demand. The departments utilize several chemicals to treat safe water for the City of Denton and surrounding communities. Each chemical serves a unique purpose and is critical in the function of operations. The current chemical contracts were established in 2021 and each contract expires at the end of fiscal year 2026. The additional funding requested by this amendment will ensure an adequate supply of vital chemicals needed for the proper operation of both water production and the water reclamation plants while the new solicitation of vendors for chemicals and contract process proceeds during the summer of 2025. PRIOR ACTION/REVIEW (Council, Boards, Commissions) On November 16, 2021, the City Council approved a contract with ten chemical vendors in the cumulative not-to-exceed amount of $13,242,875. (Ordinance 21-2502). On January 17, 2024, Purchasing approved Amendment 1 with PVS DX, Inc. to update the name of the vendor. City Hall 215 E. RECOMMENDATION Award Amendment No. 1 with Chameleon Industries, Inc., Tanner Industries, Inc., Brenntag Southwest, Inc., Polydyne, Inc., Petra Chemical Company LLC, PVS Technologies, Inc., Chemtrade Chemicals US LLC, and Pencco, Inc., award Amendment No. 2 with PVS DX, Inc., for the additional purchase of water and wastewater chemicals for the Water Production and Reclamation Department, in a not-to-exceed amount of $3,310,718.75, for a total amended cumulative contract amount of $16,553,593.75. FISCAL INFORMATION These products and services will be funded through the department’s budget on an as-needed basis. The City will only pay for services rendered and is not obligated to pay the full contract amount unless needed.
