SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the City Manager to execute a Professional Services Agreement with Knight Erosion Control,
Inc. dba Knight Engineering & Construction, for engineering services associated with capital improvement
projects for Denton Municipal Electric as set forth in the contract; providing for the expenditure of funds
therefor; and providing an effective date (RFQ 8031-008 – Professional Services Agreement for engineering
services awarded to Knight Erosion Control, Inc. dba Knight Engineering & Construction, in the not-to-
exceed amount of $220,000.00). The Public Utilities Board recommends approval (6 - 0).

INFORMATION/BACKGROUND
Denton Municipal Electric (DME) requires the services of consultants for professional engineering services
to aid in project cost reimbursement with the Texas Department of Transportation (TxDOT) for approved
Capital Improvement Projects (CIP) electric distribution and transmission line projects, and general
consulting technical support as needed.
TxDOT has planned construction in several areas within the City of Denton that will require the relocation
of distribution and transmission line facilities. The costs incurred with the relocation of poles, conductors,
and equipment will be reimbursed by TxDOT. Knight Engineering will be utilized to assemble and file the
appropriate paperwork to obtain the monies due to the City of Denton. Obtaining reimbursements from
TxDOT can take three (3) months to several years and takes a significant amount of staff time. Using outside
engineering resources is an efficient method for obtaining temporary and specialized services needed. The
costs incurred by Knight Engineering will be included in the reimbursement cost from TxDOT.
The pre-qualified list of consultants was reranked for the projects shown in the breakdown below and Knight
Engineering Services Corporation ranked highest. The amount proposed for this contract was calculated by
estimating the man-hours required for completion of work for capital projects for the next three years plus
a 20% contingency. Below are summaries of the estimated cost breakdown of the proposed contract.
Changes in schedules, changes in priorities, unforeseen requirements, or the addition of new projects could
alter which projects are undertaken within a given time. The contract is structured to be billed on an hourly
basis for work performed so that, should needs arise that are not related to the specific projects that were

used to construct the estimate for this contract, Knight Engineering can be used as a resource for DME to
obtain necessary professional engineering services to meet the requirements. It should also be noted that
the contract does not obligate DME to provide work up to the contract amount or to make any minimum
expenditure.

Request for Qualifications state certified engineers for substation and transmission line engineering for
various projects for Denton Municipal Electric was solicited using the City’s formal solicitation process.
City Council approved a pre-qualified list of professional service firms on December 13, 2022 (Ordinance
22-2483).
PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS)
On December 13, 2022, City Council approved RFQ 8031-1 for a prequalified list of state certified
engineers for substation and transmission line engineering for various projects for Denton Municipal
Electric (Ordinance 22-2483).
On February 10, 2025, the Public Utilities Board (PUB) recommended this item to the City Council for
consideration.
RECOMMENDATION
Award a contract with Knight Erosion Control, Inc. dba Knight Engineering & Construction, for
engineering services associated with capital improvement projects for Denton Municipal Electric, in a not-
to-exceed amount of $220,000.

This project will be started upon approval and shall remain effective for a period which may reasonably be
required for the completion of the Project.
FISCAL INFORMATION
These services will be funded from various DME Capital Project accounts. Requisitions will be entered on
an as-needed basis. The budgeted amount for this item is $220,000.
