THIS SECOND AMENDMENT TO CONTRACT 7850-003 (“Amendment”) by
and between the City of Denton, Texas (“City”) and Halff Associates, Inc. (“Architect”);
to that certain contract executed on May 18, 2022, in the original not-to-exceed amount of
$145,000 (the “Original Agreement”); amended on January 10, 2023 in the additional
amount of $8,300 aggregating a not-to-exceed amount of $153,300 (the “First
Amendment”) (collectively, the Original Agreement and the First Amendment are the
“Agreement”) for services related to Pecan Creek Linear Trail Project.
WHEREAS, the City deems it necessary to further expand the services provided by
Architect to the City pursuant to the terms of the Agreement, and to provide an additional
not-to-exceed amount $9,500 with this Amendment for an aggregate not-to-exceed amount
of $162,800; and
FURTHERMORE, the City deems it necessary to further expand the goods/services
provided by Architect to the City;
NOW THEREFORE, the City and Architect (hereafter collectively referred to as the
“Parties”), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following Amendment, which
amends the following terms and conditions of the said Agreement, to wit:
1. The additional services described in Exhibit “A” of this Amendment, attached
hereto and incorporated herein for all purposes, for professional services related to
the Pecan Creek Linear Trail Project, are hereby authorized to be performed by
Architect. For and in consideration of the additional services to be performed by
Architect, the City agrees to pay, based on the cost estimate detail attached as
Exhibit “A”, a total fee, including reimbursement for non-labor expenses an amount
not to exceed $9,500.
2. This Amendment modifies the Agreement amount to provide an additional $9,500
for the additional services with a revised aggregate not to exceed total of $162,800.

The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.

PURPOSE
Per your request we understand that you would like Halff Associates, Inc. (CONSULTANT) to provide
revisions to the Easement documentation submitted and signed on November 26, 2023 and the 30%
Design Documents submitted on December 01, 2023 for the Pecan Creek Linear Trail (PROJECT) for the
City of Denton (CLIENT). The basic scope of services will be a continuation of the scope of services stated
in the Professional Services Agreement dated May 18, 2022 and all subsequent amendments. The
services to be provided as part of this Supplemental Design Contract are as follows:
ASSUMPTIONS
The scope of services for this proposal has been prepared using the following assumptions as a basis for
its preparation:
1.30% Design Document revisions will be adjustments to Trail Segment 4A only.
2.All rights of entry will be obtained by the City of Denton.
2.All work to be performed under Task 2 will use the State Plane Coordinate System of Texas,
1983 (2011 Adjustment).
3.For all Supplemental Tasks below, the proposed trail alignment will carry through five (05)
Atmos properties as shown in Exhibit A.
4.All trail alignment and cost estimate revisions will be incorporated into the previously issued
30% Design Documents,

SCOPE OF SERVICES
TASK 1: Schematic Design Revisions
CONSULTANT will update the 30% Design Documents and Cost Estimate for the PROJECT in the drawing
and estimate format previously prepared. CONSULTANT will incorporate the comments discussed on the
site visit with Atmos on April 18, 2024. The design document and cost estimate will include the following
revisions:
Adjustment of the fence line and trail alignment starting west of the existing Atmos pond
north from Trail Segment 4B to approximately 1000’ north towards E. McKinney St.
Adjustment to the trail alignment to avoid the existing tree adjacent to the Atmos pond.
Add a note to the drawings that provides explanation of the extension of the existing
drainpipes under proposed trail.
TASK 2: Survey Services
CONSULTANT will prepare revisions to the previously issued easement exhibits to reflect the
adjustments and additions listed in Task 1. Deliverables will be in 8.5”x11” format and will include
exhibits and metes and bounds descriptions for the proposed easements. Exhibits will be sealed by a
Registered Professional Licensed Surveyor (RPLS).
The effort requested to complete the tasks listed above will be $9,500 and will be billed on a lump sum
basis. Time of completion of these tasks will be 20 working days (subject to weather) upon execution of
services.

you certain written notices or disclosures. Described below are the terms and conditions for
providing to you such notices and disclosures electronically through your DocuSign, Inc.

and if you can access this information electronically to your satisfaction and agree to these terms

Getting paper copies
