Exhibit 1 - Agenda Information Sheet - Amend 1City of Denton _____________________________________________________________________________________ AGENDA INFORMATION SHEET DEPARTMENT: Procurement ACM: Christine Taylor DATE: June 17, 2025 SUBJECT Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation, authorizing the approval of a first amendment to a contract between the City of Denton and Primoris T&D Services, LLC., amending the contract approved by City Council on September 28, 2021, in the not-to- exceed amount of $15,000,000.00; said first amendment to continue to supply overhead electrical construction services for Denton Municipal Electric; providing for the expenditure of funds therefor; and providing an effective date (RFP 7725 – providing for an additional first amendment expenditure amount not-to-exceed $3,750,000.00, with the total contract amount not-to-exceed $18,750,000.00). The Public Utilities Board recommends approval (6 - 0). STRATEGIC ALIGNMENT This action supports Key Focus Area: Enhance Infrastructure and Mobility. INFORMATION/BACKGROUND Denton Municipal Electric (DME) operates an electric distribution system in the greater Denton area, which is comprised of a system voltage of 13,200 volts. The City has a complement of electric system operating personnel to perform normal operating, maintenance, and construction work on the system. However, DME needs outside contractor services to supplement that workforce, with qualified personnel, on a project need basis for performing overhead construction projects, maintenance job orders, and emergency system restoration. One of the projects has been a pole inspection project under contract 6993, which was council approved in 2019. This project is 100% complete and has inspected over 14,000 existing poles. Pole inspections have identified 1,794 poles needing to be replaced throughout DME’s infrastructure. To date, DME maintenance crews and Primoris have changed out 1,406 of the poles that needed replacing. The remaining 388 poles to be replaced will deplete the current contract (RFP# 7725 Overhead Construction) before the expiration date of September 28, 2026. A future RFP will be issued to replace the current contract before the depletion of the amended funds. On June 9, 2025, the Public Utilities Board (PUB) recommended this item to the City Council for consideration. RECOMMENDATION Award Amendment No. 1 with Primoris T&D Services, LLC., to continue to supply overhead electrical construction services for Denton Municipal Electric, in a not-to-exceed amount of $3,750,000, for a total amended contract amount of $18,750,000. PRINCIPAL PLACE OF BUSINESS Primoris T&D Services, LLC. Fort Worth, TX ESTIMATED SCHEDULE OF PROJECT This contract will expire on September 28, 2026. FISCAL INFORMATION These services will be funded from DME CIP project account 605601500. Requisitions will be entered on an as-needed basis. The total amended amount of this contract is $18,750,000.
