Exhibit 1 - Agenda Information Sheet Amend 1City of Denton _____________________________________________________________________________________ AGENDA INFORMATION SHEET DEPARTMENT: Procurement ACM: Christine Taylor DATE: September 30, 2025 SUBJECT Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation, authorizing the approval of a first amendment to a Professional Services Agreement between the City of Denton and Power Engineers, Inc., amending the contract approved by City Council on October 18, 2022, in the not-to-exceed amount of $1,815,181.00, said first amendment for the conversion of Geometric Network to Utility Network for Denton Municipal Electric; providing for the expenditure of funds therefor; and providing an effective date (RFQ 7804-002 – providing for an additional first amendment expenditure amount not-to-exceed $485,000.00, for a total contract amount not-to-exceed $2,300,181.00). The Public Utilities Board recommends approval (5 - 0). STRATEGIC ALIGNMENT This action supports Key Focus Area: Enhance Infrastructure and Mobility. INFORMATION/BACKGROUND Denton Municipal Energy (DME) is implementing Aspentech's Advanced Distribution Management System (ADMS) and ESRI’s new Utility Network model (UN), aimed at replacing the existing Outage Management System (OMS) and ESRI’s existing Geometric Network model (GN) to achieve greater grid resilience, real-time monitoring, and improved outage response capabilities. The project efforts have expanded due to the correlating projects for the new OMS/ADMS and GIS. This change order requests additional efforts by Power Engineers to provide added GIS Technician Support for maintaining the existing and new network models while the new ADMS system is being deployed. It also provides ongoing support for the UN through April 2026. It is crucial to have both GIS systems run simultaneously to support the existing OMS and future ADMS network model. This change order will fund the following 3 tasks: • Task 17-GIS Technician Support expanded by adding two more technicians and extended through April 2026: $360,000 • Task 18-Ongoing UN Support through April 2026: $86,000 • Task 0-replenishment of this PM task, for a minimal level of ongoing PM support: $39,000 • Total: $485,000 City Hall 215 E. On September 15, 2025, the Public Utilities Board (PUB) recommended this item to the City Council for consideration. RECOMMENDATION Award a contract to Power Engineers, Inc., for the conversion of Geometric Network to Utility Network for Denton Municipal Electric, in a not-to-exceed amount of $485,000, for a total amended contract amount of $2,300,181. FISCAL INFORMATION These services will be funded from DME pre-qualified engineering services account 605171500.1360.3980. Purchase Order #201643 will be revised to include the first amendment amount of $485,000. The budgeted amount for this item is $2,300,181.
