SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the approval of a first amendment to a contract between the City of Denton and Open Systems
International, Inc., amending the contract approved by City Council on September 21, 2021, in the not to
exceed amount of $1,500,000.00, said amendment to provide the renewal of maintenance, support, and
upgrade services of OSI Monarch for Denton Municipal Electric; providing for the expenditure of funds
therefor; and providing an effective date (File 7718 – providing for an additional first amendment
expenditure amount not-to-exceed $193,973.00, with the total contract amount not-to-exceed
$1,693,973.00). The Public Utilities Board will consider this item on Monday, November 17, 2025.

INFORMATION/BACKGROUND
Since 2008, Denton Municipal Electric (DME) has used Open System International’s (OSI) Monarch’s
product for several critical operations. OSI Monarch is a control system that enables utilities to support,
monitor, control, schedule, and optimize complex network operations. This includes 1) the monitoring and
operation of its electric substations via a Supervisory Control and Data Acquisition (SCADA) system
operated from its transmission & distribution (T&D) and Control Centers, 2) the facilitation of the purchase
of electricity with energy market bid submittals to the Electric Reliability Council of Texas (ERCOT), and
3) the sharing of electric load and grid operation data with ERCOT and other third parties through Inter-
Control Center Communications Protocol (ICCP).
This amendment is for continued maintenance and support of the SCADA system for one (1) year with OSI.
Over the past several years, amendments have been approved and applied to this contract without increasing
the not-to-exceed amount. The contract has reached its not-to-exceed amount and is approaching the
contract end date. The additional module updates have contributed to the increased maintenance and support
costs. Maintenance and Support includes the latest bug fixes, security updates needed for North American
Electric Reliability Corporation Critical Infrastructure Protection (NERC CIP) compliance, as well as major
feature enhancements, troubleshooting, and archiving and reporting capabilities. Early next year (2026),
DME will start the process of renewing the sole source contract with OSI for continued maintenance and
support of this critical application.

PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS)
On September 21, 2021, City Council approved a contract with Open Systems International, Inc., in the
not-to-exceed amount of $1,500,000 (Ordinance 21-1879).
On November 17, 2025, this item will be presented to the Public Utilities Board (PUB) for consideration.
RECOMMENDATION
Award Amendment No. 1 with Open Systems International, Inc., for the renewal of maintenance, support,
and upgrade services of OSI Monarch for Denton Municipal Electric, in a not-to-exceed amount of
$193,973, for a total amended contract amount of $1,693,973.

FISCAL INFORMATION
These services will be funded from Operating Budget account 600750.7899. Requisitions will be entered
