SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the City Manager to execute an Interlocal Cooperative Purchasing Agreement with Alliance for
Innovation, Inc., and a Service Agreement with Alliance for Innovation, Inc. and Civic Marketplace, Inc,
under the Texas Government Code, Section 791.001, to authorize sharing City of Denton cooperative
contracts for the purchase of various goods and services; and declaring an effective date (File 8948 – award
an Interlocal Cooperative Purchasing Agreement with Alliance for Innovation, Inc. and a Service
Agreement with Alliance for Innovation, Inc. and Civil Marketplace, Inc).
INFORMATION/BACKGROUND
Chapter 791 of the Texas Government Code authorizes respective participating governments to enter into
agreements with purchasing cooperatives for the purchase of goods and services. The attached interlocal
agreement is an authorization for the City of Denton to participate in contracts awarded by the Alliance for
Innovation and for the Alliance for Innovation to participate in contracts awarded by the City of Denton.
The contract will remain in effect until terminated by either party.
The Service Agreement will allow the City of Denton and the Alliance for Innovation to participate in a
shared purchasing program and authorizing access to one another’s cooperative contracts in a centralized
database with pre-vetted suppliers. The City will allow its lead cooperative contracts, which have been
conducted pursuant to our procurement policy, to be made available to other entities on the centralized
database as provided by the Service Agreement. The Alliance will provide the City with a 25% revenue
share of the 3% transaction fee collected on the platform from the use of other participating governments
of the City’s contracts.
Section 791 of the Government Code requires that all Cooperative Agreements must be authorized by the
governing body, regardless of the dollar amount.
Any acquisition under the cooperative agreements on the centralized database that the City makes under
these Agreements will follow the applicable procurement process for such acquisition.
RECOMMENDATION
Award an Interlocal Cooperative Purchasing Agreement with the Alliance for Innovation for various goods
and services and a Service Agreement with Alliance for Innovation, Inc. and Civic Marketplace, Inc.

ESTIMATED SCHEDULE OF PROJECT
This Agreement is effective upon approval by the City of Denton and will remain in effect until terminated
by either party.
FISCAL INFORMATION
Each future acquisition, based on the Agreement, will follow the City of Denton fiscal verification policy
and be charged to the appropriate budget account.
