SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the approval of a first amendment to a Professional Services Agreement between the City of
Denton and Freese and Nichols, Inc., amending the contract approved by City Council on October 22, 2024,
in the not-to-exceed amount of $21,000,000.00; said first amendment to extend the required pilot study for
the Ray Roberts Water Treatment Plant Expansion Project for the Water Utilities Department; providing
for the expenditure of funds therefor; and providing an effective date (RFQ 7574-029 – providing for an
additional first amendment expenditure amount not-to-exceed $184,000.00, with the total contract amount
not-to-exceed $21,184,000.00). The Public Utilities Board will consider this item on Monday, November
17, 2025.

INFORMATION/BACKGROUND
The Ray Roberts Water Treatment Plant (RRWTP), established in 2002, currently processes 20 million
gallons of water per day (MGD) using conventional treatment methods. However, Denton's growing
residential, commercial, and industrial sectors continue to drive up the demand for treated water. To meet
this increasing demand, the RRWTP is being expanded. In October 2024, the City Council approved a
contract with Freese and Nichols to provide regulatory permitting, process evaluation, and design services
for the project.
This expansion will introduce an advanced treatment facility utilizing a parallel ultra-filtration membrane
process. The initial capacity of this new membrane process train will be 20 MGD, with space reserved in
the membrane filter building for future modular expansion of up to an additional 30 MGD. Once the entire
expansion project is complete, the combined treatment capacity of both the conventional and membrane
facilities will be in the range of 45 to 50 MGD.
The RRWTP expansion will include:
• Treatment train that will utilize low-pressure membrane units
• New parallel raw water pipeline
• New pre-ozone contactor
• New pump diffusion vault and flow separator

• Construction of an additional clearwell
Before the final design phase, Freese and Nichols is required to perform a pilot study for the low-pressure
membrane filters to comply with the Texas Commission on Environmental Quality (TCEQ) requirements
for innovative treatment technologies. Both inclined plate settlers and membrane treatment are proven and
established water treatment technologies; however, the TCEQ requires a pilot study to demonstrate the
efficacy of the advanced treatment on the actual raw water source. The pilot study was initially structured
to last 124 days; however, after receiving feedback from the low-pressure membrane suppliers, the pilot
study will be modified to include two runs – one with citric acid and one without it. This modification will
allow the membrane system suppliers to determine if the use of citric acid can be reduced. This adjustment
will add 53 additional days, bringing the total duration of the pilot study to 177 days. Additionally, Freese
and Nichols will hire an independent testing laboratory to perform the water quality analysis required for
the pilot study.
PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS)
On March 6, 2018, and June 5, 2018, City Council approved RFQ 7574 for a prequalified list of professional
engineering firms (Ordinance 2018-331).
On October 22, 2024, City Council approved a contract with Freese and Nichols, Inc., in the not-to-exceed
amount of $21,000,000 (Ordinance 24-2084).
On November 17, 2025, this item will be presented to the Public Utilities Board (PUB) for consideration.
RECOMMENDATION
Award amendment No. 1 with Freese and Nichols, Inc., to extend the required pilot study for the Ray
Roberts Water Treatment Plant Expansion Project for the Water Utilities Department, in a not-to-exceed
amount of $184,000, for a total amended contract amount of $21,184,000.

ESTIMATED SCHEDULE OF PROJECT
The RRWTP Expansion project will be started upon approval of the design and CMAR contracts, with a
projected construction completion date of Q4 2029.
FISCAL INFORMATION
These services will be funded from Water Utilities account 630576508.1360.21100. Purchase Order
#209636 will be revised to include the first amendment amount of $184,000. The total amount of this
contract is $21,184,000.
