FIRST AMENDMENT TO CONTRACT
BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND HALFF ASSOCIATES INC.

THIS FIRST AMENDMENT TO CONTRACT 7850-006 (“Amendment”) by and
between the City of Denton, Texas (“City”) and Halff Associates, Inc. (“Landscape
Architect”); to that certain contract executed on August 1, 2023, in the original not-to-
exceed amount of $185,700 (the “Agreement”); for services related to Hickory Creek
Regional Plan.
WHEREAS, the City deems it necessary to further expand the services provided by
Landscape Architect to the City pursuant to the terms of the Agreement, and to provide an
additional not-to-exceed amount $30,500 with this Amendment for an aggregate not-to-
exceed amount of $216,200; and
FURTHERMORE, the City deems it necessary to further expand the goods/services
provided by Landscape Architect to the City;
NOW THEREFORE, the City and Landscape Architect (hereafter collectively referred to
as the “Parties”), in consideration of their mutual promises and covenants, as well as for
other good and valuable considerations, do hereby AGREE to the following Amendment,
which amends the following terms and conditions of the said Agreement, to wit:
1. The additional scope of services described in Attachment “A” of this Amendment,
attached hereto and incorporated herein for all purposes, for professional services
related to the Hickory Creek Regional Plan, are hereby authorized to be performed
by Landscape Architect. For and in consideration of the additional services to be
performed by Landscape Architect, the City agrees to pay, based on the cost
estimate detail attached as Attachment “B” to this Amendment, attached hereto and
incorporated herein for all purposes, a total fee, including reimbursement for non-
labor expenses an amount not to exceed $30,500.
2. This Amendment modifies the Agreement amount to provide an additional $30,500
for the additional services with a revised aggregate not to exceed total of $216,200.
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.

Unless otherwise modified, please note that the Scope of Services described herein shall remain valid and continue in effect for a period of 30 calendar days, after which it will require renewal in writing by the CONSULTANT and the CLIENT. ATTACHMENT A
BASIC SCOPE OF SERVICES PROFESSIONAL SERVICES FOR HICKORY CREEK TRAIL PUBLIC ENGAGEMENT
PURPOSE
Halff (CONSULTANT), shall provide Landscape Architecture and Public Engagement Services for the
Hickory Creek Trail project in Denton, TX, to the City of Denton (CLIENT). The purpose of the PROJECT is
to facilitate one (01) in-person open house session to foster inclusive community participation and refine the
~15-mile trail alignment. The CONSULTANT will prepare meeting materials (including large, printed boards
and a PowerPoint presentation), illustrating the project corridor, context and overall goal for the project. The
City of Denton Marketing Department will handle advertising, while the CLIENT will secure venues and
provide additional staff support. CONSULTANT will facilitate one (1) Public Engagement Meeting and
coordinate logistics with the CLIENT.
SCOPE
The CONSULTANT will conduct one (01) in-person open house session in Denton, TX, to engage the
community on the Hickory Creek Trail project, with dates and location to be provided by the CLIENT. The
sessions are structured as follows:
• Meeting Series #1: Open House (Fall 2025) – An in-person open house to gather community input
on trail needs, priorities, and suggestions, potentially offered in an evening session to gather input
and feedback on trail comments, and areas of consideration. Halff will document information
received, provide a summary of comments to the CLIENT and revise trail alignment based on
comments received.
•
• Meeting Series #2: Review (Fall/Winter 2025) – A second in-person open house (by CLIENT) to
present and collect feedback on the revised ~15-mile trail alignment based on community input.
CONSULTANT will not be present at the meeting but will provide updated boards and PPT based on
comments received from the previous meeting. Comments received from the Public House Meeting
#2 will be incorporated into the final schematic design document.
The CONSULTANT will develop all meeting materials, including large, printed boards, and facilitate the
Public Open House meeting to garner feedback. The City of Denton Marketing Department will create
advertisements, running 3 weeks prior to each session (Fall 2025, for the first; Fall/Winter 2025, for the
second). The CLIENT will secure venues and provide staffing.
ASSUMPTIONS
This scope of services (the "Scope of Services") has been prepared using the following assumptions as a
basis for its preparation:
1. The Scope represents a stand-alone project with all tasks completed as described, with no removal
or separation of tasks.

2. Funding support services are excluded and may be provided as an Additional Service, billed hourly.
3. The contract will be executed within 30 days, to allow advertising to begin for the first open house to
occur in Fall 2025. Specific date to be determined.
4. Advertising for each open house will run 3 weeks in advance, managed by the City of Denton
Marketing Department.
5. The second open house is scheduled for Fall/Winter 2025. Specific date to be determined.
PHASE 1 – PUBLIC MEETING
TASK 1.1 – MEETING MATERIAL PREPARATION
Meeting Material Preparation and Revisions:
The CONSULTANT will develop meeting materials to facilitate Public Open House meetings and a brief
PowerPoint presentation to gather community input, comments on the alignment, suggested recommendations,
etc., for Meeting #1 and Meeting #2.
Based on comments received, CONSULTANT will revise and update the 15-mile trail alignment, revise
presentation boards and PowerPoint and provide materials to the CLIENT for Public Open House Meeting #2.
Materials will include large, printed boards for display and PowerPoint presentation. The CONSULTANT will
coordinate with the CLIENT and the City of Denton Marketing Department to align materials with advertising, and
venue needs.
Task 1.1 Deliverables:
Deliverables provided by the CONSULTANT shall include the following:
• Meeting materials for open house meeting #1 and #2, including large, printed boards,
presentations, handouts, feedback forms.
• Digital versions of materials for posting on the project website or social media, optimized for accessibility (e.g., screen-reader compatibility).
• A summary report of Community input (comments, recommendations, areas of consideration, etc.,) collected for trail alignment revisions. TASK 1.2 – PUBLIC OPEN HOUSE MEETING
1.2.1 Meeting Series #1 Open House: (by CONSULTANT)
The CONSULTANT will attend, plan and facilitate Public Open House, meeting #1 in Fall 2025 (specific
date/location to be determined), to gather community input on the Hickory Creek Trail’s needs, priorities,
and suggestions. Comments received will be used for the creation of the final corridor alignment. CONSULTANT will revise the alignment and provide an update to the CLIENT for review.
1.2.2 Meeting Series #2 Review: (by CLIENT)
The CONSULTANT will provide materials to the CLIENT for the second Public Open House meeting #2,
in the Fall/Winter of 2025. The CLIENT will present to the public, the revised 15-mile trail alignment
based on community input received from Meeting #1. Based on comments received from Meeting #2,
the CONSULTANT will revise the 15-mile trail alignment and prepare the final schematic design document
for the Hickory Creek Trail corridor.

OPTIONAL SERVICE: CONSULTANT to attend and facilitate Public Meeting #2.
Task 1.2 Deliverables: Deliverables provided by the CONSULTANT shall include the following:

feedback on the revised trail alignment.
•Meeting materials, including large, printed boards displaying the revised trail alignment, handouts,and feedback forms.
•Digital versions of materials for online distribution.
•A summary of community feedback from the open house, formatted for integration into the
Project’s final recommendations.
•Prepare final schematic design plans, cost estimates and phasing for the 15-mile Hickory Creek
Trail corridor.
