SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the approval of a first amendment to a Professional Services Agreement between the City of
Denton and McCall, Parkhurst & Horton, L.L.P., amending the contract approved by City Council on March
1, 2022, in the not-to-exceed amount of $1,250,000.00; said first amendment to continue to provide bond
counsel services for the Finance Department; providing for the expenditure of funds therefor; and providing
an effective date (PSA 7942 – providing for an additional first amendment expenditure amount not-to-
exceed $200,000.00, with the total contract amount not-to-exceed $1,450,000.00).

INFORMATION/BACKGROUND
Upon entering into the professional services agreement in 2022 with McCall, Parkhurst & Horton, LLP
(MPH), the City had not yet identified the need for additional debt financing structures to support capital
improvement projects, nor had it made a determination to initiate the 2023 bond program. The subsequent
development and implementation of these financing mechanisms have significantly expanded the scope of
services required from bond counsel beyond the original expectations at the time the agreement was
executed. The additional spending authority will enable the City to continue utilizing these services through
the conclusion of the contract term.
In accordance with Texas Local Government Code 252.022, the procurement of professional services is
exempt from the requirement of competition-based selection.
PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS)
On March 3, 2022, City Council approved a contract with McCall, Parkhurst & Horton, L.L.P., in the not-
to-exceed amount of $1,250,000 (Ordinance 22-389).

RECOMMENDATION
Award Amendment No. 1 with McCall, Parkhurst and Horton, L.L.P., to continue to provide bond counsel
services for the Finance Department, in a not-to-exceed amount of $200,000, for a total amended contract
amount of $1,450,000.

FISCAL INFORMATION
These services are considered part of the issuance cost and paid from bond proceeds shortly after closing.
Account numbers will vary based on issuance but generally follow the GL account string (Fund)801.7867.
The annual payment amount is dependent on the amount of bonds sold each year.
