SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the City Manager to execute a contract with Stuart C. Irby Company, LLC, for the purchase of
high voltage circuit breakers for Denton Municipal Electric; providing for the expenditure of funds therefor;
and providing an effective date (RFP 8836 – awarded to Stuart C. Irby Company, LLC, for one (1) year,
with the option for four (4) additional one (1) year extensions, in the total five (5) year not-to-exceed amount
of $22,257,824.00).

INFORMATION/BACKGROUND
Denton Municipal Electric (DME) has projects in its five (5) year Capital Improvement Plan (CIP) that
require the purchase of 138kV and 345kV circuit breakers. Circuit breakers are necessary substation
protective devices that have the capability to interrupt the flow of electrical current during faults to prevent
damage to equipment, structures, and personnel. DME currently has 132 high voltage circuit breakers in
service and anticipates purchasing up to 50 during the next five (5) years for CIP projects.
The following contract estimate is based on the quantities of circuit breakers needed for approved and future
CIP projects. A 10% contingency was added for cost increases and system planning updates over the term
of the contract. The proposed contract does not require expenditure of any minimum amount. Purchase
orders will be issued based on need in project construction schedules.

Request for Proposals was sent to 453 prospective suppliers, including 12 Denton firms. In addition,
specifications were placed on the Procurement website for prospective suppliers to download and advertised
in the local newspaper. Two (2) proposals were received, references were checked, and proposals were
evaluated based upon published criteria, including price, delivery, compliance with specifications, and
probable performance. Best and Final Offers (BAFO) were requested from the top firms. Based upon this
evaluation, Stuart C. Irby Company, LLC was ranked the highest and determined to be the best value for
the City.

On December 15, 2025, this item will be presented to the Public Utilities Board (PUB) for consideration.
RECOMMENDATION
Award a contract with Stuart C. Irby Company, LLC, for the purchase of high voltage circuit breakers for
Denton Municipal Electric, in a one (1) year, with the option for four (4) additional one (1) year extensions,
in the total five (5) year not-to-exceed amount of $22,257,824.

ESTIMATED SCHEDULE OF PROJECT
This is an initial one (1) year contract with options to extend the contract for four (4) additional one (1) year
periods, with all terms and conditions remaining the same. Orders will be placed as project schedules require
and will be delivered within 145-185 weeks.
FISCAL INFORMATION
The costs for materials purchased under the proposed agreement will be funded out of amounts budgeted
for specific projects. The work proposed will be in the transmission category. These costs for transmission
projects will ultimately be recovered through the Public Utility Commission Transmission Cost of Service
Program (TCOS). The budgeted amount for this item is $22,257,824.
