This Amendment may be executed in any number of counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. This instance is temporary. The two additional GUI licenses will have an additional total of $400 in maintenance fees. Services Description: City of Denton (Denton) would like to set up a second NorthStar CIS non- production instance. This instance will include the CIS and is to be patched to 6.6.30. Scope of Work: • Install NorthStar instance. • Create DSNs. • Configure NorthStar customer properties. • Deploy NorthStar 6.6.22 to the new instance. • Patch NorthStar database up to NorthStar 6.6.30 • Create SQL users for NorthStar non-production • Migrate the ABE programs to the new TEST server • Change ownership of database objects • Perform sanity checks. • Install 2 GUI licenses Assumptions: • All the programming for ABE is in Denton’s current test environment and will need to be ported to the 2nd test environment. • The operating system version on the new non-production (DEV) instance will match the operating system requirements for the version being deployed (6.6.30). • The second non-production (DEV) instance will be a refreshed and updated version of Denton’s Production instance. • Denton IT will need to create a separate VM environment for the second NorthStar non- production instance. • Denton IT will backup and restore the Denton production CIS database. • Denton will adjust any keyvalues that reference production folders to point to new non- production folders. • NorthStar will provide User Acceptance testing support for 2 business days from creation of the new NorthStar non-production instance. Any issues associated with testing of CIS 6.6.30 will be handled separately by the Support Services Team, at no additional cost to Denton, as part of the NorthStar Support Services Agreement. • All project activities to be performed remotely, unless otherwise requested. • Denton will provide the appropriate remote access to its network, facilities, and systems as may be required to perform activities from one of NorthStar’s locations. NorthStar shall abide by all rules and directions of Denton when accessing Denton’s network, facilities or systems. • Denton will install and configure IIS on the new server. Approach: NorthStar strives to commence all work within 90 days of contract award. However, client demands and critical path resourcing can, at times, result in additional delays to project starts. Please speak to your Account Manager to obtain the current anticipated project start date. Should additional time be required to complete this project at any time, you will be notified and asked for your approval in advance of NorthStar completing the incremental work. Acceptance Terms: The work contained within this document is deemed completed and accepted upon Denton’s confirmation that the new NorthStar non-production instance is available for testing. Note: Any items requiring support following acceptance of this work should be logged through the Support Desk. Price: Licenses: 2 GUI Licenses $800 each – Quanity: 2 License Maintenance: $200 each – Quantity: 2 Services: $12,863 This is a fixed price quote based on the scope described above. If there are material changes to the scope or our understanding of the scope, the price is subject to change. Any additional scope will be charged at the NorthStar standard hourly rate. Price excludes any applicable taxes. Quote is valid for 60 days from date of delivery. Payment Terms: Licenses: • 100% on signing Services: This quotation will require a 50% deposit on signing, before any work will begin. • 50% is due 10 business days from completion of the setup of the NorthStar non- production instance. * Maintenance: • 100% is due 20 business days after software installation to non-production. Invoices are payable upon receipt. If the project is delayed or interrupted due to Customer’s actions, inactions, or requests— including but not limited to failure to provide timely approvals, access to necessary resources, required information, or any requested suspension of work—Company reserves the right to charge Customer for the resources allocated to the project for the duration of the delay. This charge will be calculated based on the equivalent cost of allocated project management hours, recurring revenue, or other applicable resources reserved for the project during the delay period. In the event of this, NorthStar will provide a warning to inform the customer. A second warning without mutual agreement and discussion will result in fees. Termination: This additional environment is to be used temporarily by Denton. When it is no longer needed, Denton can submit a support ticket to terminate it’s use, maintenance and can reallocate the additional 2 GUI licenses to Denton’s other LIVE or TEST environment, or Denton can cancel the future 2 GUI license maintenance costs with the termination of the extra test environment. All other terms and conditions subject to Termination are covered in the Master Services Agreement.
