PSA 7850-003 THE STATE OF TEXAS § COUNTY OF DENTON § THIS THIRD AMENDMENT TO CONTRACT 7850-003 (“Amendment”) by and between the City of Denton, Texas (“City”) and Halff Associates, Inc. (“Architect”); to that certain contract executed on May 18, 2022, in the original not-to-exceed amount of $145,000 (the “Original Agreement”); amended on January 10, 2023 in the additional amount of $8,300 aggregating a not-to-exceed amount of $153,300 (the “First Amendment”); amended on April 18, 2025 in the additional amount of $9,500 aggregating a not-to-exceed amount of $162,800 (the “Second Amendment”); (collectively, the Original Agreement, the First Amendment and the Second Amendment, the “Agreement”) for services related to Pecan Creek Linear Trail Project. WHEREAS, the City deems it necessary to further expand the services provided by Architect to the City pursuant to the terms of the Agreement, and to provide an additional not-to-exceed amount $3,500 with this Amendment for an aggregate not-to-exceed amount of $166,300; and FURTHERMORE, the City deems it necessary to further expand the goods/services provided by Architect to the City; NOW THEREFORE, the City and Architect (hereafter collectively referred to as the “Parties”), in consideration of their mutual promises and covenants, as well as for other good and valuable considerations, do hereby AGREE to the following Amendment, which amends the following terms and conditions of the said Agreement, to wit: 1. The additional services described in Exhibit “A” of this Amendment, attached hereto and incorporated herein for all purposes, for professional services related to the Pecan Creek Linear Trail, are hereby authorized to be performed by Architect. For and in consideration of the additional services to be performed by Architect, the City agrees to pay, based on the cost estimate detail attached as Exhibit “A”, a total fee, including reimbursement for non-labor expenses an amount not to exceed $3,500. 2. This Amendment modifies the Agreement amount to provide an additional $3,500 for the additional services with a revised aggregate not to exceed total of $166,300. (CONSULTANT) to provide new Trail Easement documentation related to Pecan Creek Linear Trail Segment 4A realignment through the “Grace Like Rain” development property. The basic scope of services will be a continuation of the scope of services stated in the Professional Services Agreement dated May 18, 2022 and all subsequent amendments. The services to be provided as part of this Supplemental Design Contract are as follows: ASSUMPTIONS The scope of services for this proposal has been prepared using the following assumptions as a basis for its preparation: 1.All rights of entry will be obtained by the City of Denton. 2.The new trail easement shall extend through the Grace Like Rain development property and no other properties. 3.All work to be performed under Task 1 will use the State Plane Coordinate System of Texas, 1983 (2011 Adjustment). 4.It is assumed that the $9,500 in unused funds from the prior amendment shall be utilized to supplement the total cost of this amendment. SCOPE OF SERVICES TASK 1: Survey Services CONSULTANT will prepare new easement exhibits to reflect the adjustments and additions listed in the Purpose section above. Deliverables will be in 8.5”x11” format and will include exhibits and metes and bounds descriptions for the proposed easements. Other services shall include boundary retracement analysis and resolution, locating and tying approximately twenty (20) property corners and monuments, setting new easement corners, research, abstracting, survey request and field data processing and related easement exhibit drafting, legal description, QAQC and finalizing. It is assumed that no design topography or tree survey shall be provided with this amendment. The effort requested to complete the task listed above will be $13,000 and will be billed on a lump sum basis. With $9,500 in prior amendment funds being utilized to supplement this fee, the total additional funds with this amendment is $3,500.
