FIRST AMENDMENT TO CONTRACT
BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND COMMDEX CONSULTING, LLC
PSA 8537
THIS FIRST AMENDMENT TO CONTRACT 8537 (“Amendment”) by and
between the City of Denton, Texas (“City”) and Commdex Consulting, LLC
(“Consultant”); to that certain contract executed on May 7, 2024, in the original not-to-
exceed amount of $150,000.00 (the “Agreement”); for services related to Fiber Consulting
Services.
WHEREAS, the City deems it necessary to further expand the services provided by
Consultant to the City pursuant to the terms of the Agreement, and to provide an additional
not-to-exceed amount $29,780.54 with this Amendment for an aggregate not-to-exceed
amount of $179,780.54; and
FURTHERMORE, the City deems it necessary to further expand the goods/services
provided by Consultant to the City;
NOW THEREFORE, the City and Consultant (hereafter collectively referred to as the
“Parties”), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following Amendment, which
amends the following terms and conditions of the said Agreement, to wit:
1. The additional services described in Exhibit “A” of this Amendment, attached
hereto and incorporated herein for all purposes, for professional services related to
Fiber Consulting Services, are hereby authorized to be performed by Consultant.
For and in consideration of the additional services to be performed by Consultant,
the City agrees to pay, based on the cost estimate detail attached as Exhibit “A”, a
total fee, including reimbursement for non-labor expenses an amount not to exceed
$69,851.60.
2. This Amendment modifies the Agreement original not-to-exceed amount of
$150,000.00, utilizing $40,071.06 of available contingency funds and to provide
additional funds in the amount of $29,780.54 for the additional services with a
revised aggregate not to exceed total of $179,780.54.
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.

1 Executive Summary
Building reliable communications backbones for complex government solutions requires an
understanding of the user’s critical applications and the ability to create a robust network to
support them. The fiber backbone network is more than just a collection of devices to connect
between locations. It is the core for all applications providing interconnection between users,
departments and government infrastructure. Proper design and implementation of these
networks is vital to proper communications
between all levels of the organization. Commdex

2 Consulting Scope of Services
Over Commdex’s 20+ years in business, we have utilized our ISO-9001-certified approach to
deliver design/build solutions for mission-critical users for all levels of Government. Commdex
ensures superior performance by designing and delivering solutions comprised of quality
products and services. We accomplish this by implementing our proven, responsive, and
innovative iComm360º Project Management Framework that produces low-risk and highly
reliable solutions while meeting cost and schedule constraints, as described in Figure 2.0-1.

The Commdex Project Management framework incorporates a process-based, structured project
management approach. Our method is organized by threads that align with the PMBOK Process
Groups and Pathways and Knowledge Areas. It defines the processes and the set of tools that the
project manager will utilize in the execution of the project. This framework will form the basis
for the execution of tasks that we perform throughout the life of the project.
2.1 Development of Fiber Route Plan
Commdex will review all information from the initial fiber assessment and develop a
comprehensive fiber route plan that will transition the City from the current network to a
completely new, buried fiber network that connects all City buildings. This route plan will
attempt to optimize all fiber routes from their current paths rather than trying to preserve the
current route.
Additionally, the Commdex engineer will develop a recommended phased implementation plan
that will prioritize replacement of existing fiber that cohabitates with high voltage power lines
and to complete closed fiber rings for redundancy. The goal is to provide a long-term
deployment plan for the City that will allow for future budgeting to plan deployment of the new

fiber network. The Commdex engineer will use information form the previous fiber report and
new interviews with City stakeholders on deployment priorities to develop the phased plan.
Deliverables: A Google Earth .kmz file detailing proposed fiber routes throughout the City of
Denton connecting all identified City buildings from the first phase report. Routes will be
identified with a specific recommended phase to implement.
2.2 Develop Intallation Standards and Procedures for Fiber Installation
Commdex will develop a standard set of practices, procedures, applicable standards and codes
related to the installation of the new fiber network for the City. This document will establish the
qualifications of personnel to install and maintain the current and future fiber network, as well as
the best practices and standard procedures that should be followed as part of the ongoing
migration of the fiber to the new routes as they are installed.
For the existing network, the procedures will address the current installations where some fiber is
currently installed alongside high voltage power cabling and establish criterion for appropriate
personnel to access these installations and how they differ for maintenance or other work
performed on fiber that is not in the immediate vicinity of high voltage power lines. This will
establish clear guidelines for the safety of personnel and equipment. .
For new installations, these procedures will address the process from permitting through boring
and installation of new fiber and the connectivity into the City’s building infrastructure. This
will establish best practices for fiber routing, placement, connectorization, maintenance loops,
handhole placement, markers and other items to ensure the installations adhere to industry
standards and will maximize the life of the newly installed fiber. Specific references to
applicable codes will be included to clearly specify which sections of code are applicable to
specific installations and the requirements for proper installation.
Deliverables: Installation plans that provide the best practices for installation of fiber, detailed
listings of applicable codes, qualifications of personnel and other best practices to adhere to.
2.3 Develop Fiber Network Monitoring and Fault Maintenance Approach
Commdex will develop a network monitoring solution for the future fiber network that will
continuously monitor the health and condition of all the fiber in the network and all active fiber
networking equipment. This will allow the City to quickly isolate problems, monitor any
degradation in fiber performance over time, and better plan maintenance activities going
forward.
The design of the system will include the following core elements:
• Optical Time-Domain Reflectometer (OTDR): Continuously sends light pulses
through fibers to detect and localize faults, breaks, or degradations within meters
• Optical Spectrum Analyzer: Monitors the quality of light signals and identifies issues
such as signal loss or interference
• Remote Fiber Test System (RFTS): Centralized platform that collects diagnostic data
from distributed network points, analyzes trends, and provides real-time alerts
• Active Fiber Monitoring (AFM): Monitors live traffic fibers for subtle changes in light
transmission, enabling detection of security intrusions without disrupting service

• Integrated Management Software: Offers a secure web portal for network
administrators to visualize the network topology, receive alerts, and access analytics from
any location
• Monitoring Ports on Multiplexers/Demultiplexers: Enable non-intrusive monitoring of
traffic and signal health in DWDM, CWDM, and PON systems
Commdex will provide a notional design for the system based on the fiber route plan developed
at part of this proposal. This will include a preliminary bill of materials, equipment data sheets
and capabilities of the monitoring system.
Deliverables: A system design document for the network monitoring system including data
sheets, block diagrams, and bill of materials.
2.4 Develop Recommendations for Fiber Replacement Cycle
Commdex will develop a set of recommendations for fiber lifecycle and replacement planning.
The life expectancy of fiber optic cabling—whether aerial or buried—is influenced by cable
quality, installation practices, environmental conditions, and ongoing maintenance. Industry
experience and standards provide guidance to maximize operational lifespan and network
reliability. Commdex will develop a set of recommendations based on current fiber installations
taking into account the current environment and maintenance conditions and make any additional
recommendations to any new fiber network plan based on the fiber installation procedures
outlined as part of this scope. This will provide the City with a long term plan for replacement
timetables and identify currently installed fiber that may need more immediate replacement
based on age and installation environment. The final recommendation plan will address the
following elements in the recommendations:
• Cable selection and jacket material
• Installation procedures
• Environmental protections
• Maintenance and inspection history
• Documentation of all above elements
This will provide the City with a comprehensive set of guidelines for future fiber network
planning.
Deliverable: Recommendations for fiber replacement lifecycle and list of supportive elements
that influence the recommended replacement timetables.
2.5 Deliver Recommendations Report
Following development of our recommendations report, we will meet with City stakeholders to
present our findings and discuss our recommendations. We will address any questions that the
City has with regard to our recommendations, and we will further discuss the potential phasing
and scheduling of our recommendations and how the City can most efficiently implement these
changes to upgrade the network. Any changes or clarifications requested by the City will be
incorporated into the final document which will represent Commdex’s final deliverable to the
City.

3 Pricing
The following pricing represents the estimated hours and costs for this project scope. Actual
hours and expenses will be charged on a semi-monthly basis with detailed timecards and receipts
of expenses provided. Based on the information provided, we have attempted to estimate the
number of hours that it will take to complete the scope detailed. Other factors such as
availability of information and access to City personnel may influence this either positively or
negatively. Commdex will provide reports to the City detailing the hours used on the project and
current estimates for the completion of the work based on the current work conditions. Payment
is due net 30 days from the date of a submitted invoice to the City.
The labor categories shown are based on our current GSA schedule # GS-35F-373DA. Based on
the total project, these rates represent a discount on the Communications System Engineer III
and Communications System Engineer II schedule rates. This is based on the total volume of the
project presented and is subject to change if any of the quantities of work are modified.

us. Thus, you can receive all the disclosures and notices electronically or in paper format through

To let us know of a change in your e-mail address where we should send notices and disclosures

telephone number. We will bill you for any fees at that time, if any.
