HomeMy WebLinkAboutExhibit 1 - Agenda Information Sheet Amendment 1City of Denton _____________________________________________________________________________________ AGENDA INFORMATION SHEET DEPARTMENT: Procurement ACM: Christine Taylor DATE: June 16, 2026 SUBJECT Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation, authorizing the approval of a first amendment to a Professional Services Agreement between the City of Denton and Innovative Transportation Solutions, Inc., amending the contract approved by City Council on May 2, 2023, in the not-to-exceed amount of $630,000.00; said first amendment to continue to provide additional transportation consulting services for the Development Services Department; providing for the expenditure of funds therefor; and providing an effective date (RFQ 8179 – providing for an additional first amendment expenditure amount not-to-exceed $108,000.00, with the total contract amount not-to-exceed $738,000.00). STRATEGIC ALIGNMENT This action supports Key Focus Area: Enhance Infrastructure and Mobility. INFORMATION/BACKGROUND Innovative Transportation Solutions, Inc. (ITS) has provided transportation consulting services to the City of Denton since 2002, supporting various Capital Projects Department initiatives and assisting the City in leveraging municipal funds with county, regional, state, and federal sources. Their work has contributed to securing significant outside funding and advancing major mobility projects throughout the City. The current contract rate has remained unchanged for 16 years. During that time, both the nature and volume of work performed by ITS have substantially increased. In addition, the technical expertise and responsibilities of ITS staff have evolved, warranting an update to their hourly rates to reflect their current qualifications and the professional market. This First Amendment updates the annual fee to: • Account for the increased workload delivered under the existing agreement • Align ITS’s hourly rates with the experience and skill sets of their current team • Ensure continued access to specialized transportation funding, planning, and coordination services necessary for ongoing City infrastructure initiatives Continuing the contract with ITS ensures that the City of Denton retains a high-level strategic advocate with a demonstrated ability to secure funding for the City. ITS’s relationships with TxDOT and NCTCOG protect the City’s long-term interests in a highly competitive regional environment and provide Staff with a resource to help coordinate on larger regional projects. RECOMMENDATION Award Amendment No. 1 with Innovative Transportation Solutions, Inc., to continue to provide additional transportation consulting services for the Development Services Department, in a not-to-exceed amount of $108,000, for a total amended contract amount of $738,000. PRINCIPAL PLACE OF BUSINESS Innovative Transportation Solutions, Inc. Farmers Branch, TX ESTIMATED SCHEDULE OF PROJECT This contract expires on May 2, 2028. FISCAL INFORMATION These services will be funded from the Capital Projects department account 840100.7879. Purchase Order #212594 will be revised to include the first amendment amount of $108,000. The total amended amount of this contract is $738,000.
