By signing this Amendment below, COD and Invoice Cloud, Inc. agree that the Contract is hereby deemed amended as follows: 1. Temporarily waive the contract requirement found in Contract 7697 executed on September 28, 2021, Exhibit F, Table 1, as amended by the Renewal Amendment 8922 executed October 23, 2025 (Contract 7697 and Renewal Amendment 8922 collectively the “Contract:”), stating the use of Wells Fargo for processing temporarily for a two (2) month period or until the interruption is resolved, whichever is earlier; and 2. Modify the Contract to add a temporary solution for credit card processing outlined in Attachment A to this Amendment. Except as amended by this Amendment, the Contract is not otherwise amended, and all other terms and conditions of the Contract remain in full force and effect, as amended hereby. This Amendment may be executed in any number of counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. To minimize disruption and restore card payment processing as quickly as possible, we will be reaching out to you to transition to our primary payment processor, Chase Paymentech. Based on your current configuration, we can move your credit and debit card processing from BridgePay to Chase Paymentech quickly, and we would like to begin that process. What to expect with this transition • Credit and debit card processing will be restored through Chase Paymentech. • POS payments through BridgePay will be unavailable in the short term as we focus on restoring online credit and debit card processing. Additional updates will be shared as the transition progresses. • There will be no changes to your current pricing model / service fees. • Minimal paperwork will be required. For most configurations, no paperwork will be needed. • We will send you an acknowledgement sharing the change. Expected timeframe to make the switch is 24-48 hours Once BridgePay restores service, we will perform due diligence before switching you back over.
