WHEREAS, the City deems it necessary to further expand the goods/services provided by Contractor to the City; and WHEREAS, the original not-to-exceed amount may not be increased by more than 25.0% as provided in Texas Local Government Code Sec. 252.048; and NOW THEREFORE, the City and Contractor (hereafter collectively referred to as the “Parties”), in consideration of their mutual promises and covenants, as well as for other good and valuable considerations, do hereby AGREE to the following First Amendment, which amends the following terms and conditions of the said Agreement, to wit: 1. Project Overview HR Green, Inc. (HR Green) is pleased to propose an expansion of our professional services to include dedicated support for the Water Utilities Department. II. Scope of Work HR Green will work under direct supervision of Denton’s Water Utilities (Bob Applegate or assigned designee) and will provide the following services, categorized into five distinct phases. Detailed task breakdowns can be found in the attached Exhibit A. Additional services may be requested on an as-needed basis in the future. HR Green will take the lead on all initial engineering reviews for the items listed above and provide professional recommendations. Water Utilities will remain the final decision-maker. Additionally, HR Green will coordinate and track all modeling simulation requests sent to Kimley-Horn. III. Fee and Biling Structure Services will be billed at the hourly rates of the specific employees tasked with the work at rates in accordance with the contracted amount. For tracking, invoicing, and billing purposes, we recommend setting up a separate sub-project number (2302423.02), under the parent project number 2302423. The updated project numbers will appear on our invoices as follows: ▪ 2302423 – Denton, TX Off-Site Eng Plan Review (Current) ▪ 2302423.01 – Denton, TX On-Site Eng Facilitation (Current) ▪ 2302423.02 – Denton, TX Water Utilities (New) Billing Methodology ▪ Phases 3, 4, and 5: Review time will be billed directly to the applicant through their specific project numbers, accompanied by detailed notes specifying the exact work performed with an emphasis on cost recovering those charges for the City. ▪ Phases 1 and 2: Because these phases often involve pre-project or fixed-fee work, time will be billed under 2302423.02 using the appropriate Phase and Task numbers. This maintains our flexibility to transfer that time to a specific CEP once the project progresses to that stage, or to bill the water department directly if that option is available. IV. Assumptions The scope of services is predicated upon the following mutually agreed-upon project assumptions: ▪ A collaborative alignment meeting will be held between Kimley-Horn (Water Model), Water Utilities, Development Services, and HR Green to establish baseline scopes, schedules, and budgets prior to project initiation. This model utilizes their proprietary assumptions and techniques. Consequently, all model testing and functional simulation requests shall be routed through Kimley-Horn. To accommodate the City’s desired review schedules, these simulations must be completed within 3–5 business days of the initial request. ▪ HR Green will be granted access to the City’s water maps, record drawings, any standard review checklists utilized by Water Utilities, and any identified resources to help with the tasks. ▪ City of Denton Water Utilities staff will be available for a recurring weekly coordination meeting. HR Green will also aid the city in the creation of later stage review requirements for novel and unique projects. Additional services to be provided will be adapted to the unique needs of each Development Agreement HR Green will review agreements for utility engineering obligations and demands. We will also review to ensure that there is no other related utility items within the agreement. Once these are identified, they will be checked with the overall plan, and if not planned will be sent for model testing for feasibility. If in this high level discovery system stresses are discovered, these will be presented to the utility department for guidance in order to shape potential public system improvement to facilitate development Addendum 2302423.02 Y 1.2 Feasibility requests HR Green will analyze the demands on public utilities as identified by the proposed development. If the project is not able to connect to the system, either a rejection of the project as proposed will be resolved, or another measure such as an agreement to make improvements will take place to make feasible the project (no cost estimates will be provided for infrastructure design and construction). Feasibility will be evaluated based on engineering inputs in the request. A simple water model test will be presented to the modeling handler, and if not negative impact is found, then this will be approved. HR Green main responsibility during this process will be to ensure all relevant master model information from the developer making the feasibility request is provided, and check with DCM and modeling information requirements. Addendum 2302423.02 Y 1.3 Oversize Participation Agreements This will be similar to the development agreement, but will be more based on the results of a feasibility request noting a system expansion that would be needed to serve a proposed development HR Green will evaluate estimated demand, and consult with utility department on if a planned upgrade can be incorporated into the proposed development. This will require coordination with the developer, and identification of future city system upgrade opportunities that can be accomplished with a development at a reduced overall cost to the city Addendum 2302423.02 (if outside CEP)Y 1.4 PACs (Pre-Application Meeting) HR Green will sit in the PAC meeting and represent the utility department for this phase. There is likely to be the initiation of other mechanisms or the implementation of the requirements of those as part of the PAC notes. HR Green will represent the utility department during PAC meetings, evaluate PAC plans, and initiate measures such as feasibility, oversize participation agreements, etc. based on the presented material. Goal of this process will be to identify large impacts to the existing city system that would need to be planned for, and to ensure that the project can be built in the city system, or what needs to be done to make this so Existing Contract (or does City wants to keep water time separate?) Y 1.5 Connection to Public System requirements This will be a service that once a development has noted its utility needs, HR Green will provide the big picture needs on how to connect to the city systems. I.E. Say there is a proposed 16" water main and 12" sewer main serving the site, HR Green would likely recommend that a 8" or 12" service main be tapped into the 16" main - extended to the extents of the property to serve adjacent developments, and also that they can connect with a manhole to the 12" Sewer main HR green will primarily provide identification of proposed connections, and identify when this is not possible and requires a more involved solution. This will be with a set of rules set by the utility department. Addendum 2302423.02 (if outside CEP) 1.6 Water & Sewer Modeling Support HR Green will provide the inputs to the Kimley Horn modeling team for a quick test of their model with their assumptions and practices. This will be communicated to be a quick turn around to them, so that we can facilitate the development process This for most projects will be a simple check of a new demand placed on the system, but others may require a more extensive simulation of their needs on the system HR Green will ensure that for a request to go to the water model handler, that all necessary inputs needed are provided by the developer, and that these follow guidelines such as set by the water model and the DCM Addendum 2302423.02 (if outside CEP)Y 2.1 Pump & Lift Stations Scoping HR Green at this stage will review calculations and ensure that city permit requirements along with system constrains are followed. This will be in report or memo format, along with a schematic set of plans for review HR Green will ensure that the city requirements for system performance are clear and met by proposed pump and lift stations. This will require a technical analysis on demands and expected outputs. Addendum 2302423.02 (if outside CEP) 2.2 Water & Sewer Modelling Support HR Green will provide the inputs to the Kimley Horn modeling team for a moderate test of their model with their assumptions and practices. This stage of the review will be to the level of feasibility and will also verify off-site impacts to the city infrastructure in a detailed manner to align with the level of detail that is provided in this phase. HR Green will ensure that for a request to go to the water model handler, that all necessary inputs needed are provided by the developer, and that these follow guidelines such as set by the water model and the DCM Addendum 2302423.02 (if outside CEP)Y 2.3 ZCP, PD & SUP Plan Review HR Green will ensure that all plans are proposing schematic locations of their utility placements, and for developments that have not verified the ability to fit into the utility master models, a check to see if their system can ensure pulls from the public utility system will take place. Conflicts with other utility and typical DCM and DDC items will be reviewed. Additionally, once ZCP is approved, relevant information will be sent to Kimley Horn (whom maintains the master models) for model integration and maintenance. HR Green will perform the ZCP level of review for the utility department. This will be to current DCM, DDC, and all other supporting legal documents. HR Green will also incorporate utility department preferences in this process. Updates to these guidance items will be done with utility department coordination. This will be a result of more detailed proposal and refined demands from the developer HR Green will use provided overall system criteria to evaluate allowed connections. This will need to have all necessary information checked, verified, and provided to the necessary item such as a model test. As this will be at an entitlement level design, these will need to be fairly accurate in what is to be decided on Addendum 2302423.02 (if outside CEP)Y 2.4 Deviation Requests HR Green will verify that the request is reasonable based on previous utility department guidance, and will consult with the utility department for feasible, but novel requests HR Green will review deviations for Utiity department.Addendum 2302423.02 (if outside CEP) 3.1 Pump & Lift Stations This will be to review the construction plans of a pump or lift station. It should be noted that smaller and simpler pump and lift stations will likely condense from entitlement phase to have all review take place in the Construction Plan review phase HR Green will provide a construction plan review of all submitted items. Constraints to highly technical material submittals will be identified, and all support to evaluate the system will be reviewed to full compliance. Existing Contract (CEP Billing) 3.2 CEP Plan Review HR Green will review that all utility plans meet all DCM, DDC, State, and Federal requirements. HR Green will also ensure all proposed elements are constructable, and required design constraints are clear on the plans for anything that has to be reviewed in the Pre-construction phase HR Green will provide typical construction plan review services in respect to what the utility department normal reviews. This will be done with standards, checklists, and other guidance items. HR green will also consult on a yearly basis with the utility department to ensure that new changes to requirements are captured and understood Existing Contract (CEP Billing)Y Connection to Existing Water Main This will be a feature of the CEP plan review phase. In the few instances there is a measure This will ensure that any connection is tested with model support (this process does not need to be repeated if done in the ZCP phase) and is in line with utility department guidance Existing Contract (CEP Billing) Model Checks for Capacity & Analysis HR Green will provide the inputs to the Kimley Horn modeling team for a detailed on- site test of their model with their assumptions and practices. Projects will verify that their proposed utility demands do not deviate from the approved ZCP or ZCP equivalent stage. If there is a deviation or there was not a ZCP, then a model plug in analysis will be check for compliance. HR Green will ensure that for a request to go to the water model handler, that all necessary inputs needed are provided by the developer, and that these follow guidelines such as set by the water model and the DCM Existing Contract (CEP Billing)Y Geotechnical Report Review HR Green will ensure that the geotechnical report has the ability to provide corrosivity, trench design metrics, soil composition, and other as identified critical metrics for city public utility design and construction such as ground water HR Green will ensure necessary items are provided in geotechnical report.
