AGENDA INFORMATION SHEET
DEPARTMENT: Procurement
ACM: Christine Taylor
DATE: October 13, 2026
SUBJECT
Consider adoption of an ordinance of the City of Denton, a Texas home-rule municipal corporation,
authorizing the approval of a second amendment to a Professional Services Agreement between the City of
Denton and McCall, Parkhurst & Horton, L.L.P., amending the contract approved by City Council on March
1, 2022, in the not-to-exceed amount of $1,250,000.00; amended by Amendment 1 approved by the City
Council; said second amendment to continue to provide bond counsel services for the Finance Department,
providing for the expenditure of funds therefor; and providing an effective date (PSA 7942 – providing for
an additional second amendment expenditure amount not-to-exceed $150,000.00, with the total contract
amount not-to-exceed $1,600,000.00).
STRATEGIC ALIGNMENT
This action supports Key Focus Area: Pursue Organizational Excellence and Collaborative and Respectful
Leadership.
INFORMATION/BACKGROUND
The contract with McCall, Parkhurst, & Horton, LLP (“MPH”) is for bond counsel services. The City has
engaged with MPH for several years and has been very satisfied with the services provided. Mr. Greg
Schaecher is a lead attorney at MPH and is assigned to represent the City. Mr. Schaecher is always available
to City staff and assists with debt issuance and advises on all matters regarding debt, including the City’s
two extendable commercial paper programs. MPH works with the City’s Financial Advisors, Hilltop
Securities, to ensure the City is meeting all legal requirements regarding debt issuances. The City’s Legal
Department is also pleased with the services provided by MPH and recommends a renewed contract for
bond counsel services.
Upon executing the first amendment of the personal services agreement in January 2026 with McCall,
Parkhurst & Horton, LLP (MPH), the City had not yet identified the need for additional debt financing
structures to support capital improvement projects, such as the WIFIA loan program or additional Texas
Water Development Board programs. The subsequent application and approval of additional programs have
expanded the scope of services required from bond counsel beyond the first amendment. The additional
spending authority will enable the City to continue utilizing these services through the conclusion of the
contract term, which ends in March 2027.
In accordance with Texas Local Government Code 252.022, the procurement of professional services is
exempt from the requirement of competition-based selection.
