AN ORDINANCE ACCEPTING COMPETITIVE BIDS AND AWARDING A PUBLIC WORKS
CONTRACT FOR THE CONSTRUCTION OF THE MAYHILL ROAD WIDENING AND
IMPROVEMENTS PROJECT FOR THE CITY OF DENTON WITH GEOGRAPHICAL LIMITS
FROM US 380/UNIVERSITY DRIVE SOUTH TO 500' NORTH OF EDWARDS ROAD;
PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFOR; AND PROVIDING AN
EFFECTIVE DATE (IFB 6389C -AWARDED TO ZACHRY CONSTRUCTION CORPORATION
IN THE NOT -TO -EXCEED AMOUNT OF $35,877,414.52.)
WHEREAS, the City has solicited, received, and tabulated competitive bids for the
construction of public works or improvements in accordance with the procedures of State law and
City ordinances; and
WHEREAS, the City Manager or a designated employee has received and recommended that
the herein described bids are the lowest responsible bids for the construction of the public works, or
improvements described in the bid invitation, bid proposal, and plans and specifications therein;
NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The following competitive bids for the construction of public works or
improvements, as described in the "Bid Invitation", "Bid Proposal" or plans and specifications on file
in the Office of the City's Purchasing Agent filed according to the bid number assigned hereto, are
hereby accepted and approved as being the lowest responsible bids:

SECTION 2. The acceptance and approval of the above competitive bids shall not constitute
a contract between the City and the person submitting the bid for construction of such public works
or improvements herein accepted and approved, until such person shall comply with all requirements
specified in the Notice to Bidders including the timely execution of a written contract and furnishing
of performance and payment bonds, and insurance certificate after notification of the award of the
bid.
SECTION 3. That the City Manager is hereby authorized to execute all necessary written
contracts for the performance ofthe construction of the public works or improvements in accordance
with the bids accepted and approved herein, provided that such contracts are made in accordance
with the Notice to Bidders and Bid Proposal, and documents relating thereto specifying the terms,
conditions, plans, and specifications, standards, quantities, and specified sums contained therein.
1_1!i;N 4. The City Council of the City of Denton, Texas hereby expressly delegates the
authority to take any actions that may be required or permitted to be performed by the City of Denton
under IFB 6389 C to the City Manager of the City of Denton, Texas, or his designee.
SECTION 5. Upon acceptance and approval ofthe above competitive bid, and the execution
of the contract for the public works and improvements as authorized herein, the City Council hereby
authorizes the expenditure of funds in the manner and in the amount as specified in such approved
bids and authorized contracts executed pursuant thereto.
SECTION 6. That this ordinance shall become effective immediately upon its passage and
approval.

Antonio, County ofBexar, and State ofTexas, hereinafter termed "CONTRACTOR."
WITNESSETH: Thatforandinconsideration ofthepayments andagreements hereinafter
mentioned, tobemade andperformed byOWNER, andunder the conditions expressed inthe
bonds attached hereto, CONTRACTOR hereby agrees with OWNER tocommence andcomplete
performance ofthe work specified below:

above, inaccordance with the conditions andprices stated intheProposal and thePerformance
andPayment Bonds, attached hereto, andinaccordance withallthe General Conditions ofthe
Agreement, theSpecial Conditions, the Notice toBidders (Advertisement forBids), and
Instructions toBidders, asreferenced herein and onfile intheoffice ofthe Purchasing Agent, and
inaccordance withthe plans, which includes allmaps, plats, blueprints, and other drawings and
printed orwritten explanatory matter thereof, and theSpecifications therefore, asprepared by:

INDEPENDENTSTATUS/NOJOINTVENTURE
Itismutually understood andagreed byand between City and Contractor thatContractor
isanindependent contractor and shall notbedeemed tobe orconsidered anemployee oftheCity
ofDenton, Texas, for thepurposes ofincome tax, withholding, social security taxes, vacation or
sickleavebenefits, worker'scompensation, oranyother Cityemployee benefit. Cityshallnot
have supervision and control ofContractor oranyemployee ofContractor, anditisexpressly
understood thatContractor shall perform theservices hereunder according totheattached

specifications atthegeneral direction oftheCityManager ofthe CityofDenton, Texas, orhis
designee underthis agreement.
Further, nothing inthisAgreement shall beconstrued orinterpreted tomake OWNER and
CONTRACTOR partners orjointventurers, ortomake onean agent orrepresentative oftheother.
INDEMNIFICATION
CONTRACTOR COVENANTS AND AGREES TO ANDDOES HEREBY
INDEMNIFY, HOLD HARMLESS AND DEFEND, AT ITS OWN EXPENSE, OWNER,
ITSOFFICERS, SERVANTS AND EMPLOYEES, FROM AND AGAINST ANYANDALL
CLAIMS OR SUITS FOR PROPERTY LOSS ORDAMAGE AND/ORPERSONAL
INJURY, INCLUDING DEATH, TO ANYAND ALLPERSONS, OFWHATSOEVER
KIND ORCHARACTER, WHETHER REAL ORASSERTED, ARISING OUT OFTHE
WORK AND SERVICES TO BEPERFORMED HEREUNDER BY CONTRACTOR, ITS
OFFICERS, AGENTS, EMPLOYEES, SUBCONTRACTORS, LICENSEES OR
INVITEES, WHETHER ORNOT CAUSED, INWHOLE OR INPART, BY THE
ALLEGED NEGLIGENCE OFTHEOFFICERS, SERVANTS, OR EMPLOYEES OF
THE OWNER. CONTRACTOR LIKEWISE COVENANTS AND AGREES TO, AND
DOES HEREBY INDEMNIFY ANDHOLD HARMLESS OWNER DURING THE
PERFORMANCE OFANY OFTHE TERMS AND CONDITIONS OFTHIS CONTRACT,
WHETHER ARISING OUTOF INWHOLE ORIN PART, ANY AND ALL ALLEGED
ACTS OROMISSIONS OF OFFICERS, SERVANTS, OR EMPLOYEES OFTHE
OWNER. THEPROVISIONS OFTHIS PARAGRAPH ARE SOLELY FOR THE
BENEFIT OFTHE PARTIES HERETO ANDNOTINTENDED TO CREATE ORGRANT
ANY RIGHTS, CONTRACTUAL OR OTHERWISE, TOANY OTHER PERSON OR
ENTITY.
CHOICEOFLAWANDVENUE
This agreement shall begoverned bythelawoftheState ofTexas and venue for its
construction andenforcement shall lieinthecourts ofDenton County, Texas.
TheCONTRACTOR hereby agrees tocommence workonorafterthedateestablished for
thestart ofwork assetforth inwritten noticetocommence work andcomplete allwork within the
timestatedintheProposal, subject tosuch extensions oftime asareprovided by theGeneral and
Special Conditions.
TheOWNER agrees topaythe CONTRACTOR incurrent fundsthepriceorpricesshown
intheProposal, which forms apart ofthiscontract, suchpayments tobesubject totheGeneral
andSpecial Conditions oftheContract.
RIGHTTOAUDIT
TheOWNER shallhavetheright toaudit and make copies ofthebooks, records and
computations pertaining tothis agreement. TheCONTRACTOR shall retain such books, records,

documents andother evidence pertaining tothis agreement during the contract period andfive
yearsthereafter, except ifanaudit isinprogress orauditfindings areyetunresolved, inwhich case
records shall bekeptuntilallaudit tasks arecompleted andresolved. Thesebooks, records,
documents and otherevidence shall beavailable within 10business days ofwritten request.
Further, theCONTRACTOR shall also require allSubcontractors, material suppliers, andother
payees toretain allbooks, records, documents andotherevidence pertaining to thisagreement,
andtoallow theOWNER similar access tothose documents. Allbooks andrecords willbemade
available within a50mile radius ofthe Cityof Denton. Thecost oftheaudit willbeborne bythe
OWNER unlesstheauditreveals anoverpayment of1% orgreater. Ifanoverpayment of1% or
greater occurs, thereasonable costoftheaudit, including anytravel costs, must bebornebythe
CONTRACTOR which mustbepayable within fivebusiness daysofreceipt ofaninvoice.
Failure tocomply withthe provisions ofthis section shallbeamaterial breach ofthis
contract andshall constitute, inthe
Eachoftheterms "books", "records", "documents" and "other evidence," asused above, shallbe
construed toinclude drafts andelectronic files, evenifsuchdrafts orelectronic files are
subsequently usedtogenerate orprepare afinal printed document.
PAYMENTANDPERFORMANCEBONDS
Contractor will berequired to furnish original performance and payment bonds foronehundred
100%) percent ofthetotal submission pricebefore work istocommence. TheContractor shall
assume allcosts inincreasing thebondlimits ifchange orders areformally approved. Bonds shall
beinaccordance withtheV.T.C.AGovernment Code Section 2253.021, asamended, from asurety
licensed to dobusiness inthe StateofTexas.
Bond forms are attached andshall bereturned upon noticeofcontract award bytheCity. Bonds
should beforwarded totheCity ofDenton within fourteen (14) calendar daysfrom contract
award. Thiscontract isnot fully executed until payment andperformance bonds are received and
accepted bytheCity. Uponapproval, apurchase order willbe issued.
LIQUIDATEDDAMAGES
Thetime ofthecompletion ofconstruction oftheproject isoftheessence ofthe contract. Should
the Contractor neglect, refuse, orfail tocomplete theconstruction within thetime agreed upon,
after givingeffect toextensions oftime, ifany, herein provided, then, inthat event and inviewof
thedifficulty ofestimating withexactness damages caused bysuch delay, OWNER shall have the
righttodeduct from andretain outofsuchmoney which maybethendueorwhich maybecome
dueandpayable tothe Contractor thesum ofFIVE HUNDRED andno/100 DOLLARS ($500.00)
perday foreach and every day, including weekends, thatsuchconstruction isdelayed onits
completion beyond thespecified time, asliquidated damages and notasapenalty. Iftheamount
dueandtobecome due fromOWNER totheContractor isinsufficient topay infullanysuch
liquidated damages, theContractor shallpay toOWNER theamount necessary toeffect such
payment infull. Provided, however, that OWNER shallpromptly notify theContractor inwriting
ofthemanner in whichtheamount isretained, deducted, orclaimed asliquidated damages was
computed. Forcomputation ofextensions oftime, theContractor shallprovide OWNER written

noticeofeachdayconstruction isdelayed orprevented, andthereason therefore.
FORCEMAJEURE
OWNER and CONTRACTOR shall not beindefault orotherwise liable foranydelay in, orfailure
of, performance under this Agreement ifsuch delay orfailure arises byany reason beyond its
reasonable control, including any actofGod, any acts of thecommon enemyorterrorism, the
elements, earthquakes, floods, fires, epidemics, orriots. However, neither thelackoffunds, nor
sreasonable control.
TheParties willpromptly inform and consult with eachotherastoanyoftheabove causes, which
intheir judgment may orcould bethecause ofadelayintheperformance ofthis Agreement, and
eachpartyshallusecommercially reasonable bestefforts tolimitdelays onitspart.
CONSTRUCTIONACCEPTANCE
CONTRACTOR. CONTRACTOR shallacknowledge receipt oftheFinalPunch Listandnotify
OWNER, within five (5) business days, ofanyrequirements CONTRACTOR deems inconsistent
items tobeincluded intheFinalPunch List andanycorrections shallbemade atthattime. When
theFinalPunch Listiscomplete fortheentire project, aletterofacceptance willbeissued by
OWNER. Nodeviations willbeallowed unless approved inwriting byOWNER.
SEVERABILITY
Ifanyterm orprovision ofthisAgreement isheld byacourttobeillegal, invalid, orunenforceable,
thelegality, validity, orenforcement ofthe remaining terms orprovisions ofthisAgreement shall
notbeaffected thereby, and inlieuofeachillegal, invalid, orunenforceable termorprovision
there shallbeadded automatically tothis Agreement alegal, valid, orenforceable term orprovision
assimilar aspossible tothetermorprovision declared illegal, invalid, orunenforceable.
ASSIGNABILITY
OWNER and CONTRACTOR agree thatthisAgreement maynotbeassigned without the prior
written consent oftheother party duetothespecial covenants, nature, andsubject matter ofthis
Agreement.
NOWAIVER
Thefailure ofOWNER orCONTRACTOR toinsist, on any occasion, upon strictperformance of
anyprovision ofthisAgreement will notbeconsidered towaivethe obligations, rights, orduties
imposed upon theParties. Nowaiver ofany breach orviolation ofanytermofthisAgreement
shallbedeemed orconstrued toconstitute awaiver ofanyother breach orviolation, whether
concurrent orsubsequent, andwhether ofthe same orofadifferent typeofbreach orviolation.

NOTHIRD-PARTYBENEFICIARIES
This Agreement isnotintended to, anddoes notcreate rights, remedies, orbenefits ofanycharacter
whatsoever infavorofanypersons, corporations, associations, orentities other thanthe Parties
hereto andtheir permitted successors-in-interest; andtheobligations herein undertaken and
assumed aresolely for theuseandbenefit oftheParties, theirpermitted successors-in-interest, and
anypermitted assigns pursuant totheterms andprovisions ofthisAgreement.
PARAGRAPHHEADINGSANDCONSTRUCTIONOFAGREEMENT
Thedescriptive headings ofthisvarious articles and sections ofthisAgreement have beeninserted
for theconvenience ofreference only, andaretobeafforded nosignificance intheinterpretation
orconstruction ofthisAgreement, which shallnotbeconstrued either more orlessstrongly against
orfor either Party.

In2015, theTexas Legislature adopted House Bill1295, whichadded section 2252.908ofthe
Government Code. Thelawstates thatthe Citymay notenter intothiscontract unless the
Contractor submits adisclosure ofinterested parties (Form1295) totheCityatthe timethe
Contractor submits thesigned contract. The TexasEthicsCommission hasadopted rulesrequiring
thebusiness entity tofileForm1295 electronically with theCommission.
Contractor willberequired tofurnish anoriginal notarized Certificate ofInterest Parties
before the contract isawarded, inaccordance with Government Code 2252.908.

INSURANCEREQUIREMENTSAND
Upon contract execution, allinsurance requirements shall become contractual obligations, which the
successful contractor shall haveadutytomaintain throughout thecourse ofthiscontract.
STANDARD PROVISIONS:
Withoutlimiting anyoftheotherobligations orliabilities oftheContractor, theContractor shallprovide
andmaintainuntilthecontracted workhasbeencompleted andaccepted bytheCityofDenton, Owner,
theminimuminsurancecoverage asindicated hereinafter.
Contractor shallfilewiththePurchasing Department satisfactory certificates ofinsurance including
anyapplicable addendum orendorsements, containing thecontract numberandtitleoftheproject.
Contractor may, uponwrittenrequest tothePurchasing Department, askforclarification ofany
insurance requirements atanytime; however, Contractor shallnotcommence anyworkordeliverany
material untilheorshereceivesnotification thatthecontract hasbeenaccepted, approved, andsigned
bytheCityofDenton.
Allinsurance policies proposed orobtained insatisfaction oftheserequirements shallcomply withthe
following general specifications, andshallbemaintained incompliance withthesegeneral specifications
throughout theduration oftheContract, orlonger, ifsonoted:
Eachpolicy shallbeissuedbyacompany authorized todobusiness intheState ofTexaswithan
A.M. BestCompany ratingofatleastAorbetter.
Anydeductibles orself-insured retentions shallbedeclared intheproposal. Ifrequested bythe
City, theinsurer shall reduce oreliminate such deductibles orself-insured retentions with respect
totheCity, itsofficials, agents, employees andvolunteers; or, thecontractor shallprocure abond
guaranteeing payment oflosses andrelated investigations, claim administration anddefense
expenses.
Liability policies shall beendorsed toprovide thefollowing:
Name asAdditional Insured theCityofDenton, itsOfficials, Agents, Employees and
volunteers.
Thatsuchinsurance isprimary toanyotherinsurance available totheAdditional Insured
withrespect toclaims covered underthepolicy andthatthisinsurance applies separately
toeach insured against whom claimismade orsuitisbrought. Theinclusion ofmore than
oneinsured shallnotoperate toincrease theinsurer'slimitofliability.
Cancellation: Cityrequires 30daywritten noticeshould anyofthepoliciesdescribed onthe
certificate becancelled ormaterially changed beforetheexpiration date.
Should anyoftherequired insurance beprovided under aclaims made form, Contractor shall
maintain suchcoverage continuously throughout thetermofthiscontract and, without lapse, fora
period ofthree years beyond thecontract expiration, suchthat occurrences arising duringthe
contract term which giverisetoclaims made afterexpiration ofthecontract shallbecovered.

Should anyoftherequired insurance beprovided under aformofcoverage thatincludes ageneral
annual aggregate limit providing forclaims investigation orlegaldefense costs tobeincluded in
thegeneral annual aggregate limit, theContractor shalleither doubletheoccurrence limitsorobtain
Owners and Contractors Protective Liability Insurance.
Should any required insurance lapse during thecontract term, requests forpayments originating
aftersuchlapse shall notbeprocessed untiltheCityreceives satisfactory evidence ofreinstated
coverage asrequired bythiscontract, effective asofthelapse date. Ifinsurance isnotreinstated,
Citymay, atitssoleoption, terminate thisagreement effective onthedateofthelapse.
SPECIFIC ADDITIONAL INSURANCE REQUIREMENTS:
Allinsurance policiesproposed orobtained insatisfaction ofthisContract shalladditionally comply with
thefollowing marked specifications, and shallbemaintained incompliance withtheseadditional
specifications throughout thedurationoftheContract, orlonger, ifsonoted:

General Liability insurance withcombined single limits ofnot lessthan $1,000,000.00shall
beprovided andmaintained bytheContractor. Thepolicyshallbewritten onanoccurrence
basiseitherinasingle policyorinacombination ofunderlying andumbrella orexcess
policies.
IftheCommercial General Liability form (ISOForm CG 0001 current edition) isused:
Coverage Ashallinclude premises, operations, products, andcompleted operations,
independent contractors, contractual liability covering thiscontract andbroad form
property damage coverage.
Coverage Bshallinclude personal injury.
Coverage C, medical payments, isnotrequired.
IftheComprehensive General Liability form (ISOForm GL0002 Current Edition
andISOForm GL0404) isused, itshallinclude atleast:
BodilyinjuryandProperty Damage Liability forpremises, operations, products and
completed operations, independent contractors andproperty damage resulting from
explosion, collapse orunderground (XCU) exposures.
Broad formcontractual liability (preferably by endorsement) covering thiscontract,
personal injuryliability andbroad form property damage liability.
X\] Automobile Liability Insurance:
Contractor shall provide Commercial Automobile Liability insurance with Combined Single
Limits (CSL) ofnotlessthan $500,000eitherinasingle policyorinacombination ofbasicand
umbrella orexcess policies. The policy willinclude bodily injuryandproperty damage liability
arisingoutoftheoperation, maintenance anduseofallautomobiles andmobile equipment used

inconjunction with thiscontract.
Satisfaction oftheabove requirement shall beintheform ofapolicy endorsement for:
any auto, or
allowned hiredandnon-ownedautos.

meeting theminimum statutory requirements forissuance ofsuch insurance, hasEmployer's
Liability limits ofatleast $100,000foreachaccident, $100,000pereachemployee, anda $500,000
policylimit foroccupational disease. TheCityneed notbenamed asan "Additional Insured" but
theinsurer shallagreetowaiveallrights ofsubrogation against theCity, itsofficials, agents,
employees and volunteers foranywork performed fortheCity bytheNamed Insured. Forbuilding
orconstruction projects, theContractor shallcomply withtheprovisions ofAttachment 1in
Compensation Commission (TWCC).
Owner'sandContractor'sProtective Liability Insurance
TheContractor shallobtain, payforandmaintain atalltimesduring theprosecution ofthework
underthiscontract, anOwner'sandContractor'sProtective Liability insurance policynaming the
Cityasinsured forproperty damage andbodilyinjury whichmay ariseintheprosecution ofthe
andthepolicy shallbeissuedbythesameinsurance company thatcarries theContractor's
liability insurance. Policylimits willbeatleast $500,000.00combined bodilyinjury and
property damage peroccurrence witha $1,000,000.00aggregate.
FireDamage LegalLiability Insurance
Coverage isrequired ifBroad formGeneral Liability isnotprovided orisunavailable tothe

Governmental Entities
A. Definitions:
Certificate ofcoverage ("certificate")-Acopyofacertificate ofinsurance, a
certificate ofauthority toself-insure issued bythe commission, oracoverage
agreement (TWCC-81, TWCC-82, TWCC-83, orTWCC-84), showing statutory
workers' compensation insurance coverage fortheperson'sorentity'semployees
providing services onaproject, forthe duration ofthe project.
Duration oftheproject - includes thetimefrom thebeginning ofthework onthe
project untilthecontractor's/person'sworkontheproject hasbeen completed and
accepted bythegovernmental entity.
Persons providing services ontheproject ("subcontractor" in §406.096) - includes all
persons orentities performing allorpartoftheservices thecontractor has
undertaken toperform onthe project, regardless ofwhether thatperson contracted
directly with the contractor andregardless ofwhether thatperson hasemployees.
This includes, without limitation, independent contractors, subcontractors, leasing
companies, motorcarriers, owner-operators, employees ofanysuch entity, or
employees ofany entity which furnishes persons toprovide services ontheproject.
Services" include, without limitation, providing, hauling, ordelivering equipment or
materials, orproviding labor, transportation, orother service related toaproject.
Services" does notinclude activities unrelated totheproject, suchasfood/beverage
vendors, office supply deliveries, anddelivery ofportable toilets.
B. The contractor shall provide coverage, based onproper reporting ofclassification
codes and payroll amounts andfiling ofanyoverage agreements, which meets the
statutory requirements ofTexas Labor Code, Section 401.011(44) forallemployees
oftheContractor providing services ontheproject, forthe duration oftheproject.
C. TheContractor mustprovide acertificate ofcoverage tothegovernmental entity prior
tobeingawarded the contract.
D. Ifthecoverage period shown onthecontractor'scurrent certificate ofcoverage ends
duringtheduration oftheproject, thecontractor must, prior totheendofthecoverage
period, file anewcertificate ofcoverage withthe governmental entity showing that
coverage hasbeen extended.
E. The contractor shallobtain from each person providing services onaproject, and
provide tothegovernmental entity:
1. acertificate ofcoverage, prior tothat person beginning work ontheproject, so

the governmental entity will have onfilecertificates ofcoverage showing
coverage forallpersons providing services ontheproject; and

current certificate ofcoverage ends during theduration oftheproject.
F. The contractor shall retainallrequired certificates ofcoverage fortheduration ofthe
project andforone yearthereafter.
G. Thecontractor shallnotifythegovernmental entity in writing bycertified mailor
personal delivery, within 10days afterthe contractor knew orshould have known, of
anychange thatmaterially affects theprovision ofcoverage ofany person providing
services onthe project.
H. Thecontractor shall postoneachproject siteanotice, inthetext, form and manner
prescribed bytheTexas Workers' Compensation Commission, informing allpersons
providing services ontheproject that theyarerequired tobecovered, andstating how
aperson may verify coverage andreportlackofcoverage.
I. Thecontractor shallcontractually require each person with whom itcontracts to
provide services onaproject, to:
1. provide coverage, based onproper reporting ofclassification codesandpayroll
amounts andfilingofanycoverage agreements, which meets the statutory
requirements ofTexas Labor Code, Section 401.011(44) forallofitsemployees
providing services ontheproject, forthe duration oftheproject;
2. provide tothecontractor, prior tothat person beginning work onthe project, a

byparagraphs (1) - (7), withthecertificates ofcoverage tobeprovided totheperson
forwhomtheyareproviding services.
J. Bysigning thiscontract or providing orcausing tobeprovided acertificate of
coverage, thecontractor isrepresenting tothegovernmental entity thatallemployees
ofthecontractor who willprovide services ontheproject willbecovered byworkers'
compensation coverage for theduration oftheproject, that the coverage willbebased
onproper reporting ofclassification codes andpayroll amounts, andthatallcoverage
agreements willbefiledwith theappropriate insurance carrier or, inthecase ofaself-
insured, with thecommission'sDivision ofSelf-Insurance Regulation. Providing false
ormisleading information maysubject thecontractor toadministrative penalties,
criminal penalties, civil penalties, orothercivil actions.

bythecontractor whichentitles thegovernmental entity todeclare thecontract voidif
thecontractor does notremedy thebreach within tendays afterreceipt ofnotice of
breach from thegovernmental entity.
