ORDINANCE NO. 19-(4S AN ORDINANCE OF THE CITY OF DENTON, A TEXAS HOME-RULE MUNICIPAL CORPORATION, AUTHORIZING THE CITY MANAGER TO EXECUTE A PROFESSIONAL SERVICES AGREEMENT WITH TEAGUE NALL AND PERKINS, INC,, FOR PROFESSIONAL SURVEYING SERVICES AS SET FORTH IN THE CONTRACT; PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFOR; AND PROVIDING AN EFFECTIVE DATE (RFQ 6965— PROFESSIONAL SERVICES AGREEMENT FOR PROFESSIONAL SURVEYING SERVICES AWARDED TO TEAGUE NALL AND PERKINS, INC., IN THE THREE (3) YEAR NOT-TO-EXCEED AMOUNT OF $900,000). WHEREAS, Teague Nall and Perkins, Inc., the professional services provider (the "Provider) set forth in this ordinance is being selected as the most highly qualified on the basis of its demonstrated competence and qualifications to perform the proposed professional services; and WHEREAS, The fees under the proposed contract are fair and reasonable and are consistent with and not higher than the recommended practices and fees published by the professional associations applicable to the Provider's profession and such fees do not exceed the rnaximum provided by law; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS; SECTION 1. The City Manager is authorized to enter into a professional service contract with Teague Nall and Perkins, Inc., to provide professional surveying services for the City of Denton, a copy of which is attached hereto and incorporated by reference herein. SECTION 2. The City Manager is authorized to expend funds as required by the attached contract. SECTION 3. The City Council of the City of Denton, Texas expressly delegates the authority to take any actions that may be required or perrnitted to be performed by the City of Denton under RFQ 6965 for surveying services, to the City Manager ofthe City ofDenton, Texas, or his designee. SECTION 4. The findings in the preamble of this ordinance are incorporated herein by reference. SECTION 5. ARTICLEIII ADDITIONALSERVICES AdditionalservicestobeperformedbytheCONSULTANT, ifauthorizedbythe OWNER, whicharenotincludedintheabove-describedBasicServices, maybenegotiatedas needed, perratesincludedinExhibitB. A. Preparingapplicationsandsupportingdocumentsforgovernmentgrants, loans, or planningadvancesandprovidingdatafordetailedapplications. B. PreparingdataandreportsforassistancetoOWNERinpreparationforhearingsbefore regulatoryagencies, courts, arbitrationpanelsormediator, givingtestimony, personallyor bydeposition, andpreparationsthereforebeforeanyregulatoryagency, court, arbitration panelormediator. C. AssistingOWNERinpreparingfor, orappearingatlitigation, mediation, arbitration, disputereviewboards, orotherlegaland/oradministrativeproceedingsinthedefenseor prosecutionofclaimsdisputeswithContractor(s). D. AssistingOWNERinthedefenseorprosecutionoflitigationinconnectionwithorin additiontothoseservicescontemplatedbythisAGREEMENT. Suchservices, ifany, shall befurnishedbyCONSULTANTonafeebasisnegotiatedbytherespectivepartiesoutside ofandinadditiontothisAGREEMENT. E. CONSULTANTshallperformandcompleteitsobligationshereininaprompt andcontinuousmanner, soastonotdelaythecompletionofthe Project. Thecontractshall remaineffectiveforthreeyearstobeutilizedasneededbytheCityoruponexhaustionof authorizedfunds, orterminationasprovidedinthisAgreement, whicheveroccursfirst. ARTICLEV COMPENSATION A. COMPENSATIONTERMS: 1. employmentofothersinoutsidefirmsforservicesrelatedtothisagreement. 2. - asthatexpenseforanyassignment incurredbytheCONSULTANTforsupplies, transportationandequipment, travel, communications, subsistence, andlodgingawayfromhome, andsimilar incidentalexpensesinconnectionwiththatassignment. B. BILLINGANDPAYMENT: Forandinconsiderationoftheprofessionalservicestobe performedbytheCONSULTANT herein, theOWNERagreestopay, basedonthecost estimatedetailatanhourlyrateshowninExhibitBwhichisattachedheretoandmadea partofthisAgreementasifwrittenwordforwordherein, atotalfee, including reimbursementfordirectnon-laborexpensesnottoexceed $900,000. PartialpaymentstotheCONSULTANT willbemadeonthebasisofdetailedmonthly statementsrenderedtoandapprovedbytheOWNERthroughitsCityManagerorhis designee; however, undernocircumstancesshallanymonthlystatementforservices exceedthevalueoftheworkperformedatthetimeastatementisrendered. NothingcontainedinthisArticleshallrequiretheOWNERtopayforanyworkwhichis unsatisfactory, asreasonablydeterminedbytheCityManagerorhisdesignee, orwhichis notsubmittedincompliancewiththetermsofthisAgreement. TheOWNERshallnotbe requiredtomakeanypaymentstotheCONSULTANTwhentheCONSULTANTisin defaultunderthisAgreement. ItisspecificallyunderstoodandagreedthattheCONSULTANT shallnotbeauthorized toundertakeanyworkpursuanttothisAgreementwhichwouldrequireadditional paymentsbytheOWNERforanycharge, expense, orreimbursementabovethe maximumnottoexceedfeeasstated, withoutfirsthavingobtainedwrittenauthorization fromtheOWNER. TheCONSULTANTshallnotproceedtoperformtheserviceslisted ainingpriorwrittenauthorizationfrom theOWNER. ADDITIONALSERVICES: Foradditionalservicesauthorizedinwritingbythe OWNERinArticleIII, theCONSULTANTshallbepaidbasedontheScheduleof ChargesatanhourlyrateshowninExhibitB. Paymentsforadditionalservicesshallbe dueandpayableuponsubmissionbytheCONSULTANTandapprovalbytheCitystaff, andshallbeinaccordancewithsubsectionBhereof. Statementsshallnotbesubmitted morefrequentlythanmonthly. D. PAYMENT: IftheOWNERfailstomakepaymentsduetheCONSULTANTfor undisputedstatementthereof, theamountsduetheCONSULTANTwillbepaidinterest inaccordancewiththeTexasGovernmentCode2251.025. Additionally, the suspendservicesunderthisAgreementuntiltheCONSULTANThasbeenpaidinfullall amountsdueforservices, expenses, andcharges. Nothinghereinshallrequirethe OWNERtopaythelatechargeiftheOWNERreasonablydeterminesthattheworkis disputeconcerningtheamountdue, ortheinvoicewasnotmailedtotheaddressorinthe formasdescribedinthisAgreement. TheOWNERwillnotifyCONSULTANT ofany disputeswithintwenty-one (21) daysofreceiptoftheinvoice. E. InvoicesshallbesentdirectlytotheCityofDentonAccountsPayableDepartment, 215 EMcKinneySt, Denton, TX, 76201-4299. Apro-formainvoiceshallbesenttothe contractadministrator. ItistheintentionoftheCityofDentontomakepaymenton completedorderswithinthirtydaysafterreceiptofinvoiceoritems; whicheverislater, unlessunusualcircumstancesarise. Invoicesmustbefullydocumentedastolabor, materials, andequipmentprovided, ifapplicable, andmustreferencetheCityof DentonPurchaseOrderNumberinordertobeprocessed. Nopaymentsshallbe madeoninvoicesnotlistingaPurchaseOrderNumber. ARTICLEVI OBSERVATIONANDREVIEWOFTHEWORK TheCONSULTANTwillexercisereasonablecareandduediligenceindiscoveringand promptlyreportingtotheOWNERanydefectsordeficienciesintheworkofthe CONSULTANToranysubcontractorsorsubconsultants. ARTICLEVII OWNERSHIPOFDOCUMENTS subcontractorsorsubconsultants) pursuanttothisAgreementareinstrumentsofservice, and shallbecomethepropertyoftheOWNERupontheterminationofthisAgreement. The CONSULTANTisentitledtoretaincopiesofallsuchdocuments. NothinginthisAgreementshallbeconstruedtocreatealiabilitytoanypersonwhoisnot laworequity, toanyclaim, causeofaction, orlitigationfiledbyanyonenotapartytothis Agreement, includingthedefenseofgovernmentalimmunity, whichdefensesarehereby expresslyreserved. ARTICLEIX INSURANCE DuringtheperformanceoftheservicesunderthisAgreement, CONSULTANTshall maintaininsuranceincompliancewiththerequirementsofExhibitCwhichisattachedhereto andmadeapartofthisAgreementasifwrittenwordforwordherein. ARTICLEX ALTERNATIVEDISPUTERESOLUTION ThepartiesmayagreetosettleanydisputesunderthisAgreementbysubmittingthe disputetomediationwitheachpartybearingitsowncostsofmediation. Nomediationarising llnotbeacondition precedenttosuit. ARTICLEXI TERMINATIONOFAGREEMENT A. NotwithstandinganyotherprovisionofthisAgreement, eitherpartymayterminateby B. ThisAgreementmaybeterminatedinwholeorinpartintheeventofeitherparty substantiallyfailingtofulfillitsobligationsunderthisAgreement. Nosuchtermination willbeaffectedunlesstheotherpartyisgiven (1) writtennotice (deliveredbycertified mail, returnreceiptrequested) ofintenttoterminateandsettingforththereasons CityofDenton, Texas Contract6965 StandardAgreementforEngineeringRelatedDesignServices RevisedDate: 9/11/18 Page5of13 DocuSignEnvelopeID: B530CC41-78B3-4F99-8F6B-2FF9941F595C specifyingthenon-performance, andnotlessthanfifteen (15) calendardaystocurethe failure; and (2) anopportunityforconsultationwiththeterminatingpartypriorto termination. C. IftheAgreementisterminatedpriortocompletionoftheservicestobeprovided hereunder, CONSULTANTshallimmediatelyceaseallservicesandshallrenderafinal billforservicestotheOWNERwithinthirty (30) daysafterthedateoftermination. The OWNERshallpayCONSULTANTforallservicesproperlyrenderedandsatisfactorily performedandforreimbursableexpensestoterminationincurredpriortothedateof subsequentlycontractwithanewconsultantforthecontinuationofservicesonthe Project, CONSULTANTshallcooperateinprovidinginformation. TheCONSULTANT shallturnoveralldocumentspreparedorfurnishedbyCONSULTANTpursuanttothis AgreementtotheOWNERonorbeforethedateoftermination, butmaymaintaincopies ofsuchdocumentsforitsuse. ARTICLEXII RESPONSIBILITYFORCLAIMSANDLIABILITIES ApprovalbytheOWNERshallnotconstitute, norbedeemedareleaseofthe responsibilityandliability oftheCONSULTANT, itsemployees, associates, agents, subcontractors, andsubconsultantsfortheaccuracyandcompetencyoftheirdesignsorother work; norshallsuchapprovalbedeemedtobeanassumptionofsuchresponsibilitybythe OWNERforanydefectinthedesignorotherworkpreparedbytheCONSULTANT, its employees, subcontractors, agents, andconsultants. ARTICLEXV SEVERABILITY IfanyprovisionofthisAgreementisfoundordeemedbyacourtofcompetent jurisdictiontobeinvalidorunenforceable, itshallbeconsideredseverablefromtheremainderof thisAgreementandshallnotcausetheremaindertobeinvalidorunenforceable. Insuchevent, thepartiesshallreformthisAgreementtoreplacesuchstrickenprovisionwithavalidand enforceableprovisionwhichcomesascloseaspossibletoexpressingtheintentionofthestricken provision. ARTICLEXVI COMPLIANCEWITHLAWS TheCONSULTANTshallcomplywithallfederal, state, andlocallaws, rules, regulations, andordinancesapplicabletotheworkcoveredhereunderasthoselawsmaynow readorhereinafterbeamended. ARTICLEXVII DISCRIMINATIONPROHIBITED Inperformingtheservicesrequiredhereunder, theCONSULTANTshallnotdiscriminate againstanypersononthebasisofrace, color, religion, sex, sexualorientation, nationaloriginor ancestry, age, orphysicalhandicap. ARTICLEXVIII PERSONNEL A. TheCONSULTANTrepresentsthatithasorwillsecure, atitsownexpense, all personnelrequiredtoperformalltheservicesrequiredunderthisAgreement. Such personnelshallnotbeemployeesorofficersof, orhaveanycontractualrelationswiththe OWNER. CONSULTANTshallinformtheOWNERofanyconflictofinterestor potentialconflictofinterestthatmayariseduringthetermofthisAgreement. B. AllservicesrequiredhereunderwillbeperformedbytheCONSULTANTorunderits supervision. Allpersonnelengagedinworkshallbequalified, andshallbeauthorized andpermittedunderstateandlocallawstoperformsuchservices. ARTICLEXIX ASSIGNABILITY TheCONSULTANTacknowledgesthatthisAgreementisbasedonthedemonstrated competenceandspecificqualificationsoftheCONSULTANTandisthereforepersonalastothe CONSULTANT. Therefore, theCONSULTANTshallnotassignanyinterestinthisAgreement, CityofDenton, Texas Contract6965 StandardAgreementforEngineeringRelatedDesignServices RevisedDate: 9/11/18 Page7of13 DocuSignEnvelopeID: B530CC41-78B3-4F99-8F6B-2FF9941F595C andshallnottransferanyinterestinthisAgreement (whetherbyassignment, novation, or otherwise) withoutthepriorwrittenconsentoftheOWNER. ARTICLEXX MODIFICATION NowaiverormodificationofthisAgreementorofanycovenant, condition, orlimitation hereincontainedshallbevalidunlessin writinganddulyexecutedbythepartytobecharged therewith, andnoevidenceofanywaiverormodificationshallbeofferedorreceivedinevidence inanyproceedingarisingbetweenthepartiesheretooutoforaffectingthisAgreement, orthe rightsorobligationsofthepartieshereunder, andunlesssuchwaiverormodificationisin writinganddulyexecuted; andthepartiesfurtheragreethattheprovisionsofthissectionwillnot bewaivedunlessassetforthherein. ARTICLEXXI MISCELLANEOUS A. ThefollowingexhibitsareattachedtoandmadeapartofthisAgreement: ExhibitA RFQ6965 ProfessionalSurveyingServicesfortheCityofDenton (onfile atthepurchasingoffice) ExhibitB andCompensation ExhibitC sInsuranceRequirements Whatiscalledforbyoneexhibitshallbeasbindingasifcalledforbyall. Intheeventof aninconsistencyorconflictinthisAgreementandanyoftheprovisionsoftheexhibits, theinconsistencyorconflictshallberesolvedbygivingprecedencefirsttothis Agreementthentotheexhibitsintheorderinwhichtheyarelistedabove. B. ThisAgreementshallbegovernedby, construed, andenforcedinaccordancewith, and subjectto, thelawsoftheStateofTexasorfederallaw, whereapplicable, withoutregard totheconflictoflawprinciplesofanyjurisdiction. Intheeventthereshallbeanydispute arisingoutofthetermsandconditionsof, orinconnectionwith, thisAgreement, the partyseekingreliefshallsubmitsuchdisputetotheDistrictCourtsofDentonCountyor iffederaldiversityorsubjectmatterjurisdictionexists, totheUnitedStatesDistrictCourt fortheEasternDistrictofTexas-ShermanDivision. C. ForthepurposeofthisAgreement, thekeypersonswhowillperformmostofthework hereundershallbe ToddTurner. However, nothinghereinshalllimitCONSULTANT fromusingotherequallyqualifiedandcompetentmembersofitsfirmtoperformthe servicesrequiredherein. D. CONSULTANTshallcommence, carryon, andcompleteanyandallprojectswithall applicabledispatch, inasound, economical, andefficientmannerandinaccordancewith theprovisionshereof. Inaccomplishingtheprojects, CONSULTANTshalltakesuch stepsasareappropriatetoensurethattheworkinvolvedisproperlycoordinatedwith relatedworkbeingcarriedonbytheOWNER. F. ThecaptionsofthisAgreementareforinformationalpurposesonly, andshallnotinany wayaffectthesubstantivetermsorconditionsofthisAgreement. G. Thepartiesagreetotransactbusinesselectronically. Anystatutoryrequirementsthat certaintermsbeinwritingwillbesatisfiedusingelectronicdocumentsandsigning. Electronicsigningofthisdocumentwillbedeemedanoriginalforalllegalpurposes.
