TheContractorshallmakeallhostedContractorproductsavailabletotheCityfor atleastninety-ninepercent (99%) ofthetime (determinedmonthly), seven (7) days aweek, twenty-four (24) hoursperday, notincludinganyunavailabilitythat (i) results failure ofacommunication serviceorotheroutsideserviceorequipmentnotwithinthe controlofContractor. ObligationshereinareforhostedContractorproductsonly. Hostedthird-partyproductswillhavespecificobligationsinaseparateagreement withtheCity. 1. Onamonthlybasis, inarrearsandnolaterthanthefifteenth (15th) calendarday ofthesubsequentmonthfollowingthereportingmonth, Contractorshall providereportstoCitydescribingtheperformanceoftheservicesandof Contractorascomparedtotheservicelevelstandardsdescribedherein. Functionalityandcompatibility ofCitydevelopedmacroswillbesoleresponsibilityofCity. Anysuchmacrosoruserinterfaces developedbyCityshallbecomethepropertyofCity. Themethodandmeansofprovidingtheservicesshallbeundertheexclusivecontrol, management, andsupervisionoftheContractor, givingdueconsiderationtotherequestsofCity. Theservices includingdatastorage), shallbeprovidedbyContractororanypreviouslyapproved subcontractor, solelyfromwithinthecontinentalUnitedStatesandoncomputinganddatastorage devicesresidingtherein. TheContractorshallensurethatallelectronictransmissionorexchangeofsystemandapplication datawithCityand/oranyotherpartiesexpresslydesignatedbyCityshalltakeplaceviaencrypted securemeans. TheContractorshallalsoensurethatalldataexchangedshallbeusedexpressly andsolelyforthepurposesenumeratedintheAgreement. Datashallnotbedistributed, repurposed orsharedacrossotherapplications, environments, orbusinessunitsoftheContractor. The ContractorshallensurethatnoCitydataofanykindshallbecopied, modified, destroyed, deleted, transmitted, exchangedorotherwisepassedtoothervendorsorinterestedpartiesexceptonacase- by-casebasisasspecificallyagreedtoinwritingbyCity. AccesstoCitydatabyContractorfrom outsidethecontinentalUnitedStatesisprohibited. 6. TransitionandContentDisposition UponexpirationorterminationoftheservicesunderthisAgreement: A. TheContractormayimmediatelydiscontinuetheservicesandCityshallimmediately ceaseaccessingtheservicesandapplication. Contractorshallwithinfive (5) calendar upon machinereadableformat. ThisprovisionshallalsoapplytoallCitydatathatisinthe possessionofsubcontractors, agentsorauditorsofContractor. Suchdatatransfershall bedoneatnocosttotheCity. OnceContractorhasreceivedwrittenconfirmationfrom thirty (30) calendardayspurgeorphysicallydestroyallCitydatafromitshostedservers orfilesandprovideCitywithwrittencertificationwithinfive (5) calendardaysthatsuch purgeand/orphysicaldestruction hasoccurred. Securedisposalshallbeaccomplished StandardsandTechnologySpecialPublication800-88ormostcurrentindustry standard. B. TheContractorshallprovidetoCityand/orasuccessorserviceproviderassistance requestedbyCitytoeffecttheorderlytransitionoftheservices, inwholeorinpart, to Cityortothesuccessorserviceprovider. Duringthetransitionperiod, theapplication andCitydataaccessshallcontinuetobemadeavailabletoCitywithoutalteration. NOREPLACEMENTOFDEFECTIVETENDER: Everytenderordeliveryofdeliverables mustfullycomplywithallprovisionsoftheContractastotimeofdelivery, quality, andquantity. Anynon-complyingtendershallconstituteabreachandtheContractorshallnothavetherightto substituteaconformingtender; provided, wherethetimeforperformancehasnotyetexpired, the ContractormaynotifytheCityoftheintentiontocureandmaythenmakeaconformingtender withinthetimeallottedinthecontract. 9. PLACEANDCONDITIONOFWORK: TheCityshallprovidetheContractoraccesstothe siteswheretheContractoristoperformtheservicesasrequiredinorderfortheContractorto performtheservicesinatimelyandefficientmanner, inaccordancewithandsubjecttothe applicablesecuritylaws, rules, andregulations. TheContractoracknowledgesthatithassatisfied essentialcharacteristicsoftheworksites, thequalityandquantityofmaterials, equipment, labor andfacilitiesnecessarytoperformtheservices, andanyotherconditionorstateoffactwhichcould underthecontract. TheContractor, itsemployees, subcontractors, andsubcontractor'semployeesmaynotwhile engagedinparticipatingorrespondingtoasolicitationorwhileinthecourseandscopeof deliveringgoodsorservicesunderaCityofDentoncontractorontheCity'sproperty . i. useorpossessafirearm, includingaconcealedhandgunthatislicensedunderstatelaw, exceptasrequiredbythetermsofthecontract; or ii. useorpossessalcoholicorotherintoxicatingbeverages, illegaldrugsorcontrolled substances, normaysuchworkersbeintoxicated, orundertheinfluenceofalcoholordrugs, on thejob. COMPLIANCEWITHHEALTH, SAFETY, ANDENVIRONMENTAL REGULATIONS: TheContractor, itsSubcontractors, andtheirrespectiveemployees, shall complyfullywithallapplicablefederal, state, andlocalhealth, safety, andenvironmentallaws, ordinances, rulesandregulationsintheperformanceoftheservices, includingbutnotlimitedto thosepromulgatedbytheCityandbytheOccupationalSafetyandHealthAdministration (OSHA). Incaseofconflict, themoststringentsafetyrequirementshallgovern. TheContractorshall indemnifyandholdtheCityharmlessfromandagainstallclaims, demands, suits, actions, judgments, fines, penaltiesandliabilityofeverykindarisingfromthebreachoftheCon obligationsunderthisparagraph. EnvironmentalProtection: TheRespondentshallbeincompliancewithallapplicablestandards, orders, orregulationsissuedpursuanttothemandatesoftheCleanAirAct (42U.S.C. §7401et seq.) andtheFederalWaterPollutionControlAct, asamended, (33U.S.C. §1251etseq.). 12. Finalpayment, retainage, orbothmaybewithheldiftheContractorisnotin compliancewiththerequirementsasacceptedbytheCity. B. Themakingandacceptanceoffinalpaymentwillconstitute: i. awaiverofallclaimsbytheCityagainsttheContractor, exceptclaims (1) whichhave beenpreviouslyassertedinwritingandnotyetsettled, (2) arisingfromdefectiveworkappearing afterfinalinspection, (3) arisingfromfailureoftheContractortocomplywiththeContractorthe undertheContract, includingbutnotlimitedtoindemnityandwarrantyobligations, or (5) arising otherthanthosepreviouslyassertedinwritingandnotyetsettled. 16. SPECIALTOOLS & TESTEQUIPMENT: IfthepricestatedontheOfferincludesthecost ofanyspecialtoolingorspecialtestequipmentfabricatedorrequiredbytheContractorforthe purposeoffillingthisorder, suchspecialtoolingequipmentandanyprocesssheetsrelatedthereto shallbecomethepropertyoftheCityandshallbeidentifiedbytheContractorassuch. 17. RIGHTTOAUDIT: A. TheCityshallhavetherighttoauditandmakecopiesofthebooks, recordsandcomputations pertainingtotheContract. TheContractorshallretainsuchbooks, records, documentsandother evidencepertainingtotheContractperiodandfiveyearsthereafter, exceptifanauditisinprogress orauditfindingsareyetunresolved, inwhichcaserecordsshallbekeptuntilallaudittasksare completedandresolved. Thesebooks, records, documentsandotherevidenceshallbeavailable, withinten (10) businessdaysofwrittenrequest. Further, theContractorshallalsorequireall Subcontractors, materialsuppliers, andotherpayeestoretainallbooks, records, documentsand otherevidencepertainingtotheContract, andtoallowtheCitysimilaraccesstothosedocuments. Allbooksandrecordswillbemadeavailablewithina50mileradiusoftheCityofDenton. The costoftheauditwillbebornebytheCityunlesstheauditrevealsanoverpaymentof1% orgreater. SUBCONTRACTORS: A. IftheContractoridentifiedSubcontractorsinaDBE/MBE/WBEagreedtoPlan, theContractor shallcomplywithallrequirementsapprovedbytheCity. TheContractorshallnotinitiallyemploy anySubcontractorexceptasprovidedintheCo anySubcontractoridentifiedinthePlan, unlessthesubstitutehasbeenacceptedbytheCityin writing. NoacceptancebytheCityofanySubcontractorshallconstituteawaiverofanyrightsor remediesoftheCitywithrespecttodefectivedeliverablesprovidedbyaSubcontractor. IfaPlan hasbeenapproved, theContractorisadditionallyrequiredtosubmitamonthlySubcontract Contract # 6400 DocuSignEnvelopeID: 8ACF7DED-861A-4C00-980A-5E2F30DB6FA6 AwardsandExpendituresReporttotheProcurementManager, nolaterthanthetenthcalendarday ofeachmonth. B. WorkperformedfortheContractorbyaSubcontractorshallbepursuanttoawrittencontract betweentheContractorandSubcontractor. Thetermsofthesubcontractmaynotconflictwiththe termsofthe Contract, andshallcontainprovisionsthat: i. requirethatalldeliverablestobeprovidedbytheSubcontractorbeprovidedinstrict accordancewiththeprovisions, specificationsandtermsoftheContract; ii. prohibittheSubcontractorfromfurthersubcontractinganyportionoftheContract withoutthepriorwrittenconsentoftheCityandtheContractor. iii. requireSubcontractorstosubmitallinvoicesandapplicationsforpayments, including anyclaimsforadditionalpayments, damagesorotherwise, totheContractorinsufficient timetoenabletheContractortoincludesamewithitsinvoiceorapplicationforpayment totheCityinaccordancewiththetermsoftheContract; iv. requirethatallSubcontractorsobtainandmaintain, throughoutthetermoftheir contract, insuranceinthetypeandamountsspecifiedfortheContractor, withtheCity beinganamedinsuredasitsinterestshallappear; and v. requirethattheSubcontractorindemnifyandholdtheCityharmlesstothesameextent astheContractorisrequiredtoindemnifytheCity. C. TheContractorshallbefullyresponsibletotheCityforallactsandomissionsofthe SubcontractorsjustastheContractorisresponsiblefortheContractor'sownactsandomissions. TheContractorcertifiesthatthepricesintheOfferhavebeenarrivedatindependentlywithout consultation, communication, oragreementforthepurposeofrestrictingcompetition, astoany matterrelatingtosuchfeeswithanyotherfirmorwithanycompetitor. C. Inadditiontoanyotherremedyavailable, theCitymaydeductfromanyamountsowedtothe Contractor, orotherwiserecover, anyamountspaidforitemsinexcessoftheContractor'scurrent pricesonordersbyothersforlikedeliverablesundersimilartermsofpurchase. 20. WARRANTY TITLE: TheContractorwarrantsthatithasgoodandindefeasibletitletoall deliverablesfurnishedundertheContract, andthatthedeliverablesarefreeandclearofallliens, claims, securityinterestsandencumbrances. TheContractorshallindemnifyandholdtheCity harmlessfromandagainstalladversetitleclaimstothedeliverables. 21. WARRANTY DELIVERABLES: ThewarrantyperiodfortheSoftwarewillcommence uponGoLiveandwillcontinuefor1yearunlessCityhasagreedtoadifferentwarrantyperiodin Contract # 6400 DocuSignEnvelopeID: 8ACF7DED-861A-4C00-980A-5E2F30DB6FA6 aseparateagreementthathasbeenmutuallyexecutedbyCityandContractor, inwhichcasethe warrantyperiodwillbeasstatedinsuchagreementsubjecttotheremainderofthisagreement. For IntegrationFrameworksoftwareproductsandtheAthenasoftwaresuite, thewarrantyperiodshall commenceasstatedintheapplicableagreementandwillcontinuefor1year, asstateinthe C RFP. ForSoftwarethatisapplicationsoftwarethatisprovidedonaperunitbasis, thewarrantyperiodforsubsequentunitslicensedistheremainder (ifany) oftheinitialwarranty periodor, iftheinitialwarrantyperiodhasexpired, theremainder (ifany) ofthetermofthe applicableSoftwareMaintenanceandSupportAgreement. Duringtheapplicablewarrantyperiod, Contractor warrantsthattheunmodifiedSoftware, when usedproperlyandinaccordancewiththisAgreement, willbefreefromareproducibledefectthat eliminatesthefunctionalityorsuccessfuloperationofafeaturecriticaltotheprimaryfunctionality orsuccessfuloperationofthesystem. Whethersuchdefectoccurswillbedeterminedsolelywith referencetotheDocumentation. ForSoftwareinvolvingradiofrequencysystemsandProducts, theprimaryfunctionalityofavoicecommunicationsystemissubscriber-to-subscriber, subscriber- todispatcher, anddispatcher-to-subscribervoicecommunication; andtheprimaryfunctionalityof adatacommunicationsystemispoint-to-pointdataC. transmission. Contractordoesnotwarrant thatCi useoftheSoftwareorProductswillbeuninterruptedorerror-free. Beforetheexpirationoftheapplicablewarrantyperiod, CitymustnotifyContractorinwritingif theSoftwaredoesnotconformtothiswarranty. Uponreceiptofsuchnotice, Contractor will investigatethewarrantyclaim. Ifthisinvestigationconfirmsavalidwarrantyclaim, Contractor will (atitsoptionandatnoadditionalchargetoCity) repairthedefect, replacethedefective Softwarewiththesameorequivalentsoftware, orrefundthepriceofthedefectiveSoftwareor individualProductinwhichtheSoftwareisembeddedorforwhichitwasprovided. Suchaction willbethefullextentofContractor'sliabilityandCity'ssoleremedyforabreachofthiswarranty. Iftheinvestigationindicatesthewarrantyclaimisnotvalid, thenContractormayinvoiceCityfor respondingtotheclaimonatimeandmaterialsbasisusingContractor'scurrentlaborrates. 22. WARRANTY SERVICES: TheContractorwarrantsandrepresentsthatallservicestobe providedtheCityundertheContractwillbefullyandtimelyperformedinagoodandworkmanlike mannerinaccordancewithgenerallyacceptedindustrystandardsandpractices, theterms, conditions, andcovenantsoftheContract, andallapplicableFederal, Stateandlocallaws, rules orregulations. TheContractorwarrantsandrepresentsthatserviceswillbeperformedsoasto ensurethatallservicesperformedarecorrectandappropriateforthepurposescontemplatedinthis Agreementandthatindustrycertificationsareprovidedforsuchservices. A. TheContractormaynotlimit, excludeordisclaimtheforegoingwarrantyoranywarranty impliedbylaw, andanyattempttodososhallbewithoutforceoreffect. B. UnlessotherwisespecifiedintheContract, thewarrantyperiodshallbeatleastoneyearfrom theDate. Ifduringthewarrantyperiod, oneormoreoftheabovewarrantiesarebreached, the Contractorshallpromptlyuponreceiptofdemandperformtheservicesagaininaccordancewith abovestandardatnoadditionalcosttotheCity. Allcostsincidentaltosuchadditionalperformance shallbebornebytheContractor. TheCityshallendeavortogivetheContractorwrittennoticeof thebreachofwarrantywithinthirty (30) calendardaysofdiscoveryofthebreachwarranty, but Contract # 6400 DocuSignEnvelopeID: 8ACF7DED-861A-4C00-980A-5E2F30DB6FA6 C. IftheContractorisunableorunwillingtoperformitsservicesinaccordancewiththeabove standardasrequiredbytheCity, theninadditiontoanyotheravailableremedy, theCitymay reducetheamountofservicesitmayberequiredtopurchaseundertheContractfromthe Contractor, andpurchaseconformingservicesfromothersources. Insuchevent, theContractor shallpaytotheCityupondemandtheincreasedcost, ifany, incurredbytheCitytoprocuresuch servicesfromanothersource. 23. ACCEPTANCEOFINCOMPLETEORNON-CONFORMINGDELIVERABLES: If, insteadofrequiringimmediatecorrectionorremovalandreplacementofdefectiveornon- conformingdeliverables, theCitypreferstoacceptit, theCitymaydoso. Ifanysuchacceptance occurspriortofinalpayment, theCitymaydeductsuchamountsasarenecessarytocompensate theCityforthediminishedvalueofthedefectiveornon-conformingdeliverables. Iftheacceptance occursafterfinalpayment, suchamountwillberefundedtotheCitybytheContractor. 24. RIGHTTOASSURANCE: WheneveronepartytotheContractingoodfaithhasreasonto assuranceoftheintenttoperform. Intheeventthatnoassuranceisgivenwithinthetimespecified afterdemandismade, thedemandingpartymaytreatthisfailureasananticipatoryrepudiationof theContract. 25. STOPWORKNOTICE: TheCitymayissueanimmediateStopWorkNoticeintheevent theContractorisobservedperforminginamannerthatisinviolationofFederal, State, orlocal guidelines, orinamannerthatisdeterminedbytheCitytobeunsafetoeitherlifeorproperty. Uponnotification, theContractorwillceaseallworkuntilnotifiedbytheCitythattheviolationor unsafeconditionhasbeencorrected. 26. DEFAULT: TheContractorshallbeindefaultundertheContractiftheContractor (a) failsto fully, timelyandfaithfullyperformanyofitsmaterialobligationsundertheContract, (b) failsto provideadequateassuranceofperformanceunderParagraph24, (c) becomesinsolventorseeks reliefunderthebankruptcylawsoftheUnitedStatesor (d) makesamaterialmisrepresentationin theCity. 27. TERMINATIONFORCAUSE: IntheeventofadefaultbytheContractor, theCityshall havetherighttoterminatetheContractforcause, bywrittennoticeeffectiveten (10) calendar days, unlessotherwisespecified, afterthedateofsuchnotice, unlesstheContractor, withinsuch reasonablesatisfactionthatsuchdefaultdoesnot, infact, existAdditionally, intheeventofa defaultbytheContractor, theCitymay 3) yearsandanyOffersubmittedbytheContractormaybedisqualifiedforuptothree (3) years. AllrightsandremediesundertheContractarecumulativeandarenotexclusiveofanyotherright orremedyprovidedbylaw. 28. TERMINATIONWITHOUTCAUSE: TheCityshallhavetherighttoterminatethe notice. Uponreceiptofanoticeoftermination, theContractorshallpromptlyceaseallfurtherwork pursuanttotheContract, withsuchexceptions, ifany, specifiedinthenoticeoftermination. The CityshallpaytheContractor, totheextentoffundsAppropriatedorotherwiselegallyavailable forsuchpurposes, forallgoodsdeliveredandservicesperformedandobligationsincurredpriorto thedateofterminationinaccordancewiththetermshereof. DELAYS: A. TheCitymaydelayscheduleddeliveryorotherduedatesbywrittennoticetotheContractorif theCitydeemsitisinitsbestinterest. Ifsuchdelaycausesanincreaseinthecostofthework undertheContract, theCityandtheContractorshallnegotiateanequitableadjustmentforcosts incurredbytheContractorintheContractpriceandexecuteanamendmenttotheContract. The Contractormustassertitsrighttoanadjustmentwithinthirty (30) calendardaysfromthedateof receiptofthenoticeofdelay. Failuretoagreeonanyadjustedpriceshallbehandledunderthe DisputeResolutionprocessspecifiedinparagraph49. However, nothinginthisprovisionshall excusetheContractorfromdelayingthedeliveryasnotified. B. Neitherpartyshallbeliableforanydefaultordelayintheperformanceofitsobligationsunder thisContractif, whileandtotheextentsuchdefaultordelayiscausedbyactsofGod, fire, riots, civilcommotion, labordisruptions, sabotage, sovereignconduct, oranyothercausebeyondthe reasonablecontrolofsuchParty. NOCONTINGENTFEES: TheContractorwarrantsthatnopersonorsellingagencyhas beenemployedorretainedtosolicitorsecuretheContractuponanyagreementorunderstanding forcommission, percentage, brokerage, orcontingentfee, exceptingbonafideemployeesofbona fideestablishedcommercialorsellingagenciesmaintainedbytheContractorforthepurposeof securingbusiness. IntheeventtheContractiscanceledbytheCitypursuanttothisprovision, theCityshallbe entitled, inadditiontoanyotherrightsandremedies, torecoverorwithholdtheamountofthecost incurredbytheContractorinprovidingsuchgratuities. 43. PROHIBITIONAGAINSTPERSONALINTERESTINCONTRACTS: Noofficer, employee, independentconsultant, orelectedofficialoftheCitywhoisinvolvedinthe development, evaluation, ordecision-makingprocessoftheperformanceofanysolicitationshall haveafinancialinterest, directorindirect, intheContractresultingfromthatsolicitation. The contractorisexpresslyfreetoadvertiseandperformservicesforotherpartieswhileperforming servicesfortheCity. 45. ASSIGNMENT-DELEGATION: TheContractshallbebindinguponandensuretothe benefitoftheCityandtheContractorandtheirrespectivesuccessorsandassigns, provided however, thatnorightorinterestintheContractshallbeassignedandnoobligationshallbe delegatedbytheContractorwithoutthepriorwrittenconsentoftheCity, whichshallnotbe withheldunreasonably. AnyattemptedassignmentordelegationbytheContractorshallbevoid unlessmadeinconformitywiththisparagraph. INTERPRETATION: TheContractisintendedbythepartiesasafinal, completeand exclusivestatementofthetermsoftheiragreement. Nocourseofpriordealingbetweentheparties orcourseofperformanceorusageofthetradeshallberelevanttosupplementorexplainanyterm usedintheContract. AlthoughtheContractmayhavebeensubstantiallydraftedbyoneparty, it istheintentofthepartiesthatallprovisionsbeconstruedinamannertobefairtobothparties, readingnoprovisionsmorestrictlyagainstonepartyortheother. IfadisputearisesoutoforrelatestotheContract, orthebreachthereof, thepartiesagreeto negotiatepriortoprosecutingasuitfordamages. However, thissectiondoesnotprohibitthefiling ofalawsuittotolltherunningofastatuteoflimitationsortoseekinjunctiverelief. Eitherparty maymakeawrittenrequestforameetingbetweenrepresentativesofeachpartywithinfourteen 14) calendardaysafterreceiptoftherequestorsuchlaterperiodasagreedbytheparties. Each partyshallinclude, ataminimum, one (1) seniorlevelindividualwithdecision-makingauthority regardingthedispute. Thepurposeofthisandanysubsequentmeetingistoattemptingoodfaith tonegotiatearesolutionofthedispute. NothingintheContractpreventstheparties fromrelyingontheskillsofapersonwhoistrainedinthesubjectmatterofthedisputeoracontract interpretationexpert. Ifthepartiesfailtoagreeonamediatorwithinthirty (30) calendardaysof initiationofthemediationprocess, themediatorshallbeselectedbytheDentonCountyAlternative DisputeResolutionProgram (DCAP). Thepartiesagreetoparticipateinmediationingoodfaith foruptothirty (30) calendardaysfromthedateofthefirstmediationsession. TheCityandthe participationsuchasfeesforanyconsultantsorattorneystheymayutilizetorepresentthemor otherwiseassisttheminthemediation. 50. JURISDICTIONANDVENUE: TheContractismadeunderandshallbegovernedbythe lawsoftheStateofTexas, including, whenapplicable, theUniformCommercialCodeasadopted inTexas, V.T.C.A., Bus. & Comm. Code, Chapter1, excludinganyruleorprinciplethatwould refertoandapplythesubstantivelawofanotherstateorjurisdiction. Allissuesarisingfromthis ContractshallberesolvedinthecourtsofDentonCounty, Texasandthepartiesagreetosubmit totheexclusivepersonaljurisdictionofsuchcourts. Theforegoing, however, shallnotbe construedorinterpretedtolimitorrestricttherightorabilityoftheCitytoseekandsecure injunctiverelieffromanycompetentauthorityascontemplated herein. 51. INVALIDITY: Theinvalidity, illegality, orunenforceabilityofanyprovisionoftheContract shallinnowayaffectthevalidityorenforceabilityofanyotherportionorprovisionofthe Contract. AnyvoidprovisionshallbedeemedseveredfromtheContractandthebalanceofthe ContractshallbeconstruedandenforcedasiftheContractdidnotcontaintheparticularportion orprovisionheldtobevoid. ThepartiesfurtheragreetoreformtheContracttoreplaceanystricken provisionwithavalidprovisionthatcomesascloseaspossibletotheintentofthestricken provision. ICSisnotliableforanyinfringementclaimsbaseduponthirdpartysoftwareorhardware usedorinstalledbyanypartyotherthanICS. 9. TermofAgreementandTermination enseoftheLicensedSoftwareshallbecomeeffectiveupontheexecutionoftheContractand shallcontinueperpetuallyunlessotherwiseterminatedinaccordancewiththisAgreementandtheContract. B. ArepresentativeofLicensee ITdepartmentmustbepresentwhenanyon-sitesupportis provided. AnAgencyApplicationManagermustbeavailabletoprovideafter-hoursassistance. Thisisdueto thehighpercentageofsupportrequeststhatareLicenseeprocedurerelatedandnotrelatedtothe LicensedSoftware. B. Thedesignated AgencyApplicationManager(s) sixtydaysofthe Licensee'sgo-livedateoftheLicensedSoftware. Thedesignatedmanager(s) must attend, relatingtothe assignedICStrainingcoursesinordertomeettheminimumcertificationlevel. C. Licensee willberesponsibleforthecostsofsuchtraining, includinganycoursefees, traveland lodgingexpenses, subjecttothelimitsonreimbursementincompliancewiththeStateofTexas TravelRegulations. D. ContactinformationfortheAgencyApplicationManager(s) mustbemadeavailabletoICSupon acceptanceofthisAddendum. E. RequestsforsupportservicesreceivedbyanyoneotherthananAgencyApplicationManager, will beBillabletimeatICScurrentrates. F. SoftwareCovered ThisAddendumshallapplytoallICSLicensedSoftware. IfLicenseeacquiresadditionalLicensed Software, suchsoftwareshalluponitsSoftwareInstallationDatebecomesubjecttothisAddendum.
