Thecostsof theseinspectionswillbenegotiatedbetweentheCityandtheContractorandanysubsequent correctiveactionwillbeattheexpenseofthecity. TheCityofDentonwillnotberesponsibleforindividualcontractorsafety, andthe awardedcontractorshallnotholdtheCityofDentonresponsible. Knownhazardsshall immediatelybereportedandallsafetyprecautionsshallbetakentopreventpotentialsafety issuesfromoccurring 21.ContractorStandardsofPerformance MonthlyTimeStandards - ContractorsshallfullyunderstandthattheCityreliesontheproductor serviceofthesolicitationtoprovidevitalmunicipalservices, andtheavailabilityandreliabilityof theequipmentisoftheessence. Withthisinmind, theContractorshallmeetthefollowing performancestandardsatalltimes. Forservicecategory, theContractormustensurethegiven levelofserviceisachieved, withinthedesignatednumberofworkinghours. Contractorshalldelivergoodsorserviceswithinspecifieddeliverytimesfor95% ofallorders. 22.AdditionalGeneralRequirements a.Priortocommencementoftheservices, theCityandselectedindividualorbusiness willconductaninitialmeetingtoreviewtheoverallscope, schedule, deliverablesand planningprocesstoimplementasuccessfulprogram. b.TheawardedContractorshallprovidetotheCityofDenton, detailedreportsoftime andservicesprovidedtotheCityonamonthlybasis. c.Staffavailabletoassisttheselectedproviderislimited; theproposalssubmittedshould notanticipateextensivestaffassistanceduringequipmentrepairsormaintenance. 23.PaymentandPerformanceRequirements A.PAYMENTANDINVOICES: Paymentprocessing:TheCityreview, inspection, andprocessingproceduresfor invoicesordinarilyrequirethirty (30) daysafterreceiptofinvoices, materials, or services. Submissionswhichcallforpaymentbeforethirty (30) daysfromreceipt ofinvoice, orcashdiscountsgivenonsuchpayment, willbeconsideredonlyif, in theopinionofthePurchasingManager, thereview, inspection, andprocessing procedurescanbecompletedasspecified. C. IftheCityortheCity'srepresentativenotifiestheContractorthatanyworkerisincompetent, disorderlyor disobedient, hasknowinglyorrepeatedlyviolatedsafetyregulations, haspossessedanyfirearms, orhaspossessedor wasundertheinfluenceofalcoholordrugsonthejob, theContractorshallimmediatelyremovesuchworkerfrom Contractservices, andmaynotemploysuchworkeragainonContractserviceswithouttheCity'spriorwrittenconsent. Incaseofconflict, themoststringentsafetyrequirementshallgovern. TheContractorshallindemnifyandhold harmlesstheCityfromandagainstallclaims, demands, suits, actions, judgments, fines, penaltiesandliabilityofevery kindtotheextentarisingfromitsfailuretocomplyunderthisparagraph, excepttotheextentsuchliabilityiscaused bythenegligenceorwillfulmisconductofCity. AllproperinvoicesneedtobesenttoAccountsPayable. Approvedinvoiceswillbepaidwithinthirty (30) calendar B. Ifpaymentisnottimelymade, (perparagraphA); interestshallaccrueontheunpaidbalanceatthelesserofthe ratespecifiedinTexasGovernmentCodeSection2251.025orthemaximumlawfulrate; except, ifpaymentisnot timelymadeforareasonforwhichtheCitymaywithholdpaymenthereunder, interestshallnotaccrueuntilten (10) calendardaysafterthegroundsforwithholdingpaymenthavebeenresolved. C. IfpartialshipmentsordeliveriesareauthorizedbytheCity, theContractorwillbepaidforthepartialshipmentor delivery, asstatedabove, providedthattheinvoicematchestheshipmentordelivery. D. TheCitymaywithholdorsetofftheentirepaymentorpartofanypaymentotherwiseduetheContractortosuch extentasmaybenecessaryonaccountof: i. deliveryofdefectiveornon-conformingdeliverablesbytheContractor; ii. failureoftheContractortosubmitproperinvoiceswithpurchaseordernumber, withallrequired attachmentsandsupportingdocumentation; or E. NoticeisherebygiventhatanyawardedfirmwhoisinarrearstotheCityofDentonfordelinquenttaxes, theCity mayoffsetindebtednessowedtheCitythroughpaymentwithholding. F. Paymentwillbemadebycheckunlessthepartiesmutuallyagreetopaymentbycreditcardorelectronictransfer offunds. TheContractoragreesthatthereshallbenoadditionalcharges, surcharges, orpenaltiestotheCityfor paymentsmadebycreditcardorelectronicfundstransfer. G. Theawarding obligationsarepayableonlyandsolelyfromfundsAppropriatedandavailableforthiscontract. Theabsenceof AppropriatedorotherlawfullyavailablefundsshallrendertheContractnullandvoidtotheextentfundsarenot AppropriatedoravailableandanydeliverablesdeliveredbutunpaidshallbereturnedtotheContractor. TheCityshall providetheContractorwrittennoticeofthefailureoftheCitytomakeanadequateAppropriationforanyfiscalyear topaytheamountsdueundertheContract, orthereductionofanyAppropriationtoanamountinsufficienttopermit theCitytopayitsobligationsundertheContract. Intheeventofnoneorinadequateappropriationoffunds, therewill benopenaltynorremovalfeeschargedtotheCity. 14. TRAVELEXPENSES: Alltravel, lodgingandperdiemexpensesinconnectionwiththeContractshallbepaid bytheContractor, unlessotherwisestatedinthecontractterms. Duringthetermofthiscontract, thecontractorshall billandtheCityshallreimbursecontractorforallreasonableandapprovedoutofpocketexpenseswhichareincurred intheconnectionwiththeperformanceofdutieshereunder. Notwithstandingtheforegoing, expensesforthetime spentbythecontractorintravelingtoandfromCityfacilitiesshallnotbereimbursed, unlessotherwisenegotiated. 15. FINALPAYMENTANDCLOSE-OUT: A. IfaDBE/MBE/WBEProgramPlanisagreedtoandtheContractorhasidentifiedSubcontractors, theContractor isrequiredtosubmitaContractClose-OutMBE/WBEComplianceReporttothePurchasingManagernolaterthan the15thcalendardayaftercompletionofallworkunderthecontract. Finalpayment, retainage, orbothmaybe withheldiftheContractorisnotincompliancewiththerequirementsasacceptedbytheCity. B. Themakingandacceptanceoffinalpaymentwillconstitute: i. awaiverofallclaimsbytheCityagainsttheContractor, exceptclaims (1) whichhavebeenpreviouslyassertedin writingandnotyetsettled, (2) arisingfromdefectiveworkappearingafterfinalinspection, (3) arisingfromfailureof theContractortocomplywiththeContractorthetermsofanywarrantyspecifiedherein, (4) arisingfromthe Cityotherthanthosepreviouslyassertedinwritingandnotyetsettled. SPECIALTOOLS & TESTEQUIPMENT: IfthepricestatedontheOfferincludesthecostofanyspecial toolingorspecialtestequipmentfabricatedorrequiredbytheContractorforthepurposeoffillingthisorder, such specialtoolingequipmentandanyprocesssheetsrelatedtheretoshallbecomethepropertyoftheCityandshallbe identifiedbytheContractorassuch. 17. RIGHTTOAUDIT: A. TheCityshallhavetherighttoauditandmakecopiesofthebooks, recordsandcomputationspertainingtothe Contract. TheContractorshallretainsuchbooks, records, documentsandotherevidencepertainingtotheContract periodandfiveyearsthereafter, exceptifanauditisinprogressorauditfindingsareyetunresolved, inwhichcase recordsshallbekeptuntilallaudittasksarecompletedandresolved. Thesebooks, records, documentsandother evidenceshallbeavailable, withinten (10) businessdaysofwrittenrequestorotherperiodagreedbytheparties. Further, theContractorshallalsorequireallSubcontractors, materialsuppliers, andotherpayeestoretainallbooks, records, documentsandotherevidencepertainingtotheContract, andtoallowtheCitysimilaraccesstothose documents. Allbooksandrecordswillbemadeavailablewithina50mileradiusoftheCityofDenton. Thecostof theauditwillbebornebytheCity. Thescopeofanyauditshallbelimitedtorecordscreatednomorethantwelve (12) monthsbeforethedateonwhichtheauditwasinitiated. Noauditmaymakeuseofanysampling, extrapolation, or similarpractice. Nomorethanone (1) auditmaybeinitiatedinanytwelve (12) monthperiodandnoauditmaybe initiateduntilallpreviousauditshavebeenfullyresolved. B. FailuretocomplywiththeprovisionsofthissectionshallbeamaterialbreachoftheContractandshallconstitute, susedabove, shallbeconstruedtoincludedraftsandelectronicfiles, evenifsuchdraftsor electronicfilesaresubsequentlyusedtogenerateorprepareafinalprinteddocument. 18. SUBCONTRACTORS: A. IftheContractoridentifiedSubcontractorsinaDBE/MBE/WBEagreedtoPlan, theContractorshallcomplywith allrequirementsapprovedbytheCity. TheContractorshallnotinitiallyemployanySubcontractorexceptasprovided toridentifiedinthePlan, unlessthe substitutehasbeenacceptedbytheCityinwriting. NoacceptancebytheCityofanySubcontractorshallconstitutea waiverofanyrightsorremediesoftheCitywithrespecttodefectivedeliverablesprovidedbyaSubcontractor. Ifa Planhasbeenapproved, theContractorisadditionallyrequiredtosubmitamonthlySubcontractAwardsand ExpendituresReporttotheProcurementManager, nolaterthanthetenthcalendardayofeachmonth. B. WorkperformedfortheContractorbyaSubcontractorshallbepursuanttoawrittencontractbetweenthe ContractorandSubcontractor. Thetermsofthesubcontractmaynotconflictwiththetermsofthe Contract, andshallcontainprovisionsthat: i. requirethatalldeliverablestobeprovidedbytheSubcontractorbeprovidedinstrictaccordancewiththe provisions, specificationsandtermsoftheContract; ii. prohibittheSubcontractorfromfurthersubcontractinganyportionoftheContractwithoutthepriorwritten consentoftheCityandtheContractor. TheCitymayrequire, asaconditiontosuchfurthersubcontracting, thattheSubcontractorpostapaymentbondinform, substanceandamountacceptabletotheCity; iii. requireSubcontractorstosubmitallinvoicesandapplicationsforpayments, includinganyclaimsfor additionalpayments, damagesorotherwise, totheContractorinsufficienttimetoenabletheContractorto includesamewithitsinvoiceorapplicationforpaymenttotheCityinaccordancewiththetermsofthe Contract; iv. requirethatallSubcontractorsobtainandmaintain, throughoutthetermoftheircontract, insuranceinthe typeandamountsspecifiedfortheContractor, withtheCitybeinganamedinsuredasitsinterestshallappear; and v. requirethattheSubcontractorindemnifyandholdtheCityharmlesstothesameextentastheContractor isrequiredtoindemnifytheCity. C. TheContractorshallbefullyresponsibletotheCityforallactsandomissionsoftheSubcontractorsjustasthe ContractorisresponsiblefortheContractor'sownactsandomissions. NothingintheContractshallcreateforthe benefitofanysuchSubcontractoranycontractualrelationshipbetweentheCityandanysuchSubcontractor, norshall itcreateanyobligationonthepartoftheCitytopayortoseetothepaymentofanymoneysdueanysuchSubcontractor exceptasmayotherwiseberequiredbylaw. IftheContractorisunableorunwillingtoperformitsservicesinaccordancewiththeabovestandardasrequired bytheCity, theninadditiontoanyotheravailableremedy, theCitymayreducetheamountofservicesitmaybe requiredtopurchaseundertheContractfromtheContractor, andpurchaseconformingservicesfromothersources. 23. ACCEPTANCEOFINCOMPLETEORNON-CONFORMINGDELIVERABLES: If, insteadofrequiring immediatecorrectionorremovalandreplacementofdefectiveornon-conformingdeliverables, theCityprefersto acceptit, theCitymaydoso. Ifanysuchacceptanceoccurspriortofinalpayment, thepartiesmayelecttoallowthe CitytodeductsuchamountsasarenecessarytocompensatetheCityforthediminishedvalueofthedefectiveornon- conformingdeliverables. Iftheacceptanceoccursafterfinalpayment, suchamountwillberefundedtotheCityby theContractor. 24. RIGHTTOASSURANCE: WheneveronepartytotheContractingoodfaithhasreasontoquestiontheother theotherpartyforwrittenassuranceoftheintenttoperform. Inthe eventthatnoassuranceisgivenwithinthetimespecifiedafterdemandismade, thedemandingpartymaytreatthis failureasananticipatoryrepudiationoftheContract. 25. STOPWORKNOTICE: TheCitymayissueanimmediateStopWorkNoticeintheeventtheContractoris observedperforminginamannerthatisinviolationofFederal, State, orlocalguidelines, orinamannerthatis determinedbytheCitytobeunsafetoeitherlifeorproperty. Uponnotification, theContractorwillceaseallwork untilnotifiedbytheCitythattheviolationorunsafeconditionhasbeencorrected. TheContractormaybeliablefor directcostsincurredbytheCityasaresultoftheissuanceofsuchStopWorkNotice. 26. DEFAULT: TheContractorshallbeindefaultundertheContractiftheContractor (a) failstofully, timelyand faithfullyperformanyofitsmaterialobligationsundertheContract, (b) failstoprovideadequateassuranceof performanceunderParagraph24, (c) becomesinsolventorseeksreliefunderthebankruptcylawsoftheUnitedStates bytheContractortotheCity. 27. TERMINATIONFORCAUSE: IntheeventofadefaultbytheContractor, theCityshallhavetherightto terminatetheContractforcause, bywrittennoticeeffectiveten (10) calendardays, unlessotherwisespecified, after thedateofsuchnotice, unlesstheContractor, withinsuchten (10) dayperiod, curessuchdefault, orprovidesevidence otherremedyavailableunderlaworinequity, theCityshallbeentitledtorecoverallactualdamages, costs, losses entandpost-judgmentinterestatthemaximumlawfulrate, but relates. Additionally, intheeventofadefaultbytheContractor, theCitymay vendorlistforthree (3) yearsandanyOffersubmittedbytheContractormaybedisqualifiedforuptothree (3) years. AllrightsandremediesundertheContractarecumulativeandarenotexclusiveofanyotherrightorremedyprovided bylaw. 28. TERMINATIONWITHOUTCAUSE: TheCityshallhavetherighttoterminatetheContract, inwholeorin termination, theContractorshallpromptlyceaseallfurtherworkpursuanttotheContract, withsuchexceptions, if any, specifiedinthenoticeoftermination. TheCityshallpaytheContractor, totheextentoffundsAppropriatedor otherwiselegallyavailableforsuchpurposes, forallgoodsdeliveredandservicesperformedandobligationsincurred priortothedateofterminationinaccordancewiththetermshereof. C. NotwithstandinganyprovisionscontainedinthisAgreementtothecontrary, innoeventwillContractorbe liableforspecialorconsequentialdamages. D. INSURANCE: Thefollowinginsurancerequirementsareapplicable, inadditiontothespecificinsurance requirementsdetailedinAppendixAforservicesonly. ItisintendedthatpoliciesrequiredintheContract, coveringboththeCityandtheContractor, shallbeconsideredprimarycoverageasapplicable. viii. IfinsurancepoliciesarenotwrittenforamountsagreedtowiththeCity, theContractorshallcarry UmbrellaorExcessLiabilityInsuranceforanydifferencesinamountsspecified. IfExcessLiabilityInsurance isprovided, itshallfollowtheformoftheprimarycoverage. ix. TheCityshallbeentitled, uponrequest, atanagreeduponlocation, andwithoutexpense, toreview certifiedcopiesofpoliciesandendorsementstheretoandmaymakeanyreasonablerequestsfordeletionor revisionormodificationofparticularpolicyterms, conditions, limitations, orexclusionsexceptwherepolicy provisionsareestablishedbylaworregulationsbindinguponeitherofthepartiesheretoortheunderwriter onanysuchpolicies. x. TheCityreservestherighttoreviewtheinsurancerequirementssetforthduringtheeffectiveperiodofthe Contractandtomakereasonableadjustmentstoinsurancecoverage, limits, andexclusionswhendeemed necessaryandprudentbytheCitybaseduponchangesinstatutorylaw, courtdecisions, theclaimshistoryof theindustryorfinancialconditionoftheinsurancecompanyaswellastheContractor. xi. TheContractorshallnotcauseanyinsurancetobecancelednorpermitanyinsurancetolapseduringthe termoftheContractorasrequiredintheContract. xii. TheContractorshallberesponsibleforpremiums, deductiblesandself-insuredretentions, ifany, stated inpolicies. TheContractor (includingitsemployees, subcontractors, agents, orrepresentatives) agreesthatitwillmaintainthe ConfidentialInformationinstrictconfidenceandshallnotdisclose, disseminate, copy, divulge, recreate, orotherwise usetheConfidentialInformationwithoutthepriorwrittenconsentoftheCityorinamannernotexpresslypermitted underthisAgreement, unlesstheConfidentialInformationisrequiredtobedisclosedbylaworanorderofanycourt orothergovernmentalauthoritywithproperjurisdiction, providedtheContractorpromptlynotifiestheCitybefore disclosingsuchinformationsoastopermittheCityreasonabletimetoseekanappropriateprotectiveorder. The ContractoragreestouseprotectivemeasuresnolessstringentthantheContractoruseswithinitsownbusinessto protectitsownmostvaluableinformation, whichprotectivemeasuresshallunderallcircumstancesbeatleast reasonablemeasurestoensurethecontinuedconfidentialityoftheConfidentialInformation. 38. OWNERSHIPANDUSEOFDELIVERABLES: TheCityshallownallrights, titles, andintereststhroughout theworldinandtothedeliverables. A. Patents. Astoanypatentablesubjectmattercontainedinthedeliverables, theContractoragreestodisclosesuch patentablesubjectmattertotheCity. Further, ifrequestedbytheCity, theContractoragreestoassignand, ifnecessary, causeeachofitsemployeestoassigntheentireright, title, andinteresttospecificinventionsundersuchpatentable subjectmattertotheCityandtoexecute, acknowledge, anddeliverand, ifnecessary, causeeachofitsemployeesto execute, acknowledge, anddeliveranassignmentofletterspatent, inaformtobereasonablyapprovedbytheCity, to theCityuponrequestbytheCity. B. Copyrights. Astoanydeliverablescontainingcopyrightablesubjectmatter, theContractoragreesthatupontheir creation, suchdeliverablesshallbeconsideredasworkmade-for-hirebytheContractorfortheCityandtheCityshall ownallcopyrightsinandtosuchdeliverables, providedhowever, thatnothinginthisParagraph38shallnegatethe deliverables. Shouldbyoperationoflaw, suchdeliverablesnotbeconsideredworksmade-for-hire, theContractor herebyassignstotheCity (andagreestocauseeachofitsemployeesprovidingservicestotheCityhereunderto execute, acknowledge, anddeliveranassignmenttotheCityof) allworldwideright, title, andinterestinandtosuch deliverables. Withrespecttosuchworkmade-for-hire, theContractoragreestoexecute, acknowledge, anddeliver andcauseeachofitsemployeesprovidingservicestotheCityhereundertoexecute, acknowledge, anddeliverawork- made-for-hireagreement, inaformtobereasonablyapprovedbytheCity, totheCityupondeliveryofsuch deliverablestotheCityoratsuchothertimeastheCitymayrequest. C. AdditionalAssignments. IntheeventtheCityshouldnotseek toobtaincopyrightprotection, maskworkregistrationorpatentprotectionforanyofthedeliverables, butshould desiretokeepthesamesecret, theContractoragreestotreatthesameasConfidentialInformationunderthetermsof Paragraph37above. 39. PUBLICATIONS: AllpublishedmaterialandwrittenreportssubmittedundertheContractmustbeoriginally developedmaterialunlessotherwisespecificallyprovidedintheContract. Whenmaterialnotoriginallydevelopedis includedinareportinanyform, thesourceshallbeidentified. 40. ADVERTISING CityhasenteredintotheContract, excepttotheextentrequiredbylaw. 41. NOCONTINGENTFEES: TheContractorwarrantsthatnopersonorsellingagencyhasbeenemployedor retainedtosolicitorsecuretheContractuponanyagreementorunderstandingforcommission, percentage, brokerage, orcontingentfee, exceptingbonafideemployeesofbonafideestablishedcommercialorsellingagenciesmaintained bytheContractorforthepurposeofsecuringbusiness. Forbreachorviolationofthiswarranty, theCityshallhave theright, inadditiontoanyotherremedyavailable, tocanceltheContractwithoutliabilityandtodeductfromany amountsowedtotheContractor, orotherwiserecover, thefullamountofsuchcommission, percentage, brokerageor contingentfee. 42. GRATUITIES: TheCitymay, bywrittennoticetotheContractor, canceltheContractwithoutliabilityifitis determinedbytheCitythatgratuitieswereofferedorgivenbytheContractororanyagentorrepresentativeofthe ContractortoanyofficeroremployeeoftheCityofDentonwithaviewtowardsecuringtheContractorsecuring favorabletreatmentwithrespecttotheawardingoramendingorthemakingofanydeterminationswithrespecttothe performingofsuchcontract. IntheeventtheContractiscanceledbytheCitypursuanttothisprovision, theCityshall beentitled, inadditiontoanyotherrightsandremedies, torecoverorwithholdtheamountofthecostincurredbythe Contractorinprovidingsuchgratuities. 43. PROHIBITIONAGAINSTPERSONALINTERESTINCONTRACTS: Noofficer, employee, independent consultant, orelectedofficialoftheCitywhoisinvolvedinthedevelopment, evaluation, ordecision-makingprocess oftheperformanceofanysolicitationshallhaveafinancialinterest, directorindirect, intheContractresultingfrom thatsolicitation. Anywillfulviolationofthissectionshallconstituteimproprietyinoffice, andanyofficeroremployee guiltythereofshallbesubjecttodisciplinaryactionuptoandincludingdismissal. Anyviolationofthisprovision, withtheknowledge, expressedorimplied, oftheContractorshallrendertheContractvoidablebytheCity. The 44. INDEPENDENTCONTRACTOR: TheContractshallnotbeconstruedascreatinganemployer/employee relationship, apartnership, orajointventure. TheCon TheContractoragreesandunderstandsthattheContractdoesnotgrantanyrightsorprivilegesestablishedfor employeesoftheCityofDenton, Texasforthepurposesofincometax, withholding, socialsecuritytaxes, vacation andcontroloftheContractororanyemployeeoftheContractor, anditisexpresslyunderstoodthatContractorshall performtheserviceshereunderaccordingtotheattachedspecificationsatthegeneraldirectionoftheCityManager oftheCityofDenton, Texas, orhisdesigneeunderthisagreement. Thecontractorisexpresslyfreetoadvertiseand performservicesforotherpartieswhileperformingservicesfortheCity. 45. ASSIGNMENT-DELEGATION: TheContractshallbebindinguponandensuretothebenefitoftheCityand theContractorandtheirrespectivesuccessorsandassigns, providedhowever, thatnorightorinterestintheContract shallbeassignedandnoobligationshallbedelegatedbytheContractorwithoutthepriorwrittenconsentoftheCity. AnyattemptedassignmentordelegationbytheContractorshallbevoidunlessmadeinconformitywiththis paragraph. TheContractisnotintendedtoconferrightsorbenefitsonanyperson, firmorentitynotapartyhereto; it beingtheintentionofthepartiesthattherearenothirdpartybeneficiariestotheContract. 46. WAIVER: NoclaimorrightarisingoutofabreachoftheContractcanbedischargedinwholeorinpartbya waiverorrenunciationoftheclaimorrightunlessthewaiverorrenunciationissupportedbyconsiderationandisin writingsignedbytheaggrievedparty. Nocourseofpriordealingbetweenthepartiesorcourseofperformanceorusageofthetrade shallberelevanttosupplementorexplainanytermusedintheContract. AlthoughtheContractmayhavebeen substantiallydraftedbyoneparty, itistheintentofthepartiesthatallprovisionsbeconstruedinamannertobefair tobothparties, readingnoprovisionsmorestrictlyagainstonepartyortheother. Wheneveratermdefinedbythe UniformCommercialCode, asenactedbytheStateofTexas, isusedintheContract, theUCCdefinitionshallcontrol, unlessotherwisedefinedintheContract. 49. DISPUTERESOLUTION: A.
